PURPOSE: To approve a non-binding Letter of Intent ("LOI") between Orange County and the
Town of Carrboro to authorize the County Manager and Town Manager to begin negotiating a
development agreement for a Southern Branch Library on Carrboro's 203 S. Greensboro site.
BACKGROUND: In early 2016 the governing Boards for Orange County and Carrboro
respectively authorized the County Manager and the Carrboro Town Manager to begin
discussions regarding the Town-owned 203 S. Greensboro parcel as a site for the stand-alone
Southern Branch Library and associated parking (note Attachment 1, "Site Illustrative").
Discussions of other potential uses that could benefit Carrboro are also underway. Town
regulations allow for a multi-story structure on the property with an estimated maximum capacity
of 50-60,000 square feet of development space on 2-5 levels.
Since reporting last in the early spring, Carrboro has been working with consultants to study
existing and projected parking conditions and demands as well as its own space needs to inform
future decisions, including those related to the potential development of the 203 S. Greensboro
property. These studies are ongoing, but have been completed to a point to where the
Managers can begin negotiating an Agreement that would govern a development partnership for
this site.
Attachment 2, "Letter of Intent ("LOI"), serves as the non-binding framework for this discussion
and is being presented simultaneously this evening to the Board or Orange County
Commissioners and the Carrboro Aldermen. The purpose of this LOI is to authorize the Town
and County Manager to negotiate a development agreement.
Carrboro's timeline associated with this project is depicted in Attachment 3. Orange County has
appropriated project funds for a stand-alone library with associated parking within its FY2016-
2021 Capital Investment Plan. Attachment 4 reflects the Carrboro Agenda Abstract that is being
presented and discussed by the Carrboro Board of Aldermen.

FINANCIAL IMPACT: None at this time. The County has appropriated project funds for this
project within its FY2016-2021 Capital Investment Plan.
RECOMMENDATION(S): The Manager recommends the Board approve the non-binding
Letter of Intent ("LOI") between Orange County and the Town of Carrboro to authorize the
Manager to begin negotiating a development agreement with the Carrboro Town Manager.

Dear Bonnie:
This letter is to confirm the general intent of the Town of Carrboro (the "Town") and
Orange County (the "County"), as expressed by their respective governing boards adopted
during the Spring of 2016„ to work cooperatively to investigate potential joint development
scenarios, including design, construction, financing, and use of any potential building on
property now owned by the Town located at 203 South Greensboro Street in Carrboro (the
"Property"), as the site for the County's Southern Branch Library.
The specific terms of development would be negotiated during this investigation
process if both parties conclude that joint development of the Property is in their best interests.
This letter of intent is NOT a binding contract, it is an expression of the Town's and the
County's mutual interest in pursuing the potential development of the Property for uses
including the County's proposed Southern Branch Library. The Town acquired the Property in
2013. The Property is zoned appropriately for the proposed use(s).
By our respective signatures below, as authorized by the Town's Board of Aldermen
and the County's Board of Commissioners, we commit to pursuing the possible development of
the Property as generally described in this letter.

TITLE:
Approval of Letter of Intent with Orange County Regarding Southern Branch
Library
PURPOSE: The purpose of this item is to provide the Board of Aldermen with an opportunity
to approve a non-binding letter of intent that formally communicates both party's interests in
working cooperatively to explore development options on the Town's 203 S. Greensboro
property for possible uses including the Southern Branch Library.

INFORMATION: Following the Board's consideration of the project status on April 5th
(see https://carrboro.legistar.com/LegislationDetail.aspx?ID=2680872&GUID=E4231122-B65E-
4246-A863-C582CEE6F2A4&Options=IDITextl&Search=library and Attachment A, meeting
minutes), staff has continued to work on the related projects—Parking Study/Plan, Space Needs
Analysis— and has been in communication with Orange County staff on this effort. A letter of
intent regarding the Town's intention and interest in preparing a development agreement for the
project has been prepared for the Board's consideration(Attachment B). An updated timeline for
the project, noting some more detail on the review, approval, and construction processes is
provided(Attachment C). A possible ribbon cutting in early 2019 is projected.
The Board of County Commissioners will be considering the draft letter and updated timeline
during their meeting this same Tuesday evening, with the expectation that work on a
development agreement between the Town and County will begin in earnest in January 2017.
FISCAL & STAFF IMPACT: Administrative costs (legal and staff) are anticipated;
neither of which are estimated to be extraordinary.
RECOMMENDATION: It is recommended that the Board of Aldermen accept the
agenda materials and consider approving the letter of intent.
