AMENDMENT TO INTERIM HEALTH DIRECTOR
SERVICES AGREEMENT
NORTH CAROLINA
THIS AMENDMENT,made and entered into this the 17t'day of August,2017,by and between the County of Orange,
a body politic and corporate of the State of North Carolina, ("County"), and the University of North Carolina at
Chapel Hill on behalf of its School of Public Health("University");
WITNESSETH:
WHEREAS, the County and University entered into a Services Agreement dated, February 24, 2017, to provide
services to be rendered by University to County("Original Agreement"); and
WHEREAS, the County and University desire to amend the Original Agreement, while keeping in effect all terms
and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties
agree to amend the Original Agreement as follows:
The term of the Original Agreement shall be extended ninety (90) days from August 23, 2017, to
November 21, 2017 pursuant to Section 4(a)of the Original Agreement.
Section 5(a). Compensation for Basic Services. Compensation for Basic Services described in Section 3
shall include all compensation due to the University from the County for all services under this Agreement,
including mileage of Key Personnel. There are no additional reimbursable expenses included in this
Agreement. The County shall reimburse the University on a monthly basis for forty percent of the salary,
fringe benefits, and health insurance of Key Personnel, which amounts to five thousand seven hundred
twenty dollars and 25/100 per month ($5,720.25), reduced proportionately on a daily basis for any
portion thereof. In addition,the County will pay a lump sum for mileage in the amount of two hundred
twenty five dollars ($225.00) per month, reduced proportionately on a daily basis for any portion thereof.
The County will pay eight hundred and ninety seven dollars ($897.00) for the Interim Health Director to
attend the North Carolina Public Health Association (NCPHA) Conference. The maximum amount
payable for Basic Services shall not exceed Nineteen thousand, twenty five dollars and 57/100
($19,025.57)payable in equal monthly installments.
Except for the extension made to the term of the Original Agreement and the change to Paragraph 5(a).Compensation
for Basic Services herein, the Original Agreement shall remain in full force and effect to the extent it is not
inconsistent with this Amendment. In the event that there is a conflict between the Original Agreement and this
Amendment,this Amendment shall control.
IN WITNESS WHEREOF, Orange County and the University have signed this Amendment, effective this
the 241 day of August,2017.
