THIS AGREEMENT, entered into this 17 day of August, 2017, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Phillips Middle School PTSA ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand three hundred
nrihy tour ($ 1,384) have been awarded by the Arts Commission to the Grant Recipient
for the approved Project. The Recipient shall be required to match funds at least dollar-
for-dollar with cash from the Grant Recipient's funds not derived from either Orange
County appropriations or the North Carolina Arts Council, as outlined in the attached
Exhibit A.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2017 and June 30, 2018. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 6, 2018. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,384 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: "This program is supported by the
Orange County Arts Commission."
ii. x North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display Orange County Arts Commission publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
www.artsorange.org (Orange County Arts Commission logo preferred) to their
main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any

provision of this Agreement, as determined by the Arts Commission in its
sole discretion.
(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Both parties agree that this Agreement shall be governed by the
laws of the State of North Carolina. Provider shall at all times remain in
compliance with all applicable local, state, and federal laws, rules, and regulations
including but not limited to all state and federal anti-discrimination laws, policies,
rules, and regulations and the Orange County Non-Discrimination Policy and
Orange County Living Wage Policy (each policy is incorporated herein by
reference and may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php).
Any violation of this requirement is a breach of this Agreement and County may
immediately terminate this Agreement without further obligation on the part of
the County. This paragraph is not intended to limit and does not limit the
definition of breach to discrimination. By executing this Agreement Provider
affirms that Provider is and shall remain in compliance with Article 2 of Chapter
64 of the North Carolina General Statutes. By executing this Agreement Provider
certifies that Provider has not been identified, and has not utilized the services of
any agent or subcontractor, on the list created by the State Treasurer pursuant to
G.S. 147-86.58.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
11A and Article 40 of North Carolina General Statute Chapter 66.

Narrative
School Profile
Phillips Middle School opened in 1963, so it's is the oldest middle school in Chapel Hill
and celebrates its 54th anniversary this year Phillips is a neighborhood school, with
many students from the surrouinding homes walking or riding, bikes to school. The
enrollment at Phillips is 851 children, serving 6th to 8th grade students. The school
offers the core curriculum classes with students in each grade having two electives per
semester. A sample of these electives includes foreign languages such as Spanish,
French, Latin and Advanced Mandarin; Exploring Life Skills; Exploring Family and
Consumer Sciences; Video Production; Ceramics and Sculpture; Visual Arts; Band and
Orchestra. The school also offers programs in Exceptional Education, Gifted Education
and English as a Second Language.
Phillips has a diverse racial composition: White (51%), Asian (19%), Black (12%),
Hispanic (10%), Multi-Racial (7%) and American Indian/Alaskan Native (<1%) Twenty-
five percent of Phillips students .re eligible for free and reduced lunches.
School Arts Programs
The PTSA Cultural Enrichment Committee promotes the cultural arts in education by
bringing a variety of professional artists to perform at our school. During the 2016-2017
school year, the students enjoyed the following performances:
Charles Pence, 6h, 71 graders. 10/14/16, This multi-talented Chapel Hill musician
employed banjo, harmonica, guitar, mandolin and voice to introduce students to the
wonderful tapestry of sounds that make up the ,iusic of the Caroiinas, including the
music of the pilgrims, native Americans, African Americans, Piedmont blues, gospel and
bluegrass,

The Beast: Sankofa, 8th graders, 10/21/16. Led by Professor Pierce Freelon, hip-hop
and jazz quartet The Beast told the history of Africa,-American music through an
interactive performance that included original songs as well as standards from the
spiritual, blues, jazz and hip-hop cannon. The Beast introduced, students to a
revolutionary new style of music while playing homage to the musicians who came
before them,

NC Youth Tap 'Ensemble, 6-, 71, 8t graders. 2/17117. The dancers of the NCYTE
engaged students with a dynamic, educational and inspiring program featuring rhythmic
dance from a variety of genres as well as some drumming and singing. The

performance included brief stories about the history of tap dance and information about
different styles of rhythmic dance. It was powerful for students to see kids their own age,
including some current Phillips students, performing on stage.

The support for the arts is alive and well at Phillips Middle School. The PTSA provides
additional financial support to the band, orchestra and arts programs. PTSA money is
usec for much-needed items such as band instruments, music, stands and art supplies.
The PTSA also organizes and promotes fund-raising activities for the school community
in conjunction with the scheduled music performances by the band and orchestra to
provide additional support for these successful programs.
Visual Arts at Phillips this year focused on creating a gallery space in which framed
student artwork hangs in a series of hallways. The framed work as well as other work on
the walls was used as a springboard to communicate about art, media and techniques,
subject matter, and choices that artists make The AVID (Advancement Via Individual
Determination) Classes regularly use these works as writing prompts. The gallery is still
a work in progress and will continue to expand and improve throughout the coming
years. The other focus in the Visual Arts this year was to incorporate more technology
use in the arts and to create digital art. The projects such as landscaping, perspective,
portraiture, sculptures and pottery continue to be the crux at the art program at Phillips.
This year, the "Visual Journal class" (part of the new TIT" enrichment sessions offered
at Phillips)* went to downtown Chapel Hill and to the Ackland for a "Then and Now"tour
where students look at the history of Chapel Hill and its art.
This year the Phillips Orchestra program had 152 students in five classes, which met
daily for 47 minutes. Stud lelits who cannot afford an instrument are provided a school
instru ent purchased through donations or through SKAJAJA, a local organization that
helps fund programs benefitting students in need. In February, Banda Magda, a
multicultural music ensemble, joined the Phillips Orchestra for a three-day Artist in
Residence program and performed a combined concert. Students were exposed to
Grammy -ward-winning professional musicians and gained knowledge of a different
style of music based on Latin groove rhythms. Additionally, this year's eighth-graders
received straight superior ratings at the state orchestra contest.
The Phillips band program director, Ashley Sample, joined the school in 2015, after our
long-time director Jane Cutchin retired. The school could not b- more pleased with fVr.
Sample and the work he has done to keep the band program thriving. The band
program serves approximately 140 students this year, which is almost 25 percent of the
student population. The bands perform public concerts anywhere from two to five till es
per year. Phillips band students regularly compete at local and regional competitions
and earn placement each year in the County, District and State Honor Bands. The band
program regularly participates in the North Carolina Music Performance Adjudication
where they have earned consistent Superior ratings since 1994, This year, the band

program introduced a weekly After School *and Academy, which gave Phillips students
an opportunity for reinforcement and acceleration by working in small groups with band
students from East Ch;pel Hill High School. Phillips also offered an opportunity for
students to join an after-school Jazz Band. Band students were also able to join smaller
ensembles within the classroom, and those ensembles performed in the final band
concert of the year. It is the goal of the band director to provide instil, ents for all
students with the desire to learn that might not be able to afford an
instrument. Students receive 47 minutes of instruction daily and as with orchestra, the
retention rate fro grade to grade is very high.

Music Composition 101 Have you ever wanted to write your own music but did not
know hew? Together, we will explore the building blocks of music composition: melody,
rhythm and harmony. As a culminating project, we will write a song for chorus, band or
orchestra,
in Tune with Music In Tune with Music has students read articles from In Tune
magazine giving young musicians essential insights into a wide variety of musical
genres, instruments and technology. It explores the music they are passionate about
and explains in the simplest terms how it is made, learned, performed, recorded, and
distributed.
Crystal Clear Shlkespe.re Students will read Shakespeare's Twelfth Night in the
original Elizabetha English and analyze the plot and characters, as well as the Bard's
poetry. Students will read the play aloud with each reader assigned a part from the play.
The film version of the play will accompany our reading and we'll cap the project with a
field trip to Playmaker's Theater on the campus of UNC to see a live production of this
uproarious cornedy.

movement. Learn how to project your present inner voice through an analysis of how
historical lyrics have reflected and impacted our society.
Proposed Uses of Grant Funds
The Phillips PTSA Cultural Enrichment Committee plans to use the grant to pay a
portion of the artists' fees for three performances during the 2017-2018 calendar year.
These performances include:

September 25-29, 2017 (specific date TBD): Soul Street Dance Company (6' , 7 and
8th graders): $900. Attendance population approximately 651 students.

January 8-12, 2018 (specific date T13D): Donna Washington**, (61h graders): $700.
Attendance population approximately 225 students.
April 9-13, 2018 (specific date TBD): Galumph. (711' and 8th graders): two b.c,<-to-back
performances, $1,800, Attendance population approximately 450 students total
All single-grade performances will take place in the auditorium, at the school during the
regular school day, to best utilize the students' time and the committee's budget. All-
grade performances take place in the gymnasium.
Promotion for the shows happens through the teachers and the classrooms. Online
links to the artists and their work is shared with the administration with instructions to
forward to teachers so they may prepare their students and connect the performances
to the curriculum.
Shows are evaluated by assessing the engagement of the students, how well the
message complements the curriculum and from teacher, staff, student, and
administration feedback.
The attendees represent the cultural diversity of the school with an approximate 51% to
49% male to female ratio.
Soul Street Dance Company is a group of young African-American and Latino men,
previously considered at risk, who perform hip hop and brea< dance numbers, They are
considered one of the top educational outreach groups in the country and incorporate
lessons of character and diversity into their performances, There are videos of their

Galumpha is a trio of two men and a woman, who combine acrobatics, visual effects,
physical comedy and inventive choreography to bring to life a world of muscle and
imagination. The three performers create images ranging from the ridiculous to the
sublime, drawn together into a seamless whole, consistently bringing audiences to their
feet. Galumpha is a mix of art and entertainment, offering world-class, award winning
choreography that is equally at home on the concert stage, at a comedy club or at an

Donna Washington is an African-American storyteller. She presents a wide range of
tales from many different cultures. She provides a fast paced, interactive program that
will excite students about reading, biological sciences, the art of performance, and
cultural differences and similarities. Her tales will enhance the study of ancient Greece,
the African American experience in America, West African folklore, China and the
