THIS AGREEMENT, entered into this 17 day of August, 2017, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Hillsborough Arts Council ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed lour thousand eight hundred
foully seven ($ 4,847) have been awarded by the Arts Commission to the Grant Recipient
for the approved Project. The Recipient shall be required to match funds at least dollar-
for-dollar with cash from the Grant Recipient's funds not derived from either Orange
County appropriations or the North Carolina Arts Council, as outlined in the attached
Exhibit A.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2017 and June 30, 2018. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 6, 2018. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$4,847 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: "This program is supported by the
Orange County Arts Commission. "
ii. x North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display Orange County Arts Commission publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
www.artsorange.org (Orange County Arts Commission logo preferred) to their
main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any

provision of this Agreement, as determined by the Arts Commission in its
sole discretion.
(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Both parties agree that this Agreement shall be governed by the
laws of the State of North Carolina. Provider shall at all times remain in
compliance with all applicable local, state, and federal laws, rules, and regulations
including but not limited to all state and federal anti-discrimination laws, policies,
rules, and regulations and the Orange County Non-Discrimination Policy and
Orange County Living Wage Policy (each policy is incorporated herein by
reference and may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php).
Any violation of this requirement is a breach of this Agreement and County may
immediately terminate this Agreement without further obligation on the part of
the County. This paragraph is not intended to limit and does not limit the
definition of breach to discrimination. By executing this Agreement Provider
affirms that Provider is and shall remain in compliance with Article 2 of Chapter
64 of the North Carolina General Statutes. By executing this Agreement Provider
certifies that Provider has not been identified, and has not utilized the services of
any agent or subcontractor, on the list created by the State Treasurer pursuant to
G.S. 147-86.58.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
11A and Article 40 of North Carolina General Statute Chapter 66.

1. Please give a brief description of your organization, including mission, board and staff composition, current arts
programs and services and number and kinds of people served. Public schools and other large governmental or
community agencies should provide a description of their arts program only rather than the entire organization. (250

The Hillsborough Arts Council (HAC)supports the arts and enhances the Hillsborough and Orange County
communities through education and by organizing events that feature regional artists for the enjoyment and
educat1onmfthegenera| pub|ic. NAC'snnissionig "toenriohourcornnnunitythroughthearts."
HAC operates under the guidance of a 13-member Board of Directors.The Board members are all volunteers and
oversee the management and operation of more than 10 annual programs. HAC also retains the services of 2 part-
time paidemp|oyeaothatperformday-to-daynperatioDs. Theoe employees are an accountant(Sara Brewer) and a
program coordinator(Kristin Prelipp). HAC received its nonprofit 501(3)(c)status on April 5, 2004.
Since 1987, HAC volunteers have been serving the arts and cultural needs of the community through a diversity of
programs and events that employ local creative talent,strengthen citizen engagement and enhance the economic
vibrancy of Hillsborough and Orange County. See item 6 below for a description of ongoing programs and their
organization.Together they serve thousands of citizens from all walks of life every year.
2. Offer a brief summary of the proposed p jact.
The HAC faces a classic bootstrapping situation in a period of growth. Professional staff and equipment are needed
in order to raise more funds, but funding is needed first to pay for the staff and equipment.The HAC seeks funding
to support ongoing operations(see item 6 below)as well as to advance initiatives aimed at serving more diverse
communities and improving long-term sustainability.A part-time Program Director has been hired to pursue these
initiatives. Support from grants will be needed for a few years while other sources of revenue are developed to the
point of sustainability. Increased participation and revenue will be developed by pursuing the goals listed in item 3,
below.
3. State your s goals.
The Board of Directors has identified these goals in order to serve more diverse communities and to improve long-
term sustainability:
Increase diversity of communities served
Increase outreach efforts
Develop general marketing plans to attract more volunteers, donations and grants
Increase net operating income from retail operations
Fee-for-service programs:development phase
Plan new programs
The Program Director will be the driving force behind efforts to achieve these goals.
4. Offer a description of intended padicipante/oudienoa, including estimated numbers and racial and cultural
composition. For school applications please include the demographic breakdown of the student body, as well as the
percentage of students on the Free and Reduced Lunch Program.
The approximately thirty individual events coordinated annually by the HAC are open to everyone. The number of
participants range from less than a dozen (ongoing gatherings of the Orange Dog Poets Society)to thousands
(approximately 2,000 people marched in each of the first two Solstice Paper Lantern Parades in December 2015 &
December 2016). Total annual participation is estimated at 19,000 which is a duplicated count, given that there is a
loyal following of repeat customers. Participation has been inoneaoinQ, and is expected to continue to do so.
There are only rough estimates of the demographic composition of HAC participants. More complete data will be
collected in the future. It appears that the participant pool is now approximately equally divided between males and

females, while the racial breakdown is a ly 85% Caucasian, 10%African American, 2%Asian, 1% Native
American and 2% Other. There is no measure of Latino participation at this time.
5. Describe the location where p ject will take place.
HAC activities take place throughout Hillsborough: at the HAC Gallery and Gift Shop, in private homes, in the schools,
and in the streets and public squares. Board meetings and administrative activities take place mostly in the Gallery
and Gift Shop. Efforts continue in reaching out to northern Orange County to develop relationships and offer
programming.
G. Explain all project activities.
Ongoing Activities
Each program is chaired and implemented by volunteers with a liaison to the board. Each program has its own set of
needs and timing. As part of the HAC's efforts to reorganize and streamline operations, program committees have
developed written procedures enabling continuity and coordination from year to year.
• Hillsborough Arts Council Gallery and Gift Shop provides a consistent venue for the works of local artists
and features monthly exhibits featuring artists from throughout the region.
• Last Fridays bring visitors and locals to downtown Hillsborough to patronize the businesses and restaurants.
It also brings our diverse communities of non-profits, po|idciano, artista, community representatives and
citizens together to share information about their events and purposes, generating discussion and
collaboration.
• Last Fridays Art Walks brings visitors and locals on a walking tour of Hillsborough's diverse arts and crafts
venues, encouraging sales.
• Hillsborough Handmade Parade and Solstice Lantern Walk bring people together in workshops to create
their costumes, puppets, lanterns, and to participate together in peaceful,joyful ortiaticpenadea. Theyettrect
people downtown to eat and patronize businesses.
• Parlor Concerts bring people into historic homes to e joy music, converse with one another and patronize
local businesses and restaurants.
• Hillsborough Downtown Arts and Crafts Show brings visitors to town and promotes the work of local
artists.
• Hillsborough Sculpture Tour including the Patrick Dougherty Stickwork in Hillsborough, involves citizens in
creating, experiencing and evaluating public art.
• Arts Alive brings local authors, photographers, musicians together with citizens to experience their combined
talents in ways beyond the usual "readings"format. It brings visitors and locals downtown to patronize the
businesses and restaurants.
• Free Spirit Freedom is a program celebrating the diversity of Orange County's historic past and future
through photography and narrative. It provides opportunities for citizens to learn about and discuss African
American contributions to Hillsborough.
• Art Cycle encourages citizens to contribute new and used supplies to students in school art classes and lets
students experience the benefits of those contributions to their art.
• New Afterschool Art Program will bring our diverse student populations together, working on p jects to be
presented in Hillsborough.

New Activities
Goals for serving more diverse communities and improving long-term sustainability will be pursued according to the
following plan.

• Develop relationships and offer programming in northern Orange County.

• Increase the visibility of HAC and associated local artists, including increased use of Facebook and other
social media.
• Create consistency in marketing materials through graphic design and written word, including:

• Co-market and plan events in partnership with other organizations and businesses to create a full day or
weekend destination of happenings.

how best to grow the arts in the county, promoting Orange County as an arts destination.

The funds requested are to partially fund the salary of the part-time Program Director, who is the driving force behind
the HAC's new activities, including making this position self-sustaining. This individual was selected last year after
months of interviews. She has proven herself beyond expectations and continues to do so. The HAG is certified with
the OC Living Wage program.

HAC uses more than 30 media outlets. Events and programs are often promoted via The News of Orange County
Posters around town, radio(WUNC, WNCU, WHUP), the Alliance for Historic Hillsborough, email, Facebook and
other social media.

Ongoing Activities will continue to be managed by committees of volunteers. Success will be gauged by attendance
estimates and net financial results.
New Activities have been broken down into six goals, each with bulleted list of tasks(see item 6, above). Progress

calendar year of a Waldorf education with words and photographs.
The Rite of Spring, in photos . In April of 2012 to commemorate the 100th anniversary of
the bold French ballet, "The Rite of Spring," Carolina Performing Arts held a year of
performances, which included 11 commissions of new work and nine world premieres,
interdisciplinary discussions and collaborations all over the UNC-CH campus. Commissioned
to photograph the year's worth of events, 15,000 images were created and catalogued that
documented the commemoration. Images were published in The New York Times, The Wall
Street Journal and on the NPR web site.
