THIS AGREEMENT, entered into this 17 day of August, 2017, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Voices, The Chapel Hill Chorus ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand nme hundred tunny
lour ($ 1,944) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. The Recipient shall be required to match funds at least dollar-for-
dollar with cash from the Grant Recipient's funds not derived from either Orange County
appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2017 and June 30, 2018. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 6, 2018. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,944 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. x County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: "This program is supported by the
Orange County Arts Commission."
ii. North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display Orange County Arts Commission publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
www.artsorange.org (Orange County Arts Commission logo preferred) to their
main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any

provision of this Agreement, as determined by the Arts Commission in its
sole discretion.
(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Both parties agree that this Agreement shall be governed by the
laws of the State of North Carolina. Provider shall at all times remain in
compliance with all applicable local, state, and federal laws, rules, and regulations
including but not limited to all state and federal anti-discrimination laws, policies,
rules, and regulations and the Orange County Non-Discrimination Policy and
Orange County Living Wage Policy (each policy is incorporated herein by
reference and may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php).
Any violation of this requirement is a breach of this Agreement and County may
immediately terminate this Agreement without further obligation on the part of
the County. This paragraph is not intended to limit and does not limit the
definition of breach to discrimination. By executing this Agreement Provider
affirms that Provider is and shall remain in compliance with Article 2 of Chapter
64 of the North Carolina General Statutes. By executing this Agreement Provider
certifies that Provider has not been identified, and has not utilized the services of
any agent or subcontractor, on the list created by the State Treasurer pursuant to
G.S. 147-86.58.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
11A and Article 40 of North Carolina General Statute Chapter 66.

Program Narrative: Operating Funds Support for Retoarsal Accompanist
1. Description of Organization
VOICES is one of the Triangle's oldest and most distinguished choral groups. Our Mission is"to foster,
sustain, and share the art and joy of choral music and to enrich the Triangle community through excellent
performances of music from diverse cultures and historical periods. VOICES members come from
diverse backgrounds that include graduate students, senior citizens„ and active professionals,
VOICES is a grassroots auditioned community chorus that is administered by a working board of 12
elected members. Paid staff is limited to our Artistic Director and rehearsal accompanists—all part time.
We raise funds through dues, donations, concert tickets, program ads, grants, and product sales.
Under the baton of Sue Klausrneyer, DMA, conductor and artistic director since 2000, VOICES
Symphonic Chorus" 100+ members perform two concerts a year; CANTARI„ our 25-member select
ensemble performs three concerts annually; and SUMMER VOICES, at 40+ members performs more
informal music biennially, Thus, VOICES presents five or six concerts every year to'Triangle audiences,
which collectively total close to 1,200,,
In line with our mission, programs span diverse cultures and periods, highlighting works by contemporary
and local composers infrequently available to our audience, For example, the 2017-2018 VOICES
Symphonic Chorus programs feature works by such American composers as Julian Wachner, Dan
Forest, Leo Nestor, and North Carolinian Dan Lock lair, CANTARI will perform French compositions and a
mass by Swiss composer Frank Martin, as well as a program of Handel. CANTARI finishes its current
season with Latin American Connections" presented with Sisters"Voices Girls" Choir with Emmanuel
Trail() on bandon,eon.
2. Summary of proposed project:
As we enter our 37 h season, VOICES is seeking funds from Orange County Arts Commission to support
our operating budget for FY2017-18, Specificalleeyve requestA2,3e0 from OCAC to support half'the
salary of Mir rehearsal accom aniste Deborah Hollis. DMA for her work during the fall of 2017 and the
winter of 2018, A private donor will provide matching funds for the other half of her salary. ILetter of
commitment is attached as Appendix 1.)
3. Project goal:
The goal of this project is to support the operating budget for the 2017-18 fiscal year VOICES is a large
community arts organization that strives for excellence in presenting 5-6 unique concert prcgrams each
year in Orange County. Our annual budgets average $85,000 7„000. We raise these funds through
dues, member donations, ad sales for our program, fundraisers, small grants, and a small group of loyal
external donors. (Data for FY2016, 2017 and 2018 are presented in Appendices 4-6.)
A limited number of venues can support the staging requirements of our large symphonic chorus and
orchestra, As can be seen from the attached fiscal data, FY2016 ended in a deficit due mainly to the
closure of Hill Hall for renovations, The loss of this economical venue resulted in both a significant
increase in costs for hall rental (Carolina Theatre of Durham) as well as a reduction in December ticket
sales because VOICES was limited by venue costs to one December concert instead of our usual
evening and matinee performances, This same problem is reflected in the FY201.7 budget. VOICES
ended FY2015 with a significant cash reserve and a small but growing endowment fund, VOICES begins
FY2018 with a reduced cash reserve but with the endowment fund intact and growing. The board is
positioning VOICES on a 3-year plan to recoup our reserves Seeking grant funding is part of that plan.
The support from OCAC and our donor will enable VOICES and CANTARI choruses to rehearse with a
skilled accompanist to prepare for our fall and winter concerts,

4. Intended Participants/Audience
VOICES members primarily come from Orange, Durham, and Chatham counties, A core group of about
80 vocalists are supplemented by 20-40 new and intermittently recurring members each season, for a
total of 100-130 voices in the symphonic chorus. Members range from 18 to 86 in age; we work to enable
those with disabilities to participate. Members are recruited via Triangle SINGS, our own searchable
website, our Constant Contact list, local newspaper ads, at Festifall, and through VOICES members, We
rticularlly seek male vocalists and young adult singers, offering scholarships to those in financial need
to defray the cost of participation. It is not uncommon for a singer to begin as a member of the VOICES
symphonic chorus and move to membership in CANTARI, the select ensemble of 25-80 members„
VOICES typically draws an audience of 300-350 local residents for each of the two December concerts,
while CANTARI draws about 200 for its concerts, Most live in the Triangle, with the majority in Orange
County. Based on ticket sales, we have found that the audience is about 50% seniors (over 62), 5%
students (age 13 through graduate school), and the remaining 45% are adults. We do not have a
mechanism to track ethnicity or economic diversity with ticket sales. We do offer free tickets via the online,
vendor"On the List'with the goal of enhancing accessibility to those with limited financial resources..
5. Location of Project
VOICES symphonic chorus rehearsals are held in the parish hail of St. Thomas More Church which we
rent; CANTARI rehearses at University United Methodist Church, both located in Chapel Hill.
As fri most prior years, CANTARI likely will perform in November at University United Methodist Church
and in March at Chapel of the Cross (venues pending confirmation). VOICES will perform the December
concerts in Moeser Auditorium (previously Hill Hall) at the University of North Carolina at Chapel Hill,
VOICES has performed its December concerts in Hill Hall for many years and we are very pleased to be
welcomed back to the re-named Moeser Auditorium following an extensive 2.5 year renovation,
6. Project activities
VOICES is requesting funding to support part of the salary of our rehearsal accompanist, Deborah Hollis,
DMA. As stated previously, a private donor will supply the required matching funds, Dr, Hollis's work for
the fall and winter season will involve learning the specific selections and providing accom, ,,,niment for
Voices symphonic chorus for 131wo flour reheiorsals, one dress,rehearsal, and 2 concerts, For CANTARI
she will accompany for 2.2-two hour rehearsals, 2 dress rehearsals, and 2 concerts. Combined, this
equates to approximately 90 hours of rehearsal and performances,
7, Artists
Deborah Hollis has served as our rehearsal accompanist for many years. Her patience and skills and
calm manner are appreciated deeply by the chorus members. Dr_ Hollis also serves as our concert pianist
and/or electronic keyboardist as needed. Dr. Hollis is paid $464/month, which is $2,320 for the 5 months
of the fall VOICES symphonic chorus rehearsals and concerts, She also earns$1,200 each for
CANTAR1I's November and March programs. Her combined salary is$41,720 from August 28, 2017 to
March 3„ 2018. We are asking OCAC for funds to support half of this amount, or $2,360.

Dr. Hollis holds the Doctor of Musical Arts in Collaborative Piano from the University of North Carolina at
Greensboro, following degrees earned in piano performance from Oberlin Conservatory and the

8. Publication and Promotional Activities
VOICES retains the services ea publicist, Gia Poclobinski, to assist Board Director, Patrick Tang, who is
responsible for public relation , Our promotional activities generally include
• Promoting VOICES and CANTARI's,season at Durham Centerfest and Chapel Hill Festifall.
• Making the entire season's program available on our website(vnitzw.voicescharelhill„orq)and featuring each
upcoming concert prominently a month in advance.

9. Project Evaluation Plan
We are requesting funding to support our operating budget, specifically the salary of our rehearsal
accompanist. Evaluation will focus on both financial outcomes of as well as the quality of the concerts and
their reception by the audience and our m,-mbers. We will gauge audience reaction through a brief'
survey. Quality is reviewed from live recordings by the Artistic Director. The Board further evaluates
published orificell reviews and member feedback.The Board also examines trends in ticket sales, revenue
streams, expense lines, and member satisfaction as markers of organizational health.

Pianist Deborah Lee Hollis is highly respected by colleagues for her sensitivity and skill as a
collaborative partner, Her passion for vocal music has led to masterelass performances for such
esteemed artists as Frederica von Stade, Dawn Upshaw, George Shirley, Anthony Dean Griffey, and
Jennifer Larmore; collaborative pianists Rudolph Jensen, Martin Katz, Warren Jones, and John Wustman;
and composers Jake Haggle, Ricky Ian Gordon, Lori Laitman, and John Harbison,
Hollis began her career in Chicago where she was pianist for the Chicago Symphony First Chair
Series. Since coming to the Triangle, she has worked with many prominent music organizations including
Long Leal Opera Company, Opera Company of North Carolina, Eastern Music Festival, Mallarme
Chamber Players, VOICES, and Women's Voices Chorus,
Hollis holds piano performance degrees from Oberlin Conservatory and the University of Illinois at
Champaign-Urbana, and received her Doctor of Musical Arts in Collaborative Piano from The University
of North Carolina at Greensboro An avid educator, she has conducted masterclasses and coached
collaborative pianists and vocalists at Shenandoah, Furman, and Longwood Universities, and presented
lecture-recitals at Duke University about the fortepiann and music of Haydn, Mozart, Beethoven and
Schunert„
Previously on faculty at Wheaton College, Guilford College and The University of North Carolina at
Greensboro, and a collaborative pianist at Duke University and The University of North Carolina at
Chapel Hill, Dr„ Hollis is an active recitalist and maintains a private studio in piano, collaborative piano,

Sue T. Klausmeyer, DMA holds degrees in rnusrc from Meredith College, the University of North Carolina
at Chapel Hill, Westmlester Choir College in Princeton, NJ where she studied with Joseph Flurnrnerifelt,
and the University of Cincinnati College Conservatory of Music, where she studied conducting with Earl
Rivers and John Leman. She pursued additional studies in voice and Baroque performance practice at
the Sweelinck Conservatory in Amsterdam, The Netherlands, studying with Dutch baritone Max von
Egmend,
Dr, Klausmeyer has conducted VOICES since the fall of 2000 in choral and orchestral performances,
During this period she has initiated the VOICES Summer Chorus; Cantari, a VOICES select ensemble;
and the Carolina International Chorale, a summer touring group that has performed in Italy (2006),
Central Europe(2010), Ireland (2014) and Northern Spain (2016).
De Klausmeyer also conducts the UNC Women's Glee Club in multiple concerts annually. For the past
ten years she has used the vehicle of choral music to benefit both high school students and the NC Food
Bank through the annual"Carolina Women's Choral Showcase"and food drive, in which significant works
written for women's choirs is performed by girls from multiple area high schools in a benefit concert for the

Jr. Klausmeyer has performed as a mezzo soprano soloist and choral singer with numerous professional
groups. She is frequently called upon as a guest conductor or choral clinician for high school, university
and church choirs. She was awarded a 1997 educational grant from the University of Cincinnati to study
the music manuscripts of composer Ralph Vaughan Williams, particularly his choralforchestral work
'Dona Nobis Pacer)," Under her baton, VOICES performed this work most recently an May 6, 2017 at
Memorial Hall, UNC at Chapel Hill. She was also awarded a competitive conducting fellowship in 2003 by
Chorus America.
Dr. Kleusmeyer brings finely crafted programming and vigorous interpretation of both modern and
classical works to Triangle audiences. For example, both 2016-17 Voices concerts featured the work of
contemporary Welsh composer Kari Jenkins. She also is known for promoting the works of kcal artists
and composers For example, the works of North Carolina composer Dan Locklair (Composer-in-
residence at Wake Forest University) were performed by Cantari on March 4, 2017 and his work will be
featured again in the upcoming VOICES December, 2017 concert. Works by Jeremy Jennings, recently of
North Carolina, will be debuted by Cantari at their May, 201 concert VOICES brought Elizabeth
Alexander to Chapel Hill in July, 2015, for the debut performance of her work'Sue loves butter!"with
Summer VOICES In 2006, Dr, Klausmeyer brought internationally acclaimed composer Gwyneth Walker
