F. Wilkerson Contracting Company for the construction of the Efland Sewer to Mebane, Phase 2 Extension at a total cost of $3,586,121 to serve part of the Efland-Buckhorn-Mebane Utility Planning Area (Attachment 2). BACKGROUND: This item relates to the construction phase of the project. The scope of the project and the current design and bid award engineer information is noted below. This project was approved as part of the FY2015-16 Budget/Capital Investment Plan. The approximate 4.5-mile project spans an area from Efland and then south and west towards the Buckhorn EDD and The City of Mebane. This project can serve approximately 786 additional acres with the proposed sewer pump station. A sewer force main extends along West Ten and Bowman Road to an existing gravity sewer system on Rock Quarry Road which was part of a previous phase. An overview of the project is included as a two-page BOCC Exhibit (Attachment 3). 2 This is one of the last phases of the project and it has been under design and easement acquisition for a few years. Funding occurred over a four-year period beginning in 2013 for the overall comprehensive economic infrastructure plan for the Efland/Buckhorn/Mebane EDD area. McGill Associates is the engineering design and bid award consultant and has provided the engineer's recommendation for the responsible and responsive bidder/contractor (See Attachment 5). The Planning & Inspections Department had requested, through the upcoming FY2017-18 Capital Investment Plan (CIP), additional funding for this proposed sewer project, based on McGill's revised/updated plans and cost estimate that now supports a larger service area within the economic development zone. However, the low bid came in on June 1' 2017 at approximately $1 million less than the new estimate, which had reflected the increase cost of material and labor in the improved construction economy. The project construction costs, as bid and including two (2) add alternates, are $3,586,121. Add Alternates 1 & 2 are within the future land use designation of commercial-industrial; however, there are some homes, homes with businesses, commercial and undeveloped parcels in the corridor. Alternate 1 (Line B) could serve eight additional parcels fronting on Center Street and south of Turner Street, seven of which include existing residences. Alternate 2 (Line C) could serve four additional parcels fronting on the west side of Mt. Willing Road and south of Turner Street, three of which contain existing residences. There are additional opportunities for service further north on each of these streets, through future extension of the main lines, pursuant to other actions noted below by the property owners. As the entire Efland System will be transferred to Mebane following completion of this project, connections to the sewer will be in accordance with Mebane's policies at that time, as well as County zoning and related policies. Currently, Mebane charges both tap fees, based on sewer service size (outside city limits applies), and connection fees, based on customer type plus water meter size. Private on-site sewer lateral construction costs would be the responsibility of the property owner. This project only provides the main public system. Sewer laterals to individual parcels were only included strategically, where easements were needed. This work is the is one of the final phases of the master planned sewer infrastructure in the Efland to Buckhorn area, which will culminate in Mebane taking over ownership, treatment and maintenance responsibilities of the sewer system. Mebane currently maintains the Efland Sewer System under an interlocal agreement with Orange County, and the Town of Hillsborough currently treats the wastewater. When complete, this project will switch the Efland sewer flow to Mebane and Mebane will then be entirely responsible for maintenance and treatment. This work is consistent with the planning efforts for the Buckhorn Economic Development District, Efland Mebane Small Area Plan, Article 46 sales tax Economic Development infrastructure initiative, and the area transportation access management plan, as well as past and current Orange County CIPs. It is also consistent with the County's Utilities Infrastructure Interlocal Agreement with the City of Mebane adopted in 2003 and revised in 2011. The advertisement for bids along with the related construction documents were made available to bidders on April 28, 2017, and three subsequent addenda were issued. Orange County's Living Wage Contractor Policy was included. Bids were opened June 1, 2017. 3 The following contractors submitted bids: Park Construction of NC, Inc. Garney Construction Cary Carolina Civilworks J.F. Wilkerson Contracting Co. Hall Contracting Corporation Thalle Construction The lowest responsive and responsible bidder for the project with a base bid of $3,485,801 was J.F. Wilkerson Contracting Company. McGill has evaluated and has provided a recommendation (Attachment 5) to award the contract for Efland Sewer to Mebane Phase 2 Extension to J.F. Wilkerson Contracting Company in the amount of $3,586,121, which includes two add alternate bid items, contingent upon evidence of responsibility in providing the supplemental information requested following the notice of award. J.F. Wilkerson has also committed in writing to 100% project compliance with Orange County's Living Wage Contractor Policy. FINANCIAL IMPACT: The proposed contract with J.F. Wilkerson is in the amount of $3,586,121. Prior years funding CIP budget for the construction element of this project is $4,300,000. It is proposed by the Planning and Inspections Department that the Manager be authorized to approve minor amendments for additional services or any necessary change orders, up to the project budget, after review by the County Attorney. The contract will be paid from the Article 46 sales tax infrastructure program funding for this project. Upon completion of this CIP project and the transfer of the Efland sewer infrastructure to the City of Mebane, the County will be relieved of recurring administrative, maintenance and treatment costs for the Efland Sewer System, averaging over $100,000 per year. The County's liability will be significantly reduced, as well. SOCIAL JUSTICE IMPACT: The following Orange County Social Justice Goal is applicable to this agenda item: GOAL: ENSURE ECONOMIC SELF-SUFFICIENCY The creation and preservation of infrastructure, policies, programs and funding necessary for residents to provide shelter, food, clothing and medical care for themselves and their dependents. Adding sewer infrastructure to the Efland-Buckhorn-Mebane Utility Planning Area will yield positive outcomes related to the above Goal in the form of improved tax base and jobs. RECOMMENDATION(S): The Manager recommends the Board: 1. Approve and authorize the Chair to sign the contract on behalf of the Board, contingent upon evidence of responsibility in the supplemental information provided by J.F. Wilkerson Contracting Company to McGill Associates following the notice of award, and after review by the County Attorney; and 2. EJCDC C-520 Modified Form of Agreement Between Owner and Contractor for Construction Contract(Stipulated Price) Copyright©2007 National Society of Professional Engineers for EJCDC.All rights reserved. 6 MODIFIED AGREEMENT BETWEEN OWNER AND CONTRACTOR FOR CONSTRUCTION CONTRACT (STIPULATED PRICE) THIS AGREEMENT is by and between Orange County, North Carolina ("Owner") and J.F.Wilkerson Contracting Company,Inc. ("Contractor"). Effective Date of Agreement: Owner and Contractor hereby agree as follows: ARTICLE 1 —WORK 1.01 Contractor shall complete all Work as specified or indicated in the Contract Documents. The Work is generally described as follows: EFLAND SEWER TO MEBANE PHASE 2 EXTENSION: the construction of approximately 1,000 linear feet of 8-inch gravity sewer line, approximately 6,600 linear feet of 12-inch gravity sewer line, approximately 675 linear feet of 10-inch sewer force main, approximately 17,560 linear feet of 12-inch sewer force main, and construction of a submersible sewer pumping station in western Orange County, complete with manholes, clearing, bore and jack encasement, directional drilling, restoration, and related appurtenances. ARTICLE 2—ENGINEER 2.01 The Project has been designed by McGill Associates, P.A. (Engineer), which is to act as Owner's representative, assume all duties and responsibilities, and have the rights and authority assigned to Engineer in the Contract Documents in connection with the completion of the Work in accordance with the Contract Documents. ARTICLE 3 — CONTRACT TIMES 3.01 Time of the Essence A. All time limits for Milestones, if any, Substantial Completion, and completion and readiness for final payment as stated in the Contract Documents are of the essence of the Contract. 3.02 Dates for Substantial Completion and Final Payment A. The Work will be substantially completed within 330 calendar days, and completed and ready for final payment in accordance with the General Conditions within 360 calendar days. Page 1 of 7 7 3.03 Liquidated Damages A. Contractor and Owner recognize that time is of the essence and that Owner will suffer financial loss if the Work is not completed within the times specified in Paragraph 3.02 above, plus any extensions thereof allowed in accordance with Article 12 of the General Conditions. The parties also recognize the delays, expense, and difficulties involved in proving in a legal proceeding the actual loss suffered by Owner if the Work is not completed on time. Accordingly, instead of requiring any such proof, Owner and Contractor agree that as liquidated damages for delay(but not as a penalty), Contractor shall pay Owner$1,000.00 for each calendar day that expires after the time specified in Paragraph 3.02 above for Substantial Completion until the Work is substantially complete. After Substantial Completion, if Contractor shall neglect, refuse, or fail to complete the remaining Work within the Contract Time or any proper extension thereof granted by Owner, Contractor shall pay Owner $800.00 for each calendar day that expires after the time specified in Paragraph 3.02 above for completion and readiness for final payment until the Work is completed and ready for final payment. ARTICLE 4— CONTRACT PRICE 4.01 Owner shall pay Contractor for completion of the Work in accordance with the Contract Documents an amount equal to the sum of the amounts determined pursuant to Paragraphs 4.01.A, and 4.01.B below: A. For lump sum work an amount equal to the percentage completed of specific items of work provided by the Contractor as a schedule of values for the Lump Sum work. B. For all Unit Price Work, an amount equal to the sum of the established unit price for each separately identified item of Unit Price Work times the actual quantity of that item. The unit price for each item is as supplied in the Bid for the project. ARTICLE 5—PAYMENT PROCEDURES 5.01 Submittal and Processing of Payments A. Contractor shall submit Applications for Payment in accordance with Article 14 of the General Conditions. Applications for Payment will be processed by Engineer as provided in the General Conditions. 5.02 Progress Payments; Retainage A. Owner shall make progress payments on account of the Contract Price on the basis of Contractor's Applications for Payment on or about the 25th day of each month during performance of the Work as provided in Paragraph 5.02.A.1 below. All such payments will be measured by the schedule of values established as provided in Paragraph 2.07.A of the General Conditions (and in the case of Unit Price Work based on the number of units completed). 1. Page 2 of 7 8 payments previously made and less such amounts as Engineer may determine or Owner may withhold, including but not limited to liquidated damages, in accordance with Paragraph 14.02 of the General Conditions. a. 95 percent of Work completed (with the balance being retainage). If the Work has been 50 percent completed as determined by Engineer, and if the character and progress of the Work have been satisfactory to Owner and Engineer, then as long as the character and progress of the Work remain satisfactory to Owner and Engineer, there will be no additional retainage; and B. Upon Substantial Completion, Owner shall pay an amount sufficient to increase total payments to Contractor to 95 percent of the Work completed, less such amounts as Engineer shall determine in accordance with Paragraph 14.02.B.5 of the General Conditions and less 2.5 percent of Engineer's estimate of the value of Work to be completed or corrected as shown on the tentative list of items to be completed or corrected attached to the certificate of Substantial Completion. 5.03 Final Payment A. Upon final completion and acceptance of the Work in accordance with Paragraph 14.07 of the General Conditions, Owner shall pay the remainder of the Contract Price as recommended by Engineer as provided in said Paragraph 14.07. ARTICLE 6— CONTRACTOR'S REPRESENTATIONS 6.01 In order to induce Owner to enter into this Agreement, Contractor makes the following representations: A. Contractor has examined and carefully studied the Contract Documents and the other related data identified in the Bidding Documents. B. Contractor has visited the Site and become familiar with and is satisfied as to the general, local, and Site conditions that may affect cost, progress, and performance of the Work. C. Contractor is familiar with and is satisfied as to all federal, state, and local Laws and Regulations that may affect cost,progress, and performance of the Work. D. Contractor has reviewed all General and Supplementary Conditions applicable to the Work. E. Contractor has considered the information known to Contractor; information commonly known to contractors doing business in the locality of the Site; information and observations obtained from visits to the Site; the Contract Documents; and the Site- related reports and drawings identified in the Contract Documents, with respect to the effect of such information, observations, and documents on (1) the cost, progress, and performance of the Work; (2)the means, methods, techniques, sequences, and procedures of construction to be employed by Contractor, including any specific means, methods, techniques, sequences, and procedures of construction expressly EJCDC C-520 Modified Form of Agreement Between Owner and Contractor for Construction Contract(Stipulated Price) Copyright©2007 National Society of Professional Engineers for EJCDC.All rights reserved. Page 3 of 7 9 required by the Contract Documents; and (3) Contractor's safety precautions and programs. F. Based on the information and observations referred to in Paragraph 6.01.E above, Contractor does not consider that further examinations, investigations, explorations, tests, studies, or data are necessary for the performance of the Work at the Contract Price, within the Contract Times, and in accordance with the other terms and conditions of the Contract Documents. G. Contractor is aware of the general nature of work to be performed by Owner and others at the Site that relates to the Work as indicated in the Contract Documents. H. Contractor has given Engineer written notice of all conflicts, errors, ambiguities, or discrepancies that Contractor has discovered in the Contract Documents, and the written resolution thereof by Engineer is acceptable to Contractor. I. The Contract Documents are sufficient to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work. ARTICLE 7—MISCELLANEOUS 7.01 Terms A. Terms used in this Agreement will have the meanings stated in the General Conditions and the Supplementary Conditions. 7.02 Assignment of Contract A. No assignment by a party hereto of any rights under or interests in the Contract will be binding on another party hereto without the written consent of the party sought to be bound; and, specifically but without limitation, moneys that may become due and moneys that are due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under the Contract Documents. 7.03 Successors and Assigns A. Owner and Contractor each binds itself, its partners, successors, assigns, and legal representatives to the other party hereto, its partners, successors, assigns, and legal representatives in respect to all covenants, agreements, and obligations contained in the Contract Documents. Page 4 of 7 10 7.04 Severability A. Any provision or part of the Contract Documents held to be void or unenforceable under any Law or Regulation shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon Owner and Contractor, who agree that the Contract Documents shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision. 7.05 Contractor's Certifications A. Contractor certifies that it has not engaged in corrupt, fraudulent, collusive, or coercive practices in competing for or in executing the Contract. For the purposes of this Paragraph 7.05: 1. "corrupt practice"means the offering, giving, receiving, or soliciting of anything of value likely to influence the action of a public official in the bidding process or in the Contract execution; 2. "fraudulent practice" means an intentional misrepresentation of facts made (a) to influence the bidding process or the execution of the Contract to the detriment of Owner, (b) to establish Bid or Contract prices at artificial non-competitive levels, or (c) to deprive Owner of the benefits of free and open competition; 3. "collusive practice"means a scheme or arrangement between two or more Bidders, with or without the knowledge of Owner, a purpose of which is to establish Bid prices at artificial,non-competitive levels; and 4. "coercive practice" means harming or threatening to harm, directly or indirectly, persons or their property to influence their participation in the bidding process or affect the execution of the Contract. ARTICLE 8— CONTRACT DOCUMENTS 8.01 Contents A. The Contract Documents consist of the following: 1. This Agreement(pages 1 through 7, inclusive). 2. Performance bond (pages_through_, inclusive). 3. Payment bond(pages_through_, inclusive). 4. Other bonds (pages through , inclusive). 5. Notice of Award (pages 1 through 1, inclusive). Six (6) bids were received and the lowest responsive bid was received from J.F. Wilkerson Contracting Company, Inc., 10710 Chapel Hill Road, Morrisville, North Carolina 27560. Their Base Bid amount was $3,485,801.00 with an Add Alternate 1 Bid amount of $55,235.00 and Add Alternate Bid 2 amount of$45,085.00. Their Total Combined Bid amount was $3,586,121.00. A 5% Bid Bond accompanied their bid. As the total amount of the Base Bid and Alternate Bids 1 and 2 are within the budget amount for the project, we recommend awarding J.F.
