HomeMy WebLinkAbout2017-212-E CJRM - Automon LLC for Criminal Justice Resource Management (CJRM) Case Management Software DocuSign Envelope ID:D164BE86-F785-4067-B01F-BFFEBB5FF1B9 [Departmental Use Only] TITLE CJRM Software FY 2016-2017 ORANGE COUNTY CONTRACT UNDER $15,000.00 NORTH CAROLINA THIS AGREEMENT,made and entered into this 22rd day of May, 2017, ("Effective Date")by and between Orange County, North Carolina, a political subdivision of the State of North Carolina, (the "County"),party of the first part; and Automon,LLC(the "Provider"),party of the second part; WITNESSETH: For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts for the services of the Provider, and the Provider agrees to provide the following services to the County in accordance with the terms of this Agreement, time being of the essence: The services and/or materials (hereinafter referred to collectively as "Services") to be furnished under this Agreement are as follows: annual subscriptions to Ce Pretrial software as well as one-time service for configuration, training and data conversion as described in the Purchased Services (Attachment A), Description of Services (Attachment B), Project RolloutPlan (Attachment C), and Service Level Agreement (Attachment D). Also, attached are the Cyber Liability Insurance Certificate (Attachment E) and the completed Orange County NC Cloud Service Questionnaire with Answers from AutoMon(Attachment F). The term of this agreement rendered shall be from 2017 to 2020. Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or responsibility granted or required by this Agreement,without the prior written approval of the County. SPECIFIC TERMS 1. Payment: The County agrees to pay at the rates specified for Services satisfactorily performed in accord with this Agreement. The amount to be paid by the County shall not exceed three thousand nine hundred dollars ($3,900) for implementation as a one-time cost and four thousand four hundred dollars ($4,400) per year for subscription costs for a total not to exceed ten thousand five hundred dollars, ($10,500). Payment shall be made within thirty (30) days of an invoice properly submitted to County. Should Provider fail to perform its duties under the terms of this Agreement, County may, without fault or penalty,withhold any payment associated with the work to be performed until such time as said work is completed. 2. Non—waiver: Failure by County at any time to require the performance by Provider of any of the provisions hereof shall in no way waive or affect the County's right hereunder to enforce the same, nor shall any waiver by the County of any breach be held to be a waiver of any succeeding breach or a waiver of this Non-Waiver Clause. 3. Independent Contractor: The Provider shall operate as an independent contractor and the County shall not be responsible for any of the Provider's acts or omissions. The Provider shall not be treated as an employee with respect to the Services performed hereunder for federal or state tax, unemployment or Revised 2/17 1 DocuSign Envelope ID:D164BE86-F785-4067-B01F-BFFEBB5FF1B9 workers' compensation purposes. The Provider understands that neither federal, nor state, nor payroll tax of any kind shall be withheld or paid by the County on behalf of the Provider or the employees of the Provider. 4. Insurance: Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may be required by County's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing division/contracts.php). If County's Risk Manager determines additional insurance coverage is required such additional insurance shall consist of Cyber Liability (if no additional insurance required mark N/A as being not applicable). Provider shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 5. Indemnity: The Provider shall be fully liable for the actions of its agents, employees, partners or subcontractors and shall fully indemnify and save harmless the County and Authorized Users from suits, actions, damages and costs of every name and description (including reasonable attorney's fees) relating to personal injury and damage to real or personal tangible property caused by an intentional act or negligence of Provider, its agents, employees, partners or subcontractors, without limitation that relate to Provider's obligations under this Agreement; provided, however, that the Provider shall not indemnify the County or Authorized Users for that portion of any claim, loss or damage arising hereunder due to the negligent act,failure to act or intentional act of the County of the Authorized Users. 6. Termination: This Agreement may be terminated at any time by mutual written agreement of the parties or by the County upon written notice to the Provider. County may suspend this Agreement upon reasonable notice to the Provider. 7. Entire Agreement and Signatures: The parties have read this Agreement and agree to be bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the consent of the Parties to utilize electronic signatures and the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. 8. Priority: In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms of this Agreement shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. 9. Governing Law: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies,rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider affirms that Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor, on the list created by the State Treasurer pursuant to G.S. 147-86.58. Dispute Resolution: Any and all suits or actions to enforce, interpret, or seek damages with respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina. It is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. Binding arbitration may not be initiated by either Party, however, the Parties may agree to nonbinding mediation of any dispute prior to the bringing of such suit or action. 11. Non Appropriation: Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non-appropriation of public funds. Term of Purchased User Subscriptions. User subscriptions purchased by County commence on the go-live date and continue for 12 month durations. All User subscriptions shall automatically renew for up to 1 annual term under the same terms, subject to an annual 3% annual price escalation, unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant subscription term. 1.2. Refund upon Termination. Upon any termination for cause by County, Provider shall refund County any prepaid fees covering the remainder of the term of all subscriptions after the effective date of termination. 1.3. Return of County Data. Upon request by County made within 30 days after the effective date of termination of a Purchased Services subscription, Provider will make available to County for download a file of County Data in comma separated value DocuSign Envelope ID:D164BE86-F785-4067-B01F-BFFEBB5FF1B9 Attachment A (.csv) format along with attachments in their native format. After such 30-day period, Provider shall have no obligation to maintain or provide any County Data and shall thereafter, unless legally prohibited, delete all of County Data in Provider's systems or otherwise in Provider possession or under Provider control. 1.4. Additional Services: Additional mutually-agreed-to Professional Services and/or additional Projects (i.e., Data Conversion, Interfaces with 3rd party systems) may be offered under a separate billable Work Order at a Time and Materials rate of$190/hour (2017 pricing). DocuSign Envelope ID:D164BE86-F785-4067-B01F-BFFEBB5FF1B9 ATTACHMENT B DESCRIPTION OF SERVICES Orange County Criminal Justice Resource Management seeks to implement an automated Pretrial Case Management System to assist in the management of Pretrial tasks and cases and in providing a continuum of evaluation and supervision for defendants as they interact with functions throughout Pretrial Services. The Pretrial CMS (Ce Pretrial) shall be placed into production for agency use. The services outlined are designed to orient AutoMon and Orange County Criminal Justice Resource Management to one another, align and define expectations for implementation, and develop mutually agreed upon timelines and deliverables. Annual Subscription shall include all software licenses,hosting services, updates, upgrades, maintenance and support. Additional users may be added at the Annual per User Charge defined in Appendix A: Purchased Services and Costs. Additional mutually-agreed-to Professional Services and/or additional Projects (i.e., Data Conversion, Interfaces with 3rd party systems) may be offered under a separate billable Work Order at a Time and Materials rate of$190/hour. Additional Modules and Services may become available in future product development releases and may incur additional Subscription licenses and Training/Implementation costs. Purchased Services are subject to annual price escalation equal to 3%. Provision of Purchased Services. Provider shall make the Purchased Services available to County pursuant to this Agreement and the relevant Order Forms during a subscription term. County agrees that County purchases hereunder are neither contingent on the delivery of any future additional functionality or features nor dependent on any oral or written public comments made by Provider regarding future functionality or features. User Subscriptions. Unless otherwise specified in the applicable Order Form, (i) Services are purchased as User subscriptions and may be accessed by no more than the specified number of Users or if County is a government or corporate entity, the employees who are employed by County or persons under County direct control who provide technical or research services to County, (ii) additional User subscriptions may be added during the applicable subscription term at the same pricing as that for the pre-existing subscriptions thereunder,prorated for the remainder of the subscription term in effect at the time the additional User subscriptions are added or if County are a government or corporate entity,based on pricing negotiated with Provider and reflected in an additional Order Form, and (iii)the added User subscriptions shall terminate on the same date as the pre-existing subscriptions. Unless otherwise specified in the Order Form,User subscriptions are for designated Users only and cannot be shared or used by DocuSign Envelope ID:D164BE86-F785-4067-B01F-BFFEBB5FF1B9 more than one User but may be reassigned to new Users replacing former Users who no longer require ongoing use of the Services. 1. USE OF THE SERVICES 1.1. Our Responsibilities. Provider shall: (i) provide Our basic support for the Purchased Services to County, (ii) use commercially reasonable efforts to make the Purchased Services available 24 hours a day, 7 days a week, except for: (a) planned downtime of which Provider shall give at least one day prior notice via the Purchased Services and which Provider shall schedule during standard non-business hours, or (b) any unavailability caused by circumstances beyond Our reasonable control, including without limitation, acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labor problems (other than those involving Our employees), Internet service provider failures or delays, or denial of service attacks, and (iii) provide the Purchased Services only in accordance with applicable laws and government regulations. 1.2. Our Protection of County Data. Provider shall maintain, or cause to be maintained, appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of County Data that operate on the servers maintained by Provider hosting vendor. Provider shall not (a)modify County Data, (b) disclose County Data except as compelled by law or as expressly permitted in writing by County, or (c) access County Data except to provide the Services and prevent or address service or technical problems, or at County request in connection with customer support matters. 1.3. County's Responsibilities. County shall (i) be responsible for Users' compliance with this Agreement, (ii) be responsible for the accuracy, quality and legality of County Data and of the means by which County acquired County Data, (iii) use commercially reasonable efforts to prevent unauthorized access to or use of the Services, and notify Provider promptly of any such unauthorized access or use, and (iv) use the Services only in accordance with the User Guide and applicable laws and government regulations, (v) provide the servers and system and third party software for Purchased Services that run on County servers, (vi) desktop computers and related software to operate the Purchased Services. County shall not (a) make the Services available to anyone other than Users, (b) sell, resell, rent or lease the Services, (c) use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights, (d) use the Services to store or transmit Malicious Code, (e) interfere with or disrupt the integrity or performance of the Services or third-party data contained therein, or (f) attempt to gain unauthorized access to the Services or their related systems or networks. 1.4. Usage Limitations. GOALS • Provide Orange County Criminal Justice Resource Management department with an automated Pretrial Case Management System (CMS), Ce Pretrial, that is configured using Orange County data and work flow along with industry best practices and standards. • Clearly define all in-scope and out-of-scope parameters associated with the project. • At the first project kick-off meeting clearly define: o Project end result, vendor and Orange County expectations, vendor and Orange County roles/responsibilities and Stakeholders for all efforts o All the project phases and with milestones. o All roles and responsibilities. o Escalation paths for AutoMon and Orange County. o Primary point of contacts within AutoMon and Orange County. o Clearly define all 3rd party applications/services used by the Ce Pretrial software. II. PHASE 1: CONFIGURATION A. Tenant Setup Form Completion AutoMon utilizes a detailed spreadsheet to capture all of the configuration considerations for a customer to go-live with Ce Pretrial. During this phase of the project, a Project Manager will work with a resource at Orange County to get the form completed in its entirety and answer any questions the County may have regarding configuration. B. DevOps Configuration of Ce Pretrial AutoMon's DevOps team will utilize the completed Tenant Setup Form to configure the application based on the information provided. The Project Manager assigned to Orange County's implementation will then verify that the configuration is complete before Training is scheduled. III. PHASE 2: TRAINING Task 1: Schedule Training Session Upon completion of the tenant set-up process, the AutoMon Project Manager will work with our Training Staff and Orange County to agree on a mutually convenient time to conduct a training session. The training session will be in a webinar format and recorded for the County to use in the future should they hire new employees or need refresher training. The Project Manager will send the Orange County resource all necessary training documentation in a Google Doc to ensure the County has continued access to the most current versions. DocuSign Envelope ID:D164BE86-F785-4067-B01F-BFFEBB5FF1B9 Attachment C Task 2: Conduct Training Session AutoMon's training staff will conduct a two-hour training session that will cover all of Ce Pretrial's functionality. The Project Manager will be present during this training session to answer additional questions Orange County may have during this phase of the project. IV. PHASE 3: PAYMENT Task 1: Invoice and Process Payment As set forth in the Order Form,payment is due upon completion of configuration and end-user training, prior to go-live and upon signature by County of Final Acceptance Form, which shall not be unreasonably withheld. There are no milestones associated with this project that require partial payment. Should the County require an invoice prior to configuration and training, please request as soon as possible. V. PHASE 4: GO-LIVE Task 1: Provide Orange County with Ce Pretrial Logins AutoMon's Support Team will send the users an invitation to set up their Ce Connect logins. Once this is complete, the County will have full access to Ce Pretrial. Task 2: Provide Orange County with TeamSupport Logins Once the County is live with Ce Pretrial, AutoMon's Support Team will create accounts for them in TeamSupport, our customer support portal. Although we encourage customers to go through TeamSupport for all support-related issues, the Project Manager will act as a support resource during the first few weeks of stabilization and beyond if necessary. Task 3: Continued Assistance, Post Go-Live The Project Manager will actively monitor any issues or questions after go-live. Once Orange County is comfortable using the product and is confident that they can mitigate minor issues or questions on their own, the Project Manager will formally hand off the responsibility to our Support Team. "Circumvention" or "Circumvention Procedures" shall mean, as applied to a Documented Defect, a change in operating procedures whereby the Customer can reasonably avoid any deleterious effects of such Documented Defect. b. "Documented Defect" means a failure of the Licensed Software to properly perform any of its intended functions. The Customer must use reasonable effort to document a Documented Defect with sufficient information to recreate the defect,including,but not limited to, the operating environment, data set, and user, and the Customer must deliver such information to AutoMon concurrently with its notification to AutoMon of such defect. The Customer shall use all reasonable efforts to eliminate any non-application related issues prior to its notification to AutoMon of such defect, including, but not limited to, issues related to the network, user training and data problems not caused by the Licensed Software. Any technical or other issue for which the Customer requests services, but which is not a Documented Defect, shall be treated as a request for additional services requiring a Change Order. "Documentation" means the training materials, user's manuals and other materials in any form or medium provided by AutoMon to the users of the Licensed Software regarding the use or maintenance of Licensed Software. d. "Enhancement." Any modification or addition that, when made or added to the Licensed Program, changes its utility, efficiency, functional capability, or application, but that does not constitute an Error Correction. e. "Error." Any failure of the Licensed Program to materially conform to its functional specifications as agreement in writing with the Customer or Documentation as published from time to time by AutoMon. Any nonconformity resulting from Customer's misuse, improper use, alteration, or damage of the Licensed Program shall not be considered an Error. f. "Error Correction." Either a modification or an addition that, when made or added to the Licensed Program, establishes material conformity of the Licensed Program to the Documentation, or a procedure or routine that,when observed in the regular operation of the Licensed Program, eliminates the practical adverse effect on Customer of such nonconformity. g. Licensed Software includes any and all software and Documentation to which Customer obtains or is granted any rights under a License Agreement with AutoMon. h. Third Party Software means software licensed by a party other than AutoMon. Therefore, our service level standards are tied to a subset of the Windows Azure SLA, which reports a greater than 99.5%uptime. 2)Performance and response time: AutoMon leverages the elastic database features of Microsoft Government Azure to save costs and hold costs down for its customers. Accordingly, performance will vary depending on the function being performed within the application and the time of day the function is initiated. The goal is sub 2 second response times for all page loads, however, reports and dashboards sometimes take longer if the application has been idle for some time or if the query is particularly complex. 3) Error correction time: The Master Subscription Agreement signed by the customer contains detailed obligations for remedying errors related to the application licensed by the customer. Also see AutoMon's Software Maintenance Handbook for further explanation. 4) Infrastructure and security: As a standard part of the development process, AutoMon performs code reviews, unit tests and other Q/A processes, and integrations tests to ensure the integrity of our applications including as it pertains to data security and operational integrity. Since customer data is stored in Microsoft Azure Government data centers, and those data centers are certified under many federal and state data security certifications, including CJIS compliance, security and integrity of data is subject to the continuing obligations required to maintain those certifications. 15. Does the contractually defined Service Level Agreement define pertinent terms such as downtime, scheduled downtime, etc...? Yes. The terms of the Microsoft Azure Government operating agreement contains detailed definitions relating to operating tasks and performance.
