DocuSign Envelope ID:4D07A756-4236-4526-A1 D2-89F0777755FB [Departmental Use Only] TITLE Geotech Existing Jail FY 2016-17 ORANGE COUNTY CONTRACT UNDER$15,000.00 NORTH CAROLINA THIS AGREEMENT, made and entered into this 15th day of May, 2017, ("Effective Date") by and between Orange County, North Carolina, a political subdivision of the State of North Carolina, (the "County"),party of the first part; and ECS Southeast, LLP (the "Provider"),party of the second part; WITNESSETH: For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts for the services of the Provider, and the Provider agrees to provide the following services to the County in accordance with the terms of this Agreement, time being of the essence: The services and/or materials (hereinafter referred to collectively as "Services") to be furnished under this Agreement are as follows: Provide geotechnical services as outlined in proposal titled "Proposal for Geotechnical Services and Phase I ESA, Orange County Jail Feasibility Study, 125 Court Street" proposal no. 06:20096 and 49:4752 dated March 13, 2017. Contractor agrees to work with existing private locator for underground utilities provided by others. This contract is to cover the cost for both the Geotechnical Services and Phase 1 ESA for a total of$8,650.00 and a$250.00 allowance if needed. The term of this agreement rendered shall be from May 15, 2017 to December 31,2017. Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or responsibility granted or required by this Agreement,without the prior written approval of the County. SPECIFIC TERMS 1. Payment: The County agrees to pay at the rates specified for Services satisfactorily performed in accord with this Agreement. The amount to be paid by the County shall not exceed Eight Thousand Nine Hundred Dollars, ($8,900.00). Payment shall be made within thirty (30) days of an invoice properly submitted to County. Should Provider fail to perform its duties under the terms of this Agreement, County may, without fault or penalty, withhold any payment associated with the work to be performed until such time as said work is completed. 2. Non—waiver: Failure by County at any time to require the performance by Provider of any of the provisions hereof shall in no way waive or affect the County's right hereunder to enforce the same, nor shall any waiver by the County of any breach be held to be a waiver of any succeeding breach or a waiver of this Non-Waiver Clause. 3. Independent Contractor: The Provider shall operate as an independent contractor and the County shall not be responsible for any of the Provider's acts or omissions. The Provider shall not be treated as an employee with respect to the Services performed hereunder for federal or state tax, unemployment or workers' compensation purposes. The Provider understands that neither federal, nor state, nor payroll tax of any kind shall be withheld or paid by the County on behalf of the Provider or the employees of the Provider. Insurance: Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may be required by County's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing division/contracts.php). If County's Risk Manager determines additional insurance coverage is required such additional insurance shall consist of N/A (if no additional insurance required mark N/A as being not applicable). Provider shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 5. Indemnity: The Provider agrees to defend, indemnify, and hold harmless Orange County from all losses, liabilities, claims, demands, suits, costs, damages or expenses (including reasonable attorney's fees) arising from bodily injury, including death, to any person or persons or damage to or destruction of any property caused in whole or in part by any negligent or intentional act or omission on the part of the Provider, its agents, or assigns directly or indirectly related to the Services to be performed pursuant to this Agreement on the part of the Provider. 6. Termination: This Agreement may be terminated at any time by mutual written agreement of the parties or by the County upon written notice to the Provider. County may suspend this Agreement upon reasonable notice to the Provider. 7. Entire Agreement and Signatures: The parties have read this Agreement and agree to be bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the consent of the Parties to utilize electronic signatures and the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. 8. Priority: In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms of this Agreement shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. 9. Governing Law: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies,rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing division/contracts.php.). Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider affirms that Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor, on the list created by the State Treasurer pursuant to G.S. 147-86.58. 10. Dispute Resolution: Any and all suits or actions to enforce, interpret, or seek damages with respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County,North Carolina. It is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. Binding arbitration may not be initiated by either Party, however, the Parties may agree to nonbinding mediation of any dispute prior to the bringing of such suit or action. Non Appropriation: Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non-appropriation of public funds. This proposal contains a summary of relevant information as ECS understands it, a project schedule, and the estimated costs for completion of the proposed work. PROJECT UNDEIF STANCHNG ECS understands the subject site consists of two adjoining parcels located at 125 Court Street in Hillsborough, Orange County, North Carolina.The property is further identified by the Orange County Online GIS Database as the following Parcel Identification Number (PIN): Parcel 1 -9874068114 (1.05 acres), and Parcel 2 -9874069059 (0.35 acres). We understand the property is currently developed. The existing development consists of a 2-to 3-story main structure with a 2-story annex building to the immediate north. The buildings currently serve as the active Orange County Jail facility. The new development planned for the site will consist of demolishing the existing Jail and constructing a new facility in its place. The development is also planned to include construction of a walking tunnel that will run underneath East Margaret Lane and connect the new jail facility to existing Orange County Courthouse located to south. The new tunnel will serve as the primary transport route for escorting prisoners from the holding cells to the courtroom. The project is currently still in the conceptual phase and plans have not been generated at this time. Information regarding the building construction type, size, height, positioning on this site, and foundation loads is currently not availaible. ECS understands that geotechnical services and a Phase I Environmental Site Assessment are requested for this site. SCOPE OF SEIF VIA';„ES Geotechnical Services The purpose of this exploration is to determine the site subsurface conditions and provide geotechnical recommendations for the future development. The North Carolina One-Call Center will subsequently contact the utility companies typically known to have utilities located in the vicinity of the project site. Normally,this includes water,gas, sewer, electrical power, telephone, and cable. The individual companies mark their utilities using spray paint, but the marks only extend to the meter. It will be Orange County Government's responsibility to identify other utilities. • ECS hereby asks that Orange County Government notify us of all utilities located on site, particularly those utilities beyond the meter or private utilities not identified by the North Carolina One-Call Center. While ECS will take precautions to avoid utilities of which the owner notifies ECS, ECS is not responsible for utilities not marked by the North Carolina One-Call Center. • ECS can retain a private locator to locate utilities beyond the meters and public utilities. Hiring Private Locator services is beyond the scope of this proposal and is not included. However, for an additional fee of$900.00, ECS can retain a private locator to locate utilities beyond the meters and public utilities. If this is needed on this project, please so indicate on the attached "Proposal Acceptance Form" by initialing the "Private Utility Location" line. Field Exploration Services ECS proposes to advance a total of eight (8) borings along the outside perimeter of the existing building and/or within the alignment of the proposed tunnel to depths of 20 to 30 feet below existing site grades or auger refusal,whichever occurs first. The total amount of drilling is estimated to be 190 linear feet. The boring locations will be staked in the field by measuring distances and estimating right angles from existing site features. Based on review of aerial imagery, it does not appear that the site will require the use of a bulldozer or similar equipment to provide access to the boring locations. The scope of ECS' services does not include obtaining permits for clearing, preparing, or obtaining erosion control or grading plans for the clearing, installation or maintenance of erosion control devices, or site restoration in cleared or disturbed areas. The borings will be drilled using hollow stem auger drilling methods by an all-terrain vehicle drill rig or truck-mounted drill rig. Depending on weather, soil, and site conditions, ground disturbance (ruts, tire tracks, etc.) must be anticipated during this exploration program; this is the normal result of driving a large drill rig over a site. Neither ECS nor ECS' subcontractors are responsible for restoration of the ground surface and/or vegetation to its original condition. If auger refusal is encountered above a depth of 5 feet in any boring, an offset auger boring will be performed to further evaluate the refusal condition. Rock coring to extend borings below the auger refusal depth is not proposed. If ECS feels rock coring data may be beneficial to our recommendations, we will provide a verbal request for a change order prior to the completion of field work. Please note, that rock coring will require a mobilization of additional equipment. If existing fill material is encountered to depths exceeding the planned boring depths, the borings should be extended through the fill into firm natural soils. Should extending the borings be deemed necessary, ECS would contact you for authorization. The boreholes will be checked for groundwater upon completion of drilling, and then backfilled by shoveling the soil cuttings into the holes. Some settling of backfill in boreholes may occur over time. ECS is not responsible for returning to the site to re-fill holes which have backfill that settled. Holes drilled through asphalt or concrete will be patched. Laboratory Testing The recovered soil samples will be delivered to ECS' laboratory and visually classified in general accordance with the Unified Soil Classification System (ASTM D2487 and D2488). Selected SPT samples may be tested for the following in accordance with the referenced ASTM standards: Natural Moisture Content(ASTM D2216), Atterberg Limits (ASTM D4318), and Percent Passing the No. 200 Sieve (ASTM D1140). Engineering Report The conditions encountered by the borings and the results of the laboratory testing will be evaluated by a geotechnical engineer and recommendations for design and construction of the project will be developed. The engineering report will include the following items: • Project description; • Site conditions, including geology, and special site features; • Field exploration and laboratory testing; • Subsurface conditions; • Preliminary Shallow foundation recommendations, if appropriate; • Allowable bearing pressures; • Estimated settlement(total and differential); • Preliminary ground improvement or deep foundation recommendations, if necessary; • Site Seismic classification; • Lateral earth pressure recommendations; • Preliminary floor slab recommendations; • Permanent site slopes; • Preliminary site development recommendations; • Suitability of soils for use as fill material; • Discussion of groundwater impact; • Techniques to control shallow groundwater; • Discussion of difficult excavation; • Structural fill recommendations; • Compaction recommendations; • Special conditions encountered; • Site vicinity map; • Boring location plan; 111 Illlr���rllllllll�ll f i YfJ Ind /I /I/I/J rlr , DocuSign Envelope ID:4D07A756-4236-4526-A1 D2-89F0777755FB 1114�1�i ��u1 I� l 1@iOJ, rrrr� D t °U°r �a 11 II 11 11 / °/11, 11 11 I 1111101 lip II III I11 11111 11111 i 1111111111 100111 • Generalized subsurface profile; • Soil test boring logs; and • Summary of laboratory test results. ECS will provide the report as a PDF by e-mail (and up to three hard copies, if requested). Please list those to whom the reports should be sent and provide their e-mail addresses, if appropriate, on the attached Proposal Acceptance Form. Phase I Environmental Site Assessment(ESA) The Phase I ESA will be prepared in general accordance with ASTM Standard E1527-13, Standard Practice for Phase I Environmental Site Assessments: Phase I Environmental Site Assessment Process. ECS reserves the right to adjust the quoted price for this Phase I ESA if supplemental investigation, additional lender requirements, or other services beyond the scope outlined in this proposal, are requested. In addition, the ASTM standard also requires a search for the existence of environmental liens and activity and use limitations (AULs)to be conducted in order to satisfy"All Appropriate Inquiry" in accordance with 40 CFR Part 312. If this information is not readily available, ECS can contract with a third party provider to conduct this search for an additional fee. It should be noted that failure to procure this information prior to acquisition of subject site (or contract for its attainment) may preclude your ability to qualify for certain liability protections. Please indicate on the attached authorization page if you would prefer ECS to obtain this information on your behalf. We have attached a User Questionnaire to assist the Orange County Government (User of the report) and the environmental professional (ECS) in gathering information from the User that may be material to identifying recognized environmental conditions with respect to the site. As the User of the report, please complete the attached User Questionnaire. In order to facilitate project completion, the User Questionnaire should be completed and returned to ECS at the same time this proposal is authorized. This Questionnaire will be included in the Phase I ESA Report and will assist in satisfying the "User's Responsibilities" portion of the ASTM Standard. In addition, we would appreciate receiving a current chain-of-ownership for the subject site back to at least 1940, if one is available from the Orange County Government. If this information is not readily available, ECS can conduct a 50-Year Chain of Title search for an additional fee. The proper performance of"due diligence" in respect to environmental site assessments requires both an on-site evaluation and a careful review of available applicable local, state, and federal public records. It would expedite matters if your office could provide ECS with a site plan and a point of contact for site access. ECS has included provisions for visual evaluation of non-scope items (i.e. asbestos, wetlands, mold, etc.) which may pose a business environmental risk(BER)to the subject site. Details are outlined below— Fees-Geotechnical Services: Based on our understanding of the project and the scope of work set forth above, our lump sum fee for the geotechnical services will be$6,550.00. The above fees and our schedule assume that ECS has full access to the site and is not required to encounter standby time or wait on others to gain access to our drilling locations. If these problems are encountered, you will be charged the additional time plus the additional charges in accordance with our attached Fee Schedule. Fees- Phase I ESA Based on the above outlined scope of services, ECS can perform the Phase I ESA for a lump sum fee of $2,100.00. ASSI„UMPTIONS • Engineering design and plan preparation/copying services will be provided by others; • Traditional professional surveying services (e.g., base map production) and certification by a Registered Land Surveyor(RLS)will be provided by others; • ECS will provide permitting services under a separate Scope of Services; • Attendance at additional meetings, beyond those described in the above Scope of Services, will be provided as additional services on a time-and-materials basis; • The lump sum fee does not include the cost for obtaining Environmental Liens or AULs from a third party provider (see Question 1 on the Attached User Questionnaire for the Phase I ESA). Please forward the results of the Environmental Liens and AUL search for our review and incorporation into the Phase I ESA report. Failure to procure this information may preclude CERCLA liability protections; • If you would prefer, ECS can obtain Environmental Liens or AULs from a third party provider for an additional fee of$250.00 per parcel for the subject site. Please note, it may take approximately two to four weeks upon authorization to procure this information; • ECS can obtain a title search for an additional fee of$250.00 per parcel for the subject site. Please note, it may take approximately two to four weeks upon authorization to procure this information. • If requested, ECS can provide reliance letters for our reports for an additional fee of$350.00 per letter; and • Please note the ASTM standard indicates that regulatory agency files available for the subject site or adjoining properties should be reviewed and failure to do so may result in data gaps in our report. The lump sum fee offered for the Phase I ESA does not include expanded reviews of regulatory files which are not available electronically, or if the file information may not be reasonably ascertainable within the project schedule. If properties are identified on federal or state regulatory lists, and if requested as an additional service, ECS will contact you. Should conditions, sampling results or observations indicate that additional work is necessary or warranted, we would notify you of the additional costs before modifying or expanding the extent of our scope of services. If other items are required based on field conditions encountered in our field exploration program,they would be invoiced in accordance with the attached Fee Schedule. Before modifying or expanding the extent of our exploration program,you would be informed of our intentions for both your review and authorization. SCI IEI MI ALE OF WORK ECS will begin the above scope of work immediately after receiving your written authorization to proceed. ECS' work starts with contacting the public utility locator service, but we cannot begin work on site until the utilities have been marked in the field —usually within 72 hours—excluding weekends and holidays. Based on current availability and weather permitting, ECS anticipates field work will begin within five to ten business days of receiving written authorization to proceed. ECS anticipates its field work will take from one to two days to complete. Laboratory testing should be complete within one week after completion of field work. The report will be submitted in approximately five to ten business days following completion of all field and laboratory work. Based on these estimates, we plan to complete the geotechnical work within four weeks after receipt of written authorization to proceed. In order to maintain this schedule, it is critical that ECS receives your written authorization, special instructions, and distribution list in a timely manner. AUTHOIFI' AT ION If the scope of work as outlined above and the attached Terms and Conditions are acceptable to you, please sign the attached Proposal Acceptance Form on behalf of Orange County Government and return one copy of the Proposal Acceptance Form to ECS. Please note that the attached Terms and Conditions of Service are incorporated herein by reference and are an integral part of this agreement between us. Alternatively,you could issue a letter of acceptance or purchase order. If you opt to do so, ECS would ask that you include the proposal number and date hereof on such documents in order to incorporate this proposal by reference.
