HomeMy WebLinkAbout2017-139-E ES - FESCO Emergency Sales for new ambulance DocuSign Envelope ID:C2F49OD9-6BOB-4E73-8B7D-64FF4518OD42 ORANGE COUNTY AMENDMENT TO LINKING AGREEMENT NORTH CAROLINA THIS AMENDMENT, made and entered into this the 6th day of February, 2017, by and between the County of Orange, a body politic and corporate of the State of North Carolina, ("County"), and FESCO Emergency Sales, a Maryland corporation authorized to do business in North Carolina ("Provider"); collectively, the "Parties." WITNESSETH: WHEREAS, the County and Provider entered into a Services Agreement dated, May 31, 2016, to provide services to be rendered by Provider to Orange County("Original Agreement"); and WHEREAS, the County and Provider desire to amend the Original Agreement, while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: Amend Section 2. Scope of Work: Terms, Conditions, and Specifications as follows: a. Contractor shall provide County with Two (2) Horton Model #603F ambulance mounted on a 2016 Ford F-550 4x4 cab and chassis identified in the FESCO Emergency Sales Bid Proposal for Furnishing Horton Emergency Vehicles, dated December 22, 2015 Rev 3 and November 22, 2016, which is hereby incorporated into this Agreement and attached as Exhibit Dl, D2, D3 and D4. Modify Section 4. Basic Services as follows: a.i. The Provider shall perform as Basic Services the work and services described herein and as specified in the Exhibit D1, D2, D3 and D4, FESCO Emergency Sales Bid Proposal for furnishing Horton Emergency Vehicles, dated December 22, 2015 Rev 3 and November 22, 2016, which are fully incorporated and integrated herein by reference together with Exhibits A- HGACBuy Bid, Exhibit B-Contract No. M10-14, Exhibit C-Assignment and Assumption Agreement. In the event a term or condition in any document or attachment conflicts with a term or condition of this Agreement the term or condition in this Agreement shall control. Should such conflict arise the priority of documents shall be as follows: the Linking Agreement together with attachments, Contract No. AM10-14, Assignment and Assumption Agreement, Provider's Proposal together with attachments. Modify and Amend Section 5. Compensation as follows: a. County shall pay the Contractor compensation and the same rate and on the same schedule as Contract No. AM 10-14, unless the County and the Contractor agree to a different schedule, as provided in Exhibit Dl, D2, D3 and D4. b. Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Provider from the County for all services under this Agreement. The Revised December 2016 DocuSign Envelope ID:C2F49OD9-6BOB-4E73-8B7D-64FF4518OD42 maximum amount payable for Basic Services is Four Hundred Thirty-Two Thousand Twenty- four dollars ($ 432,024) (For vehicle described in Exhibit DI and D2 the cost payable will be Two Hundred Fifteen Thousand One Hundred and Ninety-Seven Dollars ($215,197) and for vehicle described in Exhibit D2, D3, D4 the cost payable will be Two Hundred Seventeen Thousand Four Hundred Fifty-Seven dollars ($217,457). In the event the amount stated on an invoice is disputed by the County, the County may withhold payment of all or a portion of the amount stated on an invoice until the parties resolve the dispute. Payment for Basic Services shall payable as follows: The County shall pay a deposit to Provider of Twenty Thousand Five Hundred Dollars ($20,500) at execution of the contract. The final payment, which is reduced by the initial deposit, shall be payable to Provider after full review and acceptance of the Basic Service at FESCO Emergency Sales in Elkridge, Maryland. Add Exhibit D3: FESCO Emergency Sales Bid Proposal for furnishing Horton Emergency Vehicles Dated November 22, 2016. Except for the changes made Section 2.a, 4a.i., 5.a, 5.b. and addition of Exhibit D3 and D4 herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event that there is a conflict between the Original Agreement and this Amendment, this Amendment shall control.
