DocuSign Envelope ID:77C4AAAC-F9E3-4A07-BC43-6AF3A6165982 Matching Grant Agreement This Matching Grant Agreement("Agreement") is entered into by and between Orange County, North Carolina (The County) and Weaver Street Market of Hillsborough, North Carolina (WSM). WSM agrees to pay The County Matching Grant funds in accordance with the contract between The County and the North Carolina Department of Agriculture relative to an ADFP Grant application#: 17-E-088-ADFP dated, November 22"d, 2016(Grant). The total amount of the match by WSM is not to exceed $32,500. In consideration of receiving this Matching Grant from WSM,The County and WSM (Partners) acknowledge and agree that: 1)The Partners have each received and read a copy of the Grant and the Terms and Conditions of Matching Grant Award and will abide by all terms and conditions set forth therein. 2) The Economic Development Office of Orange County, North Carolina will coordinate the project and manage the subsequent loan funds. Original Grant funding is from the Agricultural Development and Farmland Preservation Trust Fund, established in 2005 by the North Carolina General Assembly at the request of Agriculture Commissioner Steve Troxler for the purpose of supporting the farming, forestry, and horticulture communities within the agriculture industry. 3) All Matching Grant funds provided by WSM for this project shall not be used for any purposes other than those for the Grant. In addition, WSM reserves the right to audit the Grant at any time. 4)The Partners will keep WSM informed on the project's progress by copying WSM on the required progress reports to NCDA-ADFP. The Partners will immediately inform WSM of any significant problems with the implementation of the project or deviations from the project, including deviations in the budget. The Partners will copy WSM on the final report as required by the Grant. 5) WSM may request County to terminate their Grant agreement with NCDA upon thirty(30) days notice. Subject to the successful termination of that Grant agreement and the final report approved by NCDA, no further funds will be required from WSM. In no case will funds be returned to WSM other than funds not expended which shall be returned after successful closure of the Grant. 6) County shall provide WSM notice of all loan applications received during the Grant. Upon notice of an award of a loan pursuant to the Grant, WSM shall provide 50%of the loan amount to the County within forty eight(48) hours. 9)This agreement is governed by the laws of the State of North Carolina, USA.
