WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, an agency of the Department of Cultural Resources and the National Endowment for the Arts. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the Spring Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed one thousand dollars ($ 1000.00) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. These funds must be matched at least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient 1 Revised January 2017 DocuSign Envelope ID: EC417424-B3E6-4014-A465-9859A57DDD04 A. Implementation. The Project implementation shall take place between January 1, 2017 and December 31, 2017. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C. Non—assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose of implementing the Project and Project related expenses. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on January 12, 2018. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $1000.00 to the Grant Recipient. 6. Publicity A. Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient must enter all events, exhibits and performances open to the public and related to this grant award on the ExploreChapelHillARTS.com website and display Orange County Arts Commission publicity materials (postcards, brochures, etc.) prominently and consistently at their venue or performance space. In addition, the Grant Recipient must add a link to the www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as "default"), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. 3 Revised January 2017 DocuSign Envelope ID: EC417424-B3E6-4014-A465-9859A57DDD04 (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Anti-Discrimination Policy. Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider affirms that Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor, on the list created by the State Treasurer pursuant to G.S. 147-86.58. C. Entire Agreement and Signatures. The parties have read this Agreement and agree to be bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. Approximately 30 percent of students receive free/reduced lunch. Cedar Ridge High School opened in the fall of 2002, graduating its first class in 2004. CRHS is one of two comprehensive public high schools in the Orange County Schools' district. CRHS maintains a dual enrollment relationship with area colleges and actively collaborates with various community agencies and organizations. Over 50% of the certified staff at CRHS have advanced degrees with 14 teachers holding International Baccalaureate certification. In addition, 17 teachers hold AP certification, and 21 teachers hold National Board Certification. CRHS is accredited by the Southern Association of Schools and Colleges and the North Carolina Department of Public Instruction. Orange County Schools, comprised of 13 schools, includes seven elementary schools, three middle schools, three high schools and an alternative school all located in Hillsborough and Efland. Approximately 42% of students within Orange County Schools receive free/reduced lunch. School Arts Program Cedar Ridge High School offers Art, Band, Theatre, and Chorus to students. Within Orange County Schools, elementary students participate in Art and Music as part of their special area classes, and middle school students can participate in Music, Art or Band. Proposed Use of Grant Funds On April 27, 2017 Cedar Ridge High School will host Cultural Explosion, an Orange County SchooisLdistrict-wide-eventfor students and families-within-the-Orange County-Schools'-district— Cultural Explosion will bring together all schools –elementary through high - in Orange County and the surrounding communities to celebrate diverse cultures from around the world and recognize their impact on education. This event is comprised of student performances, interactive culturally-themed booths and demonstrations, community organizations and food vendors with an international flair. With more than 1,000 students and their families expected to attend, the event provide multiple opportunities for learning about a variety of cultures across the globe in one venue. This year's theme is Celebrating the Beauty of Earth and Its Inhabitants, which encourages cultural understanding, as well as respect for the world in which we live. Each school is assigned a different continent and/or geographic area to study, and they will then create a booth to host at Cultural Explosion as a way to share the information they learned in a hands-on way. Classroom teachers and special area teachers are very involved in the process, several of which who serve on the planning committee, so this is a true collaborative effort. There is also a poster contest for students, a multicultural mask-making activity and continental beading activity. The Scrap Exchange is a nonprofit organization with a mission to promote creativity, environmental awareness, and community through reuse. Founded in 1991 by a small group of people who were seeking to establish a sustainable supply of high-quality, low-cost materials for artists, educators, parents, and other creative people, the Scrap Exchange has 7 grown into a magical place for children and adults to create. During Cultural Explosion, their workshop leaders will help students and families transform clean, reusable industrial discards into inventions for science, hats and costumes for plays, games and toys for fun, and much more. During the event, the Scrap Exchange will be housed in the library, and students and families can flow in and out of the space. Participants will use creative and higher order thinking skills to create pieces of artwork and functional objects from recycled materials. This not only connects with the Visual Arts curriculum standards across grade levels (creating using a variety of tools, media and processes; enhancing creative and critical thinking skills; understanding the global context of the visual arts), but also Science (the inquiry-based design process) and Social Studies (environmental awareness, etc.) In addition, the Bluegrass Experience band will perform at Cultural Explosion to provide attendees with yet another cultural educational experience. The Bluegrass Experience is a trio with multi-instrumentalists (featuring guitar, banjo, acoustic bass and mandolin). Lead musician Tommy Edwards—a teacher, musician and performer—will create a unique learning experience for those in attendance and tie in the cultural aspect of bluegrass music. This performance will tie in directly with the Music curriculum standards, including interpreting, creating and responding to music and understanding the global connections with music. In addition, as part of the social studies curriculum, students will be exposed to diverse cultures through watching and engaging in the unique cultural art form of bluegrass music as it relates to the history of North Carolina. Edwards is a retired public school teacher/administrator and consistently integrates curriculum into his performances. Cultural Explosion as a whole allows students and families to explore diverse cultures on a very deep level through hands-on experiences while building connections within the community. This directly links with the Social Studies standards across all grade levels and helps foster an understanding of all people in our community and world. Furthermore, many students and families share their own cultures at the event, which helps them feel connected and understood. While-there are-many cultural resources avail able to families-in-the-ar-ea tnder-served-students often times do not experience them because of the cost. Offering this event at no cost creates a high level of accessibility so all students and families are included. There are 7,526 students in the elementary, middle and high schools of Orange County Schools, as well as 553 teachers. Of those, 52.5% are male, and 47.5% are female. Students in elementary school are between 5 and 11 years old, middle 11 and 14 years old and high school 14-18 years old. The following is breakdown of race/ethnicity for Orange County Schools. He currently is the guitarist, lead vocalist and emcee for one of North Carolina's longest lived bands, The Bluegrass Experience which celebrated its forty-fifth anniversary in 2016. He was twice named World's Champion Bluegrass Guitarist at the Union Grove, NC Fiddler's Convention and has recorded (, four albums with The Experience as well as 6 solo projects, including "North Carolina: History, Mystery, Lore and More" which was reviewed most favorably in The News and Observer as well as Our State magazine which also featured him in an article about his musical journey (www.ourstate.corn/tommy-edwards). An energetic performer and songwriter he currently sings and performs on banjo, mandolin and guitar with several bands including The Leroy Savage Group, The Bluegrass Experience, Carolina Lightnin', Tommy Edwards and Friends" as well as in duos with LaNelle Davis and/or Andrew Marlin or with Jack Lawrence, the former I:< performance partner of the legendary Doc Watson. He also frequently performs solo where he features his original compositions. And each year Tommy visits the southern music classes of Dr. William Ferris where he tells the story of bluegrass music in North Carolina as well as performs with the bluegrass instruments for the class. Stan Brown is a legendary North Carolina musician. Learning banjo and guitar as a teen in Randolph County, Stan helped form the popular "New Grass" group The Wahoo Review while a student at NCSU in the 1970's. The band was popular at festivals and other music venues throughout the state and moved to Virginia to work at Busch Gardens where the group include Grammy winning resonator guitarist, Gene Wooten from Franklinton, NC. After a year or so Stan moved to Nashville,Tenn. where he had a storied career as a member of Bill Monroe's Bluegrass Boys, played bass for Grammy winner "Skeeter" Davis, and appeared for five years on The Grand Old Opry with pioneering female performer Wilma Lee Cooper and her band,The Clinch Mountain Clan. His recordings with Wilma Lee are some of her best bluegrass efforts. Tiring of the high pressure life in Nashville and the rigors of life on the road, Brown returned to North Carolina in the 1990's and began playing banjo with some old friends and their folk band Molasses Creek, based in Ocracoke.-When The Bluegrass Experience lost their longtime banjoist Don Beane to cancer, Stan performed with the group at Mr. Beane's funeral and was hired on the spot to replace him.That was over a decade ago. He has recorded two albums with the band as well as one with a band in which he and his wife play, The Outliers.This is in addition to many recordings with a host of singers and players including Grammy winner Jim Lauderdale, Wilma Lee Cooper, Tommy Edwards and many others. LaNelle Davis is almost legendary among Triangle area musicians and singers. Known for her is p ure country flavored vocals and her exp ert bass playing (she also plays guitar), she has performed and/or recorded with some of the finest traditional musicians and groups of the past 3 decades. Most notably she was a pivotal member of The Tarheel Hotshots with Margaret Martin and along with Joe Newberry,Jim Collier and Kenny Jackson was a founding member of the band Big Medicine which recorded two incredibly well regarded old time music albums. In demand as a vocal soloist and harmony singer she has graced several recent recording projects including "Tunes from a Tarheel Town", "Heartbroke and Lonesome" and "The Shelbys". She is DocuSign Envelope ID: EC417424-B3E6-4014-A465-9859A57DDD04 f?` a talented writer as well as performer and in addition to her band and recording accomplishments she is often called upon to sing or play in ensemble performances such as the Songs from The Circle Album" group which does periodic performances at The ArtsCenter in Carrboro and has appeared in the stage presentation of Lee Smith's "Devils's Dream". These three performers are products of their small town roots (Siler City, Coleridge and Goldsboro) and the folk process of listening and learning from their elders as well as from recorded music.
