PURPOSE: To consider an agreement under which the Town of Chapel Hill
would purchase certain additional computer services from the County,
primarily through access to the new County IBM RS6000 mainframe.
BACKGROUND: The County has provided computer services for the Town,
under written agreement, since 1984. We have provided software and
software support, hardware and hardware maintenance, and all
communications equipment and maintenance including the cost of all
telephone lines.
Recently, the Town has purchased all new software from an outside
vendor and this vendor will provide all software support. The Town
also purchased all new equipment, new CRT' s, printers, and
communications connections, and also began paying all telephone line
costs. All this software and equipment work on the County' s new
mainframe, whereas the existing support to the Town has been provided
through the McDonnell-Douglas M9250 mainframe. This new agreement
allows connection to the new system at a reduced annual rate ($475 per
user versus $1,200 minimum charge for each McDonnell-Douglas user) due
to the lower cost to the County. We have also provided much less
support for the new equipment and no support for the software.
The per user charge (based on an estimated thirty users) will allow the
County to recover part of the cost of the new system, approximately
twenty five percent of our three year lease purchase cost. The
communications equipment purchased by the Town will support a maximum
of sixty four users.
The Town will continue to operate their Housing software system and the
Police software system on the old mainframe under the existing
agreement. Both of these systems are being evaluated for replacement
and may come off our system in the next six to eighteen months.
RECOMMENDATION(S) : The Manager recommends that the Board approve the
new agreement and authorize the Chair to sign.

Orange County,
WHEREAS, the County presently operates and maintains a
Computer Center serving various County Departments and
Agencies and wishes to make its computer operations and
services available to the Town; and
WHEREAS, the Town desires to purchase certain necessary
computer services from the County;
NOW THEREFORE, in consideration of the premises and the
mutual promises set forth below, the parties agree that, for
a fixed annual port fee, the County shall provide 24-hour, 7
day a week computer access to the new UNIX platform
(currently an IBM RS6000) , to be provided in accordance with
the following terms, conditions, and specifications :
1 . The County will provide the central site equipment,
including hardware, hardware maintenance, 0/S software, 0/S
software maintenance, and any other related support to
maintain the availability of the UNIX platform for use by the
Town. If the current platform: must be upgraded by additional
memory, on-line disk storage, or other type of central site
hardware then the County and Town shall share the cost of
that upgrade based on the benefits provided each.
2 . The County will provide the Town with the same level of
service and support on the platform with no less than equal
priorities as other users of the system.
3. The County shall provide the same data security and
retention of data for the Town_as provided for the other
users of the system, including-daily "BACK-UP" and other
routine security storage.
4. The County will provide an 0/S software maintenance
agreement on the UNIX system which will allow access for the
Town's Systems Administrator.
5 . The County shall not be liable for damages incurred by
the Town caused by interruption and/or delay of services .
However, the County shall do all things reasonably necessary
to bring the service up to the: required level as soon as
possible after identification of the problem causing the
interruption and/or delay. The County will notify the Town of
interruptions or delays in service whenever possible.
6 . The County will provide the weekly communications
software regeneration and assistance in loading application
software changes or modifications as long as we are provided
written instructions and scheduled a reasonable time in
advance.
7 . The Town shall provide all necessary communication
linkage between the Orange County Data Processing Center and
any remote locations , including any equipment, software,
maintenance or line costs . Ownership of equipment purchased
pursuant to this agreement wholly by the Town shall remain
with the Town.
8 . The Town shall provide all applications software and
any software maintenance or licensing required with the
exception of those application--which the County has agreed to
move from the old platform to the new UNIX system.
9 . The Town shall make an annual payment to the County in
the amount of four hundred and=seventy five dollars ( $475 )
per active regular user port on the first of July each year
for the term of this agreement. Any users added during a
fiscal year will be prorated to the first of the month that
user is activated.
10. The Town shall make an annual payment to the County in
the amount of one hundred ( $100 ) per active E-MAIL only user
port on the first of July each year for the term of this
agreement. Any users added during a fiscal year will be
prorated to the first of the month that user is activated.
11 . This agreement shall begin on the date entered in
paragraph one of this agreement and shall end June 30, 1996
unless amended as provided here in.
12 . This agreement is subject to the appropriation of the
required funds by the Town Council for the fiscal years
commencing after June 30, 1994 .
13 . This agreement may be amended in writing by mutual
agreement of the County and the Town.
