THIS AGREEMENT, entered into this 17 day of January, 2017, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Women's Voices Chorus, Inc. ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand three hundred
thrity-one dollars ($ 1331.00) have been awarded by the Arts Commission to the Grant
Recipient for the approved Project. These funds must be matched at least dollar-for-
dollar with cash from the Grant Recipient's funds not derived from either Orange County
appropriations or the North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2017 and December 31, 2017. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 12, 2018. The Final Report shall be in the format required by the
North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1331.00 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. x County Funds Only. Orange County Arts Commission logo required.
Credit line: "This program is supported by the Orange County Arts
Commission. "
ii. North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the Orange County Arts Commission
through the N.C. Arts Council, a division of the Department of Natural and
Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display Orange County Arts Commission publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
www.artsorange.org (Orange County Arts Commission logo preferred) to their
main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.

(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.
(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Both parties agree that this Agreement shall be governed by the
laws of the State of North Carolina. Provider shall at all times remain in
compliance with all applicable local, state, and federal laws, rules, and regulations
including but not limited to all state and federal anti-discrimination laws, policies,
rules, and regulations and the Orange County Anti-Discrimination Policy. Any
violation of this requirement is a breach of this Agreement and County may
immediately terminate this Agreement without further obligation on the part of
the County. This paragraph is not intended to limit and does not limit the
definition of breach to discrimination. By executing this Agreement Provider
affirms that Provider is and shall remain in compliance with Article 2 of Chapter
64 of the North Carolina General Statutes. By executing this Agreement Provider
certifies that Provider has not been identified, and has not utilized the services of
any agent or subcontractor, on the list created by the State Treasurer pursuant to
G.S. 147-86.58.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
1 1A and Article 40 of North Carolina General Statute Chapter 66.

APPLICATION NARRATIVE
ORGANIZATIONAL PROFILE
i
Mission: Women's Voices Chorus celebrates diverse and outstanding choral repertoire for
women.We are an auditioned,community-based chorus of 70 sopranos and altos. Our mission
is to provide a welcoming place in the Triangle for women to share the joy of singing together,
promote choral works by and for women,and strive to achieve the highest standards of musical
excellence.
History: "Since its modest beginning in 1993, Women's Voices Chorus has brought unique,
often rediscovered music to audiences throughout the Triangle in North Carolina." Karen E.

Mary Lycan founded Women's Voices Chorus in September 1993 as an unincorporated project
of the Orange County Women's Center. Over its first decade the chorus grew in membership,
budget, and musical reputation. In 1996 we became a tax-exempt organization under Section
501(c)3 of the Internal Revenue Code. r
In 2007 Lycan retired from the chorus and we began the search for a dynamic new director who
could take us in fresh directions while maintaining a deep connection to our roots.We selected
Allan Friedman, DMA,and have flourished under his leadership.
In 2014 we celebrated our 20th anniversary year with a winter concert comprising only pieces
we had commissioned in our first twenty years.For our spring 2014 concert,"The Long Bright,"
we partnered with the Duke Cancer Institute and UNC Lineberger Comprehensive Cancer
Center to raise awareness of cancer and support for local cancer research.
Our 2016 season culminated with a concert showcasing "The Womanly Song of God," a
challenging and complex piece sung from memory that included clapping and foot stomping.
We also honored our commitment to contemporary female composers by performing the world
premiere of"Mah Dodech Midod,"arranged by Eleanor Epstein and commissioned by WVC. In
January 2017 our winter concert, "Dance the World 'Round," will feature an exciting
collaborative twist: Guest dancers and over a dozen instrumentalists,including a Big Band,will
grace our stage,performing with us in a myriad of styles.

Women's Voices Chorus
CURRENT PROGRAMS AND SERVICES
We perform an average of four concerts each year. Since the majority of choral literature is for
mixed(male and female)voices,our programs offer a refreshing opportunity for audiences and
singers alike to experience new and/or rarely performed music written or arranged especially
for women's voices. Our repertoire features songs from our own American tradition as well as
songs from around the world. We have sung in more than 30 languages. We invite you to be
part of something extraordinary by supporting Artistic Director Allan Friedman's adventurous
programming.
1. Concert season. The chorus performs ticketed programs in January and April/May. Most
vocal soloists are drawn from the chorus, but we hire professional vocalists for the more
demanding pieces. We also hire professional instrumentalists to accompany us in
repertoire.
2. Benefit concerts. Since 2009 our summer program has been a benefit concert: No tickets
are sold, and all donations are awarded to a local charity. Past recipients have included the
Augustine Literacy Project, Paws4Ever in Orange County, the UNC Lineberger
Comprehensive Cancer Center, CASTLE (the Center for Acquisition of Spoken Language
Through Listening Enrichment), the Durham Chapter of Arts for Life, the Arthritis
Foundation, the Inter-Faith Council, and the Food Bank of Central and Eastern North
Carolina.
3. Short programs.As a service to community members who may not be able to attend our
regular performances, we have sung mini-concerts at Carol Woods and Carolina Meadows
in Chapel Hill, and at House of Healing (Duke) and the Regent in Durham. We also have
performed at the Orange County Women First award ceremonies and for the NC Music
Teachers Association conference.
4. Collaborative programs. We have performed concerts with area high school choral
students,with Vox Virorum men's chorus,and in the Strobilus Arts Series.
5. Commissions.We have commissioned 14 pieces over the last 17 years from the following
composers: Katherine Dienes,Lana Walker,Eleanor Epstein,Caroline Mallonee,Paul Leary,
Thom Limbert, Sidney Boquiren, Eleanor Daley, Nina Gilbert, and our own Dr. Allan
Friedman.
6. Premieres.The chorus has premiered 14 additional pieces for women's voices over the last
17 years.Composers include Alex Blake,Jayne Swank,Linda Metz,and several of those listed
under Commissions.
7. Enrichment. We hold a Saturday retreat twice a year for members to work on choral
techniques,vocal health, choral history,and repertoire.We often hire clinicians to enhance
those workshops.

PROPOSED USE OF GRANT FUNDS
Women's Voices Chorus is proud of the high level of excellence that we have risen to under the
leadership of Artistic Director Allan Friedman and Accompanist Deborah Hollis. Our May 2017
concert in Chapel Hill will explore the borders that fill our world: boundaries between
countries,between youth and experience,between sleep and wakefulness,between slavery and
freedom, between life and death. We will feature music from the United States and from the
Baltic States, our destination for a summer 2017 international tour. This compelling concert
will include spirituals,folk songs,and new music by contemporary female composers.We seek
funding to create outstanding marketing materials for this concert and to purchase the
composition "Bridge of Songs" by Veljo Tormis, which will both anchor and highlight the
performance.
Women's Voices Chorus has a long history of high-quality performances.We are committed to
using materials of equally high quality to market our concerts. We work with a professional
graphic designer to create a visual representation of each upcoming concert theme and carry
that art throughout our marketing materials. These printed materials include posters,
postcards, and business-size cards that members distribute to publicize our concerts. Some
sample marketing materials from previous concerts are attached to this application.A grant of
$1500 would enable us to spend$475 to work with a graphic artist to design and create enticing
promotional materials and$800 to print them.
The remaining$425 will be used to purchase the title piece of our spring 2017 concert,"Bridge
of Songs" ("Laulusild")by Veljo Tormis.Purchasing the rights to the music we sing is an ongoing
expense that our chorus faces each year.We value the opportunity to revisit some songs over
time,but we also appreciate being able to add new pieces to our repertoire. "Bridge of Songs,"
inspired by Finnish and Estonian folk songs and poetry, is a particularly compelling work that
we will take with us on our tour of the Baltic States next summer.
Women's Voices Chorus has grown over the years, and so has our audience: We now sing to
almost 1,200 people per concert season.The audience is of all ages (6-80+)with a slight female
majority.Although some of our audience members and singers live in the greater Triangle area,
we primarily serve Chapel Hill-Carrboro and Durham.We actively seek to widen the diversity
of our audience through outreach, music selection, and performance venues. We have also
broadened our community impact through summer benefits and other free performances. Our
concerts are regularly reviewed and receive accolades such as these from local reviewers:

WVC Artistic Director Dr.Allan Friedman began his tenure with the chorus in fall 2007. In
addition to his work with WVC,Friedman is the Music Director at Judea Reform Congregation
in Durham,NC, and the founding director of SONAM, a chamber choir specializing in
renaissance music.From 2004 to 2012 he served as the associate conductor of Duke Chapel
Music, directing the Duke Vespers Ensemble and the Duke Divinity School Choir.
Friedman is also an active music teacher and clinician in the Triangle,teaching music history
courses for retirees,and leading choral clinics and workshops throughout the state.
In addition to conducting and teaching,Friedman is an accomplished composer and arranger,
having studied composition with Marjorie Merryman at Boston University and Steven Jaffe at
Duke University.He has enjoyed several successful performances of his choral compositions and
arrangements,most notably his Holocaust cantata With Perfect Faith and his choral cycle Songs
of Radiance,which WVC premiered in 2010.
Originally from Duluth,Minnesota,Friedman earned his BA in music at Duke,where he studied
conducting with Rodney Wynkoop. In the fall of 1997, he studied at the University of Natal,
Durban in South Africa,where he learned choral music from Joseph Shabalala, leader of
Ladysmith Black Mombazo,renowned for their work on Paul Simon's album Graceland. In 2001
Friedman graduated with a Master in Musicology from the University of North Carolina, Chapel
Hill,where he wrote his thesis on South African choral competitions. While at UNC he also
conducted the Collegium Musicum and the Harambe Choir. In the spring of 2005, Friedman
earned his Doctorate of Musical Arts from Boston University,where he studied conducting with Y'
Ann Howard Jones and David Hoose.During his time at BU he conducted the BU Women's
Chorus and the BU Repertory Chorus, and wrote his dissertation on Russian Jewish Choral
Music from St. Petersburg circa 1905-1925.
In his spare time Friedman enjoys spending time with his newborn son Daniel and taking long
walks with Katie,his wife and Amy,the dog.

Pianist Deborah Lee Hollis is highly respected by colleagues for her sensitivity and skill as a
collaborative partner. Her passion for vocal music has led to masterclass performances with such
esteemed artists as Frederica von Stade and Dawn Upshaw;collaborative pianists Rudolph
Jensen,Martin Katz, and Warren Jones; and composers Jake Heggie, Ricky Ian Gordon, and Lori
Laitman.
Hollis has worked with many prominent Triangle music organizations, including Long Leaf
Opera Company, Opera Company of North Carolina,Eastern Music Festival,and Mallarme
Chamber Players. She currently is the pianist for VOICES,the community chorus of Chapel Hill.
Hollis holds piano performance degrees from Oberlin Conservatory and the University of Illinois
at Champaign-Urbana, and she received her doctorate in collaborative piano from UNC
Greensboro. Previously on faculty at Guilford College and UNC Greensboro and on staff at
Duke University,Hollis is now a collaborative pianist and coach at UNC Chapel Hill.
