THIS AGREEMENT, entered into this 17 day of January, 2017, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Chinese School at Chapel Hill("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand five hundred dollars
($ 1500.00) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. These funds must be matched at least dollar-for-dollar with cash from
the Grant Recipient's funds not derived from either Orange County appropriations or the
North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2017 and December 31, 2017. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 12, 2018. The Final Report shall be in the format required by the
North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1500.00 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. x County Funds Only. Orange County Arts Commission logo required.
Credit line: "This program is supported by the Orange County Arts
Commission. "
ii. North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the Orange County Arts Commission
through the N.C. Arts Council, a division of the Department of Natural and
Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display Orange County Arts Commission publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
www.artsorange.org (Orange County Arts Commission logo preferred) to their
main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.

(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.
(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Both parties agree that this Agreement shall be governed by the
laws of the State of North Carolina. Provider shall at all times remain in
compliance with all applicable local, state, and federal laws, rules, and regulations
including but not limited to all state and federal anti-discrimination laws, policies,
rules, and regulations and the Orange County Anti-Discrimination Policy. Any
violation of this requirement is a breach of this Agreement and County may
immediately terminate this Agreement without further obligation on the part of
the County. This paragraph is not intended to limit and does not limit the
definition of breach to discrimination. By executing this Agreement Provider
affirms that Provider is and shall remain in compliance with Article 2 of Chapter
64 of the North Carolina General Statutes. By executing this Agreement Provider
certifies that Provider has not been identified, and has not utilized the services of
any agent or subcontractor, on the list created by the State Treasurer pursuant to
G.S. 147-86.58.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
1 1A and Article 40 of North Carolina General Statute Chapter 66.

Applicant:The Chinese School at Chapel Hill
ORGANIZATIONAL PROFILE
The Chinese School at Chapel Hill (CSCH) is a nonprofit educational organization. It was founded in
1993, with the mission to promote Chinese language literacy and cultural exchange to enrich cultural
diversity in the local community. CSCH rents facilities from the Chapel Hill-Carrboro City School
District and rotates between four middle schools in the district. It is open on Saturday afternoon from
2:00 - 6:00 pm. There are currently approximately 300 enrolled students and 60 teachers and
administration staff. The gender ratio of boys to girls is 1.2 : 1; the ethnic mix is approximately 95%
Asian, 4% White and 1% African American. The age range is 3-16 years old for youth classes, and
25-56 years old for adult classes. Most students are from the Chapel Hill area.
CURRENT PROGRAMS AND SERVICES
CSCH offers the following programs and services:
• Chinese language classes at different levels for Chinese-heritage and Non-heritage students;
• Activity classes, such as Drawing for Beginners, Sketch, Cartoon Sketch, Chinese Letter, Chinese
Folk Dance, Song and Dance for Toddlers, Go, Chess, Adult Pilates and Zumba;
• Academic enrichment classes such as math, English, and computer programming classes
available at multiple levels.
There are currently 19 language classes and 24 activity classes, including nine weekly classes in
different fields of arts offered throughout the school year.
PROPOSED USES OF GRANT FUNDS
We propose to use the grant to support the inaugural 2017 Chapel Hill LIGHTUP Lantern Festival
(LIGHTUP) and its lantern art program.
About LIGHTUP: The LIGHTUP Festival is an inclusive, community-wide celebration of the Chinese
New Year and cultural diversity via a rich variety of cultural and arts programs. It is organized by
CSCH with the support of the Town of Chapel Hill and the seed funding from the Chapel Hill and
Orange County Visitors Bureau. This is the first year of what will potentially become an annual event
in Chapel Hill. LIGHTUP will take place at University Place on Saturday, January 28-h, 2017 from 11am
to 6pm. This date is the actual Chinese New Year date. The indoor mall space of University Place will
be transformed into a festive Chinese street, filled with cultural exhibits, art activities, performances,
food stands, workshops and games. CSCH art teachers, Qingguo Ren, Yi Sun and Sandie Castle, will
lead the arts programs.
LIGHTUP is designed as a community project with the following theme: Lighting up blessing lanterns
and warmth in every heart. It is our objective to bring different parts of the community together to
participate in a shared celebration. Lighting blessing lanterns is a Chinese New Year tradition
symbolizing wishes for peace and blessings. While similar concepts of light and illumination may be
found in different cultures, we intend to use lanterns as symbols of blessings and to create a visual
representation of this emotional connection throughout the entire community.

About the Lantern Art Program: With its central theme around blessing lanterns, LIGHTUP offers a
create-your-own-lantern art activity as its core program. The program is designed as a community
art project. The entire community is invited to participate in a shared experience by decorating
blessing lanterns at the event and lighting them up in a closing celebration parade. There will be a
"hands on art" to create the lanterns and an "art performance" in the form of a parade, creating a
visual impact of the community coming together. At LIGHTUP, there will be nine lantern art booths
hosted by professional artists and volunteers. Each booth will occupy a 10'x10' space, be stationed
with an artist host and an assistant, and be equipped to serve up to eight festival participants at a
time. Attendees can buy a 12" or 10" plain lantern for a small fee and decorate their own blessing
lanterns at these booths using a variety of art mediums and guided by a professional artist. These
lanterns can be illuminated with LED lights and will be part of the closing parade — which we
envision will create a spectacular sight with thousands of other blessing lanterns. The goal is to
create a visual experience representing the wish for peace and blessings within our community in
the new year to come. Such community art project will be the first of its kind in the area.
If funded, we propose to use $1,500 grant to fund:
1. The purchase of Chinese paper lanterns, budgeted at $1,126.
2. The printing of marketing materials, budgeted at $374.
More about LIGHTUP: LIGHTUP will feature a wide and diverse variety of artistic expressions and
interactive, cultural aspects in its programs. As an extension of CSCH's existing cultural and arts
programs, LIGHTUP presents a large-scaled, living, cultural art classroom, exhibiting originality and
ambition as it carries out CSCH's mission into the wider community. In addition to the lantern art
activities, LIGHTUP will also feature a variety of engaging programs and educational experiences,
including:
• 20 different non-lantern, cultural arts and craft activities including 3D Chinese paper-cutting art
cards, Chinese porcelain art scrolls, Beijing Opera masks, Chinese princess headpieces, dancing
dragon hand puppets, etc. These activities will all be offered free of charge.
• Dragon Dance workshop for beginners, where attendees can learn the movements of the Dragon
Dance and how to work as a team to create a traditional Chinese performance. For this
instructional workshop there is one large 18 meter dragon for 10 adults and/or older children,
and one smaller 13 meter dragon for 14 younger children. This is a rare opportunity for beginners
in a festival setting.
• Performances featuring the Beijing Opera, Chinese music, cultural dance & more. Select
reputable performers will not only perform on stage but also offer workshops to share in-depth
knowledge of the cultural and artistic aspects behind the performances.
• Six Cultural themed exhibits and workshops, offering interactive programs and experiences such
as authentic tea ceremony and Live Studio reporting on Chinese icons.
• Silent auction of 66 artistic lanterns created by students and artists from the Chapel Hill-
Carrboro City School District. ALL proceeds will be given to participating schools to fund their art
ro rams.

LIGHTUP is serving the entire community, with very low entry barriers. The festival is estimated to

attract 5,000 attendees. Our event will be widely promoted through our supporters' marketing
channels, including the Town of Chapel Hill, Chapel Hill and Orange County Visitors Bureau, CHCCS
schools, the Chapel Hill Public Library, Chapel Hill Park & Recreation facilities, FRANK, and the
Chinese communities throughout Triangle area. University Place is conveniently located in the I',
center of Chapel Hill and is easily accessible by almost all communities via public
transportation. The activities are either free or have a minimal fee. Because of the ease of access
to the location and the low cost to participate, this event is accessible to ALL members of the
community.
Since the initial meeting with the Chapel Hill and Orange County Visitors Bureau in August to secure
the seed funding, the LIGHTUP organization has progressed from initial conception to have
secured key partners, vendors and confirmation on programs. All of the planned activities are
currently under execution, proving the feasibility and effectiveness of the event and its programs.
LIGHTUP is proudly collaborating with community partners, artists, and performers
including: FRANK Gallery, the Chapel Hill Public Library, Chapel Hill-Carrboro City Schools, RTP
Peking Opera Club, NC-RTP Chinese Music Instrument Ensemble, Lisa Zou's Chinese Instrumental
Music Studio, Red Apple Learning Campus, Confucius Institute at NC State University, Kidzu !
Children's Museum, Chapel Hill Chinese Language & Culture School, Duke University and UNC
Chinese Students and Scholars Associations, Glenwood Mandarin Dual Language Program, and
Chapel Hill Chamber Academy.
The CSCH is highly experienced in organizing Chinese New Year and other Chinese cultural
celebration as these productions are organized several times throughout each school year. These
events are usually held at school sites and are always open to the public. Average attendance is
between 300-400 people per event. These events are geared for all ages, families and individuals,
and both male and females of all cultural backgrounds.
Currently, over 100 individual volunteers have signed up to help at the event, and the number of
volunteers continues to grow. We have seen many of our community members answering our call to
participate in this exciting cultural and educational festival. We have been repeatedly impressed with
the willingness of community partners and volunteers to join LIGHTUP, a program that will benefit
both our community and schools.
We are making great strides in fulfilling our mission and goals for LIGHTUP. In LIGHTUP, the lantern
is a symbol for wishes and blessings, but it is also a symbol of our "self", our inner being. We will be
lighting up our "self" to become part of the greater illumination of the community. It is through this
collection of many individual lanterns coming together that we wish to convey the blessings, warmth,
and hope for our community. It is only with the amazing support and participation from our
community that this LIGHTUP community project is made possible.
We respectfully ask the Orange County Arts Commission to consider our grant application favorably,
to support this first-of-its-kind community art project and its vision of celebrating cultural diversity
and bringing the community together through LIGHTUP and its lantern art and festive programs.

RE: Support for 2017 Chapel Hill's LIGHTUP Lantern Festival
Dear Orange County Arts Commission,
I am writing to show my full support to 2017 Chapel Hill's LIGHTUP Lantern Festival hosted by
the Chinese School at Chapel Hill. The festival is a community project to promote cultural
diversity and celebrate Chinese New Year. I believe its well-designed cultural, artistic and
educational programs will bring together people and communities of different backgrounds.
I first met the Chinese School community during the 2015 local election season. The school
hosted a community forum inviting all mayor and town council candidates to interact with the
local Chinese community. I was very impressed with this well-organized forum. Elementary
school students were helping at the school voter registration desk,and high school students taking
notes at the forum. One of the questions from the community was how to celebrate cultural
diversity. I thought that a holiday festival,to be held around the Chinese New Year,may be a
good platform. Mayor Hemminger and I proposed this idea to the Chinese School in May of
2016 and received enthusiastic responses from parents.
The festival organizers set the festival's vision to bring different parts of the community together
via participating in a shared celebration. The theme of lighting up blessing lanterns and warmth
in every heart has already brought many volunteers and institutions to event planning and content
production. I heard the festival has recruited more than one hundred volunteers. They are
receiving support and advice from Chapel Hill Park& Recreation Department. When I
introduced them to the FRANK Gallery,the artists were very excited at this community project
and their sample lantern arts. Eleven artists have decided to volunteer hosting lantern decoration
booths at the festival. I also connected them with Chapel Hill Library,who plans to host a"Good
Day Chapel Hill"live studio using one of the large LED screens from a LED vendor who [-
sponsors the event. Five Chapel Hill public schools are participating in lantern decoration. Their
lantern arts will go for silent auction on the Festival Day. All proceeds will go back to the
individual schools for future arts projects. Kidzu Children's Museum is planning a fantastic
technology light-up booth. The Confucius Institute at NC State,UNC and Duke Chinese
Students and Scholars Associations,the Mandarin Dual Language Program at Glenwood
Elementary,Chapel Hill Chinese Language&Culture School,RedApple Learning Campus,and
local Chinese arts and performance clubs and associations will all participate in festival content
production. The collaboration offered by different institutions is another testimony of the
festival's compelling call to bring community together.

The festival will offer rich content to the whole community. I was very excited when I learn that
there will be over 40 cultural activities and food booths,beginner dragon dance workshops,and
Chinese performances. I'm also touched by the festival's intention to include everyone. The
organizers chose to host the event at University Place so that everyone can take buses or cars,or
walk to the festival. All activities are free. People can spend a few dollars to buy big paper
lanterns. Food will be offered at low cost. This is a true community event for everyone in the
community.
I'm pleased with Chinese School's willingness and ability to outreach to the greater community
through a fantastic festival full of cultural, arts, and educational elements. Residents in Chapel
Hill and the surrounding areas will celebrate and benefit from community events like this. I
appreciate your grant support.
