PURPOSE: To approve an amendment to the Visitor's Bureau lease for
office space in Chapel Hill.
BACKGROUND: In June, 1992 the Board approved a lease for office space
for the Visitor's Bureau. It was reported in June that the Visitor's
Bureau would receive not-for-profit status within the six month lease
period and would assume the lease under their own name beginning
January 1, 1993 . Since the specifics of the Bureau's operation are
still in the process of refinement, it is recommended that the lease
be renewed under the County's name through December 31, 1993 .
The specifics of the lease and the changes are as follows:
Original Lease Amendment
Location: One West Franklin Street, Suite 600, Chapel Hill SAME
(Corner of Franklin Street and Airport Road)
Total Square Footage: 491 square feet SAM;
Lease Amount: $511.46 per month; $6, 137 .50 per year SAME
Utilities: not included in rent SAME
Janitorial Services: included in rent SAME
Other County responsibilities: Taxes and insurance for SAME
the building will be pro rated based on the square
footage being leased and charged back to lessee on an
annual basis.
Term: Six months (through December 31, 1992) EXPIRES 12/31/93
Landlord: E & D Unlimited SAME
The lease will continue to be funded through the 1% county-wide
hotel/motel occupancy tax instituted September 1, 1991.
RECOMMENDATION: The Manager recommends approval of the amendment
which extends the term of the lease through December 31, 1993 ; and
authorize the Chair to sign on behalf of the Board.

AMENDMENT TO
LEASE AGREEMENT
THIS AMENDMENT TO LEASE AGREEMENT ("Amendment") , effective the
1st day of January, 1993 , by and between the E&D Unlimited, a North
Carolina general partnership, c/o 2 Crow Hollow, Chapel Hill,
Orange County, North Carolina ("Lessor") and Orange County, North
Carolina, a political subdivision of the State of North Carolina,
with an office at P. O. Box 8181, Hillsborough, North Carolina
27278 ("Lessee") ,
W I T N E S S E T H:
WHEREAS, Lessor and Lessee entered into that certain Lease
Agreement effective July 1, 1992, and
WHEREAS, Lessee desires to extend the term of the Lease
Agreement by one year to December 31, 1993,
NOW, THEREFORE, in consideration of the premises, the sum of
TEN DOLLARS ($10.00) in hand paid, the mutual covenants below, and
other good and valuable considerations, the receipt and sufficiency
of which are hereby acknowledged, Lessor and Lessee agree, covenant
and bind themselves as follows:
1. Paragraph 2. 02 (a) of the Lease Agreement is amended to
read as follows: "The term of this Agreement shall include:
(a) Original Term. Subject to the termination rights
reserved in paragraphs 2.04 (d) , 4. 03 and 5.02, the original term of
this Agreement shall be one year and six months in duration,
commencing July 1, 1992 and ending December 31, 1993 . "

2 . Paragraphs 2 . 02 (b) and 3 . 02 (a) (2) of the Lease Agreement
are deleted in their entirety.
3 . Except as expressly amended or deleted as provided above,
all the terms and conditions of the Lease Agreement remain in place
and valid and binding between the parties.
IN WITNESS WHEREOF, each of the parties hereto has caused its
hand and seal to be duly affixed in duplicate originals or caused
its officers thereunto duly authorized to so do, effective on the
day and year first above written.
