Passmore, ext. 2009 CAT Vehicle Lease TELEPHONE NUMBER- CAT Driver Assignment Hillsborough - 732-8181 Taxi Provider Chapel Hill - 968-4501 Mebane - 227-2031 Durham - 688-7331 PURPOSE: To request approval of Coordinated Area Transportation (CAT) agreements for ( 1) Vehicle Lease with OPC Mental Health, Orange Enterprises, Wake Opportunities, Cedar Grove Day Care, and Charles House; (2 ) Driver Assignments with OPC Mental Health, Orange Enterprises and Wake Opportunities; and for (3) Taxi Provider with Airport and Intown Taxi, Canaday Cab, Orange Cab, and Tarheel Taxi. BACKGROUND: The Orange County Transportation Development Plan outlines types of client transportation to be provided and the human services agencies that will participate in the Coordinated Area Transportation program. The annual renewal Agreements specify the vehicle assignments, the per-mile rate charge, and the driver cost-per-hour. The Human Services Transportation Board endorsed the FY 94-95 rate schedule as follows: 14 passenger van - $.35/mile 24 passenger bus - $.45/mile 32 passenger bus - $.55/mile Driver charge - $10.00/hour These rates were included in the Department's approved revenue budget. The Agreements also clarify the benefits and responsibilities of the various parties involved in the provision of transportation. The Taxi Provider Agreements set reimbursement at a rate not to exceed $1.35 per mile for those trips which cannot be provided directly by CAT. RECOMMENDATION(S) : The Manager recommends approval and Chair to sign CAT Agreements for Vehicle Lease, Driver Assignments and Taxi Providers with the agencies and firms listed above. 3 ORANGE COUNTY C.A.T. PROGRAM DRIVER ASSIGNMENT AGREEMENT This agreement entered into this 1st day of July, 1994 by and between the County of Orange on behalf of the Coordinated Area Transportation Program (C.A.T. ) , hereinafter referred to as the County; and , Inc. , hereinafter referred to as The purpose of this Agreement is to outline the conditions under which the County and will cooperatively provide human service transportation through the C. A. T. system. SPECIFIC RESPONSIBILITIES OF ORANGE COUNTY 1. To provide a certified CDL driver for the following route(s) as described: 2 . To provide a back-up driver in case the regular driver is not available. 3. To employ a C.A.T. Transportation Supervisor to handle any problems and to assure there is a driver available. SPECIFIC RESPONSIBILITIES OF 1. To reimburse Orange County at the rate of $10.00 per hour for actual time driven, at .a minimum of three hours each day of operation, within 30 days after billing. 2 . In the event (agency) requires specialized training beyond driver's current level, it shall be (agency) responsibility to: a) indicate the type & level of training; b) provide the prescribed training without cost to the County. 3. To provide the Transportation Supervisor written notification of any transportation problems or unsatisfactory drivers' performance in order to take corrective action. 5 ORANGE COUNTY C.A.T.AGENCY TAXI PROVIDER AGREEMENT This agreement entered into this first 1st day of July, 1994 by and between the County of Orange on behalf of the Coordinated Area Transportation Program (C.A.T. ) , hereinafter referred to as the County and , hereinafter referred to as SPECIFIC RESPONSIBILITIES OF 1. To provide Demand Response Transportation to approved participants at a rate not to exceed $1.35 per mile as agreed upon by the Transportation provider and the Orange County Department on Aging hereinafter known as the Lead Administrative Agency. 2. To meet all service provision standards for the Department on Aging's C.A.T. program such as required by the State of North Carolina and provide documentation upon request. 3. To ensure that such records as necessary are kept to fully disclose the extent of the service ( Mileage, Time, Client, Distance) provided to participants and available for inspection. 4 . To submit a monthly bill for services indicating distance, and cost by the client rendered payable within 30 days from date of receipt. 5. To adhere to the Department on Aging's C.A.T. Procedures in the provision of the service. 6. To provide Demand Response Transportation to approved participants at a rate not to exceed $1 . 35 per mile as agreed upon by the Transportation provider and the Orange County Department on Aging hereinafter known as the Lead Administrative Agency. 2 . To meet all service provision standards for the Department on Aging's C.A.T. program such as required by the State of North Carolina and provide documentation upon request. 3 . To ensure that such records as necessary are kept to fully disclose the extent of the service ( Mileage, Time, Client, Distance) provided to participants and available for inspection. 4 . To submit a monthly bill for services indicating distance, and cost by the client rendered payable within 30 days from date of receipt. 5 . To adhere to the Department on Aging's C.A.T. Procedures in the provision of the service. 6 . To indemnify and save harmless Orange County, its agents and employees from and against any and all loss, cost, damages, expense and liability caused by the failure of the Provider to fully perform its obligations under this agreement and in accordance with its terms; or by accident or other occurrence causing bodily injury, including death, sickness, products or services rendered under this Agreement. Certificates of Insurance reflecting such coverage must be furnished to Orange County and shall contain the provision that Orange County will be given thirty days written notice of any intent to amend or terminate such policies by either the Transportation agency or the insuring company. SPECIFIC RESPONSIBILITIES OF THE C.A.T. PROGRAM 1. To assign professional staff within the CAT Program to administer and coordinate Transportation. 2 . To provide necessary client information on a client request form. 3 . To pay bill within thirty (30) days of receipt of invoice. The term of this contract shall be from July 1, 1994 through June 30, 1995, unless sooner terminated by either party giving thirty (30) days prior written notice to the other party of intention to terminate. DRIVER AGREEMENT This agreement entered into this 1st day of July, 1994 between the County of Orange on behalf of the Department on Aging, hereinafter referred to as the "County" and Orange- Person-Chatham Mental Health Center, hereinafter referred to as "OPC-MHC" . SPECIFIC RESPONSIBILITIES OF ORANGE COUNTY 1 . To provide a certified driver for ( 1) OPC-MHC courier service between sites and (2) transportation of OPC-MHC's Adult Day Treatment clients. Daily courier service schedule attached. Daily pick-up and take-home of Adult Day Treat- ment clients between the hours of 8-9:30 and 3:30-5: 00 p.m. 2 . To provide back-up drivers in case the regular driver is not available. 3 . To follow the OPC-MHC's transportation policies and procedures as well as state standards for program operation. 4 . C.A.T. Transportation Coordinator will supervise driver. SPECIFIC RESPONSIBILITIES OF OPC MENTAL HEALTH CENTER 1. To reimburse Orange County at $10.00 per hour for a 35 hour week within 30 days after billing. 2 . To pay for specialized driver training in the areas of client behavior interaction techniques with clients/families, medical management including seizures, route design and any other procedures specific to the Adult Day Treatment program. 3. To provide a job description specifying job duties of courier/driver and a copy of required transportation poli- cies and procedures. 4 . Director of OPC-MHC Adult Day Treatment will provide instructions regarding clients and their needs. 5. Facility Manager at OPC-MHC Northside office will provide daily instruction concerning duties and coordinate change in routes with C.A.T. Transportation Coordinator. The term of this contract shall be from July 1, 1994 through June 30, 1995 unless sooner terminated by either party giving 30 days prior written notice to the other party or intention to terminate. The laws of North Carolina shall govern the validity and interpretation of the provisions, terms and conditions of this agreement. To provide three certified drivers for Northern Orange routes Tuesday through Friday for daily pick-up and take- home of clients between the hours of 7 :00-8 :45am and 2 : 15-4 : 15pm. 2 . To provide back-up drivers in the event regular drivers are not available. 3 . To coordinate maintenance with private vendors to ensure vehicles are in safe operating condition. 4 . To adhere to C.A.T. /Head Start Transportation Policies. SPECIFIC RESPONSIBILITIES OF WAKE OPPORTUNITIES ,INC. 1. To reimburse Orange County at the rate of $10 .00 per hour for actual time driven, at a maximum of twelve hours each day of operation within 30 days after billing. 2 . To reimburse Orange County at invoice amount for all maintenance services performed plus five percent administration fee for maintenance coordination. 3 . In the even Wake Opportunities requires specialized training beyond driver's current level, it shall be Wake Opportunities responsibility to: a) indicate the type and level of training; and to b) provide the prescribed training without cost to the County 4 . To adhere to the C.A.T. /Head Start Transportation Policies . 5 . To provide the Transportation Supervisor written notification of any transportation problems or unsatisfactory driver's performance in order to take corrective action. 6 . To provide insurance coverage (liability/collision) . Proof of insurance and coverage limits shall be submitted to the Aging Director within 10 days of contract approval. 7 . To allow C.A.T. program agencies access (time/ridesharing) to leased vehicle(s) when not scheduled for use at a rate established by the Orange County Transportation Board and approved by the County Commissioners. The term of this agreement shall be from July 1, 1994 through June 30 , 1995 unless sooner terminated by either party giving thirty days prior written notice to the other party of intention to terminate. To provide Demand Response Transportation to approved participants at a rate not to exceed $1 . 35 per mile as agreed upon by the Transportation provider and the Orange County Department on Aging hereinafter known as the Lead Administrative Agency. 2 . To meet all service provision standards for the Department on Aging's C.A.T. program such as required by the State of North Carolina and provide documentation upon request. 3 . To ensure that such records as necessary are kept to fully disclose the extent of the service ( Mileage, Time, Client, Distance) provided to participants and, available for inspection. 4 . To submit a monthly bill for services indicating distance, and cost by the client rendered payable within 30 days from date of receipt. 5 . To adhere to the Department on Aging's C.A.T. Procedures in the provision of the service. 6 . To indemnify and save harmless Orange County, its agents and employees from and against any and all loss, cost, damages, expense and liability caused by the failure of the Provider to fully perform its obligations under this agreement and in accordance with its terms; or by accident or other occurrence causing bodily injury, including death, sickness, products or services rendered under this Agreement. Certificates of Insurance reflecting such coverage must be furnished to Orange County and shall contain the provision that Orange County will be given thirty days written notice of any intent to amend or terminate such policies by either the Transportation agency or the insuring company. SPECIFIC RESPONSIBILITIES OF THE C.A.T. PROGRAM 1 . To assign professional staff within the CAT Program to administer and coordinate Transportation. 2 . To provide necessary client information on a client request form. 3 . To pay bill within thirty (30 ) days of receipt of invoice. DRIVER AGREEMENT This agreement entered into this 1st day of July, 1994 by and between the County of Orange on behalf _g . Department on Aging, hereinafter referred to as the "County" ; and Orange Enterprises, Inc. , hereinafter referred to as "OE" . The purpose of this agreement is to outline the conditions under which the County and Orange Enterprises will cooperatively provide human service transportation through the C. A. T. (Coordinated Agency Transportation) system. SPECIFIC RESPONSIBILITIES OF ORANGE COUNTY 1 . To provide a certified driver for Northern Orange route Monday through Friday for daily pick-up and take-home of clients between the hours of 6: 00 -8: 00 a.m. and 3: 30 -5: 30 p.m. 2 . To provide a back-up driver in case the regular driver is not available. 3. To employ a C. A. T. Transportation Supervisor to handle any problems and to assure there is a driver available. SPECIFIC RESPONSIBILITIES OF ORANGE ENTERPRISES, INC. 1. To reimburse Orange County at the rate of $10 .00 per hour for actual time driven, at a maximum of four hours each day of operation within 30 days after billing. 2 . In the event OE requires specialized training beyond driver's current level, it shall be OE's responsibility to: a) indicate the type & level of training; and to b) provide the prescribed training without cost to the County. 3 . To provide the Transportation Supervisor written notification of any transportation problems or unsatisfactory drivers ' performance in order to take corrective action. The term of this contract shall be from July 1994 through June 30, 1995 unless sooner terminated be either party giving 30 days prior written notice to the other party of intention to terminate. The laws of North Carolina shall govern the validity and interpretation of the provisions, terms and conditions of this Agreement.
