A special meeting of the Orange County Board of Commissioners
will be held on Monday, June 15, 1987 at 4 : 00 p.m. in the
Board of Commissioners' Room for consideration by the Board
of a resolution providing for the issuance of $200, 000
Sanitary Sewer Bond Anticipation Notes.
In accordance with the Resolution, this notice. of said

PURPOSE: To consider a resolution providing for the issuance of
$200,000 Sanitary Sewer Bond Anticipation Notes.
BACKGROUND: An order authorizing not exceeding $200, 000 sanitary sewer
bonds of the County of Orange was adopted by the Board of
Commissioners for said County on March 24, 1987 which order
has taken effect.
RECOMMENDATION: Adopt resolution and authorize Chair to sign.

Orange, North Carolina, DO HEREBY CERTIFY:
1. During the fiscal year beginning July 1, 1985 and
ended June 30, 1986 the following indebtedness of said County was

except the proceedings in relation to the issuance of $200, 000 Sanitary
Sewer Bond Anticipation Notes, dated June 29, 1987.

CERTIFICATE AS TO ARBITRAGE
We, Shirley Marshall and Gordon Baker, Chairman of the Board
of Commissioners for the County of Orange, North Carolina (the
"County") and Finance Director for said County, being duly
charged with others with responsibility for issuing the $200, 000
Sanitary Sewer Bond Anticipation Notes of the County, dated June
29, 1987 and maturing on December 16, 1987 (the "notes") , to be
delivered this day, DO HEREBY CERTIFY pursuant to sections
1.103-13, 1.103-14 and 1.103-15 of the Treasury Regulations and
under Section 148 of the Internal Revenue Code of 1986, as
amended (the "Code") , as follows:
1. All of the proceeds of the notes will be used for the
purpose of providing funds for paying (a) a portion of the cost
of constructing a portion of a sanitary sewer system for said
County, including the construction of sewage collector,
interceptor and force mains and lines, sewage pumping facilities
and appurtenant facilities, the construction of a sewage main to
transport sewage to the sanitary sewer system of the Town of
Hillsborough for treatment and the acquisition of any necessary
land, rights of way and equipment therefor (the "Project") and
( ,) certain legal, accounting and financing expenses incurred in -
connection with the issuance of the notes (the "Issuance
Expenses") .
2 . The estimated total cost of the Project and the
Issuance Expenses will be at least $1, 589, 045. Said total cost
is expected to be financed by the County from the proceeds of the
notes, investment earnings thereon, the proceeds of state and
federal grants and certain other moneys of the County.
3 . The proceeds of the notes and all earnings or net
profits to be derived from the investment or deposit of such pro-
4. The County does not expect to sell or otherwise dispose
of any property comprising a part of the Project prior to
December 16, 1987, the maturity date of the notes, except such
minor parts or portions thereof as may be disposed of due to
normal wear, obsolescence or depreciation in the ordinary course
of business.
5. Work on the Project is expected to commence on or after
July 20, 1987 and the County has entered into binding contracts
or commitments obligating the expenditure of not less than
$100,000 toward the cost of the Project. Work on the Project is
expected to proceed with due diligence to the completion thereof
presently expected on or about January 20, 1988.
6. On the basis of the facts, estimates and circumstances
in existence on the date hereof, which is the date on which the
notes are to be delivered (the "date of issue") , we reasonably
expect the following in respect of the notes and as to the use of
the proceeds of the notes, investment earnings thereon, the
proceeds of state and federal grants and certain other moneys:
(a) The proceeds of the notes, in the amount of
$200, 000, investment earnings thereon, the proceeds of
state and federal grants and certain other moneys are
expected to be needed and will be applied to pay the
costs of Project and the Issuance Expenses.
(b) It is expected that all of the proceeds of
the notes, together with all earnings or net profits
derived from the investment or deposit of such
proceeds, will have been expended by June 30, 1989, a
date less than three years from June 29, 1987, the date
of issue of the notes.
(c) The proceeds of "the notes, the estimated
the total of the amount necessary for the purposes
described in subparagraph (a) of this paragraph 6.
7. It is expected that the proceeds of the sale of the
bonds in anticipation of the receipt of which the notes are being
issued will be used to pay the principal of the notes and that
amounts on deposit to the credit of the debt service fund of the
County (the "Debt Service Fund") will be used to pay the interest
on the notes. There are no funds of the County, other than the
Debt Service Fund, which are reasonably expected to be used
directly or indirectly to pay the interest on the notes or which
are pledged as security for the notes and for which there is a
reasonable assurance that amounts therein will be available to
pay the interest on the notes if the County encounters financial
difficulties.
8. The Debt Service Fund will be used primarily to achieve
a proper matching of revenues of the County and of payment of (a)
the interest on the notes within their respective bond year and
(b) debt service on issues of bonds of the County within each of
their respective bond years. Amounts deposited to the Debt
Service Fund will be depleted during each year except for any
carryover amount which will not exceed the greater of (i) one
year's earnings on the Debt Service Fund or (ii) one-twelfth
(1/12) of annual debt service on the notes and debt service on
issues of bonds and other issues of notes of the County.
9. The following represents the reasonable expectations of
the County with respect to the investment of the proceeds of the
notes and certain other moneys related to the Project:
(a) $200, 000, representing the amount of the
proceeds of the notes to be used for paying the cost of
the Project and the Issuance Expenses, may be invested

(b) Earnings or net profits derived from the
investment or deposit of the proceeds of the notes may
be invested at an unrestricted yield for a period not
to exceed three years from June 29, 1987 and thereafter
for a period not in excess of one year from the date of
receipt of the amount earned.
(c) Amounts deposited to the Debt Service Fund
may be invested at an unrestricted yield for a period
not in excess of thirteen months from the date of
deposit of the respective amount to the Debt Service
Fund.
(d) Amounts received from the investment of
amounts deposited to the Debt Service Fund may be
invested at an unrestricted yield for a period not in
excess of one year from the date of receipt of the
amount earned.
(e) Amounts described in subparagraphs (a) , (b)
and (c) , which may not be invested at an unrestricted
yield pursuant to such subparagraphs, may be invested
at an unrestricted yield to the extent that such
amounts do not exceed the lesser of $100, 000 or 5% of
the face amount of the notes.

(f) Amounts described in subparagraphs (a) and
(b) , together with investment earnings thereon, not
invested at an unrestricted yield pursuant to such
subparagraphs, may be invested at a yield not in excess
of the yield on the notes plus one-eighth of one
percentage point or invested in tax-exempt obligations.
(g) Amounts described in subparagraphs (c) and
(d) , together with investment earnings thereon, not
•
of the yield on the notes or invested in tax-exempt
obligations.
10. The proceeds of the notes and any earnings or net
profits derived from the investment or deposit of such proceeds
will not be used in the place of funds now available to the
County and to be used or which will become available to the
County and will be used directly or indirectly to acquire
obligations producing a yield in excess of the yield on the
notes, which funds are not otherwise obligated and could be
applied to the payment of the cost of the Project or the Issuance
Expenses.
11. For the purpose of this certificate, the yield produced
by any obligations, including the notes, shall be that rate which
when used in computing the present worth, based on annual
computation of interest, of all payments of principal and inter-
est with respect to an obligation produces a present worth amount
equal to the purchase price of the obligation. For purposes of
calculating yield on the notes, the purchase price of the notes
is the price paid by the first buyer of the notes (excluding bond
houses, brokers and other intermediaries) plus accrued interest,
if any.
12 . No portion of the proceeds of the notes will be used to

replace any proceeds of any other issue of bonds or notes which
were issued by the County for substantially the same purpose as
the, notes but were not expended for such purpose and have been
retired in whole or in part.
13. The resolution passed on June 15, 1987, by the Board of
Commissioners for the County represents that (i) the County is a
governmental unit with general taxing powers, (ii) the notes are
not private-activity bonds (as defined in the Code) , (iii) 95
aggregate face amount of all tax-exempt obligations (other than
private activity bonds) issued by the County (and all subordinate
entities thereof) during calendar year 1987 is reasonably
expected not to exceed $5, 000, 000 and (v) to the best of the
County's knowledge, there are no subordinate entities of the
County.
14 . There is no other governmental obligation of the County
that (i) is issued at substantially the same time as the notes;
(ii) is sold pursuant to a common plan of financing together with
the notes; and (iii) will be paid out of substantially the same
source of funds (or will have substantially the same claim to be
paid out of substantially the same source of funds) as the notes.
15. To the best of our knowledge, information and belief,
the above expectations are reasonable.
16. The County has not been notified of any listing or pro-
posed listing of it by the Internal Revenue Service as an issuer
whose nonarbitrage certificates may not be relied upon.

pending (either in state or federal courts) or, to our knowledge,
threatened to restrain or enjoin the issuance or delivery of said
notes or of the bonds in anticipation of the sale of which said
notes are being issued, or in any manner questioning the procee-
dings or authority under which said notes are issued or under
which said bonds have been authorized or affecting the validity
of said notes or bonds; that neither the corporate existence nor
boundaries of said County or the title to his office of any
officer whose signature appears on said notes is being contested;
and that no authority or proceedings for the issuance of said
bonds or said notes or for the security thereof have been
repealed, revoked or rescinded.

North Carolina, met in special session at 4:00 P.M. , on June 15,
1987, at the Commissioners' Meeting Room in Hillsborough, North

Commissioner Hartwell introduced the following
resolution which was read:
RESOLUTION PROVIDING FOR THE ISSUANCE
OF $200, 000 SANITARY SEWER BOND ANTICIPATION NOTES
BE IT RESOLVED by the Board of Commissioners for the
County of Orange:
Section 1. The Board of Commissioners has determined
and does hereby find and declare:
(a) That an order authorizing not exceeding $200,000
Sanitary Sewer Bonds of the County of Orange was adopted by the
Board of Commissioners for said County on March 24, 1987, which
order has taken effect.
(b) That none of said bonds has been issued and that
it is necessary to issue $200, 000 notes at this time in
anticipation of the receipt of the proceeds of the sale of a like
amount of said bonds.
(c) That (i) said County is a governmental unit with
general taxing powers, (ii) no note which is part of the issue of
notes described in Section 2 hereof is a private-activity bond,
as defined in the Internal Revenue Code of 1986, as amended (the
"Code") , (iii) 95 percent or more of the net proceeds of said
notes are to be used for local governmental activities of said
County, (iv) the aggregate face amount of all tax-exempt
obligations (other than private-activity bonds) issued by said
County and all subordinate entities thereof during calendar year
1987 is not reasonably expected to exceed $5, 000, 000 and (v) to
the best of said County's knowledge, there are no subordinate
entities of said County.
Section 2. In anticipation of the receipt of the
proceeds of the sale of a like amount of said bonds, the issuance
•
authorized, which notes shall be designated "Sanitary Sewer Bond
Anticipation Notes", shall be dated June 29, 1987, shall mature
on December 16, 1987, without option of prior payment, and shall
bear interest at a rate to be determined by the Local Government
Commission at the time said notes are sold, which interest shall
be payable at the maturity of said notes to which no interest
coupons shall be attached. Said notes shall be payable as to
both principal and interest at such bank or trust company, shall
have such denomination or denominations and shall bear such
number or numbers as may be fixed by the Chairman of the Board of
Commissioners for said County after the award of said notes by
the Local Government Commission, of North Carolina, and both the
principal of and the interest on said notes shall be payable in
any coin or currency of the United States of America which at the
time of payment is legal tender for the payment of public and
private debts.
Section 3 . Said notes shall be signed by the Chairman
of the Board of Commissioners for said County and the Clerk to
said Board and the corporate seal of said County shall be affixed
to said notes. The form of said notes and the endorsements to be
placed upon the reverse thereof shall be substantially as

Section 4. The action of the Finance Djrector in
applying to the Local Government Commission for the approval and
sale of said notes is hereby approved, ratified and confirmed and
the Local Government Commission of North Carolina is hereby
requested to sell said notes at private sale without
advertisement.
Section 5. The County covenants that, to the extent
permitted by the Constitution and laws of the State of North
Carolina, it will comply with the requirements of the Code except
to the extent that the County obtains an opinion of bond counsel
to the effect that noncompliance would not result in interest on
the notes being includable in gross income for purposes of
federal income tax.
Section 6. The County hereby represents that it
reasonably expects that it and all subordinate entities thereof
will not issue in the aggregate more than $10, 000, 000 of tax-
exempt obligations (not counting private-activity bonds except
for qualified 501(c) (3) bonds as defined in the Code) during
calendar year 1987. In addition, the County hereby designates
each of the notes as a "qualified tax-exempt obligation" for the
purposes of the Code.
Section 7. This resolution shall take effect upon its
passage.
Thereupon Commissioner Halkioti s moved the passage of
the foregoing resolution entitled: "RESOLUTION PROVIDING FOR THE
ISSUANCE OF $200, 000 SANITARY SEWER BOND ANTICIPATION NOTES", and

BUDGET WORK SESSION
ORANGE COUNTY BOARD OF COMMISSIONERS
JUNE 15, 1987
The Orange County Board of Commissioners met in special session on
June 15, 1987 at 4:00 in the Board of Commissioners' Room, Hillsborough,
North Carolina for the purpose of considering a resolution providing for
the issuance of $200, 000 Sanitary Sewer Bond Anticipation Notes and a
budget work session. .
BOARD MEMBERS PRESENT: Chair Shirley E. Marshall and Commissioners
Moses Carey, Jr. , Stephen Halkiotis, John Hartwell, and Don Willhoit
(arrived at 4: 15) .
ATTORNEY PRESENT: Geoffrey Gledhill.
STAFF PRESENT: County Manager Kenneth R. Thompson, Assistant County
Managers Bill Laws and Albert Kittrell, Director of EMS Bobby Baker,
Finance Director Gordon Baker, Clerk to the Board Beverly Blythe, Deputy
Finance Officer Ken Chavious, Purchasing Director Pam Jones, Public Works
Director Wilbur McAdoo, Sheriff Pendergrass, Administrative Secretary Sue
Pope, Major Don Truelove, Budget Analyst Donna Wagner and Personnel
Director Beverly Whitehead.
FIRE MARSHALL'S POSITION
Chief Lloyd made the presentation. He stated that the volunteer
firemen are doing a tremendous job but that there is not enough time to do
everything that is required. All the fire departments support the fire
marshall's position with the exception of Hillsborough and they do not
oppose the request. The main job of the fire marshall would be the coor-
dination of information and equipment. He asked that the position be
funded -- if not for an entire year then for half a year.
Chair Marshall outlined the procedure that will be followed for the
markup/markdown list.
Ken Thompson indicated the fire marshall would be placed in the EMS
Department. One of the main objectives would be to lower the fire
district rate which would result in lower insurance costs for homeowners.
This person would also do fire inspections throughout the County which
presently are not being conducted. The County needs to adopt a County
fire prevention code which may not be more stringent than the State
Building Code without special permission from the Building Code Council.
The Board requested that Bobby Baker do a study on this entire subject
and bring back to the Board a recommendation before January 1, 1988 for
consideration to be included in the 1988-89 budget.
HAZARDOUS MATERIALS BUDGET
Ken Thompson noted that the request for $18, 000 was cut by $8, 000 and
he proposed that this amount be added to the markup list and the Board
agreed.
RESOLUTION FOR PROVIDING FOR THE ISSUANCE OF SANITARY SEWER BOND
ANTICIPATION NOTES (A complete copy of the resolution is attached to
these minutes in the Minute Book on pages Irn b6 21
Attorney Geoffrey Gledhill explained that the County is selling
notes in anticipation of selling bonds. It is important that this be done
in this fiscal year. The resolution is necessary in order to obtain the
grants from Farmers Home Administration in order for the County to incur

this debt and obtain these bonds. They are net debt reduction bonds.
The resolution was introduced by Commissioner Hartwell. Motion
was made by Commissioner Halkiotis, seconded by Commissioner Carey to
adopt the resolution and authorize the Chair to sign.
EMERGENCY MANAGEMENT SERVICES
Bobby Baker distributed copies of the budget request for South Orange.
Convalescent Ambulance Support
Chair Marshall questioned the Manager's recommended budget of $30,000
when $80,000 was requested. She was told that $50, 000 is in another
account and that the full $80,000 is in the budget.
Bobby Baker explained the situation and the problems associated with
doing non-emergency transports. He explained different alternatives for
providing this service. The new ambulance would provide for an additional
backup vehicle and enable EMS to provide non emergency service.
Chair Marshall questioned charging a fee for providing this service.
The Board agreed that a fee should be charged and asked that Ken Thompson
bring back to the Board a proposal for an appropriate amount to charge for
this service with part of the revenue going back to the squads.
PUBLIC SAFETY
Sheriff Pendergrass stated that most of the increase in the budget is
for capital, equipment and jail renovations. He agrees with the Manager's
recommended budget. In answer to a question about additional personnel,
he explained how he reschedules personnel to provide the maximum coverage
during the peak hours. However, after the renovations at the jail are
completed, there will be a need for additional personnel for that
facility.
There was a consensus that the Sheriff would keep his older cars this
year and order fifteen new cars this year, nineteen next year and then
level off thereafter.
PUBLIC WORKS
Commissioner Hartwell questioned the layout of the new building in
conjunction with the entrance. Wilbur McAdoo indicated that until
property could be purchased for a new entrance that the drive to the
proposed new facility could run along the east property line.
Discussion ensued on the possibilities of either buying land adjacent
to Public Works or buying a house in the same vacinity with property and
Chair Marshall indicated that a decision needs to be made so the costs can
be considered for inconclusion in the CIP.
Wilbur McAdoo distributed pictures of green box sites and stated that
a main problem is obtaining or leasing property on which to place green
boxes in an effort to consolidate the small sites is a real problem. The
Board discussed the possibility of levying civil penalties on those who
dump illegally or rummage through the boxes.
The Board expressed support for placing the new public works building
on the same site. They asked that additional information on a new access
be available in time for the CIP.
AGRICULTURAL EXTENSION
Extension Director Bill Mainous stated there are four small items that
were requested but not included in the Manager's recommended budget. They
are (1) a mobile chalkboard, (2) a projection screen, (3) a table lectern,
and (4) a demonstration mirror. All four items total $1,500. One item
needed because of the move to the new building is additional shelving. In
the operating budget, the request for $5, 000 for printing was cut to
$3,000.
Mainous spoke in support of the livestock market and the importance of
doing something this year. 3
The Board agreed to add to the markup list $1,500 for capital
improvements and $2, 000 for operating expenses.
There being no other items for discussion, Chair Marshall adjourned
the meeting. The next regular meeting of the Board will be held on June
16, 1987 at 7:30 in the courtroom of the old Post Office, Chapel Hill,
North Carolina.
