THIS AGREEMENT, entered into this 8th day of August, 2016, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and One
Song Productions ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed One Thousand Five Hundred
Dollars ($1,500) have been awarded by the Arts Commission to the Grant Recipient for
the approved Project. These funds must be matched at least dollar-for-dollar with cash
from the Grant Recipient's funds not derived from either Orange County appropriations
or the North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2016 and June 30, 2017. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 7, 2017 . The Final Report shall be in the format required by the
North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,500 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line (check all that apply):

i. County Funds Only. "This program is supported by the Orange
County Arts Commission."
ii. X North Carolina Arts Council Funding. "This program is supported by the
Orange County Arts Commission with funds from the Grassroots Program of
the North Carolina Arts Council, a state agency. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHillARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
1 1A and Article 40 of North Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

INCOMPLETE APPLICATIONS WILL NOT BE FUNDED
Purpose
The Orange County Arts Commission (OCAC) offers the Spring & Fall Arts Program Grants to
develop high-quality arts activities taking place in Orange County. Funds originate from two
sources: the North Carolina Arts Council and the Orange County Board of County
Commissioners.
Applicant Eligibility
• Non-profit organizations or groups sponsored by non-profit organizations.
• Applicants may not be the recipient of the Arts Commission's General Support Grant.
Grant Funds Available
• Grants available up to $1,500.00.
• Each grant must be matched on a one-to-one basis with cash.
• Funds will be used in project period:July 1, 2016—June 30, 2017,
• Funds will be spent for allowable uses only (see below).
Deadline: Tuesday, May 31, 2016, by 5:00 PM at the Arts Commission office.

• NOTE - Application must be submitted both electronically as a PDF and on paper (1

Allowable Uses of Arts Program Grant
Program expenses such as artists' fees and travel, space rental, advertising, publicity, scripts,
costumes, sets, props, music, art supplies, and equipment rental or purchase.
Non-allowable Uses of Arts Program Grant
Deficit reduction; contingency funds;food or beverage; interest on loans; fines or litigation costs;
lobbying expenses; tuition for academic study; indirect cost rate expenses; capital expenditures.

Organizational Profile
One Song Productions is a local,youth-run theatre organization founded in 2002 by Katie
Yow and Daniel Elam, two Chapel Hill High School students, as a supplemental alternative to
school-sponsored drama programs. One Song intends to engage youth in every step of the
creative process, as well as offer new opportunities for learning and growth in the performing
arts. One Song is run by a board of six to eight directors, all of whom attend high schools in the
Durham-Chapel Hill area. Their aim is to provide students in the area with a fun, creative, and
educational experience working on extracurricular productions. Additionally, all One Song
events are produced, directed, and staged entirely by students from area high schools and
colleges.
One Song produces five different shows in a year's season, all of which are directed and
cast by high school students from the Triangle area of North Carolina. One Song has continued
to expand throughout its 14 year history as a result of the community's constant support and
generosity, as the shows One Song produces are funded solely by donations and grant
applications submitted by students.
Current Programs and Services
Each year, One Song Productions aims for a five-show season. One Song produces three
full-length productions directed by high school students, a fourth full-length summer show
directed by a high school or college student, and a 48-hour theatre event, The February 48. The
three main shows, all of which are selected and directed by the Board of Directors,provide
material that students may not get a chance to work with in their school environments. These
shows often push the envelope, giving participating students the chance to take on more
challenging characters and content that they might not be exposed to in schools, as well as the
opportunity to explore complex moral and ethical angles to modern issues. One Song also
provides technical students with opportunities to be creative and branch out without the confines
of a school tech department. All design and construction is headed by students, giving them the

chance to apply technical knowledge they may have learned in school and take on full leadership
positions usually regulated by school staff members, thereby offering a glimpse at what it may be
like to work professionally in the field of technical theatre. One Song's annual summer show
provides many of the same opportunities as the main shows, but also gives local high school and
college students outside of the Board of Directors the opportunity to choose and direct a show.
Additionally it provides a way for students to remain involved in theatre over the summer, when
the schools' departments are not active.
The February 48 is also designed to push boundaries, especially the boundary of time.
Unlike One Song's three main shows and summer show, The February 48 is not a full-length
show, but rather a series of one-act plays, all of which are written, rehearsed, and performed by
students over the course of a single weekend. Students are assigned to groups on a Friday night.
Student writers are then given the beginning and ending lines of their plays and are asked to
write a script over the course of that night. After being reviewed by the Board of Directors,
scripts are passed out to groups on Saturday morning, and each group is sent off to rehearse for
the day, during which all technical aspects for each show are coordinated. Groups load into the
performance space on Sunday afternoon, and rehearse in the space until their performance
Sunday night.
The goal of The February 48 is to provide unique opportunities to both experienced and
prospective actors and technicians, as well as to provide a creative, adrenaline-filled weekend for
local students. Those with experience are challenged to take all of the work and quality of a
full-length production and condense it into a single weekend, while students who are new to
theatre can explore it through an exciting and short production process.
In addition to opportunities provided by shows, One Song also provides those students
who join the Board of Directors with business and production experience. Board members see
and experience what goes into running a theatrical production company. They set budgets,
handle finances, write grant proposals, find and book rehearsal and performance spaces, and
maintain legal documents. One Song Productions is a valuable opportunity for students to

expand their theatrical vision, making it an important part of the Triangle's youth theatre
community.
Proposed Use of Grant Funds
One Song Productions would utilize the spring grant to pay for the production of its fall
and winter shows. One Song would use this grant to offset the higher costs of the performance
space, increase publicity in order to reach out to a larger portion of the county, and provide the
community with even higher quality productions. Thanks to the continued support of the Orange
County Arts Commission, we have already begun to extend our reach beyond the Chapel
Hill-Carrboro area. This season, our goals is to continue in this fashion by incorporating more
participants from high schools all over the county through increased publicity. Each
performance, with the exception of the summer show, is directed and produced by the One Song
Board of Directors, and the casts and technical crews are entirely made up of high school
students. All of One Song's shows are chosen to reflect modern social issues and emerging
theatrical styles that might not make an appearance in school theater departments; One Song
does this to give students an opportunity to expand their horizons with unique and challenging
roles.
In the fall, our new Board of Directors will choose Fall and Winter productions. These
productions, in keeping with the goals of the company, will cover a more diverse range of topics,
exploring issues not often touched upon by most student theatre, and allowing more students
from our community to experience "real world"theatre. This past season, One Song has explored
love, loss, family relationships, sexuality, and violence through shows such as Almost, Maine,
The Glass Menagerie, and Stop Kiss. The exploration of the themes through powerful works
such as these have allowed us to provide a unique experience to our participants as well as new
perspectives to our audience. With the help of the Orange County Arts Commission, we intend to
continue this exploration and increase our outreach in the coming season.

With this grant, the One Song Board of Directors would continue to reach out to a broad
variety of high school students for acting and technical design and give them the opportunity to
work on shows that deal with unique and important issues. The Board of Directors wants to share
a love of theater and help other students work more on their theatrical skills, while also allowing
students to be involved in plays that make them think about what they, as performers, are
creating and communicating. By putting on these next two productions, One Song hopes to get
the word out to a wider range of people and create both larger audition pools and audience sizes,
which average between 45-75 people per night. While One Song offers free shows (with a
suggested $8-10 donation) that are open to the public, currently the majority of attendees for
shows are students from the Chapel Hill-Carrboro City Schools. One Song hopes, however, to be
able to expand and reach a more diverse number of people. One Song would like as many people
as possible to get more involved or come see plays in the future, and hopefully leave with a
greater understanding of themes explored in its productions.

Founded by area high schoolers in 2002 and made up entirely of young people, Chapel
Hill-based One Song Productions breathed new life into an American classic with their most
recent effort, a March 10-12 production of The Glass Menagerie by Tennessee Williams. We
were enchanted by a line from the Director's Notes in their program, in which they "stumbled
across" this old chestnut of the stage that we take for granted and, moreover, they have found a
freshness in the play that only youth can provide.
Insightful and very intentional directing is the keystone to this performance. Co-directors Bryna
Loranger and Jax Preyer have given their cast support to find the hearts of their characters and
the staging in which to express them. Their unjaded eyes have found the humor seldom seen in
other productions, and the pacing and line delivery are precise and crisp.
Tennessee Williams' 1944 Chicago and 1945 Broadway memory play tells the story of his
mother, a broken women, lost in a world which has collapsed around her—a former debutante
whose husband left her. Amanda's son puts bread on the table for the family by working in a
shoe factory, and her daughter is painfully shy and unlikely to catch a husband. The only drives
left in Amanda's life are for Tom and Laura to better themselves and improve her bare
existence.
Obviously well-rehearsed and with penetrating interpretation, Anastasia LeDuc manages
Amanda's long lines with vocal variety and pacing, excellent facial expressions, and meaningful
gestures. Anna LeDuc's Southern lilt is charming.
Tom Wingfield, Williams' alter ego, is portrayed by Samuel Quinn Morris with a snazzily
sardonic wit, and also facial expressions worthy of note. His long silent scene with Amanda is a
virtual lesson in face acting. (The small black-box theater of Common Ground Theatre in
Durham also provides the intimacy that the play requires.)

Laura is as fragile as her glass creatures as presented by Esme Merritt-Dorosin is sweet and
vulnerable with the Gentleman Caller, and beginning to blossom as he charms her.
Auguste Moore delivers "A Gentleman Caller" (Jim) as confident, sensitive, and a gentleman,
with newly acquired ambition and a plan for his life.
One Song Productions has added a couple of dramatic nuances to the staging: "Fiddle in the
Wings" by Hannah Rayala added dimension occasionally and Maddie Wiener's projections
pertinent to the circumstances added to the sense of memory.
Conor Mooney does triple tech work as master carpenter, master electrician, and light-board
operator; and Austin Lord's costumes are well chosen and appropriate for the era.
We have been raving about these young people for three years now, and this show ranks
among their very best efforts. Once more we offer our suggestion that One Song Productions
find the way to perform their shows for more than just one weekend. This kind of effort needs to
be seen by a larger audience.

North Carolina, around the country, and overseas. She has a theater degree from
UNC-Greensboro, and has been active in the arts in Raleigh for the past 40 years. Martha is the
retired executive director of the North Carolina Theatre Conference. returned to
Raleigh last year after a 17-year absence. He was active in community theater for many years,
and directed the troupe of maximum-security inmates at Raleigh's Central Prison known as the
Central Prison Players. In New England, he performed on stage, on TV, and in films. He is the
author of Stories I Never Told My Daughter—An Odyssey, which can be ordered on his
