HomeMy WebLinkAbout2016-456-E DEAPR - Summit Design and Engineering Services for construction materials testing DocuSign Envelope ID:4236F103-A289-4D68-B8B0-1 B6COD115E45 [Departmental Use Only] TITLE Material Testing Fairview FY 2017 O ' NGE COUNTY CONT ' •:CT UNDER$15,000.00 NORTH CAROLINA THIS AGREEMENT, made and entered into this eleventh day of August, 2016, ("Effective Date") by and between Orange County, North Carolina, a political subdivision of the State of North Carolina, (the "County"), party of the first part; and Summit Design and Engineering Services(the "Provider"), party of the second part; WITNESSETH: For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts for the services of the Provider, and the Provider agrees to provide the following services to the County in accordance with the terms of this Agreement, time being of the essence: The services and/or materials (hereinafter referred to collectively as "Services") to be furnished under this Agreement are as follows: Construction materials testing services for a new parking area at Fairview Park. The term of this agreement rendered shall be from August 11, 2016 to November 28, 2016. Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or responsibility granted or required by this Agreement,without the prior written approval of the County. SPECIFIC TERMS 1. Payment: The County agrees to pay at the rates specified for Services satisfactorily performed in accord with this Agreement. The amount to be paid by the County shall not exceed eight thousand three hundred sixty five dollars, ($8,365.00). Payment shall be made within thirty (30) days of an invoice properly submitted to County. Should Provider fail to perform its duties under the terms of this Agreement, County may, without fault or penalty, withhold any payment associated with the work to be performed until such time as said work is completed. 2. Non—waiver: Failure by County at any time to require the performance by Provider of any of the provisions hereof shall in no way waive or affect the County's right hereunder to enforce the same, nor shall any waiver by the County of any breach be held to be a waiver of any succeeding breach or a waiver of this Non-Waiver Clause. 3. Independent Contractor: The Provider shall operate as an independent contractor and the County shall not be responsible for any of the Provider's acts or omissions. The Provider shall not be treated as an employee with respect to the Services performed hereunder for federal or state tax, unemployment or workers' compensation purposes. The Provider understands that neither federal, nor state, nor payroll tax of any kind shall be withheld or paid by the County on behalf of the Provider or the employees of the Provider. 4. Insurance: Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may be required by County's Risk Manager as such insurance requirements are described in the Orange County Revised 6/16 1 DocuSign Envelope ID:4236F103-A289-4D68-B8B0-1 B6COD115E45 Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at Ettp_://_w.w.ora_.v.ecountypc.govIdEpa 1: ep..ts_ip:.urchasinp divisoon/contuac;ts.p hp). If County's Risk Manager determines additional insurance coverage is required such additional insurance shall consist of N/A (if no additional insurance required mark N/A as being not applicable). Provider shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 5. Indemnity: The Provider agrees to defend, indemnify, and hold harmless Orange County from all losses, liabilities, claims, demands, suits, costs, damages or expenses (including reasonable attorney's fees) arising from bodily injury, including death, to any person or persons or damage to or destruction of any property caused in whole or in part by any negligent or intentional act or omission on the part of the Provider, its agents, or assigns directly or indirectly related to the Services to be performed pursuant to this Agreement on the part of the Provider. 6. Termination: This Agreement may be terminated at any time by mutual written agreement of the parties or by the County upon written notice to the Provider. County may suspend this Agreement upon reasonable notice to the Provider. 7. Entire Agreement and Signatures: The parties have read this Agreement and agree to be bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. 8. Priority: In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms of this Agreement shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. 9. Governing Law: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Anti-Discrimination Policy. Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider affirms that Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor, on the list created by the State Treasurer pursuant to G.S. 147-86.58. 10. Dispute Resolution: Any and all suits or actions to enforce, interpret, or seek damages with respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina. It is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. Binding arbitration may not be initiated by either Party, however, the Parties may agree to nonbinding mediation of any dispute prior to the bringing of such suit or action. 11. Non Appropriation: Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non-appropriation of public funds. As a provider of professional engineering services, Summit brings a proven successful CMT team led by experienced engineers, engineering technicians and project managers. The purpose of our services is to provide construction observation and testing services, as required by code, to assess compliance with project documents. Testing will be performed as a means of quality assurance testing on behalf of the owner. The following information forms the basis of this proposal and our scope of services: • Review of the plans and specifications for the project dated March 8, 2016 and May 16, 2016 respectively; • Summit currently provides geotechnical engineering services for the project; therefore, we have an understanding of the existing subsurface conditions; • Past experience on projects of similar size and scope. PROJECT DESCRIPTION Based upon our review of the provided site plan, we understand the project will consist of a 59 space, surface parking area and access road from the existing Orange County Public Works access road. Final grade elevations were not provided; however we assume+1- 5 ft. from existing grade. Clearing for boring access will be necessary from both the Fairview Park side and the Orange County Public Works access road side. We will attempt to get as close as possible to proposed boring locations, as well as, minimize any visual damage to site as a result of drilling operations. SCOPE OF SERVICES Our scope of services is described below and provides the basis of our fee estimate. The following tasks outline our proposed scope of services for this project. Task 001 —Pre-Construction Meeting and Review of Project Documents Summit's Project Manager or Lead Engineer and/or Lead Inspector will attend a pre-construction meeting with the owner's representative, the contractor, and fellow the design team members to review requirements for the project prior to beginning construction activities. We will also review grading and utility plans prepared for the project. The plans will be reviewed from a geotechnical perspective for conformance with recommendations provided in the final geotechnical report for the project. Task 002—Geotechnical Observation and Testing Services Summit will provide a senior engineering technician working under the supervision of a registered engineer to perform subgrade observations (proofrolls) and compaction testing services during onsite grading activities. We anticipate that observation and testing will be required during earthwork and associated construction for the following: • Observe topsoil removal; • Site work and grading operations during excavations and fill placement; • Utility trench backfill and compaction; and • Subgrade preparation and compaction access drives and parking lots; Compaction testing following grading will generally be performed as required by the reviewing agency, geotechnical report, and project documents. We anticipate we will be required to perform field density testing using American Society for Testing and Materials (ASTM) procedures. Our personnel will sample on-site and imported materials used as fill and transport these samples to our laboratory for testing. Our visits will be coordinated with the contractor's project site superintendent and/or the owner's representative. Task 003—Cast-In-Place Concrete Construction and Reinforcement Placement Summit will provide a senior engineering technician working under the supervision of a registered engineer for full-time inspection, sampling,and field testing services during placement of concrete for curb and gutter and hardscapes. If applicable, prior to the placement of concrete, we will provide a senior engineering technician to periodically observe the size,type,and placement(lap lengths,ties,and cover)of the reinforcing steel (rebar) prior to placement of structural cast-in-place concrete. We will also provide a senior engineering technician to observe the placement, curing, and protection of cast-in-place concrete. We will perform slump, air content, unit weight, and temperature testing during cast-in-place concrete placement. Cnocrctemyecinncnmvvi\|be picked up and delivered to our laboratory after the initial on-site curing period. Task 004—Pavements and Bases Summit will provide a senior engineering technician working under the supervision of a registered engineer to observe proofrolls of the prepared soil subgrade prior to ABC stone, asphalt and concrete paving operations.ABC stone base compaction tests will also be performed by the nuclear gauge method or sand-cone method, as related to a standard proctor laboratory compaction test. We will provide a Senior Engineering Technician as needed to observe the placement of concrete pavements and hot-mix asphalt. Additionally, we will periodically monitor hot-mix asphalt delivery temperatures, rolled thickness, and perform asphalt density testing with a nuclear gauge. Task 005—Laboratory Testing In an effort to maintain the highest quality control standards within our company, our laboratory, equipment, and personnel are inspected both by our internal Quality Control Group and a variety of external agencies. Our laboratory and personnel periodically go through inspections and have received accreditations through CCRL (Cement and Concrete Reference Laboratory) relating to ASTM C1077 Standards; and /\MP5. (AASHTO Materials Reference Laboratory) relating to AASHTO and ykBIM [) 3740 Standards. Each of these organizations is part of the National Institute of Standards and Technology. We have also been inspected and accredited by the Soil and Materials Laboratory of NCDOT. Laboratory testing will be performed in accordance with the pr ject document requirements to evaluate that materials comply with project requirements. Results of laboratory testing will be provided to the construction manager and designated pr ject team members as soon as practicably available. We anticipate that testing will be required for backfill material. Samples collected from the job site will be secured and returned to our laboratory for testing, as required. Our budget includes laboratory testing of soils, including maximum dry unit weight/optimum moisture curves, Atterberg limits, and No. 200 wash sieves for 2 samples. Task 006—Pr ject Management and Engineering Consultation Our p ject organization will include various field testing and inspections staff working under the direct supervision of Jeff Elliott, PE. Our assigned project ject manager will oversee the administrative functions for the project, including assignment of appropriate field personnel, review of field data, laboratory data, inspection reports, and communication the following with pr ject team personnel and owner: • The results of our field testing and inspections for each day will be summarized in a daily field report, with all results communicated to appropriate on site personnel. 3 DocuSign Envelope ID 4230r103~^288-4o08e8e0'1e0C0o115E45 Proposal for CMT Services Summit Proposal#T16-0065 Fairview Park Parking Area August 11, 2016 Hillsborough,North Carolina • Unusual occurrences will be communicated in a timely manner. • Scheduling conflicts do to contractor error, work cancellations upon Summit's arrival, retesting and non-compliance testing, and contractor's convenience testing will be tracked throughout pr ject and reported to owner for tracking purposes of appropriate back charges to contractor. • Non-conforming items that are not corrected on the same date that they are initially observed, will be communicated to the owner, building official, general contractor, and design team immediately. • The results of concrete, grout and mortar compressive strength testing will be available electronically to the project team within 48 hours, as the tests are performed. Test results will be available tb,ougbo'ouuU, and summarized in our monthly summary report. • A typed final report of our services will be prepared by our Pr ject Manager, reviewed and sealed by our Registered Engineer,and distributed to specified members of the project teanu on a monthly basis, as well as a Final Report at the end of pr 'ecL The p ject will be closely managed to identify potential budget and schedule impacts during the course of the project. Summit's project manager will also monitor field operations for possible out-of-scope items that develop during the course of the project that are not included in this proposal and preliminary fee estimate. We have included budget for construction kickoff meeting, technical consultation and for special site meetings due to unanticipated conditions or design changes during construction. Since this scope cannot be fully defined at this time, we allocated budget based on prior projects of similar nature. Task 007—Final Report Upon completion of the pr ject, a final summary report will be prepared by Summit to document geotechnical observations, testing services and laboratory testing services during this phase of construction. In the event other pr ject deliverables become required for reasons unknown at this time, including but not limited to failed test items requiring further analysis and/or reporting, additional fees may be incurred beyond those contained in the attached fee estimate. SCHEDULE As of the date of this proposal, we have not received a construction schedule. We anticipate that 1 Summit representative will be required onsite on a full-time to part-time basis throughout construction. For scheduling of our field-personnel, Summit must be contacted prior to 1:00 p.m. the day before our services are required and/or at least 24 hours in advance. Our visits will be coordinated with the contractor's project site superintendent and/or an owner's representative. Our proposed budget allowance will not be exceeded without prior client notification, and would be increased only via contract amendment. Please refer to the attached Estimated Cost Summary for a more detailed breakdown of the estimated fees and our assumptions. Our recommend budget allowance is based on providing the scope of services outlined herein only. If the construction schedule, actual material quantities,or requirements for the project are different from what we have described herein, we reserve the right to review our scope and budget allowance with respect to the new information and propose necessary changes to our Client. Some factors that commonly affect our proposed budget allowance include re-testing and re-inspections, overtime work, adverse weather events that affect the construction materials on-site or our scheduling, additional laboratory testing, performance of additional services not explicitly listed herein, and poor scheduling(or late cancelling)of our field services by the GC's personnel. Please note that the budget allowance stated and illustrated herein does not constitute a "lump sum" fee for our services. Our services will be invoiced on an on-call, time and materials basis at the rates indicated on the attached unit fee schedule for those services we are requested to provide by the GC throughout the pr ject construction duration. ASSUMPTIONS During our proposal preparation certain assumptions were required based on our review of the project plans. Based on the available information(noted above), the following assumptions apply: • A 4-hour minimum charge will be made for all field services. • Rates associated with overtime work are at 1.5 times the listed hourly rates in the attached fee schedule and rates shown on the Fee Summary. Overtime for our services is defined as work on the project by a single person in excess of 8 hours per day and all time on weekends, Summit recognized holidays, and night shifts. • Crews will be working at a pace and distance from one another such that 1 field personnel per day is sufficient to observe the work; • Weekend and/or night work is not anticipated for this project; • Laboratory testing and field compaction testing will be performed in general accordance with ASTM standards; • Proposal based on testing services over a 6-month construction period; • Includes a 5% field services contingency for weather delays, retests, construction delays; LIMITATIONS Construction materials observation, testing, and special inspection services provided by Summit will be performed in accordance with generally accepted procedures practiced within the pr 'oot area. It should be noted even with diligent monitoring construction defects may occur.
