STATE OF NORTH CAROLINA AMENDMENT I TO
TOWN OF CHAPEL HILL
EQUIPMENT LEASE AND
MANAGEMENT OF A FEDERAL
TRANSIT ADMINISTRATIONGRANT.
This Amendment 1 to the EQUIPMENT LEASE AND MANAGEMENT OF A FEDERAL TRANSIT
ADMINISTRATION (ETA) GRANT agreement, herein "original Contract", dated June 10, 2010 by
and between the Town of Chapel Hill, herein "Town", and Orange County, North Carolina,
herein "County", is made and entered as of the date set forth below.
WHEREAS, the original Contract was set to expire at the end of five (5) years, or
150,000 miles; and
WHEREAS, the vehicles in question have met their useful life and the ETA has no vested.
interest in said vehicles; and
WHEREAS, the County has asked the Town to extend the lease until such time as the
vehicles can be transferred to the County in accordance with North Carolina General
Statute § 160A-274 and governing FTA Circular 5010.1D.
NOW THEREFORE, said EQUIPMENT LEASE AND MANAGEMENT OF A FEDERAL TRANSIT
ADMINISTRATION GRANT agreement is hereby amended as set forth below:
Section 1, Term, is hereby revised by extending the term of the original Contract
to June 30, 2016.
Section 6, Early Termination of Lease is hereby revised to guarantee the Town the
right to terminate the lease to allow transfer of ownership of property to the
County.
Except as herein amended, all the terms and provisions of the original Contract dated June 10,
2010 are hereby reaffirmed and shall remain in full force and effect.

This Amendment 1 to EQUIPMENT LEASE AND MANAGEMENT OF A FEDERAL TRANSIT
ADMINISTRATION GRANT agreement dated June 10, 2010 is by and between the Town of
Chapel Hill and County of Orange,North Carolina.
IN WITNESS WFIEREOF, the parties hereunto cause this agreement to be executed in their
respective names.
