WHEREAS, the Ails Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, an agency of the Department of Cultural Resources and the National Endowment for the Arts. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the Spring Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed one thousand two hundred and twenty-two dollars ($1,222) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. These funds must be matched at least dollar-for- dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly, 4. The Project implementation shall take place between January 1, 2016 and December 31, 2016. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein,the modifications shall be deemed approved. C. Non—assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose of implementing the Project and Project related expenses. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on January 13, 2017 , The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $1,222 to the Grant Recipient. 6. Publicity A. Acknowledgement. Credit must be given .to the Orange County Arts Commission using the Arts Commission logo and if State funds are received to the North Carolina Grassroots Program in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. When no printed information is used, verbal credit shall be given. "This program is supported by the Orange County Arts Commission." ii. North Carolina Arts Council Funding. "This program is supported by the Orange County Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, a state agency." B. The Grant Recipient must enter all events, exhibits and performances open to the public and related to this grant award on the ExploreCbapelHilIARTS.com website and display ExploreChapelHillARTS.com publicity materials (postcards, brochures, etc.) prominently and consistently at their venue or performance space. In addition, the Grant Recipient must add a link to the ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred) to their main webpage. The Grant Recipient shall contact the Orange County Arts Commission for replacement ExploreChapelHillARTS.com publicity materials. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below(hereinafter referred to as "default"), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised Julia 2015 DocuSign Envelope ID:8F88575A-521 C-49FD-A8D6-A2910458157E (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations,or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. This Agreement shall be interpreted in accordance with the laws of the State of North Carolina and the Orange County. C. Entire Agreement and Signatures. The parties have read this Agreement and agree to be bound by all of its te7ns, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. Funds would go towards space rental, rights, publicity/community outreach, props, set, costumes, and scripts. The financial support provided by the OCAC grant would help One Song Productions achieve its creative vision and share these shows with the community. DocuSign Envelope ID:8F88575A-521 C-49FD-A8D6-A2910458157E Narrative Organizational Profile One Song Productions is a local, youth-run theatre organization founded in 2002 by Katie Yow and Daniel Elam,two Chapel Hill High School students,as a supplemental alternative to school-sponsored drama programs. One Song intends to engage youth in every step of the creative process,as well as offer new opportunities for learning and growth in the performing arts. One Song is run by a board of six to eight directors, all of whom attend high schools in the Durham-Chapel Hill area. Their aim is to provide students in the area with a fun,creative,and educational experience working on extracurricular productions. Additionally, all One Song events are produced, directed,and staged entirely by students from area high schools and colleges. One Song produces five different shows in a year's season, all of which are directed and cast by high school students from the Triangle area of North Carolina. One Song has continued to expand throughout its 11 year history as a result of the community's constant support and generosity, as the shows One Song produces are funded solely by donations and grant applications submitted by students. Current Programs and Services Each year, One Song Productions aims for a five-show season. One Song produces three full-length productions directed by high school students, a fourth full-length summer show directed by a high school or college student,and a 48-hour theatre event, The February 48. The three main shows, all of which are selected and directed by the Board of Directors,provide material that students may not get a chance to work with in their school environments. These shows often push the envelope, giving participating students the chance to take on more challenging characters and content that they might not be exposed to in schools,as well as the opportunity to explore complex moral and ethical angles to modern issues. One Song also provides technical students with opportunities to be creative and branch out without the confines of a school tech department. All design and construction is headed by students, giving them the chance to apply technical knowledge they may have learned in school and take on full leadership positions usually regulated by school staff members,thereby offering a glimpse at what it may be like to work professionally in the field of technical theatre. One Song's annual summer show provides many of the same opportunities as the main shows, but also gives local high school and college students outside of the Board of Directors the opportunity to choose and direct a show. The February 48 is also designed to push boundaries, especially the boundary of time. Unlike One Song's three main shows and summer show, The February 48 is not a full-length show,but rather a series of one-act plays, all of which are written,rehearsed, and performed by students over the course of a single weekend. Students are assigned to groups on a Friday night. Student writers are then given the beginning and ending lines of their plays and are asked to write a script over the course of that night. After being reviewed by the Board of Directors, scripts are passed out to groups on Saturday morning, and each group is sent off to rehearse for the day, during which all technical aspects for each show are coordinated. Groups load into the performance space on Sunday afternoon, and rehearse in the space until their performance Sunday night. The goal of The February 48 is to provide unique opportunities to both experienced and prospective actors and technicians, as well as to provide a creative,adrenaline-filled weekend for local students. Those with experience are challenged to take all of the work and quality of a full-length production and condense it into a single weekend,while students who are new to theatre can explore it through an exciting and short production process. In addition to opportunities provided by shows, One Song also provides those students who join the Board of Directors with business and production experience. Board members see and experience what goes into running a theatrical production company. They set budgets, handle finances, write grant proposals, find and book rehearsal and performance spaces,and maintain legal documents. One Song Productions is a valuable opportunity for students to expand their theatrical vision, making it an important part of the Triangle's youth theatre community. Proposed Use of Grant Funds One Song Productions would utilize the fall grant to pay for the production of its spring and summer shows. One Song would use this grant to offset the higher costs of the performance space, increase publicity in order to reach out to a larger portion of the county, and provide the community with even higher quality productions. Each performance, with the exception of the summer show, is directed and produced by the One Song Board of Directors, and the casts and technical crews are entirely made up of high school students. All of One Song's shows are chosen to reflect modern social issues and emerging theatrical styles that might not make an appearance in school theater departments; One Song does this to give students an opportunity to expand their horizons with unique and challenging roles. Through this production,One Song will attempt to educate its audience on the complex issues that surround the LGBTQ community and provide a better understanding of the unique struggles this community faces through the production of powerful and moving play about a love story between two young women. One Song wishes to provide the audience with the best version of this production possible, as well as allow those students producing the show unlimited creative freedom. Therefore, we are requesting the Fall Grant to assist with the purchasing of performance space,rights, scripts, props, set pieces, and costumes, as well as any other technical needs that may present themselves as necessary for the success of the show. Our upcoming summer production will be directed by a guest director, a non board member high school or college student.Not only does it allow for guest artists to direct a play, but it also adds a unique experience to the season. Guest directors offer new ideas to the board and attend board meetings,ensuring that One Song stays current with acting trends and receives input from the community. One Song hopes to provide this guest director with unlimited resources and support in producing their creative vision. Therefore,we would further utilize the Fall Grant for the purchasing of any performance space, rights, and technical needs required for the show. One Song encourages board members who have graduated to return for the summer show, granting high school students the opportunity to work with college-level performers. By offering this unique opportunity to direct a full production, One Song will to continue to meet the artistic needs of the community through the use of theatrical arts. With this grant,the One Song Board of Directors would continue to reach out to a broad variety of high school students for acting and technical design and give them the opportunity to work on shows that deal with unique and important issues. The Board of Directors wants to share a love of theater and help other students work more on their theatrical skills, while also allowing students to be involved in plays that make them think about what they, as performers, are creating and communicating. By putting on these three productions, One Song hopes to get the word out to a wider range of people and create both larger audition pools and audience sizes,which average between 45-75 people per night. While One Song offers free shows(with a suggested $5-10 donation)that are open to the public, currently the majority of attendees for shows are students from the Chapel Hill-Carrboro City Schools. One Song hopes, however,to be able to expand and reach a more diverse number of people. One Song would like as many people as possible to get more involved or come see plays in the future, and hopefully leave with a greater understanding of themes explored in its productions. And I assumed he'd been drunk before, but halfway through the night he told me this was his first time drinking, and now it seems like he regrets it. I just feel like crap because I should've asked him- I feel like he regrets getting drunk with me, like he might be having second thoughts about us. But I don't know, am I over analyzing this? In their upcoming modern-dress production of Much Ado About Nothing, several cast members are enrolled in universities, which may enhance the already usually excellent performances that we have become accustomed to from this progressive group which works with no adult supervision. This version adds the complication of being updated into 1987, including—of course—modern dress. Among the cast are two actors we have seen before: Ben Goldstein from Dog Sees God and Leigha Vilen from "Third Person" in the recent 10 by 10 in the Triangle short-play festival in Carrboro and in One Song's Language of Angels, and Much Ado About Nothing will be directed by Grace Siplon, who was formerly seen in One Song's presentation of Blithe Spirit.
