ORANGE COUNTY ARTS COMMISSION
FALL 2015 GRANT AGREEMENT \
THIS AGREEMENT, entered into this 22nd day of December, 2015, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Ants Commission")
and Women's Voices Chorus, Inc. ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local ants experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Alas Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from, the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arks Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand five hundred
dollars ($1,504)-have been awarded by the Arts Commission to the Grant Recipient for
the approved Project. 'rhere funds must be matched at least dollar-for-dollar with cash
from the Grant Recipient's funds not derived from either Orange County appropriations
or the North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2016 and December 31, 2016. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein,the modifications shall be deemed approved,
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Ails Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 13, 2017 . The Final Report shall be in the format required by
the North Carolina Ails Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,500 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line(check all that apply):

i. x County Funds Only. "This program is supported by the Orange County
Arts Commission. "
ii. North Carolina Arts Council Funding. "This program is supported by
the Orange County Arts Commission with,funds.from the Grassroots Program
of the North Carolina Arts Council, a state agency. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapell<Ii11ARTS.com
wcbsite and display ExploreChapelHilIARTS.com publicity materials .
(postcards, brochures, ctc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChape1Hi11ARTS.com (ExploreChapelHiIIARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County-Arts
Commission for replacement ExploreChape1HillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a persona, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Alts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A, In the event of any of the circumstances set forth below (hereinafter referred to as
"default'),the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Ails Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. 'Phis
clause shall not be interpreted to limit the County's or the Arts Cominission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire A rccment. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
11A and Article 44 of North Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the (range County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Women's Voices Chorus is proud of the high level of excellence that we have risen to under the
leadership of Artistic Director Allan Friedman and Accompanist Nancy Whelan, It is our desire to provide
them with the musical equipment that they need to enable even better performances for our community.
Our concerts and rehearsals are held in several locations in Chapel Hill, including University United
Methodist Church, United Church of Chapel Hill, Holy Trinity Lutheran Church, and New Hope Camp and
Conference Center. In these locales, our conductor and accompanist have sometimes struggled to see,
handle music, and be heard.Thus,we are requesting$9,500 to purchase four pieces of equipment that
will benefit Dr. Friedman, Ms.Whelan, and the chorus itself.These items are: 1) a portable conductor's
podium, 2)a conductor's music stand, 3)a good piano lamp, and 4)a small amplification system for use
in various rehearsal and concert spaces.

APPLICATION NARRATIVE
ORGANIZATIONAL PROFILE
Mission: Women's Voices Chorus celebrates diverse and outstanding choral repertoire for women.
We are an auditioned,community-based chorus of 70 sopranos and altos. Our mission is to provide a
welcoming place in the Triangle for women to share the joy of singing together,promote choral works
by and for women,and strive to achieve the highest standards of musical excellence.
History: "Since its modest beginning in 1993, Women's Voices Chorus has brought unique, often
rediscovered music to audiences throughout the Triangle in North Carolina." Karen E. Moorman,

Mary Lycan founded Women's Voices Chorus in September 1993 as an unincorporated project of the
Orange County Women's Center. Over its first decade the chorus grew in membership, budget, and
musical reputation. In 1996 we became a tax-exempt organization under Section 501(c)3 of the
Internal Revenue Code.
In 2007 Lycan retired from the chorus and we began the search for a dynamic new director who could
take us in fresh directions while maintaining a deep connection to our roots. We selected Allan
Friedman, DMA,and have flourished under his leadership.
In 2014 we celebrated our 20th anniversary year with a winter concert comprising only pieces we had
commissioned.For our spring 2014 concert,"The Long Bright,"we partnered with the Duke Cancer
Institute and UNC Lineberger Comprehensive Cancer Center to raise awareness of cancer and support
for local cancer research.
We just completed our 2015 season with music on the themes of spiritual renewal and romantic love.
In January 2016 audience members will benefit from our commitment to contemporary female
composers by hearing the world premiere of"Mah Dodech Midod,"arranged by Eleanor Epstein and
commissioned by WVC. Overall, our audience has grown to about 1,200 people per concert season,
and we have broadened our community impact through summer benefits and other free performances.
CURRENT PROGRAMS AND SERVICES
On average we sing four concerts each year. Since the majority of choral literature is for mixed (male
and female) voices, our programs offer a refreshing opportunity for audiences and singers alike to
experience new and/or rarely performed music.Our repertoire features songs from our own American
tradition as well as songs from around the world.We have sung in more than 30 languages.We invite
you to be part of something extraordinary by supporting Artistic Director Allan Friedman's
adventurous programming.

1. Concert Season. The chorus performs ticketed programs in January and April/May. Most vocal
soloists are drawn from the chorus, but we hire professional vocalists for the more demanding
pieces. We also hire professional instrumentalists to accompany us in repertoire.
2. Benefit Concerts. Since 2009 our summer program has been a benefit concert: No tickets are
sold,and all donations are awarded to a local charity.Recipients have been Paws4Ever in Orange
County, the UNC Lineberger Comprehensive Cancer Center, CASTLE (the Center for
Acquisition of Spoken Language Through Listening Enrichment), the Durham Chapter of Arts
for Life, the Arthritis Foundation, the Inter-Faith Council, and the Food Bank of Central and
Eastern North Carolina.
3. Short programs.As a service to community members who may not be able to attend our regular
performances,we have sung midi-concerts at Carol Woods and Carolina Meadows in Chapel Hill,
and at House of Healing(Duke)and the Regent in Durham. We also have performed at the Orange
County Women First award ceremonies and for the NC Music Teachers Association conference.
4. Collaborative programs. We have performed concerts with area high school choral students,
with Vox Virorum men's chorus,and in the Strobilus Arts Series.
5. Commissions. We have commissioned 14 pieces over the last 16 years from the following
composers: Katherine Dienes, Lana Walker, Eleanor Epstein, Caroline Mallonee, Paul Leary,
Thom Limbert, Sidney Boquiren,Eleanor Daley,Nina Gilbert,and our own Dr. Allan Friedman,
5. Enrichment. We hold a Saturday retreat twice a year for members to work on choral techniques,
vocal health, choral history, and repertoire. We often hire clinicians to enhance those workshops.
PROPOSED USE OF GRANT FUNDS

Camp and Conference Center. In each of these locales, our conductor and accompanist have
sometimes struggled to see, handle music, and be heard. At our recent day-long choral retreats in
Chapel Hill, the spaces were not well-lit, nor was it possible for all chorus members to hear Dr.
Friedman. An amplification system was especially needed, for example,when we shared our retreat
with local high school girls' choruses in October 2014. The requested equipment would provide
immediate relief for these issues.

Overall, our audience has grown to about 1,200 people per concert season, and we have broadened
our community impact through summer benefits and other free performances.
The audience is of all ages (5-80+) with a slight female majority. Although some of our audience
members and singers live in the greater Triangle area, we primarily serve Chapel Hill—Carrboro and
Durham. We actively seek to widen the diversity of our audience through outreach, music selection,
and performance venues. Our concerts are regularly reviewed and receive accolades such as these
from local reviewers:

WVC Artistic Director Dr.Allan Friedman began his tenure with the chorus in fall 2007. In
addition to his work with WVC, Friedman is the music professional at Judea Reform
Congregation in Durham and the founding director of Sonam,a chamber choir specializing in
Renaissance music. From 2004 to 2012 he served as the associate conductor of Duke Chapel
Music, directing the Duke Vespers Ensemble and the Duke Divinity School Choir.
Friedman is also an active music teacher and clinician in the Triangle,teaching music history
courses for retirees,working with the KidZNotes program in East Durham, and leading choral
clinics and workshops throughout the state.
In addition to conducting and teaching,Friedman is an accomplished composer and arranger,
having studied composition with Marjorie Merryman at Boston University and Steven Jaffe at
Duke University. He has enjoyed several successful performances of his choral compositions and
arrangements,most notably his Holocaust cantata With Perfect Faith and his choral cycle Songs
of Radiance,which WVC premiered in 2010.
Originally from Duluth,Minnesota, Friedman earned his BA in music at Duke,where he studied
conducting with Rodney Wynkoop. In the fall of 1997, he studied at the University of Natal,
Durban in South Africa,where he learned choral music from Joseph Shabalala, leader of
Ladysmith Black Mombazo,renowned for their work on Paul Simon's album Graceland. In
2001 Friedman graduated with a Master in Musicology from the University of North Carolina,
Chapel Hill,where he wrote his thesis on South African choral competitions. While at UNC he
conducted the Collegium Musicum and the Harambe Choir. In the spring of 2005,Friedman
earned his Doctorate of Musical Arts from Boston University, where he studied conducting with
Ann Howard Jones and David Hoose. During his time in Boston, he conducted the BU Women's
Chorus and the BU Repertory Chorus and wrote his dissertation on Russian Jewish choral music
from St. Petersburg circa 1905-1925.
In his spare time Friedman enjoys knitting,reading, sudoku, and long walks with Katie,his wife,
and Amy,their dog.

Nancy Whelan is a collaborative pianist in the Triangle area and beyond,working with vocalists,
instrumentalists, and dancers in both classical and theatrical genres.
Whelan is the associate musical director and orchestra contractor for North Carolina Theatre
(hosting such Broadway legends as Beth Leave], Craig Schulman,Jacquelyn Pirot Donovan, and
Sally Struthers)and has more than 25 years of experience as a musical director, including such
productions as Hairspray(NCT)and Next to Normal (Theatre in the Park). She has been a
keyboardist for numerous Broadway touring companies, including the national tours of Wicked,
Evita,Mamma Mia!,and Billy Elliot,and was a member of NCT's Steel Pier national tour.
Whelan has performed with the NC Symphony on such shows as Wicked Divas, The Planets,
Petrushka, and Carmina Burana, and she recorded a CD with Andrew McAfee, former principal
horn with the NC Symphony. She is a frequent recital collaborator(with such artists as Bonnie
Thron,principal cello with the NC Symphony)and is a class pianist for the world-renowned
Carolina Ballet.
Whelan received her Master of Music in Performance with a Concentration in Accompanying
from Meredith College, where she studied with.lames Clyburn and Donna.lolly.

Based on information supplied, and assuming your operations will be as
stated in your application for recognition of exemption, we have determined
you are exempt from federal income tax under section 501(a) of the Internal
Revenue Code as an organization described in section 501(c) (3) .
We have further determ3rpd chat you are not a private foundation within
the meaning of section 509(a) of the Code, because you are an organization
described in section 509(x) (2) . ,
If your sources of support, or your purposes, character, or method of
operation change, please let us know so we can consider the effect of the
change on your exempt status and foundation status. In the case of an amend-
ment to your organizational- document or bylaws, please send us a copy of the
amended document or bylaws. Also, you should inform us of all changes in your
name or address.
As of January 2, 1984, you are liable for taxes under the Federal
Insurance Contributions Act (social security taxes) on remuneration of $100
or more you pay to each of your employees during a calendar year. You are
not liable for the tax .imposed under the Federal Unemployment Tax Act (FUTA) .
Since you are not a private foundation, you are not subject to the e::cise
taxes under Chapter 42 of the Code. However, you are not automatically exempt
from other federal excise taxes. If you have any questions, about excise,

Grantors and contributors may rely on this determination unless the
Internal Revenue Service publishes notice to the contrary. However, if you
lose your section 509(a) (2) status, a grantor or contributor may not rely

part of the organization that resulted in your loss of such status, or if he or
she acquired knowledge that the Internal Revenue Service had given notice that
