THIS AGREEMENT, entered into this 21st day of December, 2015, by and between Orange
County ("County"), by and through the Orange County Ails Commission ("Arts Commission")
and Gravelly Hill Middle School ("Grant Recipient").
WHEREAS,the Arts Commission is a countywide arts agency that ensures the growth of
local ails experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-prof t organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth,agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed five hundred and five dollars
($505) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. These funds must be matched at least dollar-for-dollar with cash from
the Grant Recipient's funds not derived from either Orange County appropriations or the
North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2016 and December 31, 2016. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
R. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein,the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
I). Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report, Grant Recipient shall submit to the Arts Commission a Final Report
on January 13, 2017 . The Final Report shall be in the format required by
the North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$505 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line(check all that apply):

i, x County Funds Only. "This program is supported by the Orange County
Arts Commission."
ii. North Carolina Arts Council Funding. "This program is supported by
the Orange County Arts Commission with funds from the Grassroots Program
of the North Carolina Arts Council, a state agency."
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHillARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all'claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall he construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below(hereinafter referred to as
"default"),the Arts Commission may immediately terminate this Agreement:
(1) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
S. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
R. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
HA and Article 40 of North Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Summary Statement for Proposed Uses of Arts in Education Grant On April 21,2016. Soul Street
Dance will perform and lead an interactive workshop for the district-wide event Cultural Explosion, hosted
by Gravelly Hills Middle. Soul Street Dance is comprised of four professional`street dancers who explore
different types of dance, such as breakdance and hip hop.through a variety of music genres.The
performance and workshop will tie into the K-12 Dance Social Studies and Math curriculums. Funding
from the Orange County Arts Commission will subsidize performer fees for this event.

Application Narrative
School Profile
Gravelly Hills Middle, located in Efland, serves students in sixth through eighth grades and is
part of the Orange County Schools' district. There are approximately 484 students at Gravelly
Hills Middle and 44 certified staff. The staff works collaboratively to design lessons, create
authentic assessments, implement research-based remediation and enrichment interventions
for all students as they prepare for high school.
This year, Gravelly Hills Middle will host the district-wide event-Cultural Explosion- in April
2016. Orange County Schools, comprised of 13 schools, includes seven elementary schools,
three middle schools, three high schools and an alternative school all located in Hillsborough
and Efland.
School Arts Program
Gravelly Hill Middle School offers Art, Chorus and Band for students.
Within Orange County Schools, elementary students participate in Art and Music as part of their
special area classes. Middle school students can participate in Music,Art or Band, and high
school students can choose from as assortment of arts program, such as Art, Band, Theatre
and Chorus.
Proposed Use of Grant Funds
On April 21, 2016 Gravelly Hills Middle will host a district-wide event-Cultural Explosion—from
5:30 to 7:30pm for students and families within Orange County Schools. Cultural Explosion will
bring together all of the schools in Orange County and the surrounding communities to
celebrate diverse cultures from around the world and recognize their impact on education. This
evening event is comprised of interactive culturally-Chemed booths, student performances and
food vendors and allow students and families to explore and learn about a variety of cultures
simultaneously. More than 1,500 students and their family members are expected to attend.
Specifically, funding from the Orange County Arts Commission would help support a feature
performer at the event-Soul Street Dance. Soul Street is a nationally known dance company
based out of Houston, TX, and is comprised of four professional male 'street' dancers. During
Cultural Explosion, Soul Street will perform in the auditorium and then facilitate an interactive
hour-long workshop for interested students and families. Throughout the performance piece,
this inspirational group of young men, formerly considered at risk, takes students on a high-
flying participatory trip from Brazil's Capoeira to New York's break dance with repertoire ranging
from the music of Vivaldi and, to Rock n Roll to Hip-Hop and every stop in between. During the
interactive workshop following the performance, participants will join Soul Street in fun dance
and work-out drills. Soul Street will teach participants the foundation of many dance styles and,
very importantly, to"catch"the rhythm and"first move" and dance in time to the beat. Different
styles of choreography are taught that they can then use to create their own original dances.
Through this experience, students will engage in a very unique art form that they would
otherwise not have opportunities to experience.

The Soul Street Dance performance ties in with the K-12 dance curriculum in a variety of ways,
including the concepts of movement skills in dance; choreographic principles, structures and
processes to create dance; and cultural, historical and interdisciplinary connections with dance.
In addition, several social studies concepts will be covered during the performance and
interactive component, including an exploration of the diversity of people in the local community,
the influence of cultures on communities, the visible diverse culture in local and regional
communities and the significance of cultural groups. During the interactive piece after the
performance, students will be able to participate in choreographing their own dances, which
brings in math concepts, such as patterns, as well as problem solving. Students also learn
about the human body through movement, which is part of the Science curriculum.
There are 7,506 students in the elementary, middle and high schools of Orange County
Schools, as well as 553 teachers. Of those, there are 3,310 elementary (1,767 male and 1,543
female), 1,736 middle (907 male and 829 female) and 2,450 high school students (1,247 male
and 1,203 female), all of which live in Hillsborough and Efland. Students in elementary school
are between 5 and 11 years old, middle 11 and 14 years old and high school 14-18 years old.

This is the sixth year Orange County Schools has sponsored Cultural Explosion, and the
second time Gravelly Hills Middle has hosted the event. This is the first time, however, that the

Artist Resumes (Bios)
Although they are called a "Dance Company," Soul Streets' talents far outstrip any one category. In
addition to dance, Soul Street performers are actors, athletes, (with uncanny strength), and lately,
songwriters and musicians.Soul Street's high standard and attention to detail coupled with impeccable
business practices earned them the honor of representing The United States Of America abroad under
the auspices of the Arts Envoys touring program from the State Department's Bureau of Educational
and Cultural Affairs. They have recently completed two tours of the European Eastern Bloc, sharing
the joy of dance through workshops and performances with young aspiring dancers from the former
Soviet Union countries.They are currently in preparation to represent the U.S.further in an upcoming
tour of Haiti. In all travels they garner goodwill for our country and Houston,Texas by modeling sober,
responsible behavior along with open hearts and minds and clean fun that allow them to seamlessly
share experience with all cultures. Soul Street has the amazing ability to totally engage audiences
from ages two to two hundred.A huge repertoire and outstanding flexibility have earned them the title,
"Rock Stars of the Educational Theatre World" and they're working hard to expand these accolades
worldwide!
The following are bins for the four performers:
Javier Garcia(Co-founder/Director): Known for his creative"b-boyin'tricks,"power moves and
blowups, Javier also portrays a witty comedic side on and off the stage. He has more than 10 years
of performance experience and has toured extensively throughout the U.S. and many other
countries. He has performed at some of the most prestigious theatres and festivals worldwide with
some of Hip Hop's biggest musical acts. Last but certainly not least, he has been Captain of the
Launch Crew for the NBA's Houston Rockets for the last 8 years.
Rock Williams(Co-founder): Rock is an outstanding dancer and a highly energetic performer with
24 years of experience. Through poppin' n' lockin' and house footwork he can make you believe that
you are seeing impossible things. He has also traveled across the U.S. and Europe as a principal
dancer.
Cedric D. Hicks—At age 22, Ced is the youngest and newest member of Soul Street Dance. He
has appeared with The Houston Rockets Launch Crew, Houston Comets, Southern University
Dance Company and has danced as a featured guest with local artist Paris House and numerous
hip-hop teams.
Roy Ramirez: A well-rounded b-boy,with skills including power moves, blowups,footwork, uprock
and toprock. He has won Red Bull battles in Houston and throughout Texas. He is also a member
of United B-Boys and dances for the Houston Rockets.

Budget Statement
Cultural Explosion is a free event for Orange County Schools' students and families. It is run by
volunteers, and many of the performers and booth participants are students and teachers_ As a
result, there has been no budget in the past, and any needed supplies were donated or were in-
kind contributions. This year is the first time the committee is hoping to have a professional
performance (Soul Street Dance)at the event. Therefore, the budget outlined on the budget
page of this application is the budget in its entirety.
