DocuSign Envelope ID:3A2943C2-EE76-446E-9116-3566395E1533 C e ORANGE COUNTY ARTS COMMISSION Immit FALL,2015 GRANT AGREEMENT it n THIS AGREEMENT, entered into this 21st day of December, 2015, by and between Orange County ("County"), by and through the Orange County Arts Commission ("Arts Commission") and The ArtsCenter("Grant Recipient"). WHEREAS,the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with funds from the Grassroots Program of the North Carolina Ails Council, an agency of the Department of Cultural Resources and the National Endowment for the Ails. WIIEREAS, the Grant Recipient was selected by the Arts Commission to receive the Spring Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth,agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed one thousand two hundred and fifty dollars ($1,250) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. These funds must be matched at least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient I Revised June 2015 DocuSign Envelope ID:3A2943C2-EE76-446E-9116-3566395E1533 A. Implementation. The Project implementation shall take place between January 1, 2016 and December 31, 2016. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but riot limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein,the modifications shall be deemed approved. C. Non—assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose of implementing the Project and Project related expenses. F. Final Report. Grant Recipient shall submit to the Ails Commission a Final Report on January 13, 2017 . The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. S. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $1,250 to the Grant Recipient. 6. Publicity A. Acknowledgement. Credit must be given to the Orange County Arts Commission using the Arts Commission logo and if State funds are received to the North Carolina Grassroots Program in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. When no printed information is used, verbal credit shall be given. The Grant Recipient must enter all events, exhibits and performances open to the public and related to this grant award on the ExploreChapelHillARTS.com website and display ExploreChapelHillARTS.com publicity materials (postcards, brochures, etc.) prominently and consistently at their venue or performance space. In addition, the Grant Recipient must add a link to the ExploreCliape1Hi1IARTS.com (ExploreChapelHillARTS.com logo preferred) to their main webpage. The Grant Recipient shall contact the Orange County Arts Commission for replacement ExploreChapelHillARTS.com publicity materials. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government, Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below(hereinafter referred to as "default"),the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised Julie 2015 DocuSign Envelope ID:3A2943C2-EE76-446E-9116-3566395E1533 (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall he binding upon the parties, their heirs, successors and assigns. B. Governing Law. This Agreement shall be interpreted in accordance with the laws of the State of North Carolina and the Orange County. C. Entire Agreement and Signatures. The parties have read this Agreement and agree to be bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. From that modest first step and the extraordinary creative vitality of Carrboro, an amazing community educational organization using the arts began. During 2014, The ArtsCenter served 114,000 people, one third under the age of 18. Our work created a local economic impact estimated at $3,488,830, generating 111 full time jobs and $328,000 in state and local tax revenue. Our core services are The ArtSchool (serving 15 year olds through retirees) and our youth programs (serving pre-K through 15 year olds though Afterschool Arts Immersion, Arts-In Education, ArtsCamp, School Shows, and Youth Art Classes). Additionally we serve audiences via theater performances, live concerts, and gallery exhibits. Many of these activities are implemented together with other community organizations, area businesses, area schools, and local governmental agencies and departments Mission:The ArtsCenter exists in order to inspire creativity and to enrich the lives of people of all ages. Current Programs and Services The ArtsCenter is organized into five programs: AdSchool. ArtSchool at The ArtsCenter is Orange County's most comprehensive non- profit resource for continuing education in the arts on a non-degree, community basis. The ArtSchool now offers more than 400 classes in all artistic disciplines for all experience levels and ages, awards more than 15 scholarships annually, and offers work-study opportunities. Youth Programs. The ArtsCenter has provided artistically excellent, age-appropriate and accessible arts experiences to Triangle families for more than 30 years. Currently, The ArtsCenter offers the 90-event School Show Series, the SuperFun Series for family audiences, ArtsCamp in the summer, AfterSchool Arts Immersion and Arts In Education during the school day to area youth and families. Youth Arts Classes (YAC) include fine art classes for youth and workshops and camps year round in acting, drawing, painting, writing, photography, ceramics, dance, acting for the camera, improvisation and more Gallery. The Nicholson Gallery features the work of local and regional artists on a rotating basis. The Gallery exhibitions highlight the work of more than 100 local and regional artists in 12 exhibitions ❑ year. International theatre at its most local, ArtsCenter Stage showcases the work of emerging and established artists hailing from next door to around the world. ArtsCenter Stage features newer works, while its second-stage series includes improvisation and storytelling, musicals and operas, stand-up comedy and film screenings, new works in development and theatre for younger and older audiences. ArtsCenter Stage is community-oriented theatre with a commitment to developing new artists and audiences. Concerts. The ArtsCenter presents approximately 60 concerts for adults each year, representing the spectrum of musical genres by touring artists including folk, blues, Celtic, rock, singer-songwriter, old-time, and bluegrass. Proposed Uses of Grant Funds Sankofa:African American Music from Spirituals to Hip-Hop, with The Beast Beautifully rebellious and refreshingly original,The Beast is one of the most imaginative bands to emerge from North Carolina's burgeoning music scene.The Durham-based quartet fearlessly navigates worlds of hip hop and jazz with compelling lyrics, progressive compositions and a gripping live show. The Beast developed its sound at UNC-Chapel Hill where pianist Eric Hirsh, drummer Stephen Coffman, and bassist Peter Kimosh studied jazz, while emcee Pierce Freelon developed his intelligent lyricism in classrooms and music venues across campus. The quartet joined forces after graduating in 2007. The Beast is dedicated to education and cultural outreach. The group has developed workshops on creativity, improvisation, and the history of African-American music based on the Blackademics Hip Hop curriculum founded by Freelon. A professor of African American Studies at UNC Chapel Hill and NC Central University, Freelon's workshops have reached a multi-generational audience from New York to New Delhi. In their award-winning Sankofa program, The Beast will weave the story of African American music into an interactive informance (information-performance). Performing original songs, as well as standards from the spiritual, blues,jazz and Hip-Hop canon, The Beast will introduce students to a revolutionary new style of music while paying homage to the musicians who came before them. By the end of this performance students will be able to: • Identify the several styles of African American music. • Define common musical themes across various American musical styles, including: improvisation, storytelling and call & response. • Understand how music relates to history and culture. • Recognize different styles of music by sound. 2 DocuSign Envelope ID:3A2943C2-EE76-446E-9116-3566395E1533 The ArtsCenter School Shows Presentation of Sankofa by The Beast Information from artist's website (http://www.thebeastmusic.comleducation/sankofa/) School Shows at The ArtsCenter(January 26th, 2016 at 10:00 AM and January 29th at 10:00 and 11:30 AM):The ArtsCenter is presenting three performances of Sankofa by The Beast, as part of the School Show Series (see enclosed 2015-2016 School Show Series poster), which provides schools with the opportunity to attend arts and cultural performances in a professional theatre during the school day. The ArtsCenter's School Show Series consists of high-quality, arts-based educational performances by local, regional, and national artists. Each year, the School Show Series provides more than 20,000 experiences to area youth through the combination of performances at The ArtsCenter and in area schools.The majority of participants in the School Show Series each year reside in Orange County. The series reaches a combined population that is 52%White, 25%African-American, 14% Latino, 7%Asian-American, and 2% Native American,which is more diverse than other ArtsCenter audiences. Based on current reservations,we anticipate The Beast's School Shows at The ArtsCenter to reach more than 700 people. In fact, demand for this show is so high that we have added a performance to accommodate more students! Attendees represent four districts (Orange, CHCCS, Durham, and Chatham) and include ❑ mix of students (K-8th) from area public schools as well as some local home-school groups, and many students qualify for free & reduced lunches. Having School Shows at The ArtsCenter not only expands the geographic reach of The ArtsCenter's educational programming but also enables students to make field trips to The ArtsCenter to experience a performance. For some students, stepping into The ArtsCenter's theater may be the first time they have ever been in a professional performance space and their first time experiencing a live performance in ❑ theater venue.To ensure accessibility of these opportunities, School Shows at The ArtsCenter are offered at an affordable cost ($7/ticket) and reduced-price scholarship tickets are available.Teachers receive one free ticket for every 10 students. In addition to making School Shows financially accessible for schools, it is also important to emphasize educational connections. When available from the performer, The ArtsCenter provides teachers with a study guide for the performance.These guides help prepare students for the shows and provide ideas on ways for teachers to extend the experience in the classroom before and after the performance (see the enclosed Sankofa teacher and study guides). For more than 30 years,The ArtsCenter has served area youth and families in the community through performances and other arts-based educational experiences. This booking of The Beast is similar in scope to many other artists' visits. We can't wait to share our genre-bending Hip Hop and Jazz curriculum with your students and faculty—we always have a fun time! In this guide, we've provided you with some resources to prepare you and your students for our performance. Please feel free to use any of the information to give your students a bit of background to the program. This is an interactive performance,which relies on participation and volunteers, so be prepared—we might even call on you teachers? Coded Language—the hidden,double meaning behind words and lyrics,only understood by people within a certain group. Blue—the feeling of being melancholy or sad. Improvisation—to create or perform spontaneously or without preparation Soloist—in a jazz ensemble, the soloist is the primary person improvising,usually over a predetermined sequence of chord changes. Genre-bending--genre bending is the art of fusing different musical styles together. The Artist acknowledges and agrees that commencement times for staging, technical installations, rehearsals, sound checks and performances are subject to minor adjustment due to delays and the Artist covenants and agrees to reschedule these items, as necessary, upon notification by TAC. 7. The Artist acknowledges the time and location constraints Imposed by the scheduling of multiple events and covenants and agrees to abide by the scheduling provided by TAC for technical checks and rehearsals. Failure to use the scheduled time may result in a loss of the scheduled opportunity and the Artist covenants and agrees to perform the agreement notwithstanding. 8. TAC shall provide dressing rooms and refreshments as appropriate and in accordance with the particulars as set out in Schedule"D", attached hereto. - 9. Should both parties fail to establish a date to reschedule,the above-stated obligations will be canceled and neither party shall be able to make a claim for damages or breach of contract. 13.Cancellations due to inclement weather shall be at the sole discretion of TAC. 14.The parties agree that the Artist is an independent contractor and not an employee of TAC and nothing contained in this agreement shall create an employer/employee relationship. 15.This agreement shall be governed by and construed in accordance with the laws of North Carolina. 16. If the Artist is from any state other than North Carolina and receives over$1500,a mandatory state tax of 4%will be taken out unless documentation of tax exemption is provided, 21.Listed below are any additional agreements that were made between the contracted parties.
