J 14AUq L& PALL 2015 GRANT AGREEMENT
THIS AGREEMENT, entered into this 30th day of December, 2015, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts Commission")
and Triangle Weavers ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand five hundred dollars
($1,500) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. These funds must be matched at least dollar-for-dollar with cash from
the Grant Recipient's funds not derived from either Orange County appropriations or the
North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2016 and December 31, 2016. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein,the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 13, 2017 . The Final Report shall be in the format required by
the North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Pant. The Arts Commission shall release the grant funds in the amount of
$1,500 to the Grant Recipient.
6. Publicity
A. Acknowled eg ment. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line (check all that apply):

i. x County Funds Only. "This program is supported,by the Orange County
Arts Commission. "
ii. North Carolina Arts Council Funding. "This program is supported by
the Orange County Arts Commission 1Oth funds from the Grassroots Program
of the North Carolina Arts Council, a state agency. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHillARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below(hereinafter referred to as
"default"),the Ails Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
I IA and Article 40 of Not Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Summary Statement for Proposed Uses of Arts Program Grant:
In March of 2015,Triangle Weavers(TW)established the Triangle Fiber Arts Center(TFAC)at the
Shared Visions Retreat Center(www.sharedvisions.org)in Orange County.The Guild respectfully
requests$1500 to be used to help defray a portion of the costs associated with renting and equipping the
space thereby enabling the guild to offer a greater number of affordable textile arts classes and to expand
its many community outreach projects.

Narrative
Organizational Profile
Triangle Weavers (TW)is a non-profit 5016,all volunteer member-supported organization devoted to
supporting the fiber arts through programs,textile exhibitions and outreach in Orange County and central
North Carolina.Over its 43 year history TW has been unwavering in its efforts to share the area's rich
textile and fiber arts heritage with its members and the community.Membership is open to anyone
interested in textile arts,weaving,color,dyeing,spinning,basketry,knitting,felting and surface design.
In March of 2015 TW made a commitment to strengthen its presence in the community by leasing a space
and establishing the Triangle Fiber Arts Center(TFAC)at the Shared Visions Retreat Center in Orange
County(www.sharedvisions.org).The primary purpose of the fiber arts center is to provide a classroom
space for more educational and in-depth workshops for guild members and the public,a well-equipped
teaching space for additional weaving and textile arts classes,and a venue for expanded community
outreach programs.
The Guild is respectfully requesting$1500 to be used to help cover some of the costs associated with
renting and equipping the space in order to host more weaving and textile arts classes and expand its
community outreach to adults and children of all races,gender and socioeconomic groups in the area.
Current Programs and Services
• Assists and provides materials,looms and volunteers for summer kids' weaving and fiber camps at
Camp New Hope in Hillsborough
• Provides weaving materials and looms for Peace Haven,an organization working with adults who

• Provides handwoven or knitted Linus Blankets for children with cancer
• Donates preemie hats and blankets to the UNC Hospital Neo-Natal Unit and handwoven mittens
and scarves to local shelters and families in need
• Recently conducted the following textile outreach shows and demonstrations to the public:
• NC Folk life Festival and NC Roots Festival,Come&Out and Play Weaving Demonstration
and Show
• Weaving 101 Carrboro Arts Center
• ELF Fair,Second Annual Apex Founders Day and Carolina Fiberfest
• North Carolina Craft Gallery Sale and Exhibit,Duke Hospital Fair
• Demonstrations and teaching session at local scout troops,schools,and Charles House,a day
care center for the elderly
• Sponsored and coordinated the following classes and learning opportunities:
• Beginning weaving classes,rigid heddle weaving,split ply braiding,dyeing of warps and
skeins for weaving
• Annual workshops with national leader,Daryl Lancaser on Garment Construction and
Finishing Techniques for Handweavers
• Member led textile art study groups including
• Beginning and advanced color study
• Handwoven journal discussion group
• Weaving structures study group
• Tapestry
• Contemporary Textile discussion group
• Hosts free monthly educational programs for the public
• Provides TW's web page www.triangleweavers.org,list serve and Facebook page for community
use

Proposed Uses of Grant Funds
The Orange County Arts County grant money will pave the way for Triangle Weavers to rent,maintain
and adequately equip the TFAC space. The grant will ensure the center will become a self-sufficient,
vibrant place with a strong connection to the community and continued vision of teaching and sharing
textiles and fiber arts with its members and the public of all ages,gender,race and socioeconomic
backgrounds.
With support of the grant,TW plans to retain space in the Shared Visions Retreat Center
(www.sharedvisions.ore)in order to:
• Provide guild members and the general public with a handicapped accessible,comfortable,working
space to gather together,to study and to share fiber arts knowledge and skills,
• Expand its educational and outreach programs to a larger audience giving non-weavers the
opportunity to try their hand at weaving,spinning and textile arts.Groups reached include public
schools,senior groups and other organizations in the area,
• House,preserve and maintain a wide selection of current and historical fiber arts publications and
learning materials that TW has acquired,
• Sponsor more classes and workshops with local and nationally known textile instructors,
• Host free presentations and demonstrations focusing on the textile and fiber arts.The local
community will be invited to demonstrations and presentations highlighting works rooted in our local
tradition but also looking forward to the future to inspiring a new generation of emerging textile
artists,
• Assist members in forming and sustaining more self-led interest and study groups thus enriching
members' knowledge,skills and creativity,
• Provide additional weaving looms and repair current equipment so that members can rent or borrow
for classes and personal use.
It is TW's goal to facilitate,oversee and maintain the following projects:
• Upgrade and sustain a website www.triangleweavers.org and Facebook page
• Host the following classes at TFAC:
• Beginning and Advanced Weaving Classes and Workshops
• Rigid Heddle Weaving
• Split Ply Braiding
• Basket Weaving
• Beginning and Advanced Color Classes for textile artists
• Felting,spinning,dyeing,intermediate classes focusing on specific weave-structures
• Host the following workshop at TFAC with a nationally recognized instructor:
o Block Structures with Robyn Spady in March 2016
• Support,coordinate and oversee the following study groups at TFAC:
• Contemporary Textile discussion group
• Three Handwoven Journals discussion groups
• Warpsters,a weaving structure group
• Tapestry study group
• Garment study group
• Repurposing and using heirloom linens interest study group
• Coordinate additional events to be held at TFAC including but not limited to:
o Drop-in and Learning Sessions Tuesdays and Saturdays 1-4 PM with informal gatherings
on topics such as Using Fiberworks(a computer design program for textile artists),
Weaving techniques with cards,Woven Transparencies,Warping Back to Front,
Finishing Techniques
• Coordinate shows and demonstrations including but not limited to:

o Community TFAC Weave-In: Members of the community will be offered the opportunity
to come to Center for information and hands-on learning experience and Carolina
Fiberfest 2016

• April 28: Lynn Pownel,Mounting and Hanging Woven Items in Your Home;
• May 29: End of Year Celebration Guild Outreach. Recognition of outreach events,
contributing persons,new members/weavers as a result of outreach events
• Expand and sustain the following outreach programs:
• Continue providing materials,looms and volunteers for a number of local children's weaving
and fiber camps
• Explore ways to develop a TW sponsored children's textile arts program
• Provide more weaving support,materials and needed equipment for Peace Haven,an

The guild has an extensive collection of weaving equipment including several weaving looms and
weaving tools along with learning,educational and audiovisual materials. This collection is housed and
used at TFAC for classes,study groups,workshops and community outreach demonstrations.To offset a
portion of the cost,TW rents equipment to members who do not have looms or cannot afford to purchase
looms.
There are currently over 135 members of TW.However,TW's goal is not to only serve guild members.
Its vision is to pass on and share a wide range of fiber arts and ensure the vitality of textile arts within the
community at large.Each year more and more people interested in fiber arts approach the guild.With the
aid of grant money from The Orange County Arts Council,the guild will be able to offer additional
classes,workshops,demonstrations,learning opportunities and community outreach for people of all
ages,gender,race and socioeconomic backgrounds at the newly formed Triangle Fiber Arts Center in
Orange County.

Design for the inkle loom,including appropriate yarns,possible projects and design resources

Goals: Introduce participants to weaving on a rigid heddle loom,including the opportunity to warp the loom and
complete a small project
Materials: rigid heddle loom,yarn,weaving books and journals
Basic weaving terms
Planning a project,including selecting yarns and calculating yarn needs,and record keeping
Winding a warp and dressing the loom
Weaving on the loom to produce a small project such as a scarf or table runner including finishing techniques
Outcome: Participants should leave with a second project planned and an introductory knowledge of weaving on a
rigid heddle loom.
Curriculum for Beginning Dyeing
Goals: Introduce participants to dyeing skeins and painting warps
Materials: dyeing books and resources,procion dyes,urea,soda ash,gloves and face masks
Introduction to dyeing terms,the color wheel and different kinds of dyes
Planning a project,including selecting yarns and calculating yarn needs,selecting colors and record keeping
Winding a warp or skein,scouring the warp,preparing workspace and mixing dyes
Dyeing a skein or painting a warp to produce a small project.
Batching and rinsing of dyed skeins and warps.
Outcome: Participants should leave with a dyed skein or warp and leave with instructions on hatching and washing
the project
Curriculum for Block Weaving Workshop by Robyn Spady
Goals: Understand the terms"block design'and"profile draft",learn how to develop new patterns and push
weaving to new limits
Materials: Weaving loom and assorted yarns
Outcome: Participants will become familiar with structures and how they can be manipulated into new designs and
open up an unlimited number of new possibilities.
