THIS AGREEMENT, entered into this 22nd day of December, 2015, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts Commission")
and Ephesus Elementary School PTA("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local amts experiences by providing funding and support for diverse high quality programs and
proj ects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Ails Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand dollars ($1,000)
have been awarded by the Arts Commission to the Grant Recipient for the approved
Project. These funds must be matched at least dollar-for-dollar with cash from the Grant
Recipient's funds not derived from either Orange County appropriations or the North
Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2016 and December 31, 2016. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Proj ect.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein,the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 13, 2017 . The Final Report shall be in the format required by
the North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,000 to the Grant Recipient.
6. Publicity
A. Acknowled eg ment. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line (check all that apply):

i. x County Funds Only. "This program is supported by the Orange County
Arts Commission. "
ii. North Carolina Ails Council Funding. "This program is supported by
the Orange County Arts Commission with funds fi°om the Grassroots Program
of the North Carolina Arts Council, a state agency. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChape1HillARTS.com
website and display ExploreChapelHillARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChape1HillARTS.com (ExploreChape1HillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChape1HillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below(hereinafter referred to as
"default"),the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing_Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
11A and Article 40 of North Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Summary Statement for Proposed Uses of Arts in Education Grant
The Ephesus Elementary School PTA is requesting a $1000 to be matched by $1700 from the PTA
budget to pay the artist fees for two Cultural Arts Assembly programs. The programs will be
presented to all students at the school (Pre-K through 5th grade): "Didgeridoo Down Under" (to be
performed on January 6, 2015) and "Meet Dr. King" (on February 26, 2015).

Arts Program Application Narrative
Ephesus Elementary School Profile
Ephesus Elementary School is one of eleven elementary schools in the Chapel Hill-Carrboro City
School District. It serves approximately 437 students in grades K-5 as well as two pre-K/ Head Start
classrooms. The demographics of the school population are as follows.
• Approximately 11% of students self-identify as African American.
• Approximately 12% of students self-identify as Hispanic.
• Approximately 20% of students self-identify as Asian and Other Race.
• 28% of the.student population qualifies for free or reduced lunch.
• 11% of students use English as a second language.
• 11% of school population is identified as Exceptional Children including two self-contained
classrooms of five children in each classroom.
Of note, putting on assemblies at Ephesus Elementary School is more expensive than at other schools
because the largest assembly space (the Gymnasium) only fits one-half of the student population at a
time. Because of this space limitation, each Cultural Arts assembly has to be shown two times: first to
the students in pre-K through 2nd grades and then to students in 3rd through 5th grades.
Ephesus Elementary School Arts Programs
Ephesus students in grades K-5 receive weekly instruction in art, music, and PE. Additionally, students
in grades 1-5 study French two times per week for 20 minutes per classroom session.
The Ephesus PTA annually organizes voluntary participation in the PTA Reflections Art Program.
Additionally, the PTA sponsors an annual International Festival to increase students' exposure to other
cultures, languages and geography.
Proposed Uses of Grant Funds
For the past several years, Ephesus Elementary School has booked its cultural assemblies through The
ArtsCenter (Carrboro) Arts in Schools program.
Each year, The ArtsCenter creates a roster of several programmatically diverse performances while
acting as an intermediary between the schools and the performers. In this capacity, The ArtsCenter
streamlines the process of finding and booking appropriate, high-quality cultural performances for
school assemblies and is in a position to negotiate better rates for the artists through a concentrated
"Block Booking" arrangement on behalf of the schools.
During the 2015-2016 school year, Ephesus Elementary PTA has contracted three such performances
to be shown to our students: "ELECTRICITY!" performed Thursday, October 22, by Red Herring

Puppets; "Didgeridoo Down Under", to be presented Wednesday, January 6, by Rob Thomas and
Tanya Gerard; and "Meet Dr. King", to be performed on Friday, February 26, by Bright Star Theatre.*
We are requesting this grant to help defray the cost of putting on the two remaining shows of the
current school year.
Didgeridoo Down Under ($1550)
January 6, 2016 Genre: Music, interactive educational program Grades: K-8
Curriculum Connections: Guidance/Character-Building, Music Education, World Cultures, Social
Studies/History
Description: Didgeridoo Down Under is a unique show that combines Australian music, culture,
science, literacy development, puppetry, comedy, character building, anti-bullying and
audience participation. The didgeridoo, usually a hollowed-out tree trunk, has been played by
Aboriginal Australians for at least 1,500 years, and is known for its otherworldly sound. But
DDU is much more than music. It's interactive, educational, motivational and super fun ... a
one-of-a-kind "edu-tainment" experience! (50 minutes)
Meet Dr. King (Bright Star Children's Theatre - $1150)
February 26, 2016 Genre: Theatre Grades: PreK-5
Curriculum Connections: Social Studies/History, Guidance/Character-Building, Theatre Arts, African
American History
Description: For your youngest audiences we introduce this much anticipated production that
celebrates the life and work of Dr. King in an accessible and easy to follow story. Students will
learn about key moments in the life of Dr. Martin Luther King Jr. from his childhood in Atlanta,
Georgia and the important lessons passed down by his father, to some of his greatest
moments as an inspiring leader. Meet Dr. King is the perfect introduction to an American hero
and will inspire young audiences to use peace, leadership and conflict resolution in their own
schools and communities.
Along with our fall Cultural Assembly, these programs were chosen to balance diversity of content
and medium with an evenly dispersed booking schedule through the year. Further considerations
included programs that complimented the school curriculum as well as programs that would
encourage students to understand their place in the world in a new way: "ELECTRICITY!": the creation
of new ideas and inventions and how these ideas have contributed to the modern world; "Digeridoo
Down Under": awareness of other cultures and values, tolerance to individual differences, and anti-
bullying; "Meet Dr. King": a profile of a national hero, his work and life, and his ability to help an entire
nation create new social norms.*
*Although already concluded, a brief description of the fall performance of"ELECTRICITY!" is being included because
it is part of the series of Cultural Arts Presentations being presented at Ephesus.

As noted above, each of these performances are shown twice at Ephesus Elementary. The school's
largest assembly space (the Gymnasium) only fits one-half of the student population at a time.
Because of this space limitation, each Cultural Arts assembly is shown two times: first to the students
in pre-K through 2nd grades (235 students including pre-K) and then to students in 3rd through 5th
grades (226 students). The necessity of showing each program twice adds quite a bit of cost to
programming for assemblies and makes this grant particularly impactful at Ephesus.
Again, as noted above, the school population is very diverse including 57% white and 43% non-white
students (Hispanic, African-American, Asian, and Other). Additionally, 28% of the student population
qualifies for free or reduced lunch. Further traditionally underserved populations include students
using English as a second language (11%) and Exceptional Children (11%) including two self-
contained classrooms of five children in each classroom. As may be expected, the children range in
age between three (preK) to twelve (oldest 5th grade students) and are approximately evenly divided
between boys and girls.
In order to give them opportunities to create additional synergies with the curriculum, teachers are
informed of the Cultural Arts Assemblies at the beginning of the school year and then again reminded
of the Assembly seven to ten days in advance of the performance. When the artists provide
additional materials such curriculum supplements or website links, these are provided both to
Ephesus teachers through direct email and to interested parents via the PTA weekly e-newsletter.

2015-2016 School Shows Performance Agreement
Agreement made on August 3, 2015 between Ephesus Elementary School and The
ArtsCenter, Inc. It is mutually agreed between the parties as follows:
1. Ephesus Elementary School agrees to present the following performances:

2. Ephesus Elementary School will pay The ArtsCenter the designated sums on or
before the dates of each performance:
• $1200 on or before Thursday, October 22nd, 2015
• $1550 on or before Wednesday, January 6th, 2015
• $1150 on or before Friday, February 26th, 2016
3. In the case of inclement weather, or any other act of God beyond either party's
control which does or would significantly impact the ability of either party to perform
or present under this contract, every attempt will be made to reschedule to the first
date convenient to all parties. Should all parties fail to establish a date to
reschedule, the above-stated obligations will be cancelled and neither party shall
be able to make a claim for damages or breach of contract.
4. Cancellations of any performances must be made by August 31, 2015. Ephesus
Elementary School will be responsible for payment for any shows cancelled after this
date.
5. If Ephesus Elementary School wishes to switch their performance date or time with a
partnering school because of a scheduling conflict, it is the responsibility of Ephesus
Elementary School to find a school willing to switch. This switch cannot disrupt the rest
of the scheduled programs/block-bookings.

Tanya grew up in Australia, and both she and Rob have travelled extensively abroad. They lived in
Santa Fe, NM, for 22 years before moving to North Carolina in 2013 to work full-time with DDU.
They're expecially excited to help kids become better global citizens through motivational
messages about character building, environmentalism and literacy. Tanya has written a children's
book, The Adventures of the Wild, Wild Wolf(www.thewildwolf.com).

Bright Star Touring Theatre was launched to provide high caliber, professional theatre at an
affordable and all-inclusive price. Our objective has long been to make theatre as accessible as
possible — and to reach as many young people as we could, a commitment we proudly stand by
