Terms&Conditions
1) Prime Recipient hereby awards a cost reimbursable subaward, as described above,to Subrecipient.The statement of work and
budget for this subaward are(check one): ❑ As specified in Subrecipient's proposal dated I ;or❑✓ as shown in
Attachment 5. In its performance of the subaward work,Subrecipient shall be an independent entity and not an employee or
agent of Prime Recipient.
2) Prime Recipient shall reimburse Subrecipient not more often than monthly for allowable costs.All invoices shall be
submitted using Subrecipient's standard invoice, but at a minimum shall include current and cumulative costs (including
cost-sharing), subaward number, and certification as to truth and accuracy of invoice. Invoices that do not reference Prime
Recipient's Subaward Number shall be returned to Subrecipient. Invoices and questions concerning invoice receipt or
payment should be directed to appropriate party's Financial Contact as shown in Attachments 3A&3B.
3) A final statement of cumulative costs incurred, including cost-sharing, marked"FINAL" must be submitted to the Prime
Recipient's Financial Contact, as shown in Attachments 3A&313, NO LATER THAN 60 days after subaward end date. k
Final statement of costs shall constitute Subrecipient's final financial report.
4) All payments shall be considered provisional and subject to adjustment within the total estimated cost in the event such
adjustment is necessary as a result of an adverse audit finding against Subrecipient.
5) Matters concerning the technical performance of this subaward should be directed to the appropriate party's Principal
Investigator, as shown in Attachments 3A&3B.Technical reports are required as shown above, "Reporting
Requirements."
6) Matters concerning the request or negotiation of any changes in the terms conditions or amounts cited in this subaward
agreement, and any changes required prior approval, should be directed to the appropriate party's Administrative Contact,
as shown in Attachments 3A&3B.
7) Each party shall be responsible for its negligent acts or omissions and the negligent acts or omissions of its employees, !!
officers, or directs,to the extent allowed by law.
8) Either party may terminate this subaward with 30 days written notice to the appropriate party's Administrative
Contact as shown in Attachments 3A&3B. Prime Recipient shall pay Subrecipient for termination costs as allowable
under OMB Circular A-21 or A-122 or 45 CFR 74 Appendix E as applicable.
9) No Cost Extensions require the approval of the Prime Recipient.Any request for a no cost extension should be addressed
to and received by the Administrative Contact, as shown in Attachments 3A&313, not less than thirty(30)days prior to the
desired effective date of the requested change.
10) The Subaward is subject to the terms and conditions of the Prime Award (Attachment 6) and other special terms and I
conditions,as identified in Attachment 2.
11) By Signing below Subrecipient makes the certifications and assurances shown in Attachment 1. Subrecipient also assures
that it will comply with applicable regulatory requirements specified in the Prime Award and Attachment 2.

Certifications and Assurances
By signing the Subaward Agreement,the authorized official of Subrecipient certifies,to the best of his/her knowledge and believe that:
Certification Regarding Lobbying
1) No grant funds have been paid or will be paid, by or on behalf of the Subrecipient,to any person for influencing or attempting to
influence an officer or employee of any agency, a Member of Congress, an officer or employee of Congress, or an employee of a
Member of Congress in connection with the awarding of any Federal contract,the making of any Federal grant,the making of any
Federal loan,the entering into of any cooperative agreement, and the extension, continuation, renewal, amendment,or modification
of any Federal contract,grant,loan, or cooperative agreement.
2) If any funds other than grant funds have been paid or will be paid to any person for influencing or intending to influence an officer or
employee of any agency,a Member of Congress, an office or employee of Congress,or an employee of a Member of Congress in

3) The Subrecipient shall require that the language of this certification be included in the award documents for all subawards at all tiers
(including subcontracts,subgrants,and contracts under grants,loans, and cooperative agreements)and that all Subrecipient shall
certify and disclose accordingly.
This certification is a material representation of fact upon which reliance was placed when this transaction was made or entered into.
Submission of this certification is a prerequisite for making or entering into this transaction imposed by Section1352,Title 31, U.S. Code.
Any person who fails to file the required certification shall be subject to a civil penalty not less than$10,000 and not more than$100,000
for each such failure.
Debarment, Suspension, and Other Responsibility Matters
Subrecipient certifies by signing this Subaward Agreement that neither it nor its principals are presently debarred,
suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in this transaction by any
federal department or agency.
OMB Circular A-133 Assurance
Subrecipient assures Prime Recipient that it complies with A-133 and that it will notify Prime Recipient of completion of
required audits and of any adverse findings which impact this subaward.
Other Assurances and Certifications
The Subrecipient agrees to complete and submit to the Prime Recipient any other assurance and/or certification which
may be required by the funding agency. Such certifications include but are not limited to Drug Free Workplace, Delinquent j
Federal Debt, Research Misconduct, Inclusion of Women and Minorities as Subjects, Inclusion of Children as Subjects,
and Financial Conflict of Interest.

Special Terms and Conditions
1. ALLOWABLE COSTS
The amount authorized will cover the direct costs of the research and whatever indirect costs are allocable
thereto. The allowability of costs will be determined in accordance with OMB Circular A-21, applicable Cost
Accounting Standards, and cost principles referenced in the prime award, as appropriate, and any addenda
thereafter. Any prior approvals are to be sought from UNC-CH.
2. RECORDS
(a) The SUBRECIPIENT'S facilities, or such part thereof as may be engaged in the performance of this
Agreement, and any pertinent books, documents, papers and records directly related to performance of
this Agreement, shall be subject at all reasonable times to inspection and audit by UNC-CH, , the State of
North Carolina or any authorized representatives.
(b) Financial records, supporting documents and other records pertinent to this Agreement shall be retained by
the SUBRECIPIENT for a period of at least three (3) years from the date of submission of the final
expenditure report and additional time as required by prime award. Records pertaining to audits, appeals,
litigation or settlement of claims arising out of performance of this Agreement shall be retained until such
audits, appeals, litigation or claims have been settled.
3. SUBCONTRACTING
None of the work performed under this Agreement shall be subcontracted without prior written authorization
from UNC-CH.
4. LIABILITY
The SUBRECIPIENT shall at all times be considered to be an independent contractor and shall not hold
himself/herself out as an employee of UNC-CH. Each party shall be solely liable for any claims, actions, j
demands or damages arising out of its performance of this Agreement.

5. SEVERABILITY j
If any provision of this Agreement or any provision of any document incorporated by reference shall be held
invalid, such invalidity shall not affect the other provisions of this Agreement which can be given effect without
the invalid provision, and to this end the provisions of this Agreement are declared to be severable.
6. SPECIAL PROVISIONS
The following clauses, which have been marked, are incorporated into this Agreement. The full text of the
clauses is included in their entirety in the Attachment 2 continuation to this Agreement

(a) PUBLICITY
Neither party shall use the name of the other party in news releases or advertising or in other publications
directed to the general public without approval of an authorized signatory of the other party.
(b) EQUIPMENT
Title to all equipment purchased under this Agreement will be retained in accordance with prime award
requirements. The SUBRECIPIENT agrees to maintain sufficient records to enable UNC-CH to fulfill its I
accountability under this award.

(c) COPYRIGHT
Subrecipient shall grant to Prime Recipient an irrevocable, royalty-free, non-transferable, non-exclusive right
and license to use, reproduce, make derivative works, display, and perform publicly any copyrights or
copyrighted material (including any computer software and its documentation and/or databases) first
developed and delivered under this Subaward Agreement solely for the purpose of and only to the extent
required to meet Prime Recipient's obligations under its Prime Award.
(d) PATENTS
The determination of the rights of ownership and disposition of patentable inventions resulting from the
performance of the work under this Agreement and the administration of such inventions shall be in
accordance with Prime Agreement. If the SUBRECIPIENT decides it will not take title to any such invention, it
will so notify UNC-CH and provide such information as may be needed and requested by UNC-CH to permit
UNC-CH to petition the Government for title. The SUBRECIPIENT shall provide such notice to UNC-CH at
least two (2) months before it informs the Government that it elects not to take title. The SUBRECIPIENT
shall submit a final report of inventions within thirty (30) days after the expiration of the subcontract to the
UNC-CH Contract Administrator
(e) PUBLICATIONS
All publications must cite the source of support (e.g., the Prime Agency through UNC-CH) and shall indicate
that the findings, opinions and recommendations expressed therein are those of the author and not
necessarily those of UNC-CH or the prime sponsor. An advance copy of all proposed publications shall be
furnished to the UNC-CH Principal Investigator
(f) CIVIL RIGHTS AND EQUAL EMPLOYMENT OPPORTUNITY
The SUBRECIPIENT shall comply with Title VI and VII of the Civil Rights Act of 1964, and Executive Order
11246 and certifies that it has a valid Assurance of Compliance on file with the HHS (Form HHS 690).The
SUBRECIPIENT agrees to include in any contract entered into pursuant to this Agreement, paragraphs (1)
through (7), Part II, Subpart B, Section 202, and Executive Order 11246.
(g) HUMAN SUBJECTS
(1) Any activity under this Agreement which involves the use of human subjects shall be governed by
applicable Department of Health and Human Services (DHHS) policies and federal regulations.The
SUBRECIPIENT agrees that any human research protocol conducted under this Agreement shall be
reviewed and approved by a designated Institutional Review Board (IRB) and certifies that this IRB is in
full compliance with all relevant federal regulations.
(2) Prior to conducting research with human subjects, SUBRECIPIENT certifies that, if applicable, it has an
appropriate and current Federal Wide Assurance of Protection for Human Subjects (or other applicable
assurance) on file with the United States Department of Health and Human Services and will provide a
copy of such assurance upon request.
(3) SUBRECIPIENT further certifies that it has in place all required programs or procedures for education
and training in the protection of human subject research and that SUBRECIPIENT's investigator and
other individuals (or any substituted investigators) have completed any required education and training.
Upon request, SUBRECIPIENT shall provide a description of the education completed.
(h) HIPAA
SUBRECIPIENT represents and warrants that it has all necessary authority under applicable state and federal
law, including, but not limited to,the Health Insurance Portability and Accountability Act of 1996,to provide to the
UNC-CH any and all data as required by the prime sponsor

(i) VERTEBRATE ANIMALS
Pursuant to the Animal Welfare Act and the Public Health Service Policy on Humane Care and Use of Laboratory
Animals,the SUBRECIPIENT and UNC-CH agree that any animal research protocol conducted under this
Agreement shall be reviewed and approved by SUBRECIPIENT'S Institutional Animal Care and Use Committee
(IACUC) before any animal research is undertaken in the project. SUBRECIPIENT certifies that its IACUC is in
full compliance with all relevant federal regulations and has an approved General Assurance on file with DHHS. j

(j) Payment Schedule
SUBRECIPIENT shall submit an invoice for payment of the start-up costs up to upon
execution of this Agreement. Costs up to the maximum rate of per patient will be paid to the
SUBRECIPIENT based on the milestones reached and completion of data collection. The maximum
payment for the SUBRECIPIENT under this Agreement shall not exceed Increase in the
maximum payment is dependent on enrollment numbers. Any change to the maximum payment to
SUBRECIPIENT will require formal Amendment with the written consent of both SUBRECIPENT and UNC-
CH. Future funding is contingent on UNC-CH receiving continued funding from Sponsor and successful
enrollment numbers by SUBRECIPIENT. Neither UNC-CH nor SPONSOR for costs incurred in excess of
the amount allotted for the performance of this Agreement.

Title: Aging in Orange County: Exploring Options for Housing and Care
Project Period: 7-1-14 through 6-30-15
Abstract:As part of the Master Aging Plan, Orange County aims to offer an array of housing options that
reflects the diverse preferences and abilities our older adult population portrays. To accomplish this
aim,the Department on Aging will engage in research to describe the types and prevalence of housing
currently available in the County. The assessment will include community housing and long term care
homes (nursing homes, assisted living, in-home care) Middle aged and older community members will
be engaged in conversations about their preferences and hopes for how and where they want to live.
Leaders in long term care will be engaged to provide high quality care for our residents who need
support as well as better jobs for caregivers. Architects and developers will be engaged to explore the
use of new concepts and design principles that reflect the preferences of our older adult population.
The Orange County Planning Department will be engaged to help the broader community understand
current codes and zoning ordinances, and how they can be changed to accommodate new housing
models.
At the end of contract period, Orange County will have a report outlining current options for
senior housing and making recommendations for expanding the array of options available for seniors.
Substantial progress will be made towards an understanding of the current feasibility of various housing
models from the developer and planning perspectives,and an array of housing options and new models
to consider for future growth. Long-term care (LTC)facilities and organizations will be brought together
to implement new programs to improve the quality of life of their residents and clients.
Scope of Work: The project deliverables include the following.
1. Assess the types and prevalence of housing options available to older adults in Orange County
and research projected need based on population growth and changing preferences.
2. Provide leadership to the Orange County Long Term Care Collaborative, an initiative to improve
the quality of life of recipients of LTC services. Leadership includes: Bringing long term care
leaders from nursing homes, assisted living facilities and in-home care agencies to a forum
where they will identify areas for positive change, implement change, and be recognized for
positive change over the contract period. Consultation to assist leaders with the
implementation of positive change will also be provided on an as- requested basis.
3. Help organize and facilitate a series of forums for community members to learn about and
consider new housing models such as intentional communities, co-housing, modular structures,
and pocket neighborhoods.
4. Interview Architects and Developers to understand their perspectives on innovative housing
models that may be introduced into Orange County. They will be asked to consider housing of
various types that serve seniors from diverse backgrounds and levels of socioeconomic
resources and identify barriers that might prohibit their development.

5. Facilitate meetings between Architects/Developers and the Orange County Planning
Department to address the feasibility of building out current and future models of senior
housing.
6. Attend weekly meetings between Mary Fraser, Director of Orange County's Aging Transitions
Program and Janice Tyler, Director of Orange County Department on Aging to ensure project
direction, progress and timeline are moving forward per overall project goals.
7. Plan and implement a community based housing EXPO event. Prepare report on lessons
learned.
8. Supervise two-six public health students as they conduct community based research on long
term care and senior housing.
9. Begin a new project to disseminate information about Department on Aging services to the
medical community, with the aim of increasing referrals to community services and improving
the transition experience from hospital to home.
10. Convene key stakeholders to envision and enact Complete Streets in Orange County
Throughout the contract period, a systematic approach will ensure that the major themes and issues
brought forward by all stakeholders are captured and presented to key constituents. The presentations
and written materials will serve to spur further action in Year 3 of the 2012-2017 Master Aging Plan and
will be presented to the OCDoA Advisory Board and the MAP Steering Committee for review and
acceptance.
All the above activities will be performed by Cherie Rosemond, in concert with the mission and
leadership of Orange County's Department on Aging.
