THIS AGREEMENT, entered into this 18th day of June, 2015, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Music Maker Relief Foundation("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Alts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand five hundred dollars
($1,500) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. These funds must be matched at least dollar-for-dollar with cash from
the Grant Recipient's funds not derived from either Orange County appropriations or the
North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2015 and June 30, 2016. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Proj ect.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein,the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 8, 2016 . The Final Report shall be in the format required by the
North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Pant. The Arts Commission shall release the grant funds in the amount of
$1,500 to the Grant Recipient.
6. Publicity
A. Acknowled eg ment. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line (check all that apply):

i. County Funds Only. "This program is supported by the Orange
County Arts Commission. "
ii. x North Carolina Arts Council Funding. "This program is supported by the
Orange County Arts Commission with funds from the Grassroots Program of
the North Carolina Arts Council, a state agency. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHillARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"),the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
C. Entire Agreement and Signatures. The parties have read this Agreement and agree
to be bound by all of its terms, and further agree that it constitutes the complete
and exclusive statement of the Agreement between the parties unless and until
modified in writing and signed by the parties. This Agreement together with any
amendments or modifications may be executed electronically. All electronic
signatures affixed hereto evidence the intent of the Parties to comply with Article
11A and Article 40 of Not Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Summary Statement for Proposed Uses of Arts Program Grant Music Maker Relief Foundation will present
210 and A Quarter, an evening of traditional Roots and Blues music from local, senior musicians, in tribute to
Luther"Captain Luke" Mayer. Captain Luke, who passed away in May 2015 at age 87,was one of the
.greatest blues musicians in the country. He lived most of his life in the NC Piedmont, performing in relative
obscurity. Captain Luke began a partnership with Music Maker Relief Foundation in the 1990s that would last
the rest of his life and earn him worldwide recognition for his incredible musical voice. Attendees of the
Captain Luke tribute event will come away with a deeper appreciation for the roots and blues musicians who
currently perform and create within our state, as well as motivation to seek this music out in the future. We
will celebrate the life of a great musician, while engaging Orange County residents in the future of roots and
blues music that is happening right in their own backyards.

Project:210 and A Quarter. Celebrating Captain Luke and The Future of Blues
Organizational Profile
Music Maker Relief Foundation (MMRF) keeps our culture vital by empowering senior
American musicians to share their talents with audiences around the world. The artists we
serve are over 55 years old,have an annual income under$18,000 and are rooted in the
musical traditions of the American South including blues,gospel,Appalachian string band,
Native American,jazz and folk.We provide for basic life essentials while expanding their
professional careers so that our rich heritage of folk arts can be shared with the world and
preserved for future generations.We strive to increase accessibility to the arts for
underserved populations and bring racially and economically diverse audiences together in
celebration of cultural heritage.
MMRF's program offices have been located in Orange County since 2001. In 2008, Music
Maker purchased a permanent office facility on Corbin Street,on the north edge of
Hillsborough's Historic District. Currently, Music Maker employs five full-time and two part
time staff members and hosts six to ten college interns from area and out-of-state
universities. Our governing Board of Directors is composed of music experts and business
professionals and has strong representation by NC artists.All three members of the 2010
Grammy Winning Carolina Chocolate Drops currently serve on our Board of Directors.
Current Programs
Our Musician Sustenance Program provides for basic living needs through monthly
stipends, emergency aid and social services.Artists are supported with essentials so they
can live in safety and comfort while sharing their music with the world.
MMRF documents artists and expands their performance horizons through the Musical
Development Program. MMRF provides booking services and the logistical support that
makes it possible for elderly artists,who may have never left their rural counties in North
Carolina,to spread their musical message across our state, our nation and around the
world. This program also brings artists together to develop their repertoires and expertise.
We serve as a liaison to performing opportunities at festivals and venues across North
Carolina,the US and throughout the world including New Orleans Jazz and Heritage
Festival, Lincoln Center and many European festivals.
To keep American roots music vital by building and educating the audience we instituted a
Cultural Access Program. This program presents musical performances in North Carolina,
across the US and abroad and features recipient artists often alongside nationally
recognized touring acts. Outreach to the public includes live performances, our extensive
website,weekly newsletters, radio servicing, and public information media campaigns.We
work extensively with local schools North Carolina schools to foster appreciation and
understanding of traditional music among younger generations.

Project Narrative
Music Maker Relief Foundation (MMRF) will present 210 and a Quarter, an engaging,
educational musical performance at the Old Murphey School in Orange County,NC on a
Friday evening in September 2015. The performance will feature nine roots and blues
artists, performing in tribute to Luther"Captain Luke" Mayer. Captain Luke,who passed
away in May 2015 at age 87,was one of the greatest and most authentic blues musicians in
the United States.
Captain Luke lived most of his life in the North Carolina Piedmont,performing at
community gatherings in relative obscurity until beginning a partnership with Music Maker
Relief Foundation in 1991. Captain Luke was not only a gifted blues musician; he was
dedicated to sharing America's musical heritage with audiences around the world.A tribute
concert will not only celebrate his incredible life, but will engage audiences with the future
of roots and blues music local the North Carolina Piedmont.
210 and A Quarter will be free and open to the general public, educating and engaging all
ages.While we specifically hope to reach and educate those who are less familiar with
traditional American music and musicians still performing today,we feel that all can
benefit from the live music experience.We anticipate an audience of approximately 250
people.
We will use social media, radio and poster advertising throughout Orange County to reach
a wide variety of residents.We will also design and send out postcards to our mailing list,
and provide local Hillsborough, Carrboro and Chapel Hill businesses with postcards to
hand out at their establishments.
MMRF will track attendance numbers at the event and will use surveys to measure the level
of engagement of attendees, as well as to determine what audiences we are reaching with
the project.Attendees will answer several short questions in the surveys,identifying their
age,zip code, and rating of the musical event.We anticipate, from past experience,that
75% or more attendees will indicate that the musical event was educational to them.
While Captain Luke is no longer with us,his music lives on not only in the recordings he
made but also in the musicians who were his friends and mentees. Music Maker's 210 and A
Quarter musical tribute will honor Captain Luke's memory. Moreover,it will ensure Orange
County residents have the opportunity to engage with the music that has evolved in their
own backyards,through the musicians still carrying it forward into the future.
Artists performing include:
John Dee Holeman of Durham, NC,has been performing Piedmont Blues for over 60 years,
including overseas tours and the National Folk Festival at Carnegie Hall. He has released
three albums; one,Bull Durham Blues,features Taj Mahal. In 1988,he was awarded the
prestigious National Heritage Fellowship from the National Endowment for the Arts.

Big Ron Hunter of Winston-Salem, NC,was taught to sing and play the guitar at a young age.
Mentored by the legendary Guitar Gabriel and versed in R&B, Rock&the Blues of BB King,
Ron plays both electric and acoustic guitars in dramatically different styles. His second
album, The Great Unknown,received praise from Living Blues Magazine.
Pat"Mother Blues" Cohen,the former"Queen of New Orleans," relocated to North Carolina
after Katrina and has wowed audiences all over the world with her energetic stage
presence. Since the age of six, Pat has been surrounded by music. Her blues classroom was
on the porch of her uncle's house where family members played the guitar and harmonica.
Harvey Dalton Arnold is a singer, guitarist and North Carolina-native who has a passion for
the blues. He sold millions of albums as a member of southern-rock band The Outlaws from
1976-80 and has played at Madison Square Garden and Radio City Music Hall. He has also
shared the stage with the Rolling Stones at Anaheim Stadium. Harvey performs a left-
handed finger-picking style and slide playing on electric and acoustic guitars.
Boo Hanks is the greatest Piedmont Blues rediscovery in many years; he sings and plays
guitar in the style of the legendary Blind Boy Fuller.At the age of 79,he made his first
recording and at 85 he has enjoyed performances all over the country,including the
Lincoln Center, as well as overseas in Belgium.
Drummer James "Bubba" Norwood's credentials are among the brightest of any Music
Maker artist. Known mostly for his long-time association with Ike and Tina Turner,James
has anchored the rhythm section for a"who's who" of blues, soul,and R&B greats. Norwood
is a lifelong resident of Carrboro, NC.
Lakota John&Kin consists of Lakota John,Mama Tonya, Papa John and Sister Layla; a
proud Lumbee and Oglala Nation family of talented musicians. Lakota John,the youngest
family member in the group,grew up listening to the blues music of North Carolina and
beyond. He took up the harmonica and the guitar before the age of ten and has been
performing ever since,learning directly from Piedmont masters of music such as Captain
Luke. Lakota John&kin uniquely blend together their ancestors` ancient harmonies and
traditional blues.
Ironing Board Sam, 76, of Hillsborough, NC, has been playing for over 55 years,and his
powerful, soulful voice and remarkable piano prowess remain undiminished. In the 1960s,
Sam was a featured artist on The Night Train,the first televised African-American music
revue, and has performed with some of most revered musicians of the 201h century such as
Jimi Hendrix.

Music Maker Relief Foundation a Staff List
Timothy Duffy, Co-founder, President and Executive Director Tim earned a BA
degree from Friends World College and MA from the Curriculum in Folklore at the UNC.
Mr. Duffy produced over 125 compact discs and has presented dozens of traditional
Southern musicians at prestigious venues around the world. Tim works very closely with
recipient artists on a daily basis, reviewing eligibility, needs and developing their artistic
repertoires. He oversees program implementation, cultivates and supervises touring
operations, communications and publications. Tim is a full time employee of Music
Maker.
Denise Duffy Co-founder, Managing Director Ms. Duffy has a BA Degree from
Hampshire College. Denise has managed planning and finances since our inception.
She is responsible for business planning, budgeting, financial statements and
government compliance. Denise is a full time employee of Music Maker.
Aaron Greenhood, Artists Services Coordinator, has a B.A. Degree from Virginia
Commonwealth University with a major in Photography. Aaron is responsible for the day
to day implementation of many program tasks including event production and
performance booking and management, receiving and processing artists' grant
requests, design and production of artist promotional and documentary materials. Aaron
is a full time employee of Music Maker.
Corinne Everett Belch, Communications and Development Coordinator. Corinne
joined our organization in early 2011 after serving for several years at the Volunteer
Center of Durham. She graduated a B.A. degree in Art History from Hollins University.
Corinne manages our outreach efforts to the public and the media and coordinates our
development programs. Corinne is a full time employee of Music Maker.
Cornelius Lewis, Community Coordinator. Cornelius manages the Music Maker
website and social media efforts, fulfills orders for our program sales of compact discs,
assists in compact disc manufacturing, inventory maintenance and other office duties as
needed. Cornelius has a degree in Sustainable Development &Agroecology from
Appalachian State University. He is a full time employee of Music Maker.
Janet Askew, Finance Coordinator. Janet comes to our organization with over 13
years of experience in financial management with the American Red Cross. She is
responsible for all accounts payable and receivable and the maintenance of financial
records. She works for Music Maker approximately 20 hours per week.
Berk Ozturk, Program Assistant. Berk has a B.A. in Business from the University of
North Carolina at Chapel Hill, and an M.A. in Music Technology from New York
University. Berk, who joined Music Maker in Spring of 2014, is responsible for assisting
with archive management, managing our panel exhibit We Are the Music Makers and
assisting with artists services tasks.

Our records indicate that your organization was recognized as exempt
under section 501(c) (3) of the Internal Revenue Code in a
determination letter issued in June 1996 .
Our records also indicate that you are not a private foundation within
the meaning of section 509(a) of the Code because you are described in
