HomeMy WebLinkAbout2015-230-E AMS - Scott Haigler Electric to obtain applicable permits and perform electrical work at WCOB, Justice Facilities and SHSC $5,800 DocuSign Envelope ID: 119AF03D-E3C0-4F02-B437-70D08DB32D3E NORTHCAROLINACONSTRUCTIONSERVICES AGREEMENTUNDER$50,000 ORANGECOUNTY THISCONSTRUCTIONAGREEMENT(hereinafter"Agreement"),ismadeandentered intothis15thdayofMay,2015byandbetweenOrangeCounty,NorthCarolina(hereinafterthe "Owner")partyofthefirstpart;andScottHaiglerElectricElectricalAlarmServices (hereinafterthe"Contractor"),partyofthesecondpart; WITNESSETH: Forthepurposeandsubjecttothetermsandconditionshereinaftersetforth,theOwner herebycontractsfortheconstructionservicesoftheContractor,andtheContractoragreesto providetheconstructionservicestotheOwnerinaccordancewiththetermsofthisAgreement. I.TERM Beginningandendingdatesofcontract:May15,2015throughJune26,2015.TheProject CommencementDateshallbeMay18,2015. 2.MAXIMUMAMOUNTPAYABLE DollarAmountNottoExceed:fivethousandeighthundreddollars($5,800) 3.SERVICES Contractoragreestoprovidethefollowingconstructionservices(the"Work"):obtainpermits thenfurnishandinstallelectricalserviceworkforautomaticdoors,includingmaterialsandlabor, at131WMargaretLane,106EMargargetLaneand2551HomesteadRoad,asprovidedin attachedestimates1015,1016and1018. Contractorshallnotsub-contractalloranypartoftheconstructionservicesprovidedforin thisAgreementwithoutpriorwrittenapprovaloftheOwner.Contractorshallberesponsiblefor allerrorsoromissions,intheperformanceoftheAgreement.Contractorshallcorrectanyandall errors,omissions,discrepancies,ambiguities,mistakesorconflictsatnoadditionalcostto Owner. 4.PAYMENT Contractorshallsubmitaninvoiceforconstructionservicesprovided.Theinvoiceshall containContractor'snameandfederaltaxidentificationnumberandshallbesignedanddatedby anofficerofContractor.Itshalldetailallconstructionservicesprovidedinpaymentrequests. TheOwnerwillmakepaymentstoContractorwithinthirty(30)daysafterreceiptofand approvaloftheinvoicebythecontractingdepartment. IntheeventtheamountstatedonaninvoiceisdisputedbyOwner,thenOwnermay withholdpaymentofalloraportionoftheamountstatedonaninvoiceuntilthepartiesresolve thedispute.Inaddition,shouldContractorfailtoperformitsdutiesunderthetermsofthis Agreement,Ownermay,withoutfaultorpenalty,withholdanypaymentassociatedwiththe Worktobeperformeduntilsuchtimeassaidworkiscompleted. 5.RELATIONSHIPOFPARTIES Revised DocuSign Envelope ID: 119AF03D-E3C0-4F02-B437-70D08DB32D3E ContractorisanindependentcontractoroftheOwner.Contractorrepresentsthatithasorwill secure,atitsownexpense,allpersonnelrequiredinperformingtheconstructionservicesunder thisAgreement.Suchpersonnelshallnotbeemployeesoforhaveanycontractualrelationship withtheOwner.AllpersonnelengagedinworkunderthisAgreementshallbefullyqualified andshallbeauthorizedorpermittedunderstateandlocallawtoperformsuchconstruction services.ItisfurtheragreedthatContractorwillobeyallStateandFederalstatutes,rulesand regulationswhichareapplicabletoprovisionsoftheconstructionservicescalledforherein. NeitherContractornoranyemployeeoftheContractorshallbedeemedanofficer,employeeor agentoftheOwner. 6.TERMINATION ThisAgreementmaybeterminatedbyContractoruponthirty(30)days'writtennoticetothe Owner,andtheOwnermayterminatethisAgreementuponthirty(30)days'writtennoticeto Contractor.Thisoranyotherwrittennoticeshallbedeliveredviacertifiedmail,returnreceipt requestedtothepartiesattheaddressesasshownonthesignaturepagetothisAgreement. 7.INSURANCEREQUIREMENTS Contractorshallobtain,atitssoleexpense,CommercialGeneralLiabilityInsurance, AutomobileInsurance,Workers'CompensationInsurance,andanyadditionalinsuranceasmay berequiredbyOwner'sRiskManagerassuchinsurancerequirementsaredescribedinthe OrangeCountyRiskTransferPolicyandOrangeCountyMinimumInsuranceCoverage Requirements(eachdocumentisincorporatedhereinbyreferenceandmaybeviewedat http://orangecountync.gov/purchasing/contracts.asp).IfOwner'sRiskManagerdetermines additionalinsurancecoverageisrequiredsuchadditionalinsuranceshallbedesignatedhere (ifnoadditionalinsurancerequiredmarkN/Aasbeingnotapplicable).Contractorshall notcommenceconstructionworkuntilsuchinsuranceisineffectandcertificationthereofhas beenreceivedbytheOwner'sRiskManager. 8.INDEMNIFICATION Contractoragreestodefend,indemnify,save,andprotectOwnerandOwner'slender,ifany, harmlessfromandagainstanyandallclaims,liens,liabilities,losses,damages,causesofaction, andexpenses(includingcourtcostsandreasonableattorney'sfeesrelatedthereto)arisingoutof, inconnectionwith,orresultingfromanynegligence,actorfailuretoactbytheContractor,the Contractor'sagents,assignsoremployeesrelatedtotheWork.Contractorisresponsibleforall errorsoromissionscausedbyitsagents,contractors,employees,orassignsintheperformanceof thisAgreement. ItistheintentofthissectiontorequireContractortoindemnifytheOwnertothefullextent permittedunderNorthCarolinalaw. 9.NON-ASSIGNMENT ContractorshallnotassignalloranypartofthisAgreement,includingrightstopayments,to anyotherpartywithoutthepriorwrittenconsentoftheOwner. 10.NON-AI'I'ROPRIATION 2 Revised10/14 DocuSign Envelope ID: 119AF03D-E3C0-4F02-B437-70D08DB32D3E ContractoracknowledgesthatOwnerisagovernmentalentity,andthevalidityofthis Agreementisbasedupontheavailabilityofpublicfundingundertheauthorityofitsstatutory mandatc. Intheeventthatpublicfundsareunavailableandnotappropriatedfortheperformanceof Owner'sobligationsunderthisAgreement,thenthisAgreementshallautomaticallyexpire withoutpenaltytoOwnerimmediatelyuponwrittennoticetoContractoroftheunavailabilityand non-appropriationofpublicfunds.ItisexpresslyagreedthatOwnershallnotactivatethisnon- appropriationprovisionforitsconvenienceortocircumventtherequirementsofthisAgreement, butonlyasanemergencyfiscalmeasureduringasubstantialfiscalcrisis. IntheeventofachangeintheOwner'sstatutoryauthority,mandateand/ormandated functions,bystateand/orfederallegislativeorregulatoryaction,whichadverselyaffects Owner'sauthoritytocontinueitsobligationsunderthisAgreement,thenthisAgreementshall automaticallyterminatewithoutpenaltytoOwncruponwrittennoticetoContractorofsuch limitationorchangeinOwner'slegalauthority. 11.DIGITALSIGNATURES ThisAgreementtogetherwithanyamendmentsormodificationsmaybcexecuted electronically.AllelectronicsignaturesaffixedheretoevidcncetheintcntofthePartiesto complywithArticleIIAandArticle40ofNorthCarolinaGeneralStatuteChapter66. 12.ENTIREAGREEMENT ThepartieshavereadthisAgreementandagreetobeboundbyallofitsterms,andfurther agreethatit,togetherwithspecificallyreferenceddocuments,constitutesthecompleteand exclusivestatementoftheAgreementbetwccnthepartiesunlcssanduntilmodificdbyawritten amendmenttothisAgreementsignedbytheparties.Modificationsmaybeevidencedby telefacsimilesignatures.Shouldanyconflictariseinthetermsofanydocumentsreferenced hereinandthisAgreementthetennsofthisAgreementshallbegivenpriorityandshallcontrol overallothersuchdocuments.Shouldarequestforproposalsandaproposalbereferencedthe termsoftherequestforproposalsshallhavepriorityoverthetermsoftheproposal. 13.COMPLIANCEWITHLAW/GOVERNINGLAW BothpartiesagreethatthisAgreementshallbegovernedbythclawsoftheStatcofNorth CarolinaandanyactionbroughtunderthisAgreementshallbebroughtintheGeneralCourtof JusticeoftheStateofNorthCarolinainOrangeCounty.Providershallatalltimesremainin compliancewithallapplicablelocal,state,andfederallaws,rules,andregulationsincludingbut notlimitedtoallanti-discriminationlaws.
