WITNESSETH: ThattheCountyandProvider,fortheconsiderationhereinnamed,doherebyagreeas follows: a.ScopeofWork. i)ThisAgreementisforservicestoberenderedbyProvidertoCountywithrespect to(inserttypeofproject):windowremovalatCedarGroveCommunityCenter, 5800Highway86North,Hillsborough,NC ii)ByexecutingthisAgreement,theProviderrepresentsandagreesthatProvideris qualifiedtoperformandfullycapableofperformingandprovidingtheservices requiredornecessaryunderthisAgreementinafullycompetent,professionaland timelymanner. iii)TimeisoftheessencewithrespecttothisAgreement. iv)TheservicestobeperformedunderthisAgreementconsistofBasicServices,as describedanddesignatedinSection3hereof.CompensationtotheProviderfor BasicServicesunderthisAgreementshallbeassetforthherein. a.Servicestobeprovided.TheProvidershallprovidetheCountywithallservices requiredinSection3tosatisfactorilycompletetheProjectwithinthetimelimitationsset forthhereinandinaccordancewiththehighestprofessionalstandards. b.StandardofCare. i)TheProvidershallexercisereasonablecareanddiligenceinperformingservices underthisAgreementinaccordancewiththehighestgenerallyacceptedstandards ofthistypeofProviderpracticethroughouttheUnitedStatesandinaccordance withapplicablefederal,stateandlocallawsandregulationsapplicabletothe performanceoftheseservices.Providerissolelyresponsiblefortheprofessional Revised DocuSign Envelope ID: 32E08BD7-D7A9-4E3B-9E4A-7202C5E86675 quality,accuracyandtimelycompletionand/orsubmissionofallworkrelatedto theBasicServices. ii)Providershallberesponsibleforallerrorsoromissionsofitsagents,contractors, employees,orassignsintheperformanceoftheAgreement.Providershall correctanyandallerrors,omissions,discrepancies,ambiguities,mistakesor conflictsatnoadditionalcosttotheCounty. iii)TheProvidershallnot,exceptasotherwiseprovidedforinthisAgreement, subcontracttheperformanceofanyworkunderthisAgreementwithoutprior writtenpermissionoftheCounty.Nopermissionforsubcontractingshallcreate, betweentheCountyandthesubcontractor,anycontractoranyotherrelationship. iv)ProviderisanindependentcontractorofCounty.Anyandallemployeesofthe ProviderengagedbytheProviderintheperformanceofanyworkorservices requiredoftheProviderunderthisAgreement,shallbeconsideredemployeesor agentsoftheProvideronlyandnotoftheCounty,andanyandallclaimsthatmay ormightariseunderanyworkerscompensationorotherlaworcontractonbehalf ofsaidemployeeswhilesoengagedshallbethesoleobligationandresponsibility oftheProvider. v)ProvideragreesthatProvider,itsemployees,agentsanditssubcontractors,ifany, shallberequiredtocomplywithallfederal,stateandlocalantidiscrimination laws,regulationsandpoliciesthatrelatetotheperformanceofProvider'sservices underthisAgreement. vi)IfactivitiesrelatedtotheperformanceofthisAgreementrequirespecificlicenses, certifications,orrelatedcredentialsProviderrepresentsthatitand/orits employees,agentsandsubcontractorsengagedinsuchactivitiespossesssuch licenses,certifications,orcredentialsandthatsuchlicensescertifications,or credentialsarecurrent,active,andnotinastateofsuspensionorrevocation. vii)Indeterminingthebasicservicestobeprovided,shouldanydocumentsbe referencedinthisAgreement,thetermsofthisAgreementshallhavepriorityin anyconflictbetweenthetermsofreferenceddocumentsandthetermsofthis Agreement.Shouldarequestforproposalsandaproposalbereferencedthe termsoftherequestforproposalsshallhavepriorityoverthetermsofany proposal. 3.BasicScn'iccs a.BasicServices.TheServicestoberenderedpursuanttothisAgreementareasfollows (fullydescribeservicestobeprovided):removeallexteriorwindowframesthatcontain asbestosglazingandprepareopeningsfornewwindowinstallation.Removeallfurniture andmiscellaneousdebris,anddisposeofsuchdebris,priortostartofwork.Obtain permitforasbestosremovalactivities,asrequired.Allworkasdetailedinproposal14- 65-6426datedNovember3,2014. Durationof 4.Services Revised10/14 2 DocuSign Envelope ID: 32E08BD7-D7A9-4E3B-9E4A-7202C5E86675 a.Term.ThetennofthisAgreementshallbefromMay26,2015toDecember1,2015. b.SchedulingofServices. i)TheProvidershallscheduleandperformitsactivitiesinatimelymanner. ii)ShouldtheCountydeterminethattheProviderisbehindschedule,itmayrequire theProvidertoexpediteandaccelerateitsefforts,includingprovidingadditional resourcesandworkingovertime,asnecessary,toperformitsservicesin accordancewiththeapprovedprojectscheduleatnoadditionalcosttothe County. iii)TheCommencementDatefortheProvider'sBasicServicesshallbeMay26, 2015. 5.Compensation a.CompensationforBasicServices.CompensationforBasicServicesshallincludeall compensationduetheProviderfromtheCountyforallservicesunderthisAgreement exceptforanyauthorizedReimbursableExpenseswhicharedefinedherein.The maximumamountpayableforBasicServicesshallnotexceedfortyonethousandsix hundredfiftysixDollars($41,656).PaymentforBasicServicesshallbecomedueand payablewithinthirty(30)daysofProviderproperlyinvoicingCounty.Paymentshallbe subjecttoprovisionsofSection5(b). b.Disputes.IntheeventtheamountstatedonaninvoiceisdisputedbytheCounty,the Countymaywithholdpaymentofalloraportionoftheamountstatedonaninvoice untilthepartiesresolvethedispute.ShouldProviderfailtoperformitsdutiesunderthe termsofthisAgreement,Countymay,withoutfaultorpenalty,withholdanypayment associatedwiththeworktobeperformeduntilsuchtimeassaidworkiscompleted. c.AdditionalServices.Countyshallnotberesponsibleforcostsrelatedtoanyservicesin additiontotheBasicServicesperformedbyProviderunlessCountyrequestssuch additionalservicesinwritingandsuchadditionalservicesareevidencedbyawritten amendmenttothisAgreement. 6.ResponsibilitiesoftheCounty a.CooperationandCoordination.TheCountyhasdesignated(JelTThompson)toactas theCounty'srepresentativewithrespecttotheProjectandshallhavetheauthorityto renderdecisionswithinguidelinesestablishedbytheCountyManagerand/ortheCounty BoardofCommissionersandshallbeavailableduringworkinghoursasoftenasmaybe reasonablyrequiredtorenderdecisionsandtofurnishinformation. 7.Insurance a.GeneralRequirements.Providershallobtain,atitssoleexpense,CommercialGeneral LiabilityInsurance,AutomobileInsurance,Workers'CompensationInsurance,andany additionalinsuranceasmayberequiredbyOwner'sRiskManagerassuchinsurance requirementsaredescribedintheOrangeCountyRiskTransferPolicyandOrange Revised 3 DocuSign Envelope ID: 32E08BD7-D7A9-4E3B-9E4A-7202C5E86675 CountyMinimumInsuranceCoverageRequirements(eachdocumentisincorporated hereinbyreferenceandmaybeviewedat http://orangecountync.gov/purchasingicontracts.asp).IfOwner'sRiskManager determinesadditionalinsurancecoverageisrequiredsuchadditionalinsuranceshall consistof(ifnoadditionalinsurancerequiredmarkN/Aasbeingnotapplicable). Providershallnotcommenceworkuntilsuchinsuranceisineffectandcertification thereofhasbeenreceivedbytheOwner'sRiskManager. 8.Indemnity a.Indemnity.TheProvideragreestodefend,indemnifyandholdharmlesstheCountyfrom allloss,liability,claimsorexpense,includingattorney'sfees,arisingoutoforrelatedto theProjectandarisingfrombodilyinjuryincludingdeathorpropertydamagetoany personorpersonscausedinwholeorinpartbythenegligenceormisconductofthe Providerexcepttotheextentsamearecausedbythenegligenceorwillfulmisconductof theCounty.ItistheintentofthisprovisiontorequiretheProvidertoindemnifythe CountytothefullestextentpermittedunderNorthCarolinalaw. 9.AmendmentstotheAgreement a.ChangesinBasicServices.ChangesintheBasicServicesandentitlementtoadditional compensationorachangeindurationofthisAgreementshallbemadebyawritten AmendmenttothisAgreementexecutedbytheCountyandtheProvider.TheProvider shallproceedtoperformtheServicesrequiredbytheAmendmentonlyafterreceivinga fullyexecutedAmendmentfromtheCounty. 10.Termination a.TerminationforConvenienceoftheCounty.ThisAgreementmaybeterminatedwithout causebytheCountyandforitsconvenienceuponseven(7)days'priorwrittennoticeto theProvider. b.OtherTermination.TheProvidermayterminatethisAgreementbasedupontheCounty's materialbreachofthisAgreement;provided,theCountyhasnottakenallreasonable actionstoremedythebreach.TheProvidershallgivetheCountyseven(7)days'prior writtennoticeofitsintenttoterminatethisAgreementforcause. c.CompensationAfterTermination. i)Intheeventoftermination,theProvidershallbepaidthatportionofthefeesand expensesthatithasearnedtothedateoftermination,lessanycostsorexpenses incurredoranticipatedtobeincurredbytheCountyduetoerrorsoromissionsof theProvider. ii)ShouldthisAgreementbeterminated,theProvidershalldelivertotheCounty withinseven(7)days,atnoadditionalcost,alldeliverablesincludingany electronicdataorfilesrelatingtotheProject. Revised10/14 4 DocuSign Envelope ID: 32E08BD7-D7A9-4E3B-9E4A-7202C5E86675 d.Waiver.ThepaymentofanysumsbytheCountyunderthisAgreementorthefailureof theCountytorequirecompliancebytheProviderwithanyprovisionsofthisAgreement orthewaiverbytheCountyofanybreachofthisAgreementshallnotconstitutea waiverofanyclaimfordamagesbytheCountyforanybreachofthisAgreementora waiverofanyotherrequiredcompliancewiththisAgreement. 1.AdditionalProvisions a.LimitationandAssignment.TheCountyandtheProvidereachbindthemselves,their successors,assignsandlegalrepresentativestothetermsofthisAgreement.Neitherthe CountynortheProvidershallassignortransferitsinterestinthisAgreementwithoutthe writtenconsentoftheother. b.GoverningLaw.ThisAgreementandtheduties,responsibilities,obligationsandrights ofrespectivepartieshereundershallbegovernedbythelawsoftheStateofNorth Carolina. c.CompliancewithLaws.Providershallatalltimesremainincompliancewithall applicablelocal,state,andfederallaws,rules,andregulationsincludingbutnotlimited toallanti-discriminationlaws. d.DisputeResolution.Anyandallsuitsoractionstoenforce,interpretorseekdamages withrespecttoanyprovisionof,ortheperformanceornon-performanceof,this AgreementshallbebroughtintheGeneralCourtofJusticeofNorthCarolinasittingin OrangeCounty,NorthCarolina.Itisagreedbythepartiesthatnoothercourtshallhave jurisdictionorvenuewithrespecttosuchsuitsoractions.Bindingarbitrationmaynot beinitiatedbyeitherParty,however,thePartiesmayagreetononbindingmediationof anydisputepriortothebringingofsuchsuitoraction. e.EntireAgreement.ThisAgreementrepresentstheentireandintegratedagreement betweentheCountyandtheProviderandsupersedesallpriornegotiations, representationsoragreements,eitherwrittenororal.ThisAgreementmaybeamended onlybywritteninstrumentsignedbybothparties.Modificationsmaybeevidencedby facsimilesignatures. f.Severability.IfanyprovIsIonofthisAgreementisheldasamatteroflawtobe unenforceable,theremainderofthisAgreementshallbevalidandbindinguponthe Parties. g.OwnershipofWorkProduct.ShouldProvider'sperformanceofthisAgreementgenerate documents,itemsorthingsthatarespecifictothisProjectsuchdocuments,itemsor thingsshallbecomethepropertyoftheCountyandmaybeusedonanyotherproject withoutadditionalcompensationtotheProvider.Theuseofthedocuments,itemsor thingsbytheCountyorbyanypersonorentityforanypurposeotherthantheProjectas setforthinthisAgreementshallbeatthefullriskoftheCounty. h.Non-Appropriation.ProvideracknowledgesthatCountyisagovernmentalentity,and thevalidityofthisAgreementisbasedupontheavailabilityofpublicfi.mdingunderthe authorityofitsstatutorymandate. 10114 5 DocuSign Envelope ID: 32E08BD7-D7A9-4E3B-9E4A-7202C5E86675 Intheeventthatpublicfundsareunavailableandnotappropriatedfortheperformanceof County'sobligationsunderthisAgreement,thenthisAgreementshallautomatically expirewithoutpenaltytoCountyimmediatelyuponwrittennoticetoProviderofthe unavailabilityandnon-appropriationofpublicfunds.ItisexpresslyagreedthatCounty shallnotactivatethisnon-appropriationprovisionforitsconvenienceortocircumvent therequirementsofthisAgreement,butonlyasanemergencyfiscalmeasureduringa substantialfiscalcrisis.
