DocuSign Envelope ID: FC9EFE5F-2E3A-436A-9FA0-CDDB72DA1969 [Departmental Use Only] TITLE FY NORTH CAROLINA SERVICES AGREEMENT UNDER$90,000.00 ORANGE COUNTY This Services Agreement (hereinafter "Agreement"), made and entered into this 6th day of February, 2015, ("Effective Date") by and between Orange County, North Carolina a body politic and corporate of the State of North Carolina(hereinafter,the "County") and Volkert, Inc., (hereinafter,the "Provider"). WITNESSETH: i That the County and Provider, for the consideration herein named, do hereby agree as follows: 1. Services a. Scope of Work. i) This Agreement is for services to be rendered by Provider to County with respect to (insert type of project): Transportation Plan Development. i ii) By executing this Agreement, the Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent,professional and timely manner. iii) Time is of the essence with respect to this Agreement. iv) The services to be performed under this Agreement consist of Basic Services, as described and designated in Section 3 hereof. Compensation to the Provider for Basic Services under this Agreement shall be as set forth herein. I 2. Responsibilities of the Provider a. Services to be provided. The Provider shall provide the County with all services required in Section 3 to satisfactorily complete the Project within the time limitations set forth herein and in accordance with the highest professional standards. b. Standard of Care. i) The Provider shall exercise reasonable care and diligence in performing services under this Agreement in accordance with the highest generally accepted standards of this type of Provider practice throughout the United States and in accordance with applicable federal, state and local laws and regulations applicable to the performance of these services. Provider is solely responsible for the professional quality, accuracy and timely completion and/or submission of all work related to the Basic Services. Revised 10/14 � I DocuSign Envelope ID: FC9EFE5F-2E3A-436A-9FA0-CDDB72DA1969 ii) Provider shall be responsible for all errors or omissions of its agents, contractors, employees, or assigns in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. iii) The Provider shall not, except as otherwise provided for in this Agreement, subcontract the performance of any work, under this Agreement without prior written permission of the County. No permission for subcontracting shall create, between the County and the subcontractor, any contract or any other relationship. i iv) Provider is an independent contractor of County. Any and all employees of the Provider engaged by the Provider in the performance of any work or services required of the Provider under this Agreement, shall be considered employees or agents of the Provider only and not of the County, and any and all claims that may or might arise under any workers compensation or other law or contract on behalf of said employees while so engaged shall be the sole obligation and responsibility of the Provider. v) Provider agrees that Provider, its employees, agents and its subcontractors, if any, shall be required to comply with all federal, state and local antidiscrimination laws,regulations and policies that relate to the performance of Provider's services under this Agreement. vi) If activities related to the performance of this Agreement require specific licenses, certifications, or related credentials Provider represents that it and/or its employees, agents and subcontractors engaged in such activities possess such licenses, certifications, or credentials and that such licenses certifications, or credentials are current, active, and not in a state of suspension or revocation. vii) In determining the basic services to be provided, should any documents be referenced in this Agreement, the terms of this Agreement shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. Should a request for proposals and a proposal be referenced the terms of the request for proposals shall have priority over the terms of any . proposal. i _ I 3. Basic Services a. Basic Services. The Services to be rendered pursuant to this Agreement are as follows (fully describe services to be provided): See Attachment 1: Proposal with Scope of Services included. See Attachment 2: Firm Profile and Project Resumes. 4. Duration of Services a. Term. The term of this Agreement shall be from February 1,2015 to April 30,2015. b. Scheduling of Services. i) The Provider shall schedule and perform its activities in a timely manner. Revised 10/14 2 DocuSign Envelope ID: FC9EFE5F-2E3A-436A-9FA0-CDDB72DA1969 ii) Should the County determine that the Provider is behind schedule, it may require the Provider to expedite and accelerate its efforts, including providing additional resources and working overtime, as necessary, to perform its services in accordance with the approved project schedule at no additional cost to the County. iii) The Commencement Date for the Provider's Basic Services shall be February 1, 2015. 5. Compensation a. Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Provider from the County for all services under this Agreement except for any authorized Reimbursable Expenses which are defined herein. The maximum amount payable for Basic Services shall not exceed thirty-five thousand Dollars ($35,000). Payment for Basic Services shall become due and payable within thirty (30) days of Provider properly invoicing County. Payment shall be subject to provisions of Section 5(b). b. Disputes. In the event the amount stated on an invoice is disputed by the County, the County may withhold payment of all or a portion of the amount stated on an invoice until the parties resolve the dispute. Should Provider fail to perform its duties under the terms of this Agreement, County may, without fault or penalty, withhold any payment associated with the work to be performed until such time as said work is completed. c. Additional Services. County shall not be responsible for costs related to any services in addition to the Basic Services performed by Provider unless County requests such additional services in writing and such additional services are evidenced by a written amendment to this Agreement. 6. Responsibilities of the County a. Cooperation and Coordination. The County has designated (Craig Benedict, Planning Director) to act as the County's representative with respect to the Project and shall have the authority to render decisions within guidelines established by the County Manager and/or the County Board of Commissioners and shall be available during working hours as often as may be reasonably required to render decisions and to furnish information. 7. Insurance a. General Requirements. Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may be required by Owner's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://oran ecg�ount�nc.goy/purchasing/contracts.asp). If Owner's Risk Manager determines additional insurance coverage is required such additional insurance shall consist of N/A (if no additional insurance required mark N/A as being not applicable). Revised 10/14 3 DocuSign Envelope ID: FC9EFE5F-2E3A-436A-9FA0-CDDB72DA1969 Provider shall not commence work until such insurance is in effect and certification thereof has been received by the Owner's Risk Manager. 8. Indemnity a. Indemnity. The Provider agrees to defend, indemnify and hold harmless the County from all loss, liability, claims or expense, including attorney's fees, arising out of or related to the Project and arising from bodily injury including death or property damage to any person or persons caused in whole or in part by the negligence or misconduct of the Provider except to the extent same are caused by the negligence or willful misconduct of the County. It is the intent of this provision to require the Provider to indemnify the County to the fullest extent permitted under North Carolina law. 9. Amendments to the Agreement a. Changes in Basic Services. Changes in the Basic Services and entitlement to additional compensation or a change in duration of this Agreement shall be made by a written Amendment to this Agreement executed by the County and the Provider. The Provider shall proceed to perform the Services required by the Amendment only after receiving a fully executed Amendment from the County. i 10. Termination a. Termination for Convenience of the County. This Agreement may be terminated without cause by the County and for its convenience upon seven (7) days' prior written notice to the Provider. b. Other Termination. The Provider may terminate this Agreement based upon the County's material breach of this Agreement; provided, the County has not taken all reasonable actions to remedy the breach. The Provider shall give the County seven (7) days' prior written notice of its intent to terminate this Agreement for cause. i c. Compensation After Termination. i) In the event of termination, the Provider shall be paid that portion of the fees and expenses that it has earned to the date of termination, less any costs or expenses incurred or anticipated to be incurred by the County due to errors or omissions of the Provider. ii) Should this Agreement be terminated, the Provider shall deliver to the County � within seven (7) days, at no additional cost, all deliverables including any electronic data or files relating to the Project. d. Waiver. The payment of any sums by the County under this Agreement or the failure of the County to require compliance by the Provider with any provisions of this Agreement or the waiver by the County of any breach of this Agreement shall not constitute a waiver of any claim for damages by the County for any breach of this Agreement or a waiver of any other required compliance with this Agreement. The County and the Provider each bind themselves, their successors, assigns and legal representatives to the terms of this Agreement. Neither the County nor the Provider shall assign or transfer its interest in this Agreement without the written consent of the other. b. Governing Law. This Agreement and the duties, responsibilities, obligations and rights � of respective parties hereunder shall be governed by the laws of the State of North Carolina. c. Compliance with Laws. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all anti-discrimination laws. d. Dispute Resolution. Any and all suits or actions to enforce, interpret or seek damages with respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina. It is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. Binding arbitration may not be initiated by either Party, however, the Parties may agree to nonbinding mediation of any dispute prior to the bringing of such suit or action. e. Entire Agreement. This Agreement represents the entire and integrated agreement between the County and the Provider and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both parties. Modifications may be evidenced by facsimile signatures. f. Severability. If any provision of this Agreement is held as a matter of law to be unenforceable, the remainder of this Agreement shall be valid and binding upon the Parties. I g. Ownership of Work Product. Should Provider's performance of this Agreement generate documents, items or things that are specific to this Project such documents, items or things shall become the property of the County and may be used on any other project without additional compensation to the Provider. The use of the documents, items or things by the County or by any person or entity for any purpose other than the Project as set forth in this Agreement shall be at the full risk of the County. It. Non-Appropriation. Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non-appropriation of public funds. It is expressly agreed that County shall not activate this non-appropriation provision for its convenience or to circumvent Revised 10/14 5 DocuSign Envelope ID: FC9EFE5F-2E3A-436A-9FA0-CDDB72DA1969 i the requirements of this Agreement, but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the County's statutory authority, mandate and/or mandated functions, by state and/or federal legislative or regulatory action, which adversely affects County's authority to continue its obligations under this Agreement, then this Agreement shall automatically terminate without penalty to County upon written notice to Provider of such limitation or change in County's legal authority. i. Signatures. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. j. Notices. CONSULTANT will use the following documents as the basis for developing the subject Transportation Plan: • Mebane/Buckhorn EDD Access Management Concept, prepared by Orange County Planning and Inspections,dated 12/4/14(see attached) • Interchange Analysis&Corridor Study for Mattress Factory, prepared by Ramey Kemp&Associates, Nov. 2- 12 • Environmental Screening Report,prepared by Pilot Environmental, Inc. (report not yet provided) • Traffic Count Locations,prepared by Orange County Planning and Inspections,dated 1/14/14 SCOPE OF SERVICES • Item 1—Project Management/Administration/Work Plan/Setup CONSULTANT Nvill develop a project work plan which will include project setup/mobilization,COUNTY communications methods,and a monthly progress report template. CONSULTANT will also setup the appropriate system to maintain the project and accounting files. CONSULTANT will manage the project from inception to completion. Monthly progress reports will be developed and submitted to the COUNTY with the invoice. CONSULTANT will keep the COUNTY informed of the progress throughout the duration of the project via telephone and/or email communications. • Item 2—Site Visit/Data Collection CONSULTANT-will visit the site to take photographs of the area and observe traffic conditions. CONSULTANT will also obtain and review the existing transportation and land use plans,NCDOT average daily traffic counts,GIS and topographic maps,site plans,etc. in the area. The NCDOT average daily traffic counts will be converted into peak hour directional counts using K=10%with a directional split of 60/40 for analysis purposes. This traffic will be increased 2%per year compounded annually for 11 years to obtain the 2025 average peak hour traffic volumes. ITE Trip Generation will be used to generate the potential development traffic. CONSULTANT will distribute the site traffic to through the site street network to the external roadway network at Mt.Willing Road, Buckhorn Road,Redman Crossing Road,and Southern Drive. • Item 4—Capacity Analysis/Simulation Using the generalized trip generation and traffic counts in Items 2 and 3,CONSULTANT will perform generalized AM and PM peak hour capacity analysis for up to five(5)intersections to determine the general intersection geometrics and internal street cross-sections. • Item 5—Design Criteria CONSULTANT will develop design criteria for the internal streets. The design criteria will include design speed,lane width,maximum horizontal and vertical curves,curb and gutter vs. shoulders,sidewalk widths,and superelevation rates. • Item 6—Land Suitability Mapping CONSULTANT will develop land suitability mapping from environmental data which is to be provided by the COUNTY. The environmental findings will be overlaid over aerial photography with parcel lines,right-of-way limits,streets and roadways,and Norfolk Southern Railroad. • Item 7—Typical Section CONSULTANT will develop a typical section,suing Google Sketchup,which will illustrate the generalized typical section of the internal street within the Economic Development District. • Item 8—Conceptual Design CONSULTANT will use the typical section and land suitability mapping to develop a conceptual design for the internal street network and intersections with the external streets at up to five(5)locations. The conceptual designs will include the horizontal alignment,general vertical profile,intersection control treatment,generalized right-of-way limits,typical section,and proposed functional classification, The conceptual designs will also include options access management options such as shared driveways,rear access driveways,and frontage roads. The conceptual designs will be developed using Microstation in accordance with NCDOT standards. • Item 9—Opinion of Probable Construction Cost Estimates CONSULTANT will develop construction cost estimates for the transportation plan using NCDOT planning level cost methodology. • Item 10—DRAFT Conceptual Designs/Summary Report CONSULTANT will prepare a DRAFT summary report which will include the conceptual designs and construction cost estimates for the recommended transportation plan. Conceptual designs,Report Summaries and other deliverables will be submitted to the COUNTY via email. ADDITIONAL PUBLIC ENGAGEMENT MEETINGS(if needed) • Item 15—Public Engagement/Property COUNTYs Meetings CONSULTANT,in coordination with the COUNTY,will schedule a series of meetings in the COUNTY's office or at a location determined by the COUNTY,where individual property COUNTYs will be invited to come in for a one-on-one meeting where the CONSULTANT will present the study corridors overlaid over the environmental screening map. The property COUNTYs will be asked to provide input. The CONSULTANT will be prepared to answer any questions,take notes,receive written comments,and to sketch other corridors on the environmental screening map. SCHEDULE&FEE CONSULTANT will undertake the aforementioned scope of services for a lump sum fee of$35,000. CONSULTANT will begin work after receipt of a fully executed Agreement and will submit the DRAFT Conceptual Design/Summary Report within 60 calendar days following receipt of Notice to Proceed. Upon receipt of COUNTY's review comments, CONSULTANT will make the necessary changes and submit the revised,DRAFT Conceptual Design/Summary Report within 14 calendar days. Upon receipt of COUNTY's final review comments,CONSULTANT will make the necessary changes and submit the final,sealed Conceptual Design/Summary Report within 14 calendar days. I City of Salisbury Comprehensive Bicycle Plan Salisbury, North Carolina (2007 — 2008): Mr. Snow served as principal-in-charge responsible for oversight of the project. This project involved the data collection and mapping of the proposed sidewalks, bike routes, and multiuse paths as part of the bicycle plan for the town. The needs of the bicycle plan were created by digitizing the linkages and routes that were addressed by the residents, visitors, local bike clubs, and the Bicycle Steering Committee. The purpose of the plan is to develop a dynamic and comprehensive planning tool which will focus on the city's growth strategies and facility needs and assist in the expansion, promotion, and funding of safe and efficient bicycle facilities, programs, and initiatives throughout the city. Project Experience-Transit& Rail Studies/Desi_gn East Guilford Track Separation Study, Guilford County, North Carolina (2004): Mr. Snow served as the project manager on this project. This analysis covers the 25 at-grade rail crossings along the proposed high speed rail corridor that will pass through Guilford County. Each at-grade crossing was analyzed relative to existing and projected vehicular traffic; existing and projected freight, commuter, and passenger rail service; existing and projected pedestrian and bicyclist traffic; accident history; and existing and projected land uses. The project involved the collection of traffic data;distribution and assignment of projected traffic; assessment of levels of service using both Synchro and High Capacity Software; coordination with local government, state government, and private developers; and establishment of design concepts for both traditional and non- traditional design guidelines. NOAA Pacific Region Master Plan, Honolulu, Hawaii (2006): Mr. Snow served as the project manager on the project. The transportation study is for the development of a master plan for the NOAA Pacific Region on Ford Island in Pearl Harbor. Access to the secured facility was a key issue in the study. Soltis Site Selection Services, North Carolina, Florida, and Illinois(2005—2006): Mr. Snow served as the project manager on the project. The project involved zoning data collection, geo-referencing, digitizing, and mapping North Carolina, Illinois, and Florida (Tampa and Orlando Region). High Point One-Way Conversion Feasibility Study, High Point, North Carolina(2008 — 2009): Mr. Snow served as the principal-in-charge on the project, responsible for oversight. This project involved investigating the feasibility of converting the English Road/Kivett Drive and Green Drive/Russell Avenue one-way pair roadways to two-way operations, and applying identified road diet alternatives that retain the one-way patterns with enhanced parking, pedestrian use, and local access options without a substantial negative impact on traffic operations. Russ Avenue Corridor Study, Waynesville, North Carolina (2008 — 2009): Mr. Snow served as the project director for this project. This highly congested corridor with high crash rates caused by numerous driveway accesses. This corridor feasibility study was for the widening of North Church Street from West Wendover Avenue to East Cone Boulevard in Greensboro. This 1.8-mile-long section of North Church Street has experienced significant traffic increase in recent years and the numerous curb cuts have created accidents. This facility is extremely important to serve as a north-south connector for southeast Winston-Salem. However, the construction of this facility will impact an established residential community. I Martin Luther King Jr. Drive Extension Traffic Operations and Feasibility Study, Winston-Salem, North Carolina(2002): Mr. Snow served as the project manager on the project. The project involved traffic capacity analysis and the preparation of a feasibility study for improvements to MLK Drive from Reynolds Park Road to 1-40 Business. MLK Drive, an existing 4-lane undivided facility, bisects the Winston-Salem State University campus. As a result of the WSSU Master Plan Update, which Neel-Schaffer, Inc. served as the transportation consultant, MLK Drive was recommended to be downgraded to a 2- lane divided facility with a landscaped median and parallel parking along each side. Decorative crosswalks,enhanced street lighting,wide sidewalks,and additional turn lanes at key intersections were key components of this important project. These changes enhance pedestrian safety and promote multimodal travel. Specific traffic engineering services provided include access management, coordinated signal progression study,and intersection analysis. Martin Luther King Drive Extension Feasibility Study, Winston Salem, NC (2008- 2012): Project Manager responsible for the feasibility study of examining the possibility of extending Martin Luther King, Jr. Drive in the northern part of downtown Winston-Salem to provide a northern gateway to the downtown area. The NC 96 corridor is a main corridor that provides access to northeastern Wake County and southwestern Franklin County; both experiencing significant residential development and increases in traffic flows and congestion. I Lake Jeanette Road Widening Feasibility Study, Greensboro, North Carolina (2000 —2001): Mr. Snow served as the project manager responsible for traffic capacity analysis and the development of a feasibility study for widening Lake Jeanette Road from Lawndale Drive to North Elm Street. This project, initiated in December 2000, required the development of future year traffic projections using a regional traffic model, environmental screening of potential environmental constraints, projecting levels-of-service at intersections, developing functional designs, developing alternative alignments, establishing project cost estimates, and managing a public involvement process. The NC 96 corridor is a main corridor that provides access to northeastern Wake County and southwestern Franklin County; both experiencing significant residential development and increases in traffic flows and congestion. Dow Road Corridor Study, Towns of Carolina and Kure Beach, NC (2008- 2009)— Project engineer who participated in conducting a corridor feasibility study for the widening of a 3-mile section of the existing 2-lane Dow Road, as well as a 2-mile extension on new alignment. The project also included pedestrian and bicycle facilities including sidewalks and a multiuse path along the entire corridor. The majority of the project study area was within the Military Ocean Terminal Sunny Point Blast Buffer. There are extensive cultural resources, as well as various unique natural habitats in the project area. Coordination with the Department of Defense (Air Force and Navy)was significant to getting the project on track. The stimulus for this project was to provide an alternative north-south through traffic route to U.S. 421 (Lake Park Boulevard), which traverses the heart of Carolina Beach and Kure Beach. It was desired to make U.S. 421 more of a pedestrian-friendly downgraded facility rather than a high-speed U.S. highway. Specific services provided include traffic data collection, traffic diversion studies, corridor capacity analysis using Synchro, environmental screening, public and agency involvement plans, and conceptual designs. South Carolina 30 (James Island Connector) at S-404(Calhoun Street) Intersection and Operation Study, Charleston, SC (2009)— Project designer who participated in a study that served as a follow-up from an original June 2007 study, which addressed SCDOT's comments and determined the need for future mitigation measures. This traffic analysis determined road and operational improvements for three scenarios: 2009 existing conditions, 2009 existing conditions (ultimate), and future 2030 conditions. Intersection, arterial, and operational improvements were developed for each scenario to mitigate the existing and future queuing along Calhoun Street, hazardous weaving movements along Calhoun Street, and the future connectivity of 4th Street to Calhoun Street. Ala Moana Boulevard Pilot Program, Honolulu, HI (2008-2009)—Project manager, responsible for the development of the state's first Pilot Program to test Letchworth,William E. A detailed technical report was developed to clearly convey the findings of the study. Mr. Letchworth presented the findings of the 3-phased studies to the City of Honolulu and Hawaii State Department of Transportation. Town of Carolina Beach Traffic Circulation Study and Pavement Marking Plan, Carolina Beach, NC (2008-2009)— Project manager responsible for the townwide traffic circulation study. The goal of the study was to identify operational and roadway improvement recommendations so U.S. 421 (Lake Park Drive) could be reduced from a 4-lane undivided thoroughfare to a 2-lane median divided facility. Integrating the recommended land use changes with the transportation improvement plan was essential. Specific services performed included peak hour turning movement traffic counts, capacity analysis using SimTraffic and Synchro 7.0, intersection, roadway, traffic calming, streetscape improvement recommendations, and on-street parking recommendations. Lewisville Williams Road Traffic Study, Forsyth County, NC (2007-2008) — Project manager responsible for detailed traffic analyses and conceptual design of the western portion of a one-way loop in the downtown area of the Town of Lewisville. This analysis also considered the future operations of the Williams Road/U.S. 421 interchange and recommended future alternatives to handle the j projected 20-year traffic.
