WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, an agency of the Department of Cultural Resources and the National Endowment for the Arts. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the Spring Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas -and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed one thousand dollars ($1,000) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. These funds must be matched at least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient 1 Revised May 2012 DocuSign Envelope ID: 31C2F5CA-4AE1-470E-9A03-ED3712F17DD5 A. Implementation. The Project implementation shall take place between January 1, 2015 and December 31, 2015. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein,the modifications shall be deemed approved. C. Non—assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose of implementing the Project and Project related expenses. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on January 15, 2016 . The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Pam. The Arts Commission shall release the grant funds in the amount of $1,000 to the Grant Recipient. 6. Publicity A. Acknowled eg_ment. Credit must be given to the Orange County Arts Commission using the Arts Commission logo and if State funds are received to the North Carolina Grassroots Program in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. When no printed information is used, verbal credit shall be given. "This program is supported by the Orange County Arts Commission. " ii. North Carolina Arts Council Funding. "This program is supported by the Orange County Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, a state agency. " B. The Grant Recipient must enter all events, exhibits and performances open to the public and related to this grant award on the ExploreChapelHillARTS.com website and display ExploreChapelHillARTS.com publicity materials (postcards, brochures, etc.) prominently and consistently at their venue or performance space. In addition, the Grant Recipient must add a link to the ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred) to their main webpage. The Grant Recipient shall contact the Orange County Arts Commission for replacement ExploreChapelHillARTS.com publicity materials. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below(hereinafter referred to as "default"),the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised May 2012 DocuSign Envelope ID: 31C2F5CA-4AE1-470E-9A03-ED3712F17DD5 (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. This Agreement shall be interpreted in accordance with the laws of the State of North Carolina and the Orange County. My project is to create a series of live, representational gesture-drawing-type portraits of musical performers and community members at a variety of local music and art festivals. To convey the sense of motion each musicians makes while singing or playing their instruments, exploration of wide range of medium and portable surfaces is beneficial. By creating at event, an emotional impact occurs and shows uniquely in the portraits.The attendees can watch, talk about art when viewing them after the performance. A wide range of people interact becoming part of the creative contribution that is valued in our area. Following these events, the portraits are schedule for exhibits various locations or used in publication (for example, on CD covers, posters, or t- shirts),In 2015, 1 am scheduled at The ArtsCenter for a show and interactive reception. I am requesting grant funding to pay for costs associated with the production of the portraits, including transportation to the venues and/or performances. Additional printed media, a demonstration video, special art materials, tools as well as web site will maintain the Visual Music project momentum. By building from two years of experience as well opportunities, I have acquired a foundation to prepare proposals and schedule regular events. To date I have not been confident to accept assistance or pursue suggestions without a web site or means too transport supplies or me. Consistent event artist opportunities in our local areas businesses, community events, festivals, cultural celebrations are the foundation for ongoing financial support. The grant will also fund the purchase of a Chrome notebook so to allow me to keep track of the portraits, immediately schedule future opportunities at venues, document sales, donations and expenses. A quality printer/scanner is a priority for organization, creating samples of merchandise, editing images with a customer, producing prints of the portraits, keeping a professional portfolio up dated. Much of my live art thus far has been relatively small-sized and done in graphite and charcoal, but I would like to draw larger portraits (up to life-size) and to employ a wider range of media, including pastels and paints. A number of the musicians I have previously drawn have expressed an interest in seeing me work larger, in color and I am inspired artistically to pursue this new direction. Evidence of encouragement come from Cindy Jones's; "She was able to capture most of the artists who played because of her unique style. Her quick study technique somehow allows her to "get" the image, and then move to next artist/musician of study. She engaged the crowd, at times as much as the live music. I witnessed parents and children watch her "draw" and then watch the music as I had done when I first met her. They expressed surprise and appreciation of her drawing sound and action right in front of them.The musicians too spoke with me about their experience of being "drawn" by her as supportive. Many people have requested me to work larger so they can watch paintings and them requests to see exhibits. Visual Music is the means for me to expand my creative abilities by interactively exploring our creative community, while using my unique skills to make a contribution that is valued in our area. I have been encouraged and applied for a small grant to exhibit the Live & Local paintings, prints of local musicians I have drawn and to create a life size gesture of musicians while they are performing. The Visual Music's first 3-d live interactive art exhibit will be this winter in Chapel Hill's Window's art project.Jeffrey York hired me to be a Performing Painter for Festifall 2014. He is indicating I have opportunities to be included in future events.These entire projects take a great deal of planning, organization, materials, follow up scanning and completing digital collections of completed. Requested to create sample media and digital collections for the contractor or my portfolio is difficult without a quality scanner, printer and laptop this is difficult. I am also frustrated by the amount it takes to work with my current equipment, circumstances so to complete proposals professionally or maintain time schedules. I will be bringing in matching funds with these projects. To gain further experience as emerging an event artist, Michelle King the owner and a Music Coordinator at Triangle wrote me a letter of support.These are her quotes; "The grant would provide her with the confidence and monetary support that she needs to continue her endeavor" "I have seen her struggle and not able, to accept or complete art opportunities from the lack of basic technological equipment and supplies required." In the same letter she states, "I know that Barbara Barnes' work would be beneficial to the musician's community. She has already with her own money, made a difference in the Triangle Music scene." Michelle has indicated she will provide me opportunities to and give professional suggestions. This project will help me to achieve my career goals by allowing me to develop my live-art skills in different media and by opening up new venues for me to do live art where limited transportation has prevented me from working previously. Part Three: public component and who will be impacted Last week I posted this status update on my Art Images Live Facebook page: "Speaking truth! As a live artist, would you all believe I have drawn with 60ty ebony pencils,two sets pastels and oil pastels over 60011" X 14" images in in 90ty days. I have used all ten of my 11" x'14 Windpower Sketch(60ty page) pads as well as other drawing papers. I also painted with oil, acrylic and watercolors) on five large gesso boards,three very large canvas boards and six stretched canvases in the same amount of time?All of these materials are used up and most went home with you all for a contribution or not". Currently live art and the Visual Music painting are unique to this area. The contribution to attendees is a means to share unique and shared experience of the event. Children, parents, musicians and artist's state that the 1000's of completed drawings are memorable while inspiring them to be creative and share their talents. As an artist who draws any location a person sharing their art in some way them to return to the businesses and venues and to attend future concerts, festivals, and performances. Businesses and other venues hosting the musical performances value the memorable and unique opportunity for attendees to view visual art created right before their eyes. Mark Connor, owner of The Cave, summarized some of the benefits to the community in this way: "Through Art Images Live, Barbara Barnes provides a unique and memorable experience for concertgoers and performers. Anything my business can provide that is memorable or unique in a positive way for our patrons is an advantage; anytime someone leaves The Cave talking about the performance they have seen, it helps my business....When Barbara draws musicians, she becomes another interesting and noteworthy aspect of the performance, something to talk about....It is amazing to watch Barbara work, and it makes concerts at The Cave much more memorable, more of an event." Consider the 1000's of musicians I have drawn, their age ranges, cultural backgrounds, varied economic situation and types of music performed as well as the locations they perform.Just these musicians' friends, family, music professionals, business owners etc who are present at these shows and are aware that visual art can be fun and actively included. I have had many people who do not speak English show appreciation for "image listening" .Also, consider the fundraising and community events that include live music. I know at least 4000-6000 individuals in our area have seen me do live art, encouraged and treasured art about themselves or their community. I treasure each and every person and attempt to be their "art cheerleader" with a sight of images appreciation." I am sure that Visual Paintings will open up a whole art adventure with my community I cannot fully anticipate! ® Artist Experience In the past several years since I launched Art Images Live, I have drawn over 600 different bands plus individual musicians, comedians, flame acrobatic performers, drum circles, all form of dance and people who live to move expressively, fund raising events and music festivals . In my early career, I painted, exhibited, owned by own art business and completed contracts to develop programming for the disabled, utilizing art and music. As a mother of four sons and serving on many committees and advisory boards, I advocated the use of music, art, and recreation to create an inclusive wider community. Despite a series of health challenges and surgeries over the past decade, I am an emerging artist after a professional "gap" in my career.Art Images Live focus is creating live gesture portraits of people/bands/performers/events while sharing their art with the community. I have had the privilege of pulling together a few community events with numerous musicians playing for the Norms Farms Elderberry stage (at Shakori Hills Coffee Barn) and the Elderberry Festival in August 2013 in Carrboro. Barbara was there at my request to spread her interactive art with the bands. She was able to capture most of the artists who played because of her unique style. Her quick study technique somehow allows her to "get" the image, and then move to next artist/musician of study. She engaged the crowd, at times as much as the live music. I witnessed parents and children watch her"draw" and then watch the music as I had done when I first met her. They expressed surprise and appreciation of her drawing sound and action right in front of them. The musicians too spoke with me about their experience of being "drawn" by her as supportive. I have asked Barbara to again join our tribe of musicians at the NC Hops and Roots Festival (at Shakori Hills, Memorial Day weekend) and in the Elderberry Festival in August 2014.
