THIS AGREEMENT, entered into this 19th day of December, 2014, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts Commission")
and The ArtsCenter("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
proj ects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand five hundred dollars
($1,500) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. These funds must be matched at least dollar-for-dollar with cash from
the Grant Recipient's funds not derived from either Orange County appropriations or the
North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to'the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2015 and December 31, 2015. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 15, 2016 . The Final Report shall be in the format required by
the North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,500 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line (check all that apply):

i. x County Funds Only. "This program is supported by the Orange County
Arts Commission. "
ii. North Carolina Arts Council Funding. "This program is supported by
the Orange County Arts Commission with funds from the Grassroots Program
of the North Carolina Arts Council, a state agency. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHillARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below(hereinafter referred to as
"default"),the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Summary Statement for Proposed Uses of Arts Program Grant The ArtsCenter requests $1500
from the Orange County Arts Commission to support an additional full-time scholarship covering tuition
and transportation for the Afterschool Immersion (AAI) sessions from January—June 2015. AAI teaches
different art forms each month while providing homework help in a safe, healthy environment.

The ArtsCenter's Organizational Profile
Over the course of its forty year history, The ArtsCenter in Carrboro, NC has grown from
a single painting class into a vibrant educational center serving our community through
the arts. During 2013, The ArtsCenter provided 93,000 arts experiences, including
nearly 30,000 to youth under 18. Our work created a local economic impact estimated
at $3,488,830.
Mission: The ArtsCenter exists in order to inspire artistic creativity and to enrich the
lives of people of all ages.
Guiding Values: Sustainability; Excellence; Accountability; and Inclusivity.
Current Programs and Services
ArtSchool. ArtSchool at The ArtsCenter is Orange County's most comprehensive non-
profit resource for continuing education in the arts on a non-degree, community basis.
The ArtSchool now offers more than 500 classes in all artistic disciplines for all
experience levels and ages, awards more than 20 scholarships annually, and offers
work-study opportunities.
School, Family & Youth Programs. The ArtsCenter has provided artistically excellent,
age-appropriate and accessible arts experiences to Triangle families for more than 30
years. Currently, The ArtsCenter offers the School Show Series with over 70
performances in schools as well as field trip opportunities at The ArtsCenter; curriculum-
based art workshops in all four area Title-I schools through the Artist Residency
program; the SuperFun Series of performances for family audiences; ArtsCamp in the
summer, and AfterSchool Arts Immersion during the school year. In addition, Youth
Arts classes offer fine art classes and workshops in acting, musical theatre, dance,
chorus, stage combat, radio drama, acting for the camera, and improv. Combined, The
ArtsCenter's youth programs reach approximately 26,000 children each year.
Theatre. International theatre at its most local, ArtsCenter Stage showcases the work of
emerging and established artists hailing from next door to around the world. ArtsCenter
Stage features new works with a historical perspective, while its second-stage series
includes improvisation and storytelling, musicals and operas, stand-up comedy and film
screenings, new works in development and theatre for younger and older audiences.
ArtsCenter Stage is community-oriented theatre with a commitment to developing new
artists and audiences.
Concerts. The ArtsCenter presents approximately 60 concerts for adults each year,
representing the spectrum of musical genres by local, emerging, and nationally touring
artists including folk, blues, Celtic, singer-songwriter, roots, and bluegrass.
Gallery. The Nicholson Gallery features the work of local and regional artists on a
rotating basis and highlights the work of more than 100 local and regional artists in 12
exhibitions a year. The new Emerging Artist series highlights talented local artists who
are just starting out in their careers and features a new artist each month in dedicated
gallery space.

Afterschool Arts Immersion- Program Narrative for Scholarships- OCAC Fall 2014
For almost 11 years, the AfterSchool Arts Immersion (AAI) program at The ArtsCenter
has provided a safe, inspiring, and validating creative environment for students needing
after-school care. The ArtsCenter currently works with local transportation agencies to
provide transportation from eight area elementary schools: Frank Porter Graham, Estes
Hills, Ephesus Road, Glenwood, Seawell, Northside, Carrboro, and McDougle. All AN
participants attend Chapel Hill-Carrboro City Schools. The program accommodates 35-
40 students per day.
On each day of operation for Chapel Hill-Carrboro City Schools, participants are
transported from their elementary schools to The ArtsCenter, and are served a healthy
snack upon arrival around 3 PM. With the guidance of three trained AN staff
counselors, students then discuss the plan for the day during a short circle time before
dividing into their respective age groups. Students in grades K-2 attend art class for one
hour, and then have homework / quiet time for one hour. Students in grades 3-5 do their
homework for one hour first, and then move to art class for one hour. Homework help is
provided when necessary. All participants join together for supervised free play time for
the last half hour before pick-up at 6 PM. Free play time often includes self-directed arts
activities, board games, or outdoor recreation time. Supervision for the AN program is
done by three counselors, and overseen by two full-time Youth Education Assistants
(Ashley Clay and Britany Burch) and the Youth Education Coordinator (Jesse Hollars).
As an arts-based AfterSchool program, the staff's primary focus is on arts education. By
inviting local teaching artists from Orange County and the surrounding area to share
their skills, the program is able to offer classes in many different art forms throughout
the school year. Artists are hired to teach two-week residencies, in which they choose a
particular focus or project to teach. One of the most successful recent residencies was
Beat Making with Ryan Levin, a local DJ who previously worked with UNC's Beat
Making Lab. Students learned the basics of using a computer to create beats and
electronic music, while improving their understanding of rhythm and musicality. Another
recent residency focused on Darkroom and Digital Photography with Chapel Hill-based
photographer Adam Dodds. Students were introduced to the process of developing film,
and practiced taking photos of their own. Students have also worked on basic sewing
techniques through the process of making their own stuffed animals with visual artist
Erin Oliver and built cars, boats, and creatures out of found objects with re-use artist
Tom Xarlacos. By spending two weeks with each artist, both full-time and part-time AN
participants are able to build a relationship with their instructor and grow confident in
their new skills, building on the educational skills and tools provided by the public school
system.

For the upcoming semester, eight instructors are already scheduled, and Youth
Education staff is in discussion with instructors for the remaining three residencies. Of
the upcoming residencies, some highlights include Improv Comedy & Storytelling with
Kim Arrington, Contemporary Dance with Erin Casanega-Wert, Clay Sculpture & Paper
Crafts with James Ward, Cartooning & History of Comics with Richard Cloudt, and
Italian Art & Culture with Beatrice Ruggeri.
Of the 54 total participants enrolled in the AfterSchool Arts Immersion program, 61% are
in grades K-2, and 39 % are in grades 3-5. 61% of the students are female, and 39%
are male. 75% of the students are White, 8% are Hispanic or Latino, 4% are Black or
African American, and 4% are Asian. All of the students are residents of Orange
County.
Out of these 54 students, four receive scholarships from The ArtsCenter. This semester,
one student receives a partial scholarship ($170 per month), and three students receive
full scholarships ($320 per month). Full scholarships cover the cost of full-time tuition
and transportation fees. Of these scholarship recipients, 75% are Hispanic or Latino,
and 75% are in grades K-2. With these scholarships, four students who would otherwise
miss out on the benefits of arts immersion are able to experience many different art
forms at The ArtsCenter. These scholarships also provide peace of mind for working
parents who need a safe place for their children after school each day.
Eligibility for AN Scholarship is based on the student's participation in their school's free
or reduced lunch program. Applications come directly from parents of low income
families, often with support from school guidance counselors and social workers.

Kim Arrington is a teaching and performing artist using poetry, drama, and
music to tell stories. She graduated from North Carolina Central University

with a Bachelor of Arts in English.The press released her first volume of

poetry, the lapis dwellers, in August 2005, which was voted Independent
Weekly's Best Poetry Book. Kim's writing has appeared in Black Arts Quarterly,
Southern Quarterly, and Drumvoices Revue.Through her numerous arts
residencies, Kim teaches poetry, playwriting, and songwriting to 20,000 youth
each year, including as artist-in-residence through the Durham Arts Council,
The ArtsCenter, and is on the faculty at Duke University'sYoungWriters
Camp.

Richard Cloudt studied philosophy at Davidson College. He has
worked as an editorial and comic strip cartoonist and done freelance
CD

cartoon illustration work for 25 years—everything from book covers to
full-length comic books. He is best known, however, as a professional
caricaturist. Beginning in 1986 at Carowinds theme park in Charlotte,
he has drawn live at countless venues and events all over the state and
caricatured over 20,000 live subjects. In 1992, he began teaching
cartooning at Sertoma Arts Center in Raleigh and in 1999 at The
ArtsCenter. In the fall of 2002, he was selected to serve as Artist in
Residence at Guy B. Phillips Middle School for a special project
arranged by the Chapel Hill Public Arts Commission. In 2009, he was
selected by the Carrboro Merchant's Association to create the Town's
first "Walk Carrboro" cartoon map to promote local businesses.

Ryan Levin, also known as Sup Doodle, is a producer/educator living in
W
Durham, North Carolina.A graduate of the University of North Carolina at
Chapel Hill, Ryan first began making beats in a UNC class in 2012. Mentored
by eight-time beat battle champion Apple Juice Kid and artist/educator Pierce
Freelon of Durham-based hip-hop fusion band The Beast, Ryan has helped °

produce several projects from UNC's courses on beatmaking and MCing. His
collaborations with Apple Juice Kid have been used by internationally known
artists Azealia Banks and Wale, and his work has also been featured on
projects by local MCs Topiq the Smooth Prophet and Lexicon. Ryan currently
teaches music production techniques to high school students at the Chapel
Hill Community Beat Making Lab.
