PURPOSE: To receive an update on Project Home Start (the
transitional family housing initiative) from the Emergency
Family Support and Shelter Task Force (EFSSTF) and approve a
lease agreement with the IFC for Project Home Start .
BACKGROUND: On February 6, the Board of Commissioners
requested that the Inter-Faith Council and the Orange-Durham
Coalition for Battered Women return to the Board with a
specific report detailing the progress of Project Home
Start , including a preliminary long-range financial plan, a
lease arrangement between the County and the IFC, and site
plans pertaining to the three acre parcel .
Since February 6 there has been progress in a number of
areas , including the following:
HUD has received and approved all second submission
paperwork, and will give final approval to the Inter-Faith
Council when there is site control (a formal lease) and"
when the balance of the capital funds is in hand.
. The Orange-Durham Coalition for Battered Women has decided
to continue with plans for co-location of a transitional
housing residence for battered women alongside transitional
housing residences for homeless families, rather than
pursue an option for a separate rural location.
. IFC has contracted with Brendan Associates as a consultant
on safety and security issues . z
. A proposed site plan and floor plan have been designed
by GGA Architects , reviewed by a joint design committee
including IFC and the Coalition and the Emergency Family
Support and Shelter Task Force . Detailed plans are being
prepared for review by appropriate committees and boards
involved in the Chapel Hill special use permit modification
process (see attached site plan, floor plan and
construction budget) .
The Town of Chapel Hill has agreed to waive all permitting
fees and to expedite the zoning process, and the IFC and
Coalition expect all zoning requirements to be approved by
January, 1996.
. County, Town and project staff have been meeting to explore
access issues . IFC is proposing access to Home Start
residences from Homestead Road (see attached Memo to
Manager) . Orange County staff concurs with this proposal .
. IFC and the Coalition have hired John Bush Associates , a
Fundraising Council , to help raise the balance of
construction funds ($375 ,000) and an initial fundraising
committee has been formed.
. A preliminary long-range funding plan for operating
expenses after 1997-1998 (when HUD matching funds for
this project will decrease and then end) has been developed
which relies primarily on capital campaign donors ,
congregations and individuals . Approximately $8 ,500
annually will be needed from public sources . Services
dollars ( for case management , transportation, etc. ) are
expected to come from HUD or reallocated state sources .
. A 15-year lease agreement has been drafted by County staff
which has been reviewed by IFC's staff , legal counsel
and Board (see attached agreement) .
Site plan approval by the Town of Chapel Hill may require
modification to the lease agreement . Any such modification
will be brought back to the Board for its consideration.
RECOMMENDATION: The Manager recommends that (a) the Board
receive the update as information, and (b) approve adoption
of a resolution to enter into a lease agreement with the
Inter-Faith Council for Project Home Start.

A RESOLUTION AUTHORIZING THE COUNTY TO ENTER INTO A LEASE
AGREEMENT WITH THE INTER-FAITH COUNCIL FOR SOCIAL SERVICE
WHEREAS, there is a critical need for transitional housing
for homeless families , including battered women and other
low-income individuals in Orange County; and
WHEREAS the Inter-Faith Council for Community Service ( IFC)
has applied for and received $1 . 783 million dollars from the
US Department for Housing and Urban Development for Project
Home Start based on the model proposed by the County's
Emergency Family Support and Shelter Task Force; and
WHEREAS on February 6, 1995, the County Commissioners
adopted a motion to approve a long-term lease for a site
located on the County 's property on Homestead Road for the
specific purpose of transitional family housing provided by
Project Home Start; and
WHEREAS the County Staff has drafted a 15-year lease
agreement that has been reviewed by the IFC staff , legal
counsel and IFC Board of Directors ;
NOW, THEREFORE, BE IT RESOLVED THAT the Orange County Board
of Commissioners approves the lease agreement between the
County and the Inter-Faith Council for Project Home Start,
and hereby authorizes the Chair to sign on behalf of the
Board and the Clerk to the Commissioners , to attest the lease
and memorandum thereof .

Re: Project Home Start Update
I would like to thank you and your staff for all of the support and cooperation
given to both of our organizations during the implementation stages of Project Home
Start. From our perspective we are involved in a meaningful public/private relationship
which we hope will last for many years to come.
The purpose of this memorandum is to bring you and the Orange County Board of
Commissioners up to date about our progress since our meeting with the Board on
February 6th, 1995.
On February 6th, the Orange County Board of Commissioners requested that the
Inter-Faith Council and the Orange-Durham Coalition for Battered Women return to the
Board of Commissioners with a specific report detailing the progress of Project Home
Start. The Board of Commissioners also asked that certain questions be answered about
long-range financial planning, a joint lease arrangement between the county and the IFC,
and site plans pertaining to the three acre parcel. The following information should
provide all of the necessary details about these areas.
1. Second Submission Requirements:
HUD has received and approved all second submission paperwork requirements
including construction estimates, budgets for services and operational costs, fundraising
needs and plans, and details about our lease arrangement with Orange County. HUD will
give final approval to the IFC when there is site control (a formal lease) and when the
balance of the capital funds are in hand On May 25th members of the IFC and Orange-
Durham Coalition for Battered Women met in Greensboro with HUD officials to learn
about HUD financial reporting requirements, how construction and operational funds can
be reimbursed, program participant documentation and other information critical to the
approval of architectural plans and bidding procedures. HUD assured us that funds for
Project Home Start are safe and will not be reallocated for other purposes./
2. IFC / Coalition Collaboration:
It was always the intention of the Orange-Durham Coalition for Battered
Women and the IFC to share property and co-locate our three transitional housing
residences. However, at the February 6th County Commissioners meeting, officials from

the Orange-Durham Coalition for Battered Women explained that an anonymous donor
had offered their organization a piece of property at the northern end of the county.
Coalition leaders were undecided at that time whether to accept the offer or co-locate with
the 1FC on county property. . Since our meeting with you, the Coalition's Board of
Directors agreed to locate their residence on the three acre county site for a number of
reasons. The primary reason is that the specific location at the Southern Human Services
property is more geographically centered to serve its population and their needs. Other
reasons include the economic benefits for constructing all three residences at the same
location. Finally, co-location with the IFC would provide the opportunity for both
organizations to share resources, staff and volunteers that could better meet the needs of
participants.
3. Lease Agreement:
A 15 year lease agreement has been drafted by Pam Jones and the county
attorney which has been reviewed by IFC's legal council (see attached draft agreement).
4. Safety and Security Plan:
After meeting with a number of County Human Services Department heads, it
was suggested that the IFC and Coalition contact Bill Griffin of Brendan Associates who
are already consulting with the county about safety and security issues for facilities and
staff.
We have since met with Bill Griffin who has agreed to consult with our organizations and
GGA Architects regarding safety measures that should be considered for the three
transitional residences (lighting, communications, equipment and staffing needs, etc.). In
addition, we will use operational funds to contract with Brendan Associates to conduct
extensive safety training for all new staff and key volunteers once operations begin. This
training will help staff consider good safety and security policies for the transitional
residences. In addition, staff will learn some appropriate ways for implementing these
policies, such as establishing regular inter-residential communications or enforcing security
procedures for visitors. IFC and the Coalition will also have the option of identifying
certain staff who can be trained as trainers so future staff can be trained when they are
hired. ,.
5. Architectural Plans and Construction Costs:
Attached is the site plan(being submitted to the Town of Chapel Hill) and floor
plan which has been designed by GGA Architects and reviewed by a joint design
committee including both organizations and the Emergency Family Shelter and Support
Task Force. Detailed floor plans are being prepared for review by appropriate committees
and boards involved in the Chapel Hill zoning modification. We have attached a detailed
construction budget prepared by our architect for your information.

6. Zoning Process:
IFC and the Coalition have kept both County and Town officials regularly
informed as we begin the modification process of the existing conditional R5 zone to
allow for the use of these transitional housing residences. At the request of the IFC, the
Town of Chapel Hill has agreed to waive all permitting fees and to expedite the zoning
process. We expect all zoning requirements to be approved by January of 1996. Along
with IFC/Coalition officials, members of county and town planning departments and
administrative staff have had several meetings so these matters can be properly
coordinated.
7. Road Access:
It was suggested on February 6th that the three transitional housing residences
be accessed by a service road off the main entrance drive to the Southern Human Services
Center. IFC and the Coalition for Battered Women have suggested a different proposal
which we believe will be less costly for the project. A series of meetings between county,
town and project officials to explore the possibility of a different access point off of
Homestead Road have been held to consider our request. Most recently, a May 19th
meeting involving the county and town managers, other staff, IFC and project architects
was held. At that time it was decided that the IFC should submit the site plan it feels
comfortable with. There are four primary reasons why we believe the access to Home
Start residences should be off Homestead Road. They are:
a). An access drive off of Homestead Road would save $20,000 in capital costs
which we would have to raise from the community.
b). Access off of Homestead Road would allow for full utilization of the site
avoiding unnecessary clearing or tree removal.
c). We wish to avoid the Recourse Conservation District that is directly to the east
of the site.
d). We believe that a service road leading to the transitional residences would
increase security risks for residents and staff. It would be better for our project
not to have this type of traffic connection to other facilities on the
campus.

8. Fundraising Plans:
IFC and the Coalition have secured the services of a Fundraising Council, John
Bush Associates, to help both organizations raise the balance of construction funds
($387,000) needed for Project Home Start. Mr. Bush and his associate, Shelly Wiley have
con ucted about forty interviews with community leaders to gain input for the campaign.
An initial fundraising committee has been formed to solicit larger gifts. We expect most of
the money to be larger gifts coming from interested individuals and businesses. Capital
funds should be pledged or donated by the fall of this year. Once capital funds are
secured and zoning approval is granted by the Town of Chapel Hill, we will advertise for
construction bids.
In regards to future operational fundraising, both organizations are prepared to
gradually increase their operating budgets in order to match federal operating income
beginning in 1996. The first two years of operations will require a 25% match on the part
of IFC and the Coalition. Year three requires a 50% match.

Most of the match for years one and two will come from local individuals, businesses and
congregations. In year two we should be eligible for grants from the Homeless Assistance
Act through the North Carolina Office of Economic Opportunity(amounts could range
from $30,000 to $45,000). In year three we will need to increase local support for Project
Home Start from individuals, congregations, foundations, municipalities and businesses.
We project that amounts would be contributed in the following ways.

Services (case management, transportation, etc.) are allocated at 100% from HUD and do
not require any local match.
We have been told by HUD representatives that the first round of grants funded by
the Supportive Housing Program are safe and that the money has been set aside for the
non-profits which were awarded funds. We have also been told that both organizations
would be eligible for continuing allocations in years 1999-2000. If HUD is dismantled,
Supportive Housing money will then be passed on to the states for reallocation. Our
chances for funding from the North Carolina Housing Finance Agency or the Office of
Economic Opportunity(likely state revenue sources) are significant since we already
receive support from both agencies for this project and other services.
If there comes a time that we must become dependent on other sources for funding
for this project, we would look for other means for operating our three residences such as
combining local dollars, as shown above, with the use of larger numbers of volunteers,
VISTA personnel or other resources which might become available. We would probably
cut our services budget unless we could leverage additional support for case managers
from funding sources such as Smart Start.
IFC and the Coalition for Battered Women have an excellent reputation and
experience for diversifying its cash and in-kind support for our programs. The majority of
our funds come from individuals and congregations, not public agencies. Both
organizations receive financial support from the Orange County United Way and a number
of foundations. Project Home Start has been enthusiastically received because of the
services provided to children and families. Both organizations expect new and existing
donors to contribute to this project because we are involved in transitional housing
services and because both groups are coordinating and sharing services which reduce
costs.

STATE OF NORTH CAROLINA
ORANGE COUNTY LEASE
THIS LEASE made and entered into this the day of
, 1995, by and between ORANGE COUNTY, NORTH CAROLINA,
hereinafter referred to as "County" and the INTER-FAITH COUNCIL FOR
SOCIAL SERVICE, INC. , hereinafter referred to as "IFC" ;
WITNESSETH
County hereby agrees to lease the property described
below to IFC upon the following terms and conditions:
1 . The Property: The property herein leased is a tract and
parcel of land, together with all improvements located thereon,
hereafter "the premises" or "the leased premises, " located in
Chapel Hill Township, Orange County, North Carolina and more
particularly described as follows :
that certain tract and parcel of land located in the Town of
Chapel Hill, Orange County, North Carolina identified as 3 .497
acres of "gross land area" and containing 3 .000 acres of "net
land area" on the Ballentine & Riley Surveyors plat of survey
titled "Lease Boundary Survey for Project Homestart, Property
of Orange County, Chapel Hill Township, Orange County, N.C. , "
_ which plat is recorded at Plat Book , Page of the
Orange County Registry. The leased premises is subject to the
utility and right of way easements, existing and proposed,
shown on the recorded plat referred to here and such other
easements, utility and otherwise, as exist of record and
prescriptively.
2 . The Lease. The Lease will commence on July 1, 1995 and
unless sooner terminated as herein provided shall exist and
continue for a term of twenty-five (25) years thereafter.
3 . Rental. The rental for the use of said premises shall be
the sum of ONE DOLLAR ($1. 00) per year, payable on or before each

anniversary date of this Lease to the order of County, and shall be
forwarded to the address hereinafter set forth under "Notices " .
4 . Acceptance and Use of Premises . IFC agrees to accept the
premises as they now exist with no obligation on the part of County
to make any improvements thereto. IFC further agrees to use the
leased premises only for provision of short-term residential
housing opportunities for homeless families, including battered
women, and other low-income individuals (hereafter described as
"Project Home Start" or "the Project" ) .
5 . Taxes . IFC agrees and covenants to pay County for any ad
valorem or property taxes, assessments, or public charges on the
leased premises, and on any improvements located on the leased
premises . Said payment shall be for those taxes, assessments or
public charges assessed during the lease term. Said payment shall
be made within a reasonable time after County presents IFC a copy
of invoices or other suitable documentation but in no event after
the due date stated on the invoice or documentation.
6 . Operation. The leased premises and the Project shall be
operated by IFC entirely free of control and direction of County,
subject to the conditions herein contained and any applicable laws,
ordinances and regulations, and the relationship herein created is
strictly the relationship of Lessee and Lessor, it being understood
that the parties are not principal and agent and not partners or
joint venturers .
7 . Nuisances . IFC agrees not to commit or permit any
nuisance on the property hereby leased. IFC further agrees, during

the lease term, to promptly, at its own expense, comply with the
requirements of every applicable statute, law, ordinance,
regulation, or order by any federal, state, municipal or other
public body, department, commission, bureau, or officer with
respect to the use and occupancy of said premises . Provided, IFC
may at its own expense contest the validity of any statute, law,
ordinance, regulation or order and any non-compliance by IFC during
such contest, provided such contest shall be diligently pursued,
shall not be deemed a default under this Lease.
8 . Assignability. IFC shall not assign, sublet, or license
the leased premises without the prior written consent of County,
which shall not be unreasonably withheld. County consents to a
sublease to the Orange-Durham Coalition for Battered Women, Inc . of
that portion of the leased premises and the Project to be used by
the Orange-Durham Coalition for Battered Women, Inc . for women who
are victims of domestic violence and women with children who are
victims of domestic violence. In the event IFC requests and County
approves assignment, subletting or licensing of the leased
premises, IFC will ensure that its tenant is subject to the same
terms and conditions which are reflected in this Lease.
9 . Screening. The premises shall be provided with a
perimeter landscape zone. This perimeter landscape zone shall be
constructed, installed and maintained during the lease term at the
sole cost and expense of IFC and shall be as prescribed on the June
16, 1995 R. L. Horvath Associates, Inc. Site Plan drawing titled
"Project Homestart, Homestead Road, Chapel Hill, North Carolina,

Sheet No. C-2 , " a reduced copy of which is attached hereto as
Exhibit A. A full sized, to scale, copy of Exhibit A is maintained
on file in the offices of the Orange County Purchasing Director in
Hillsborough, North Carolina.
10 . Improvements . Subject to such approvals as may be
required by County and as may be approved by the Town of Chapel
Hill through its Development Ordinance(s) , IFC shall have the right
and option to construct or cause to be constructed on the premises
such structures or other improvements as it deems appropriate for
carrying out Project Home Start, and to remove or replace any or
all of said structures during the term of this Lease or any renewal
thereof, and all said improvements shall remain the property of
IFC. During the term of this Lease or any renewals thereof, in
making said improvements, IFC shall have the right (except as
expressly prohibited by County) , consistent with the approved Town
of Chapel Hill special use permit modification for the Project, to
clear, grade or fill any part of the premises necessary to render
said area more usable for IFC purposes within the scope of
providing Project Home Start. All improvements to and maintenance
of the leased premises shall be solely at IFC's expense.
From and after the time IFC takes possession of the premises
it shall be the responsibility of IFC to maintain the premises in
a neat, clean and orderly condition at all times. Roadways,
parking areas and other access ways on the leased premises shall be
maintained by IFC.

Any improvements constructed or provided at the premises and
structures not removed by IFC during the lease term shall, upon
termination or expiration of the Lease, be the property of County.
Provided, however, at the request of County, upon the termination
or expiration of the Lease, in the event one or more of the
structures on the premises is reasonably determined by County to be
uninhabitable because of fire, casualty, failure of maintenance or
other cause, including any force majeure, IFC, at its sole expense,
shall remove such improvements and structures as County requests
and restore the premises to the same and as good condition as at
the beginning of the term. ' This removal and restoration
requirement shall not require the replacement of trees removed from
the premises when removal has been authorized by this Lease or
otherwise by County. Upon the termination or expiration of this
Lease, IFC shall clean up the premises, ridding it of any debris,
trash, building scraps, etc . , in addition to any other
restorations, repairs or work necessary to restore the premises to
the same and as good condition as at the beginning of the term.
11. Termination of Lease. The leased premises and Project
Home Start are the objects of an application for special use permit
modification and site plan approval now or shortly to be pending
before the Town of Chapel Hill. This Lease terminates upon the
happening of the first of one of the following events:
a. The application for special use permit modification is
not completed and filed with the Town of Chapel Hill on or before
July 1, 1995;

b. The Town of Chapel Hill denies the application for
special use permit modification or the site plan;
C . The Town of Chapel Hill conditions approval of the
application for special use permit modification or the site plan
with a condition or conditions unacceptable to County;
d. The Town of Chapel Hill revokes approval of the
application for special use permit modification or the site plan;
e. There is a fire or casualty loss to one or more of the
buildings on the premises rendering it or them uninhabitable and
IFC elects not to or is unable to repair or rebuild the
uninhabitable building or buildings within a reasonable amount of
time, not to exceed twelve ( 12) months following the loss .
In the event IFC should breach any of the covenants or
conditions set forth in the Lease, then and in that event upon 30
days written notice by County, specifying said failure or default,
and in the event said failure or default has not been remedied
within said 30-day period, County at its election may cause this
Lease to terminate.
12 . Notices . All notices herein provided to be given or
which may be given by either party to the other shall be deemed to
have been fully given when made in writing and deposited in the
United States mail, certified and postage prepaid and addressed as
follows :

Nothing herein contained shall preclude the giving of such
written notice by personal service. The address to which notices
shall be mailed as aforesaid by either party may be changed by
written notice given to such other party by the other as
hereinbefore provided.
13 . Strict Performance. The failure of either party to
insist in any instance upon strict performance of any of the terms
and conditions hereinafter set forth shall not be construed as a
waiver of the right to insist upon strict performance in any other
instance. No modification of any provision hereof and no
cancellation or surrender hereof shall be valid unless in writing
and signed and agreed to by both parties .
14 . Insurance and Indemnity.
a. IFC shall procure and maintain and pay for, at its sole
cost and expense, insurance coverage insuring itself against loss
of, or damage to, the buildings to be located on the leased
premises by reason of fire or other casualty. Such insurance
coverage shall be obtained and maintained at at least 80% of the
replacement value of the structures located on the premises. IFC
shall keep in force, at its sole cost and expense, fire and
extended coverage insurance and against vandalism and malicious
mischief, covering IFC's fixtures, furnishings, equipment,

inventory and contents located on the premises in the full
replacement value thereof.
b. IFC shall, at IFC's sole expense, obtain and keep in full
force during the term of this Lease a Comprehensive Public
Liability policy with limits of $1, 000, 000 for personal injury or
death and $300, 000 for property damage. County shall be named as
an additional insured to the extent of its interest in this Lease.
IFC shall deliver said policy or a certificate of insurance to
County together with evidence of full payment of premiums within
two weeks of execution of this Lease and thereafter during the
lease term shall provide County with evidence of continued
coverage.
IFC shall indemnify and hold harmless County from and against
any and all claims arising from IFC's use of the premises, or from
the conduct of IFC's business or from any activity, work or things
done, permitted or suffered by IFC in or about the premises or
elsewhere.
15 . Parties . This Lease shall be binding and shall insure to
the benefit of the parties and their successors and assigns .
16 . Entire Agreement; Waiver. This Lease contains the entire
agreement of the parties and there are no representations,
inducements, or other provisions other than those expressed in
writing. All changes, additions, or deletions hereto must be in
writing and signed by the parties . Any provision of this Lease
found to be prohibited by law shall be ineffective to the extent of
such prohibition without invalidating the remainder of this Lease.

The waiver by IFC or County of any breach by the other of any term,
covenant, or condition hereof shall not operate as a waiver of any
subsequent breach thereof.
