BACKGROUND: The Board of County Commissioners ("Board") is currently searching for a permanent full time County Manager and the search has extended longer than anticipated. In order to ensure continuity of management and operations during the preparation of the 2014- 2015 fiscal year budget, it is necessary to extend the term of the interim manager's contract. The attached contract amendment extends the term by three months to June 30, 2014. In consideration of the extra services provided the County shall allow Michael Talbert, individually, to participate in the County health plan for thirty months after the date of his retirement up to and including December 31, 2016. FINANCIAL IMPACT: At current costs for this particular health plan's monthly cost to the County would be $628.15. At current health plan cost, the cost for the 30 month term would be $18,845. Three months' additional salary will total $41,928 ($13,976/month). RECOMMENDATION(S): The Attorney recommends the Board approve the amended contract. 2 ORANGECOUNTY EIVI PLOYM ENTAGR EIVI ENTAM ENDM ENT NORTH GAROLINA THIS AM ENDM ENT, made and entered into this the 4th day of February, by and between Orange County, a political subdivision of the Gate of North Carolina, hereinafter called "County', party of the first part, and Michael Talbert, hereinafter called"Employee', partyof thesecond part: WITNESSETH: WHEF?EA!� the County and Employee entered into an Employment Agreement dated 5eptember 17, 2013 for the management of the general operations of the County government, (hereinafter the"Original Agreement"); and WHEF?EA!� the County and Employee desire to amend the Original Agreement, while keeping in effect all terms and conditionsof the Original Agreement not inconsistent with the termsand conditionsset forth below. NOW THE for and in consideration for the mutual covenants and agreements made herein, and to secure the Employee's service for an additional period of time, the parties agree to amend the Original Agreement asfollows: SECTION 2:TERM The Employee's date of full-time employment as Interim County Manager will begin 5eptember 30, 2013. The Employee's term of employment shall continue for a nine-month term of employment, expiring on June 30, 2014, and subject to the provisions of 5ections 4, 5, and 6 of this Agreement and any amendment approved by both parties. Such amendment must be in writing in the form of an Amendment to this Agreement and signed by both parties. Upon commencement of employment as Interim County Manager Employee will resign his current position of Assistant County Manager and will no longer be subject to the provisions and protections of Chapter 28 of the Orange County Code of Ordinances(Personnel). Upon the expiration of the nine-month term of employment if the Board has not retained the services of a permanent County Manager this Agreement may be extended month to month. Any such extension must be in writing and must be agreed to by both County and Employee. SECTION 10:OTH82IBEVEFITS For the term of employment Employee shall have access to and enrollment in the dental, health, and life insurance provided to general full time employees of County. Employee will have the use of a county vehicle for county business only. A County-owned laptop computer will be available to Employee for his use for County business at the expense of the County. The County shall reimburse the Employee a monthly fee of thirty-five ($35) for his maintenance and use of a personal cell phone or personal data device for county related business on a twenty-four hour basis. If the Employee currently maintains a 401k/457 supplemental retirement program with the International City Management Petirement Corporation (ICMAF;Q then the County shall authorize and participate in that plan to the Employee's benefit at the same rate and under the same conditions as the County currently or in the future may participate on the behalf of other county employees. During the Employee's employment as Interim County Manager, the Employee shall continue to reside in and maintain a residence within Orange County. 3 Employee shall receive a travel allowance of five hundred dollars ($500) per month for the term for this Agreement. Upon Employee's retirement from employment with Orange County as Interim County Manager, County shall continue to allow Employee to participate in the employee-only County health plan, the Health Savings Account (High Deductible Ran)or equivalent, at no cost to Employee, for a period of thirty(30) months beginning July 1, 2014 and concluding December 31,2016.
