THIS AGREEMENT is made and entered into on the last date executed below, by and between the North
Carolina Department of Transportation, an agency of the State of North Carolina, hereinafter referred to as
the"Department", and Orange County, hereinafter referred to as the"County."
WITNESSETH:
WHEREAS, the Department and Orange County), on 6/5/2009, entered into a certain Locally Administered
Project Agreement for the original scope: to operate a transit service in Hillsborough, programmed under
Project C-4932 B; and,
WHEREAS, the Department and the County entered into a supplemental agreement on 10/11/2010, to allow
the County to access 100% Federal CMAQ funding, to modify the project breaks and the funding years; and,
WHEREAS, operating assistance for transit projects has been limited to a three-year funding cycle; and,
WHEREAS, Moving Ahead for Progress in the 21 sc Century(MAP-21) allows the funding for the third year to
spread out over an additional two years, so that the transit service may receive CMAQ funding for five years
total; and,
WHEREAS, the County has requested that the operation of the transit service may be extended for an
additional two years;

NOW THEREFORE, the parties wish to supplement the aforementioned Agreements whereby the following
provisions are amended:

FUNDING & RESP6NSIBILITIES
The Department's original participation was$459,360. T Department authorized and will have reimbursed 7
$198,000 by the end of October 013 (at a rate of 10 a). To allow flexibility for the County, the Department

rate of 80%. The County shall provide the non- deral match, or$67,320. The County has until November
2015, five years from the original date of aut rization, to operate the transit service.
TITLE VI
The County shall comply with Title I of the Civil ights Act of 1964 (Title 49 CFR, Subtitle A, Part 21). Title
VI prohibits discrimination on the asis of race, col , national origin, disability, gender, and age in all
programs and activities of any cipient of Federal a istance.
Except as hereinabo a provided, the Agreement heretofore a ecuted by the North Carolina Department of
Transportation an Orange County on 6/5/2009 and 10/11/2010 is ratified and affirmed as therein provided.

NOW THEREFORE, the parties wish to supplement the aforementioned Agreements whereby the following
provisions are amended:
FUNDING & RESPONSIBILITIES
The Department's original participation was$459,360. The Department authorized and will have reimbursed
$198,000 by the end of October 2013 (at a rate of 100%). To allow flexibility for the County, the Department
agrees to allow one additional year of funding to be authorized, or$130,680, which will be reimbursed at a
rate of 80%. The County shall provide the non-federal match, or$32,670. The County has until November
2015, five years from the original date of authorization, to operate the transit service.
TITLE VI
The County shall comply with Title VI of the Civil Rights Act of 1964 (Title 49 CFR, Subtitle A, Part 21). Title
VI prohibits discrimination on the basis of race, color, national origin, disability, gender, and age in all
programs and activities of any recipient of Federal assistance.
Except as hereinabove provided, the Agreement heretofore executed by the North Carolina Department of
Transportation and Orange County on 6/5/2009 and 10/11/2010 is ratified and affirmed as therein provided.

out, on the part of the North Carolina Department of Transportation and the County by authority duly given.
