THIS AGREEMENT, entered into this 12th day of December, 2013, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts Commission")
and Women's Voices Chorus("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed eight hundred twenty-six dollars
($826) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. These funds must be matched at least dollar-for-dollar with cash from
the Grant Recipient's funds not derived from either Orange County appropriations or the
North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2014 and December 31, 2014. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein,the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 16, 2015 . The Final Report shall be in the format required by
the North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Pay ent. The Arts Commission shall release the grant funds in the amount of
$826 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line(check all that apply):

ii. North Carolina Arts Council Funding. "This program is supported by
the Orange County Arts Commission with funds from the Grassroots Program
of the North Carolina Arts Council, a state agency. "
B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHiIURTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChape1Hi114,RTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below(hereinafter referred to as
"default"),the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
IN WITNESS WHEREOF,the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Summary Statement for Proposed Uses of Arts Program Grant
On May 16, 2014,Women's Voices Chorus will perform The Long Bright, a cantata on cancer by award-
winning composer Andrea Clearfield. The work was commissioned by a poet in honor of his late wife; it
explores both the pain of terminal illness and the beauty of a life well lived.A 22-piece orchestra will
accompany our performance. Ms. Clearfield has agreed to work with us on The Long Bright at our spring
retreat on February 15, at our regular rehearsal on February 17, and at two technical rehearsals during
concert week.We are requesting funds to underwrite the cost of Ms. Clearfield's travel(twice)from her
home in Philadelphia to Chapel Hill, and to support the purchase of orchestral and choral scores.

ORGANIZATIONAL PROFILE
Mission:Women's Voices Chorus celebrates diverse and outstanding choral repertoire for women.
We are an auditioned, community-based chorus of 65 sopranos and altos. Our mission is to
provide a welcoming place in the Triangle for women to share the joy of singing together, promote
choral works by and for women, and strive to achieve the highest standards of musical excellence.
History: Women's Voices Chorus was founded in September 1993 by Mary Lycan as an
unincorporated project of the Orange County Women's Center. Over its first decade the chorus
grew in membership, budget, and musical reputation. In 1996 we became a tax-exempt
organization under Section 501(c)3 of the Internal Revenue Code.
In 2007 Lycan retired from the chorus and we began the search for a dynamic new director who
could take us in fresh directions while maintaining a deep connection to our roots. We selected
Allan Friedman, DMA, and have flourished under his leadership.
In 2012 we traveled to Europe as ambassadors of women's choral music. We performed concerts
in Budapest, Hungary; Ljubljana, Slovenia; and Venice, Italy, including a concert at San Marco
Basilica. Our programs featured music from the strong women's choral traditions of our host
countries, along with music by American composers. We brought a major choral history lesson
home to share with our community, performing Antonio Vivaldi's Gloria locally in January 2013 as
the composer intended it: with all female voices and a baroque orchestra.
Over the last 20 years, our primary activities have been the rehearsal and performance of concerts
in January and May. Our audience has grown to about 1,200 people per concert season, and we
have broadened our community impact through summer benefits and other free performances.
CURRENT PROGRAMS AND SERVICES
On average we sing six concerts each year. Since the majority of choral literature is for mixed
(male and female) voices, we frequently introduce the singers, audience, and reviewers of
Women's Voices Chorus to music they have never heard before. Our repertoire features songs
from around the world; we have sung in more than 30 languages.
1. Concert Season. The chorus performs ticketed programs in January and May. Most vocal
soloists are drawn from the chorus, but we hire professional vocalists and instrumentalists
to accompany us as needed.
2. Benefit Concerts. Since 2009 our summer program has been a benefit concert: No tickets
are sold, but all donations are awarded to a local charity. Recipients have been Paws4Ever
in Orange County, UNC Lineberger Comprehensive Cancer Center, CASTLE (part of the
Carolina Children's Communicative Disorders Program), the Durham chapter of Arts for
Life, and the Arthritis Foundation.
Women's Voices Chorus Inc.is a private,non-profit organization,
tax-exempt under Section 501(c)(3)of the Internal Revenue Code

3. Short programs. As a service to community members who may not be able to attend our
regular performances, we have sung mini-concerts at Carol Woods and Carolina Meadows
in Chapel Hill, and at House of Healing (Duke) and the Regent in Durham. We also have
performed at the Durham Public Library and at assorted awards ceremonies and
conferences.
4. Commissions & Premieres. We have commissioned 13 pieces over the last 14 years from
a variety of well-known composers and have premiered 14 original works.
5. Enrichment. We hold a Saturday retreat twice a year for members to work on choral
techniques, vocal health, choral history, and repertoire.
PROPOSED USE OF GRANT FUNDS
We are partnering with Duke Cancer Institute and UNC Lineberger Comprehensive Cancer Center
to perform The Long Bright on May 16, 2014, at Hill Hall Auditorium on the UNC–Chapel Hill
campus. This hour-long cantata by award-winning composer Andrea Clearfield is based on poems
that David Wolman wrote between his wife's breast cancer diagnosis and death. The work
premiered at the Kimmel Center in Philadelphia in 2004 as a fundraiser for cancer research.
Ms. Clearfield explains the title and purpose of the composition as follows: "The title, The Long
Bright, may be perceived as the white light at the end of the tunnel of dying, the long but bright
hope for a cure and the fierce brightness of our lives—the white light of our souls. It is my hope that
the piece . . . will generate an increased awareness of breast cancer and the need for finding a

We have the opportunity to work directly with Ms. Clearfield to enhance our musical understanding
of The Long Bright and, in turn, to make our performance as meaningful as possible for the
Triangle community. She has agreed to lead the chorus's spring retreat on February 15, to
participate in our regular rehearsal on February 17, and to attend two technical rehearsals in May
as well as the concert itself. We know from past workshops with other musicians (most recently
Caroline Mallonee and Jayne Swank) that there is no substitute for a composer's personal
knowledge and insight. We are fortunate to have access to someone of Ms. Clearfield's reputation
and caliber, and we expect to learn from her and grow in ways that will impact not only this concert
but also future performances. To enable Ms. Clearfield's two trips from her home in Philadelphia to
Chapel Hill, we request$1,000 in travel funds.
We will perform The Long Bright with a 22-piece orchestra, making this concert our most
technically ambitious to date. We also request $500 to support the purchase of orchestral and
choral scores.
Approximately 350 people typically attend our spring concert. Our audience is mostly white, of all
ages (6-80+), and slightly majority female. Although some of our audience members live in the
greater Triangle area and beyond, we primarily serve Chapel Hill–Carrboro and Durham. We
expect to perform for a larger and broader audience with this concert via outreach to cancer
survivors and their families, with the assistance of the two research institutes mentioned above.
In terms of our past programming, our typical audience reach, and the importance of the subject
matter to our community, this concert challenges Women's Voices Chorus. We have committed
significant institutional funds to make it a success, and we would be honored to have the Orange
County Arts Commission's support as well.

Andrea Clearfield(b.Philadelphia, 1960)is an award winning American composer of music for orchestra,chorus,
chamber ensembles,dance and multi-media collaborations.She has been praised by the New York Times for her
"graceful tracery and lively,rhythmically vital writing",the Philadelphia Inquirer for her"virtuosity","compositional
wizardry"and"mastery with large choral and instrumental forces",the L.A.Times for her"fluid and glistening
orchestration"and Opera News for her works of"timeless beauty".Her works are performed widely in the U.S.and
abroad.Commissions include works for The Philadelphia Orchestra,The Debussy Trio and the Los Angeles Master
Chorale,Carol Wincenc,the Turtle Creek Chorale,the Mendelssohn Club,Orchestra 2001 and Network for New Music.
She is currently composing an opera to libretto by Jean Claude van Itallie and Lois Walden,commissioned by Gene
Kaufman and Terry Eder.She is also composing chamber and choral works for the Grand Rapids Women's Chorus;

premiered April 29,2012 in Philadelphia with subsequent performances in NYC,NJ and Austin,Tx.The work,for double
chorus,electronics and chamber orchestra,is inspired by her field research in the restricted,remote Himalayan region of
Lo Monthang,Nepal documenting Tibetan music.Recent premieres include "and low to the lake falls home"
commissioned by internationally acclaimed flutist,Carol Wincenc with New York Philharmonic principal players Cynthia
Phelps and Nancy Allen and premiered at the Morgan Library,NYC.Her Women of Valor cantata on the women of the
Bible has been the subject of a story that was nationally broadcast on NPR'S "All Things Considered".Her cantata,Kabo
Omowale,commissioned and premiered by The Philadelphia Orchestra in 2008,had its Midwestern premiere with the St.
Louis Symphony at Powell Hall in 2012.
Dr.Clearfield was awarded international residencies at The American Academy in Rome,the Rockefeller Foundation's
Bellagio Center and the Civitella Ranieri Foundation in Italy,Moulin a Nef in Auvillar,France and Fundacion Valparaiso
residency in Spain.Other awards include Yaddo,MacDowell Colony,Djerassi,Blue Mountain Center,Helene Wurlitzer
Foundation of New Mexico,Montalvo,Ucross,Virginia Center for the Creative Arts,Ragdale,I-Park,Millay,Kimmel-

among others.She has recently been guest composer at the Rimsky Korsakov Conservatory in St.Petersburg,Russia,the

A native of Philadelphia,she received a D.M.A.in composition from Temple University where she was a two time
recipient of the John Heller Memorial Award for Excellence in Composition and the first composer to receive the
prestigious University-wide Presidential Fellowship.She received an M.M.in Piano from the Philadelphia College of the
Performing Arts(now University of the Arts) where she was a student of Susan Starr and a B.A.in Music from
Muhlenberg College where she was awarded Summa Cum Lauda and Phi Beta Kappa honors,and first prize in
performance and musicianship.She served as Adjunct Assistant Professor at The University of the Arts teaching
composition and interdisciplinary arts from 1986-2011,and is the pianist in the contemporary music ensemble,Relache.
Now celebrating its 27th year,Clearfield is also the founder and host of the renowned Philadelphia Salon concert series,
featuring contemporary,classical,jazz,electronic,multimedia and world music and winner Philadelphia Magazine's 2008

-2009 Received a grant from The Rubin Foundation to return to Lo Monthang,Nepal to record and document the music
of royal court singer,Tashi Tsering.Clearfield and anthropologist Katey Blumenthal recorded over 130 indigenous songs.
Network for New Music commissioned two pieces based on their field work,Lung-Ta and Kawa Ma Gyur for large
chamber ensemble and digital recordings. Both works premiered to sold out houses in 2009 and 2010 respectively.
-2008 World Premiere,The Philadelphia Orchestra,Kabo Omowale(Welcome Home Child),choral cantata celebrating
elders and youth,commissioned by The Philadelphia Orchestra,July 25th,2008 with Charlotte Blake Alston,narrator,5
inter-generational choruses,and The Philadelphi Orchestra,conducted by Rossen Milanov.The work was performed
again by The Philadelphia Orchestra on January 18,2010 for Martin Luther King Day in Philadelphia and recently by the
St.Louis Symphony at Powell Hall,Feb.10,2012.
-2007 Romanza for Violin and Orchestra,commissioned by Orchestra 2001,premiere April,2007 at Trinity Center and
Swarthmore College,soloist Gloria Justen,Recorded with the Russian Philharmonic,Moscow.Midwestern premiere in
January 2011 by the Chicago Composers Orchestra at Ganz Hall,

had a west coast premiere at Royce Hall,Los Angeles with Grammy award winning soprano,Hila Plitmann in March,
2010.The concert raised over$200,000.00 for the Israel Cancer Research Fund.

SALON concert series,now celebrating its 27th year.The Salon features contemporary,classical,opera,jazz,electronic,
folk,world music and multi-disciplinary genres.Over 16,000 audience members and over 6000 performers have come
