Background: Newly-appointed members of the Orange County Industrial Facilities and Pollution Control Authority were appointed on September 12, 1996 at a special meeting of that Authority. " There is no action need be taken by the Board of Commissioners except to receive this filing. I recommend that the receipt of this filing be handled as a consent agenda item. GlILL HARGRAVE, P.C. edhill GEG/lsg Enclosures lsg-6 blythe.ltr 3 THE ORANGE COUNTY INDUSTRIAL FACILITIES AND POLLUTION CONTROL FINANCING AUTHORITY 1996 Special Meeting The Board of Commissioners of The Orange County Industrial Facilities and Pollution Control Financing Authority (the "Authority" ) met for the purpose of conducting a special meeting on September 25, 1996, at 4:00 o'clock P.M. , at the Conference Room, Economic Development Commission, in Hillsborough, North Carolina. Present: Lilyn Heather Hester, Stuart A. Wallace, Richard Keith Coleman, Cathy Fields Carroll, William H. Bracey and Edward G. Siebert Absent: Also Present: Geoffrey E. Gledhill, Authority attorney; Kathy Baker, Deputy Clerk, Board of County Commissioners Kathy Baker, Deputy Clerk to the Board of County Commissioners, administered an oath of office to each of the following members of the Board of Commissioners of the Authority: Lilyn Heather Hester, Stuart A. Wallace, Richard Keith Coleman, Cathy Fields Carroll, William H. Bracey and Edward G. Siebert The Authority attorney announced that the meeting would proceed with the election of a Chairman, Vice Chairman, Treasurer, Secretary and Assistant Secretary, the adoption of a bylaw amendment changing the location of the Annual meeting and the disposition of such other matters as might properly be brought before the Board. Upon motion of Commissioner Bill Bracey, seconded by Commissioners Ed Siebert and Stuart Wallace, Commissioner Lilyn a 4 Y` Hester was nominated for the office of Chairman. There being no further nominations, the motion was put to a vote and was adopted by the following vote: Ayes: Commissioners Lilyn Heather Hester, Stuart A. Wallace, Richard Keith Coleman, Cathy Fields Carroll, William H. Bracey and Edward G. Siebert Noes: none Not Voting: Commissioner none Commissioner Lilyn Hester, Chairman, presided for the remainder of the meeting. By consensus Commissioner Ed Siebert was nominated for the office of Vice Chairman. There being no further nominations, the motion was put to a vote and was adopted by the following vote: Ayes: Commissioners Lilyn Heather Hester, Stuart A. Wallace, Richard Keith Coleman, Cathy Fields Carroll, William H. Bracey and Edward G. Siebert Noes: none Not Voting: Commissioner none By consensus Commissioner Keith Coleman was nominated for the office of Treasurer. There being no further nominations, the motion was put to a vote and was adopted by the following vote: Ayes: Commissioners Lilyn Heather Hester, Stuart A. Wallace, Richard Keith Coleman, Cathy Fields Carroll, William H. Bracey and Edward G. Siebert Noes: none Not Voting: Commissioner none 5 By consensus Commissioner Cathy Carroll was nominated for the office of Secretary. There being no further nominations, the motion was put to a vote and was adopted by the following vote: Ayes: Commissioners Lilyn Heather Hester Stuart A Wallace Richard Keith Coleman, Cathy Fields Carroll William H Bracey and Edward G. Siebert Noes: none Not Voting: Commissioner none By consensus Commissioner Stuart Wallace was nominated for the office of Assistant Secretary. There being no further nominations, the motion was put to a vote and was adopted by the following vote: Ayes: Commissioners Lilyn Heather Hester, Stuart A Wallace Richard Keith Coleman, Cathy Fields Carroll, William H Bracey and Edward G. Siebert Noes: none Not Voting: Commissioner none The Authority attorney presented a draft of a proposed bylaw amendment for the Authority which was read in full. Commissioner Keith Coleman moved that the bylaw amendment be adopted as read and incorporated in the minutes of this meeting, which motion was seconded by Commissioner Ed Siebert. The motion was put "to a vote and was adopted by the following vote: Ayes: Commissioners Lilyn Heather Hester, Stuart A. Wallace, Richard Keith Coleman, Cathy Fields Carroll, William H. Bracey and Edward G. Siebert Noes: none 6 The bylaw amendment as herein authorized and approved is attached hereto -as Exhibit A.
