Serving the Triad since 1987 PO Box 16224 • Greensboro, NC 27416 • (336)855-3301 Customer: Orange County Solid Waste Agreement#: ORANGE 13 Payment Terms & Acceptance American Industrial Contractors, Inc. agrees to inspect and maintain the equipment listed and perform those procedures as described according to the terms of this agreement. As part of this agreement,American Industrial Contractors, Inc. agrees to give preferential service to the Customer over the non-contract customer. All labor not covered under this agreement will be provided at the preferred discount rate. Payment Terms: Payment terms are net 30 days. If Customer has not made a payment on time, American Industrial Contractors, Inc. may at its option, and upon written notice to customer, suspend or terminate service under this agreement until all overdue payments are made with no liability for any loss or damage, whether or not consequential or foreseeable, which results from said suspension or termination. Orange County Solid Waste agrees to pay$2,460.00,payable $615.00 per visit beginning on the effective date, as American Industrial Contractors' fee for the inspection, maintenance and repair services described in this Agreement. Payment shall be made within 10 days of an invoice properly submitted to the Customer. Should American Industrial Contractors fail to perform its duties under the terms of this Agreement, Customer may, without fault or penalty, withhold any payment associated with the work to be performed until such time as said work is completed. Failure by Customer at any time to require the performance by American Industrial Contractors of any provisions hereof shall in no way waive or affect the Customer's right hereunder to enforce the same, nor shall any waive by Customer of any breach be held to be a waiver of any succeeding breach or a waiver of this Non- Waiver clause. After the initial term this agreement shall be deemed automatically renewed on a year to year basis. The agreement may be terminated by either party upon thirty(30) days written notice. This agreement will be effective 10/1/13. NC 27416• (336) 855 3301 Customer: Orange County Solid Waste Agreement#: ORANGE13 General Provisions The following provisions are attached to and are considered a part of the maintenance agreement between Orange County Solid Waste (the Customer)and American Industrial Contractors, Inc. 1. American Industrial Contractors, Inc. is responsible for and agrees to: a. Perform all procedures as outlined in this agreement b. Perform all obligations under this agreement in accordance with industry standards as accepted in our area. C. Strive to maintain reliable equipment operation in a cost effective manner. 2. The Customer shall be responsible for and agrees to: a. Properly operate the equipment in accordance with related operating and maintenance instructions and recommended procedures. b. Require that only qualified personnel are responsible for the operating and maintaining of specified equipment. C. Immediately report any unusual equipment operating conditions or problems to American Industrial Contractors, Inc. d. Provide professional cooling tower water treatment unless provided under the terms of this agreement. 3. Exclusions: a. The maintenance procedures afforded by this agreement in no way constitute a guarantee of room conditions or system performance outside the original design of the system. b. We do not include inspection,maintenance,repair or replacement of any parts, equipment, or non-maintainable system components (i.e., steel supports, castings,ductwork, coils, boiler or heat exchanger shells, cabinets,wiring, piping, storage tanks, etc.) not specifically delineated in this agreement. C. Repairs or replacement of parts made necessary as a result of electrical power failure, low voltage, burned out fuses, low water pressure,vandalism,misuse or abuse,alteration of equipment,acts of God,theft, sabotage, fire,water, accident, negligence of others,freezing weather,malicious acts or other damage beyond the control of American Industrial Contractors, Inc. d. We do not include inspection, maintenance,repair or replacement of motor starting equipment and interconnecting wiring unless provided for in this agreement. e. We do not include repairs or service required by insurance companies, government agencies or other authoritative bodies. f. We do not provide for performance of service outside of normal business hours. g. We do not accept any responsibility for the design of the system, obsolescence of the system, or any safety checks associated with the system. AMERICM INDUSTRIAL CONTRACTORS, INC. Any changes,adjustments,service or repairs made to the equipment by anyone other than personnel of American Industrial Contractors, Inc. will terminate our obligation to render further service under this agreement and serve to void this contract without a refund of any portion of fees paid to date. 5. American Industrial Contractors, Inc. will not in any event be liable for any consequential or incidental damages due to nor have any obligation to indemnify the Customer with regard to the operation,non- operation or failure of the equipment; nor shall American Industrial Contractors be held liable for the loss of use of Customer's facilities, its' loss of revenues, nor for any similar or dissimilar consequential damage related to the equipment. 6. Except as otherwise stated in this agreement,American Industrial Contractors, Inc. make no warranties whatsoever related to the equipment covered. 7. Customer may not assign this agreement without prior written consent of American Industrial Contractors,Inc. 8. The parties have read this Agreement and agree to be bound by all of its items, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless modified in writing and signed by the parties. 9. In addition to the service fee,the Customer will pay any taxes required in connection with the service or material provided under this agreement. 10. American Industrial Contractors shall operate as an independent contractor, and the Customer shall not be responsible for any of American Industrial Contractors' acts or omissions. American Industrial Contractors shall not be treated as an employee with respect to the services performed hereunder for federal or state tax, unemployment or workers' compensation purposes. American Industrial Contractors understands that neither federal, state or payroll tax of any kind shall be withheld or paid by Customer on behalf of American Industrial Contractors or its employees. 11. American Industrial Contractors shall obtain, as its sole expense,all insurance needed to adequately insure itself during the performance of these services. 12. Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina. Should either party initiate litigation to settle any dispute involving the terms of this Agreement such litigation shall be initiated in the General Court of Justice of North Carolina seated in Orange County, North Carolina.
