BACKGROUND: The County Board of Health has selected Dr. Rosemary Summers to serve as Interim Health Director from January 5, 1998 to June 30, 1998 or until a new Health Director has been appointed. Dr. Summers is currently a professor at the School of Public Health and will continue limited duties with the University. The Board of Health and the School of Public Health have tentatively agreed on a flexible time schedule and other terms in the attached Memorandum of Understanding which will permit Dr. Summers to serve as the Interim Health Director. The appointment of Dr. Summers is contingent on the Board of Commissioners approval of the attached Memorandum of Understanding with the UNC-School of Public Health. RECOMMENDATION(S): The Manager recommends that the Board of Commissioners approve the Memorandum of Understanding with The University of North Carolina School of Public Health for the services of Interim Health Director, contingent on review by the County Attorney and the University. Brown, Chair Orange County Board of Commissioners SUBJECT: Memorandum of Understanding Orange County Interim Health Director This confirms the agreement between Orange County on behalf of the Orange County Health Department and The University of North Carolina at Chapel Hill on behalf of the School of Public Health for the services of Dr. Rosemary Summers as Orange County Interim Health Director. Under the terms specified in this memorandum,the School of Public Health will assign Dr. Summers to serve as Interim Health Director,under the direction and supervision of the Orange County Board of Health. For these services, Orange County will reimburse the School of Public Health as provided below. 1. Effective Date Dr. Summers begins work as Interim Health Director effective January 5, 1998. :1 2. Period Covered a This memorandum of understanding covers the period from January 5, 1998 through June 30, 1998. If an extension beyond this time becomes necessary,the School of Public Health is open to consideration of such request. 3. Salmi Dr. Summers' current annual salary is$66,000. As Interim Health Director, her annual salary will increase by$2,640 and will be$68,640. Benefits The School of Public Health will continue Dr. Summers' benefits as an employee of the School of Public Health during the period covered by this understanding. 5. Work Hours/Schedule The School of Public Health agrees to an 80 percent effort commitment for Dr. Summers to Orange County with a continuing 20 percent commitment to the School. The School agrees Dr. Summers has flexibility as to the specific time and scheduling of the commitment to the School. In the event of public health or other emergency,the School agrees Dr. Summers may adjust her schedule to met the County's need. 6. Cost and Cost Distribution To reflect the time and effort distribution,the County will pay 80 percent of the cost of Dr. Summers' salary and benefits and the School will pay 20 percent. The County's share of Dr. Summers salary and benefits is$5,491 a month. The County will reimburse the School of Public Health in the amount of$5,491 a month for Dr. Summers' services. 7. Payment Schedule The University will bill the Orange County Health Department on a monthly basis with the first bill being dated January 5, 1998. The Orange County Health Department will pay the University within 30 days of receipt of the University's bill. 8. Personnel RMnsibility During the term of this agreement,Dr. Summers will continue to be an employee of the School of Public Health and will not be a County employee. 9. Professional Liability Insurance :r Since Dr. Summers continues as an employee of the School of Public Health and is not a County employee,professional liability insurance coverage will be that provided by the School for exposure not covered by North Carolina Tort Law. 10. Termination Provision Either the University or the County may terminate this understanding at any time without penalty with 30 days advance written notice. 11. Applicability of Law The laws of North Carolina shall govern the validity and interpretation of the provisions, Memorandum of Understanding Page 3 of 3 4 terms, and conditions of this understanding.
