PURPOSE:
To request approval of annual Orange Public Transportation
(OPT) agreements for (1) Vehicle lease with OPC Mental Health,
Orange Enterprises, Wake Opportunities Head Start, Orange
County Schools, and Cedar Grove Day Care; (2) Driver
assignment with OPC Mental Health, Orange Enterprises,
Orange County Schools, and Wake Opportunities Head Start;
and (3) Taxi provider with Airport and Intown Taxi,
Canaday Cab, Eagle Cab, and Tarheel Taxi.
BACKGROUND:
The Orange County Transportation Development Plan, updated in
1995, outlines the types of client transportation to be
provided and the human service agencies that will participate
in the coordinated transportation system. The annual renewal
Agreements specify the vehicle assignments, the per-mile rate
charge, and the driver cost-per-hour. The Human Services
Transportation Board endorsed the current rate schedule as
follows :
14 passenger van $ . 40/mile
24-20 passenger bus $ . 45/mile
32 passenger bus $ .55/mile
Charter driver lease $11 . 00/hour

These rates were included in the Department' s approved
FY97-98 revenue budget. The Agreements also clarify the
benefits and responsibilities of the various parties involved
in the provision of transportation.
The Taxi Provider Agreements set reimbursement at a rate not
to exceed $1 . 75 per mile for those trips which cannot be
provided directly by OPT.
RECObMNDATION:
The Manager recommends approval and Chair to sign FY97-98 OPT
Agreements for Vehicle Lease, Driver Assignments, and Taxi
Providers with the human service agencies and taxi firms listed
above.

ORANGE PUBLIC TRANSPORTATION
VEHICLE LEASE AGREEMENT
This Agreement is entered into this first day of July, 1997 by and between the County of
Orange on behalf of the Department on Aging's Orange Public Transportation service,
hereinafter referred to as"Orange County" and XXX, hereinafter referred to as"X".
The purpose of this Agreement is to outline the conditions under which Orange County
and X will cooperatively provide human services transportation through the Orange Public
Transportation service.
SPECIFIC RESPONSIBILITIES OF ORANGE COUNTY
1. To lease the following identified or similar sized vehicle(s) at the hours specified:
2. To provide all insurance, fuel, maintenance, repairs and replacement for each leased
vehicle.
SPECIFIC RESPONSIBILITIES OF X
1. To reimburse Orange County at a rate of$.40 per van mile, $.45 per minibus mile and
$.55 per bus mile within 30 days after billing.
2. To operate and schedule the use of the leased vehicle(s) on behalf of human services
clients and approved groups in accordance with the Orange County Human Services
Transportation Board's policies and procedures.
3. To park all leased vehicles in the Orange Public Transportation parking lot at 300
West Tryon Street, Hillsborough when not in use, unless otherwise authorized.
4. To complete all required vehicle operation reports and submit weekly to the
Transportation Supervisor at 300 West Tryon Street.
5. To comply with all applicable federal regulation governing workplace anti-drug and
alcohol programs in the transit industry. The Federal Transit Administration of the
U.S. Department of Transportation has published 49 CFR Part 653 and Part 654, as
amended, that mandate urine drug testing and breath alcohol testing for safety
sensitive positions and prohibits performance of safety sensitive functions when there
is a positive test result.
The term of this contract shall be from July 1, 1997 through June 30, 1998 unless sooner
terminated by either party giving thirty days prior written notice to the other of intention
to terminate. This Agreement may be extended for an additional year if mutually agreed
to by both parties.

The laws of North Carolina shall govern the validity and interpretation of the provisions,
terms and conditions of this Agreement.

DRIVER AGREEMENT
This Agreement is entered into this first day of July, 1997 by and between the County of
Orange on behalf of the Department on Aging's Orange Public Transportation service,
hereinafter referred to as"Orange County" and XXX, hereinafter referred to as"X"
The purpose of this Agreement is to outline the conditions under which Orange County
and X will cooperatively provide human services transportation through the Orange Public
Transportation service.
SPECIFIC RESPONSIBILITIES OF ORANGE COUNTY
1. To provide a certified driver for the and Orange routes Monday
through Friday for daily pick-up and take-home of clients between the hours of am
and pm.
2. To provide back-up drivers in case the assigned driver is not available.
3. To employ a Transportation Supervisor to handle any problems and to assure that
drivers are available.
4. To comply with all applicable federal regulations governing workplace anti-drug and
alcohol programs in the transit industry. The Federal Transit Administration(FTA) of
the U.S. Department of Transportation has published 49 CFR Part 653 and Part 654,
as amended, that mandate urine drug testing and breath alcohol testing for safety
sensitive positions and prohibits performance of safety sensitive functions when there
is a positive test result.
SPECIFIC RESPONSIBILITIES OF X
1. To reimburse Orange County at the rate of$ . per hour, for a minimum of 2 hours
per weekday of Orange County's operation within 30 days after billing.
2. In the event that X requires specialized training beyond drivers' current level, it shall
be their responsibility to indicate the type and level of training and to provide the
prescribed training without cost to Orange County.
3. To provide the Transportation Supervisor written notification of any transportation
problems or unsatisfactory drivers' performance in order that corrective action can be
taken.
4. To provide the Transportation Supervisor written notification of any changes to the
fixed route at least three working days prior to the effective date.

The term of this Agreement shall be from July 1, 1997 through June 30, 1998 unless

intention to terminate. This Agreement may be extended for an additional year if mutually
agreed to by both parties.

TAXI PROVIDER AGREEMENT
This Agreement is entered into this first day of July, 1997 by and between the County of
Orange on behalf of the Department on Aging's Orange Public Transportation service,
hereinafter referred to as"Orange County" and XXX, hereinafter referred to as"X".
SPECIFIC RESPONSIBILITIES OF ORANGE COUNTY
1. To assign professional staff within Orange County to administer and coordinate
transportation.
2. To relay necessary client and trip information via a telephone call and confirm with a
daily manifest form.
3. To pay bill within thirty(30) days of receipt of invoice.
SPECIFIC RESPONSIBILITIES OF X
1. To provide demand/response transportation to approved participants at a rate not to
exceed $1.75 per mile as agreed upon by X and Orange County.
2. To meet all service provision standards for the O.P.T. programs such as required by
the State of North Carolina, and provide documentation upon request.
3. To ensure that such records as necessary are kept to fully disclose the extent of the
service, i.e. mileage, time, client and distance, and are available for inspection.
4. To submit a monthly bill for services indicating distance and cost by the client,
rendered payable within thirty(30)days from date of receipt.
5. To adhere to Orange County's O.P.T. procedures in the provision of the service.
6. To indemnify and save harmless Orange County, its agents and employees from and
against any and all loss, cost, damages, expense and liability caused by the failure of X
to fully perform its obligations under this Agreement and in accordance with its terms;
or by accident or other occurrence causing bodily injury, including death, sickness,
products or services rendered under this Agreement.
Certificates of insurance reflecting such coverage must be furnished to Orange County
and shall contain the provision that Orange County will be given thirty(30) days
written notice of any intent to amend or terminate such policies.
