Because the Health Director has served as the fiscal agent for the Community-Based Public Health Initiative, he was named as the Grantee Contact for this agreement. Background: At the Commissioner's meeting of June 2, 1997 the Phase H Grant of the Community-Based Public Health Initiative was approved. This additional subgrant from NCA&T will support goals established by the CBPHI Coalition representing the United Voices of Northern Orange County, Orange County Cooperative Extension Service, the Health Department, the School of Public Health, Recreation and Parks Department and the Joint Orange Chatham Community Action Agency(JOCCA). The outcomes to be achieved by this subgrant include the following: 1. Conduct leadership development training with citizens from Efland Cheeks and Cedar Grove communities. 2. Apply for 501(c)3 status for both Community Voices groups. 3. Develop a youth entrepreneurship program in collaboration with the Cooperative Extension Service. , 2 This subgrant provides funds to actually implement goals that were developed during the Community Voices training over the last several years. The outcomes funded by this subgrant will enable community-based organizations to become more independent from governmental agencies in addressing priorities they have identified at the community level. Recommendation: The Manager recommends that the Board of Commissioners authorize the Health Department to accept this subgrant as fiscal agent for the Community-Based Public Health Initiative and authorize the Health Director to sign the subgrant agreement. 3 SUBGRANT NO. 5-52426-SG-800 between NORTH CAROLINA AGRICULTURAL & TECHNICAL STATE UNIVERSITY and CO -BASED PUBLIC HEALTH INITIATIVE This Agreement entered into by and between North Carolina Agricultural & Technical State University,Greensboro,North Carolina,hereinafter referred to as"GRANTOR",and Community- Based Public Health Initiative, Hillsborough, NC, hereafter referred to as "GRANTEE". VVITNESSETH THAT: WHEREAS,the GRANTOR has undertaken certain efforts for W Kellogg Foundation,under Prime Agreement No P0027656; and WHEREAS, the GRANTEE represents that it is ready, willing and able to undertake a portion of said efforts as hereinafter set forth; NOW THEREFORE, in consideration of the premises, as well as the obligations made and undertaken, the parties hereto mutually agree as follows: Article L STATEMENT OF WORK GRANTEE shall perform the effort set forth in the STATEMENT of WORK attached hereto and incorporated herein as Exhibit A. Article II. PERIOD OF PERFORMANCE The Agreement shall commence effective from date of acceptance. All work hereunder shall be completed on or before December 31, 1997. Article III. C:RANTFE CONTACT The contact person for this Agreement is Mr. Daniel B. Reimer, Director, Orange County Health Department. The GRANTEE shall notify the GRANTOR in the event that the contact person for this Agreement should change. PAGE 1 OF 4 4 Article IV. SUBUTANT TYPE AND PRICE A. This is a fixed price subgrant for the project entitled, "Forging Coalitions to Improve Delivery of Human Services and Enhance Economic Development in Rural America". The GRANTOR agrees to compensate the GRANTEE an amount not to exceed $10,000 for services rendered in accordance with Exhibit A. B. Payments shall be made based upon progress and/or completion of the activities stated in the mini-grant Statement of Work Progress payments shall be made no more frequently than monthly. GRANTEE shall submit progress reports and invoices to the Project Director for review and approval,which describe;the activities by budget category either completed or in process. GRANTOR shall issue payment within 30 days upon receipt of the approved invoice and progress report from the Project Director. Final payment will be made within thirty (30) days after receipt and approval, by the Project Director, of a final progress report, completion of required deliverables, and submission of an invoice. C. The Project Director is authorized to approve reallocation of funds among the project activities, based on project needs. D. INSPECTION The GRANTOR, through its authorized representative, has the right at all reasonable times to inspect or otherwise evaluate the work performed or being performed by the GRANTEE. PAGE 2 OF 4 5 Article VL ENTEREST of GRANTEE The GRANTEE covenants that it presently has no interest, direct or indirect which would conflict in any manner or degree with the performance of its services hereunder. The GRANTEE further covenants that in the performance of this Agreement no such person having such interest shall be employed Article VII. PUBLICITY GRANTEE agrees that no advertising or publicity matter having or containing any reference to North Carolina Agricultural & Technical State University or in which the name is mentioned, shall be made use of by the GRANTEE or anyone in the GRANTEE'S behalf unless and until the same shall have first been submitted to and received the approval of North Carolina Agricultural & Technical State University. t Article VU L CHANGES The GRANTOR may, from time to time, require changes in the scope of the services of the GRANTEE to be performed hereunder. Such changes shall be incorporated by a written, mutually agreed upon amendment to this Agreement. Article I L INDEPENDENT GRANTOR AND LABOR REQUMEMEM A. The GRANTEE is furnishing its services hereunder as an independent contractor, and the GRANTEE shall not be considered an employee of GRANTOR B. The GRANTEE shall be responsible for compliance with all requirements and obligations relating to such services under local, state or federal law including but not limited to minimum wage, social security, unemployment insurance, income tax and worker's compensation. The GRANTEE shall also be responsible for all licensing requirements of any local, state, or federal jurisdiction to which the performance of its services may be subject. Article X EMM A F.F.MF.N'T This Subgrant constitutes the sole and entire Agreement between the parties with respect to the subject matter contained herein. The Subgrant supersedes any prior Agreement,offer,or proposal between the patties with respect thereto, and may be amended only with the consent of each party in advance in writing. Article XL APPLICABLE LAW This Subgrant shall be construed and performance hereunder shall be determined according to the Laws of the State of North Carolina. PAGE 3 OF 4 6 Article X M GENERAI, PROVISIONS It is the intent of this Agreement to fulfill all the requirements set forth in the Prime Agreement No. P0027656 issued to North Carolina Agricultural &Technical State University . When fully executed by both parties, this Agreement will constitute an understanding and certify that GRANTOR is in compliance with all terms and conditions set forth in the Prime Agreement (Exhibit B) and enforced through the execution of this Subgrant. Article XIM ASSIGNMENT This Subgrant shall inure to the benefit of and shall be binding upon the respective successors and assigns of the parties hereto, but may not be voluntarily assigned in whole or in part be either party without the prior written consent of the other. Article MV. SUBGRANT CHANGES RFS1 TING FROM UPPFR TIER CHANGES This Agreement is issued under the provisions set forth in Prime Agreement No.P0027656. If said Prime Agreement is amended and said amendment causes subgrant to be inconsistent with or contrary to the Prime Agreement, the parties hereto agree that the GRANTEE shall, upon request, negotiate with the GRANTOR in good faith upon such amendments to this Agreement as may be necessary to make this Agreement consistent with the requirements of the Prime Agreement noted herein. Article XV. nE 1VERARI FS The GRANTEE agrees to submit to the GRANTOR all deliverables in accordance with Exhibit A These deliverables must be forwarded to Dr. Shirley Callaway, Project Director. WHEREFORE, the parties have caused this Agreement to be executed as set forth below. If at the end of this commitment there remain any unexpended funds or if the program is terminated at any other time, the unexpended cash balance is to be returned to the Foundation and may not be transferred to any other fund. Advance Foundation approval must be requested in writing for disbursements deviating from the line items of the approved budget. 3. At the end of each project period, your organization will provide the Foundation with a report which will include (a) a narrative progress report of the program, including the progress in planning and executing project evaluation and the result of that evaluation to date focusing on the important questions for evaluation established for your project; and (b) a statement of expenses, prepared on the Foundation's Report Form, reflecting any unexpended funds, and certified correct by the chief financial officer of your organization. The financial statements to the Foundation should report expenditures according to the line items in the aforementioned budget using consistent accounting practices (cash or accrual) throughout the commitment. A final report is to be provided to the Foundation not later than three months after the close of the grant, unless an extension has been granted. 4. No part of these funds shall be paid to any Kellogg Foundation Trustee, officer, or employee for any purpose. 5. Your organization's records and supporting documents related to this grant will be made available for audit at the request and expense of the Foundation. 6. Your organization is a governmental unit or an organization described under Internal Revenue Code (IRC) Section 501(c) (3) and is not a private foundation within the meaning of IRC Section 509 (a) (1) , (2) , or (3) . This commitment does not change your status under IRC Section 509 (a) . You will notify the Foundation immediately of any change in your tax status, including any substantial or material change in your sources of support for any taxable year affected by this commitment, within the meaning of IRS Treasury Regulation S1.170A-9. t 15 Page 3 Please refer to the important "Evaluation Questions" for your project and "Annual Progress Report Guidelines" (enclosed) which are necessary for preparing your annual reports. Successive payments under this commitment will be contingent upon(a)receipt of an annual report with a projection of plans and a line-item budget for the succeeding year, and(b)a demonstration to the Foundation of satisfactory progress in relation to the stated objectives of the project during the preceding year. 2. Any unexpended cash funds remaining from the Foundation payment at the close of each project year will be deducted from the payment for each successive year.The Foundation will consider requests,included in subsequent annual budgets,to use these unexpended funds for purposes consistent with the original goals of this project. 3. Increases in salaries and in fringe benefits beyond the level approved in the budget proposal are to be determined and provided by your institution from sources other than Kellogg Foundation funds as part of the financial take-over in subsequent years. It is understood that any increases shown in the salary and fringe benefit line item of the budget reflect additional staff and staff time rather than salary increments. 4. Your institution agrees to disseminate through established channels of communication,or by special reports, pertinent information relating to the results, findings,or methods developed through this commitment. 5. No publications,instructional modules,or other products developed in connection with this project will provide royalties or otherwise insure to the personal benefit of individuals connected with this activity. 6. If funds are included in this commitment for fellowships,please note that the Foundation has a special interest in these individual awards.We would like to establish personal contact with the Fellows chosen under projects we are assisting. Mr. Robert DeVries, Program Director,will be writing to you for your assistance in providing information about these Fellows so that we can issue them a Fellowship Certificate at the completion of their studies.
