Purpose: To consider a contract between Orange County Kartway and Orange County,
Department of Emergency Management, to provide medical coverage for events and
races held at the Kartway.
Background: The Orange County Kartway has begun operation this year after being
closed for several years. Adequate and appropriate medical coverage must be provided
for the citizens and visitors attending events at the Speedway. Staff have met with track
officials to work out operational (including safety issues) and fiscal issues concerning the
contract and have reached a satisfactory agreement.
Recommendation: The Manager recommends that the Board approve the contract and
authorize the Chair to sign.

ORANGE COUNTY
This Contract dated March 25, 1997, between Michael C. Hudson, Orange County
Kartway (the"Kartway") and the County of Orange (the "County") for joint and
cooperative arrangements for the provision of emergency medical services at certain
Kartway events.
WITNESSETH
WHEREAS,the County and the Kartway wish to cooperate and work jointly
on matters of concern or interest; and
WHEREAS,certain events at the Kartway bring spectators to Orange County
to enjoy the events; and
WHEREAS,the provision of adequate emergency medical care at such events is
a matter of mutual concern and interest to the Kartway and the County; and
WHEREAS, detailed joint and cooperative arrangements with respect to such
events will mutually benefit the Kartway and the County; and
WHEREAS,the County and The Kartway desire to provide such cooperative
emergency medical care;
NOW THEREFORE,in consideration of the premises and the mutual covenants
and conditions set forth below,the County and the Kartway agree as follows:
1. The County agrees to provide emergency care providers certified at the
Emergency Medical Technician level for the twenty scheduled 1997 Kartway events as
outlined in the Orange County Kartway 1997 Schedule. (Exhibit A).

2. The County agrees to provide a minimum of 2 Emergency Medical Technicians
for each 1997 event(3-29, 4-19, 5-3, 5-17, 5-24, 5-25, 6-7, 6-14, 6-28, 7-4, 7-19, 8-2,
8-9, 8-23, 8-30, 8-31, 9-6, 9-27, 10-11, and 10-25. Additional coverage will be
negotiated between the County and the Kartway at the time of need.
3. The County agrees to keep records of patients seen at the Kartway while covering
Kartway events under this contract and, with the consent of the patient, to provide such
records to the Kartway, upon its request. Data available to the County from the records
of patients seen at the Kartway which is clearly not patient identifying may be provided
to the Kartway, upon request of the Kartway and when appropriate.
4. The Kartway shall compensate the County for emergency medical services
provided pursuant to this contract by paying to the County a sum based on a rate of
$30.00 per hour for each event covered. These hours will include preparation and travel
time of two (2) hours for each event plus the coverage time per event. The County shall
submit an invoice for these events on a monthly basis and payment by the Kartway shall
be made to the order of the County and mailed to Orange County Emergency
Management, P. O. Box 8181, Hillsborough,N. C. 27278.
5. The personnel providing the emergency services shall report to the Kartway at
the time agreed upon by the Kartway and the County.
6. The contract may be reviewed annually no later than March 1, and may be
renewed, modified, or amended at that time, or at any other time, upon the mutual
written agreement of the parties.

7. This contract may be terminated at any time by either party by giving 90 days
notice to the other party in writing.
8. If either party defaults in its obligations and does not cure such default within
ten(10) days of receipt of notice of such default, the non-defaulting party may
immediately terminate the contract.
IN WITNESS WHEREOF,the parties hereto have duly and validly authorized
and executed this contract as of this day of , 1997.
