Environmental Systems Research Institute,Inc.(ESRI)
This Amendment No.2 hereby amends the Master Purchase Agreement No.92P1291 dated June 23, 1992,and Amendment
No. 1 dated July 7, 1995.
1. The parties agree that this Agreement extends through June 15, 1998,unless replaced by a mutual agreement
amendment as provided for in Article 3,Extension and Modification in the Master Purchase Agreement.
2. The terms and conditions embodied in the basic Agreement and Amendment No. 1 are unchanged except as
incorporated by this Amendment No.2.
IN WITNESS WHEREOF,the parties hereto have executed this Amendment No.2 to Agreement No.92P1291 on the day
written.
