PURPOSE: To consider renewing an agreement with ESRI,the County's vendor for most GIS
hardware and software products.
BACKGROUND: Orange County has had a Master Purchase Agreement in place with ESRI since
April 1990,renewed in June 1992. The current version of this agreement is set to expire. The
attached amendment would renew the agreement through June 15, 1998. The agreement must be
maintained in order for the County to continue use of software licenses on various GIS
workstations. The agreement also entitles Orange County to obtain substantial discounts when it
purchases GIS hardware and/or software from ESRI. However,the County is under no obligation to
make any such purchases, or to buy only from ESRI should it decide to make GIS purchases.
RECOMMENDATION(S): The Manager recommends that the Board approve the amendment to
the agreement, and authorize the Chair to sign.

This Amendment No.2 hereby amends the Master Purchase Agreement No.92P1291 dated June 23, 1992,and Amendment
No. 1 dated July 7, 1995.
1. The parties agree that this Agreement extends through June 15, 1998,unless replaced by a mutual agreement
amendment as provided for in Article 3,Extension and Modification in the Master Purchase Agreement.
2. The terms and conditions embodied in the basic Agreement and Amendment No. 1 are unchanged except as
incorporated by this Amendment No.2.
IN WTINESS WHEREOF,the parties hereto have executed this Amendment No.2 to Agreement No.92P1291 on the day
written.
