HomeMy WebLinkAbout1997 NS Health and Chapel Hill Training Outreach Project Inc 3 AGREEMENT BETWEEN ORANGE COUNTY HEALTH DEPARTMENT AND CHAPEL HILL TRAINING-OUTREACH PROJECT, INC. (CHTOP, INC.) THIS AGREEMENT is entered into between the Orange County Health Department and the Chapel Hill Training-Outreach Project, Inc. (CHTOP, WC.). Subject to satisfactory performance and the continued availability of funds,this Agreement shall be effective from January 1, 1997 through June 30, 1997. WHEREAS, the Orange County Partnership for Young Children(OCPYC) is providing funding to the CHTOP, Inc. for the administration of three family resource centers in Orange County,North Carolina, and; WHEREAS,the grant permits the CHTOP, Inc. to subcontract for various aspects of the Family Resource Center Program, NOW THEREFORE, in consideration of the mutual promises contained herein, the Orange County Health Department agrees as follows: A. The Orange CouM Health Department. shall: 1. Provide or cause to be provided services as described in the Plan of Work and Budget which are attached hereto as Exhibit A and incorporated by reference herein. 2. Ensure that the services provided as described in the Plan of Work and the administration of this Agreement are consistent with the terms of the grant. Services provided shall also comply with all applicable State statutes and rules. 3. Maintain or cause to be maintained program records, fiscal records and other documents which reflect program operation and the expenditure of funds under this Agreement, including all direct and indirect costs. Cost records shall be maintained so that allowable costs can be determined in accordance with the U.S. Office of Management and Budget Circular and A- 122. All records and other documents shall be maintained for three (3)years following termination of this Agreement, or until the date released from any Federal or State audit which may occur. The Orange County Health Department shall make applicable records and other documents available or cause to be available upon request to authorized State or Federal officials for audit purposes. 4. Provide or cause to be provided written reports to CHTOP, Inc., at least quarterly, related to the activities carried out under this Agreement. Such reports shall have content as specified by the CHTOP, Inc. and shall be due within thirty(30) days after the end of each calendar year quarter. 4 1� 5. Be solely responsible for the performance of any subcontractors and shall ensure subcontractors compliance with the terms of the grant. B. CHTOP. Inc. shall: 1. Reimburse the Orange County Health Department for allowable costs of approved services in accordance with Exhibit A, provided,however, that payment to the Orange County Health Department shall not exceed the amounts specified in Exhibit A of the agreement for this project. The amount reimbursed shall not be greater than the sum of$12,876. 2. Inform the Orange County Health Department of all changes in State and Federal laws, regulations and policies of which the CHTOP, Inc. becomes aware that affect the Orange County Health 's rights and obligations under this Agreement. 3. As agent for the Orange County Partnership, CHTOP, Inc. shall: (a) Monitor and review all reports, summaries and supporting data submitted by the Orange County Health Department, promptly notify the Orange County Health Department of any problems or other matters of which the Orange County Health Department as party to this Agreement should be informed which are discovered or revealed by such monitoring and review. (b) Maintain all program records, fiscal records and other documents which reflect program operation and the expenditure of funds under this Agreement, including all direct and indirect costs as may be necessary or appropriate for the Orange County Health Department pursuant to law or this Agreement. (c) Provide all written reports related to the activities carried out under this Agreement as may be necessary or appropriate for CHTOP, Inc. pursuant to law or this Agreement. C. Billing and Pavment Procedures: 1.The Orange County Health Department shall bill the CHTOP, Inc. for reimbursement of actual costs associated with this Agreement. Billings shall be submitted on forms specified and provided by the CHTOP, Inc. 2. Subject to availability of funds,payments shall be made within thirty(30)days of the CHTOP,Inc.'s receipt of each properly completed bill. 3. Any funds which may be paid to the Orange County Health Department in excess of actual expenditure shall be refunded to the CHTOP, Inc. within 45 days after this AGREEMENT is terminated. 4. Contractor acknowledges the responsibility to repay any funds identified as improperly paid as the result of an audit finding. 5 1 D. Desianation of Contract Administrators: trators• 1. The Community Development Division of the CHTOP, Inc., is designated as the contract administrator for the CHTOP, Inc. with responsibility for all matters relating to this Agreement, including, but not limited to, determining costs allowable for reimbursement. 2. The Orange County Health Department's Health Director is designated as the contract administrator for the Orange County Health Department with responsibility for all matters relating to this Agreement. E. Amendments. Changes in the terms of this Agreement shall not be valid except by written amendments signed by both parties. F. Renewal of Contract. This Agreement may be renewed by the parties under the same terms and conditions subject to the continued availability of funds to the CHTOP, Inc. from OCPYC. G. Convrisht. It is not planned that any works subject to copyright will be developed under this agreement. If such an event would occur, this agreement must be modified to include the specifics regarding copyright determination. H. Termination. This Agreement may be terminated by: 1. The CHTOP, Inc. in the event sufficient funds are no longer available to the CHTOP, Inc. through the OCPYC grant to provide services described in Exhibit A. 2. Either party for cause upon at least ninety(90)days written notice to the other parry. 3. In the event of termination prior to the expiration date,the CHTOP, Inc. shall reimburse the Contractor for work performed through the date of termination. This Agreement is hereby executed by the officials signing below acting in their official capacities. Each party certifies that the terms and conditions contained herein do not represent a conflict of interest, and are in compliance with State and Federal antitrust laws and civil rights laws. Michael Mathers TITLE: EyecutiveGDirector TITLE: Health Director DATE: l T DATE: 6 EXHIBIT A T OCHD INFORMATION FOR INCORPORATION INTO THE FRC GRANT PROPOSAL Staffing: The Orange County Health Department involvement in this project would emanate from the Personal Health Services Division directed by Eileen Kugler who has a background as a public health nurse, family nurse practitioner and program administrator/developer. Belinda Jones, Health Education Section Supervisor, will supervise the OCHD liaison working on the project. See the Agency Qualifications section for further information. Relationship to FRC sites: Health Department staff met with Tiffany Sanchez Rodriquez and Karen Solomon to discuss the nature of a partnership approach to the management of the FRC's between the Orange County Health Department (OCHD) and Chapel Hill Training Outreach, Inc. (CHTO). A brief discussion was held with Bessie Wiggins,Coordinator for the Northern Orange FRC, about the Health Department's interest in the FRC's. Ms. Wiggins was very receptive to and enthusiastic about this possibility. A part time OCHD liaison position will be established to work closely with the central coordinator as well as each individual center coordinator and the governing boards to assist with community organization and development, building the leadership capacity of community members, coordination of programming provided by the Health Department and other resources as appropriate. We propose that there be a representative from the Health Department on each of the governing boards. This representative would not be the same person as the liaison. Collaboration/Partnership: CHTO and OCHD are making application for funding for the administration and development of the family resource centers. CHTO will be the recipient of the funds and thereby be the fiscal agent with primary responsibility for all administrative aspects of the initiative. OCHD will have primary, but not exclusive, responsibility for the programming aspects of the initiative. Examples of services OCHD may provide, in collaboration with CHTO, the participating communities and the center governing boards, include the following: community organization/development, leadership training for community members(Community Voices); work with communities to assist them in determining their assets, goals and areas in which they need assistance in accomplishing their goals; training for FRC staff in community organization/development; health and developmental screenings, well child exams, immunizations, classes on health and other topics of interest to the communities; outstationing of staff(nurses, health educators, community health assistants, social workers) as appropriate to the FRC's to _- provide services and increase outreach capability; linking of families in the communities OCHD staff is currently working with through its outreach programs(Child Service Coordination, Maternity Care Coordination, Maternal Outreach Worker)to FRC programs. Agency Qualifications: The OCHD has been a primary player in the Community Based Public Health(CBPH) Initiative funded by the Kellogg Foundation. This initiative involves the University as well as Chatham, Lee and Wake counties. The communities of Efland, Perry Hills and Cedar Grove have been the focus in Orange County. OCHD's Health Education Supervisor, Belinda Jones, and the CBPH Project Director, Iris Fuller were members of the original FRC grant writing team. Ms. Jones and Ms. Fuller are members of the Northern Orange Family Resource Center Governing Board, and the department has maintained a close relationship with the FRC. Ms. Bessie Wiggins is a member of OCHD's Shared Leadership and Model Development Team which is a multidisciplinary team including community members whose charge it is to develop ways to incorporate CBPH principles on a broader scale into OCHD operations. OCHD provides a variety of family support programs including those offered in client homes so that staff are familiar with working in the community. We have experience taking services and education programs into the community, and believe that one way to achieve positive health and human service outcomes for families is to work in partnership with communities where the people live, work and play.
