To Whom It May Concern:
This letter is to serve as a renewal of the current Agreement entered into by and between Human Affairs
International, Incorporated hereinafter referred to as Magellan Behavioral Health,Inc. ("Magellan") and
Orange County("Sponsor")which was effective for the period July 1, 1998 through June 30, 1999.
The new contract term will be for one year extending from July 1, 2000 through June 30,2001. The EAP
rate shall remain at one dollar and eighty-two cents ($1.82)per employee per month("PEPM'). All
remaining terms and conditions of the Agreement shall remain unchanged and in effect.
If this letter reflects your understanding of the new terms of our agreement,please have both originals of
this letter signed by the appropriate person and return them to me for signature.
