This agreement is made and entered into as of the 1 st day of May, 2000 by and between Orange
County,hereinafter referred to as the "County" and Harshman Consulting, Inc,hereinafter
referred to as"Consultant", for assisting the County with an assessment of options for
implementing a Register of Deeds computer imaging system.
WHEREAS,the County and the Consultant mutually agree to the following:
1. The intention of the Agreement is to provide general advisory consulting to
Orange County (OC) during the process of transitioning from the current system
to a new Imaging System for Vital Records. OC wishes to take advantage of the
exposure and knowledge gained by Mr. Harshman during his previous
engagement regarding this transition process and to use his services to oversee
and advise OC as they go forward.
2. The engagement shall proceed in four sequential Phases, each having an
approximate duration of two weeks, and each having a specific consulting focus
and deliverable documentation as defined in the attached "Exhibit A". These
Phases follow the general sequence of steps outlined in the Recommendations
section of the Report submitted during the previous engagement.
3. Each Phase shall be billed when completed and cost of work for each Phase shall
not exceed $5,000.00, with the total cost for all four Phases not to exceed
$20,000.00. Reasonable travel expenses will be billed and reimbursed at cost.
4. All documents shall be delivered to the Register of Deeds on a schedule mutually
agreeable to the Register and the Consultant.
5. The agreement shall be effective upon execution by the County Manager and
Harshman Consulting, Inc.
IN WITNESS WHEREOF,the Parties hereto have caused this Agreement to be executed on
this,the 1 st day of May, 2000.

Definition of Focus and Deliverables for Consulting Agreement
Phase 1: Preliminary Investigations
(Covers Steps I and 2 of Assessment Report Recommendations)
Focus for Advisory Consulting:
Discussions with OC personnel,IS,and Vendor(Mackin Systems)re needs for transition plan. We will
include topics of the objectives,schedule,and vendor deliverables.We will also investigate adequacy
of system for later expansion from Vital Records only to include Deeds.
Documentation provided:
Draft of Transition Plan for OC review.
Phase 2: Pilot System Installation and Test
(Covers Step 3 of Assessment Report Recommendations)
Focus for Advisory Consulting:
Define Objectives for Pilot
Emphasis on Vital Records Conversion validation
Discussions with vendor re scope of demonstrations
Establish acceptance criteria and procedures
Evaluation and recommendations re adequacy of system and demonstrations
Documentation provided:
Comments and Recommendations re findings during demonstration
Comments on any needed revisions to Transition Plan
Outline for Acceptance Procedures
Phase 3: System Procurement, Installation and Test
(Covers Step 4 of Assessment Report Recommendations)
Focus for Advisory Consulting:
Discussions with OC and vendor re system configuration and customization
Discussions with OC and vendor re acceptance criteria and procedures
Documentation provided:
Recommendations for revisions in Transition Plan
Suggestions re use of vendor consulting or outside services
Phase 4: System Extensions to Deeds
(Covers Step 5 of Assessment Report Recommendations)
Focus for Advisory Consulting:
Investigate feasibility and any technical requirements for Deeds
Discuss best methods to interface to other OC systems
Documentation provided:
Recommendations re Deeds system migration
Suggestions re long-term enhancements or extensions to system
Note:Documentation noted above will require and incorporate written input from IS and from vendor,as identified and
agreed during the course of the work.
