LICENSE AGREEMENT
This License Agreement is made effective as of the day of 2013 by and
between the RANDY SPENCER & THERESA K. STONE of 3517 NC 86 North, Hillsborough,
North Carolina 27278 (the "Licensor") and ORANGE COUNTY, NORTH CAROLINA, a body
politic and political subdivision of the State of North Carolina, having an address of P.O. Box
8181, Hillsborough, North Carolina 27278 (the "County").
For good and valuable consideration, and subject to the terms and conditions hereinafter
set forth, the Licensor does hereby license unto the County and County does hereby accept the
use of and access to Licensor's property identified by PIN 9867-41-0058.
SECTION ONE
GRANT OF LICENSE: DESCRIPTION OF PREMISES AND TERM
Licensor hereby grants to County a license to occupy and use the Licensor-owned
property located at 3601 Walnut Grove Church Road and having PIN 9867-41-0058 (the
"Property").
County shall be licensed and permitted hereby to occupy the Property as follows:
(A) For the purpose of operating, maintaining, constructing, upgrading, and
expanding the Walnut Grove Convenience Center; and
(B) Subject to the same terms, rights, and responsibilities as dictated in that
Lease dated December 21, 1987, recorded at Book 702, Page 591 Orange
County Register and first renewed as reflected in Book 3049 at page 280,
and last renewed as reflected in the Second Lease Agreement Renewal
dated June 2, 2008 save and except where such terms, rights, and
responsibilities conflict with the terms and intent of this License; and
(C) Said License shall commence on March 1, 2013 expire April 30, 2013.
SECTION TWO
LIMITATION TO DESCRIBED PURPOSE
County shall utilize the Property for the limited purpose of operating, maintaining,
constructing, upgrading, and expanding the Walnut Grove Convenience Center.
SECTION THREE
PERIODIC PAYMENTS
County shall pay Licensor for this License at the rate of three hundred fifty dollars
($350.00) per month of use for the full two-month term of this License.
SECTION FOUR
MISCELLANEOUS
It is agreed that this License shall be governed by, construed, and enforced in
accordance with the laws of the State of North Carolina.
Should any terms of the Lease or any Lease Renewal referenced herein be in conflict
with any term of this License the terms of this License shall control. The Parties acknowledge
their intent that this License is granted for the primary purpose of allowing County to utilize the
property as a temporary solid waste convenience center during the time necessary for the
County to complete upgrades to the adjacent new Walnut Grove Convenience Center.
Any modification of this License or additional obligation assumed by either party in
connection with this License shall be binding only if evidenced in writing signed by each party or
an authorized representative of each party.
By signing below, the representative of Licensor warrants that he/she is authorized to
execute this License on behalf of Licensor, and that he/she has obtained all authorizations,
approvals, and resolutions necessary in order to duly bind Licensor to this License.
