THIS AGREEMENT, entered into this 14th day of December, 2012, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts Commission")
and One Song Productions("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand dollars ($1,000)
have been awarded by the Arts Commission to the Grant Recipient for the approved
Project. These funds must be matched at least dollar-for-dollar with cash from the Grant
Recipient's funds not derived from either Orange County appropriations or the North
Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2013 and December 31, 2013. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein,the modifications shall be deemed approved.
C. Non—assi ent. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 14 , 2014 . The Final Report shall be in the format required by
the North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,000 to the Grant Recipient.
6. Publicity
A. Acknowled ement. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line (check all that apply):

B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHiIIARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"),the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Organizational Profile
One Song Productions is a local youth-run theatre organization founded in 2002 by Katie Yow
and Daniel Elam, two Chapel Hill High School students, as a supplement to school dramatic programs.
One Song's goals are to engage youth in every step of the creative process and offer new opportunities
for learning and growth in the performing arts. One Song is run by a board of six to seven directors, all
of whom attend high schools in the Durham-Chapel Hill area. Their aim is to provide students in the area
with a fun, creative, and educational experience working on extracurricular productions. Additionally, all
One Song events are produced, directed, and staged entirely by students from area high schools and
colleges.
One Song produces five different shows in a year's season, all of which are directed and cast
by high school students from the Triangle area of North Carolina. One Song has continued to expand
throughout its nearly 10 year history as a result of the community's constant support and generosity, as
the shows One Song produces are funded solely by donations and grant applications submitted by
students.

Each year, One Song Productions aims to produce a five-show season. We have three
full-length productions, directed by high school students; a summer show directed by a high school or
college student; and a 48-hour theatre event, The February 48. Our three main shows, all of which are
selected and directed by the Board of Directors,provide material that students may not get a chance to
work with in their school environment. Since they often push the envelope, these shows give
participating students(especially actors and directors)the chance to take on more challenging
characters and material that they might not be exposed to in schools, as well as an opportunity to
explore complex moral and ethical angles to modern issues. One Song also provides technical students
with opportunities to be creative and branch out without the confines of a school tech department. All
design and construction is headed by students, giving them the chance to apply technical knowledge
they may have learned in school and take on full leadership positions that might usually be regulated by
teachers or staff in schools. One Song's annual summer show provides many of the same opportunities
as the main shows, but in addition gives local high school and college students outside of the Board of
Directors the opportunity to choose a show and direct. It also provides a way for students to remain
involved in theatre over the sununer, when many of their schools' departments are not active.
The February 48 is also designed to push boundaries, especially the boundary of time. Unlike
our three main shows and summer show, The February 48 is not a full-length show, but instead a series
of one-act plays, all of which are written, rehearsed, and performed by students over the course of a
single weekend. Students are assigned to groups on a Friday night. Student writers are then given the
beginning and ending lines of their play, and asked to write a script that night. Scripts are passed out to
groups on Saturday morning, after being reviewed by the Board of Directors, and each group is sent off
to rehearse for the day, during which all technical aspects for each show are coordinated. Groups load
into the performance space on Sunday afternoon, and rehearse in the space until their performance
Sunday night, after which set is struck and the event is finished. The goal of The February 48 is to
provide unique opportunities to both experienced and prospective actors and technicians, as well as to
provide a fun, adrenaline-filled weekend for local students. Those with experience are challenged to
take all of the work and quality of a full-length production and condense it into a single weekend, while
students who are curious about theatre can try it out in an enjoyable and short production.
In addition to opportunities provided by shows, One Song also provides those students who
join the Board of Directors with business and production experience. Board members get a chance to
see and experience what goes into running a theatrical production company. Board members set
budgets,handle finances, write grants, find and book rehearsal and performance spaces, and deal with
any necessary legal documents. One Song is also currently working on setting up a relationship with the
NC Center for Nonprofits to participate in workshops and receive guidance for board members who
do not have prior legal or business management experience.
One Song Productions would use funds from this artistic grant to support the winter and spring
performances of our 2012-2013 season. The money would help cover the cost of space rental, rights,
set, props, costumes, and advertisement. One Song aims to create shows that are true to directorial,
technical, and company visions, and would greatly benefit from support from outside funding.
In the winter, board member Taylor Norris will direct Denial, written by Peter Saga]. Denial is
a highly controversial play that deals with moral and ethical issues focusing on a court case. In the play,
a Jewish lawyer that specializes in First Amendment cases acquires a client that is fighting for his right to
deny the existence of the Holocaust. The lawyer is torn between her own beliefs, and the audience will
inevitably be left with their own ideas regarding freedom of speech and freedom of beliefs. The play will
challenge its actors and director due to an intense and demanding concept, providing cast and crew with
an opportunity to exercise a different aspect of their abilities. This show, due to its content, must be
undertaken with both delicacy and drive, and One Song believes it is an important task to undertake.
The company hopes to reach out to high school students with this production by challenging them to
formulate their own views,while asking adults to evaluate their own ideas. Denial seeks to open doors
for conversation and communication through an artistic medium and provide all those involved with a
unique theatrical experience.
In the spring, board member Nell Ovitt will direct Language cf Angels, written by Naomi
Iizuka. This play, written by an American Latina and Japanese author and set in the mountains of North
Carolina, allows for a large amount of artistic license. The haunting story is greatly influenced by aspects

of Japanese Noh theatre, and incorporates both poetry and music. The text provides actors with a
challenge due to its unusual rhythm and style. Actors will also need to work hard to achieve realistic
characters that change with the passage of time. Another goal of this production is to allow the technical
team to explore their interests and incorporate them into the performance. The goal of Language cf
Angels is to appeal to the entire community, due to its setting in our own state with characters that are
very real and relatable.
One Song Productions will host both of these performances at Common Ground Theatre in
Durham. Denial will run from March 7 to March 9, and Language cf Angels runs from May 23 to
May 25. Both productions hope to have diverse casts in both gender and ethnicity, and reach an equally
diverse audience. As Common Ground Theatre typically seats around 70 people, One Song hopes to
have a full house each night. Both winter and spring shows often do well each year, and audience
reaches between 40 and 70 people per night. Audience members vary based on the show's content and
amount of advertising. With access to grant funds, One Song would increase its advertising and attempt
to reach a greater part of the community.

load in, designing special effects(crucifixion and blood, The Pillowman) choreographing and
running scene transitions during the show, managing house for the show, and overseeing
lighting and sound.

Responsible for designing the set and working with the staff TD to create drawings and plans.
Also serving as Student Technical Director to assist the staff TD with the management and
construction of technical aspects of the show.

Responsible for the hanging of the plot, running LX work days,training and managing the LX

scripts are written,actors rehearse,and the shows are put on. Responsible for running and
taking notes during rehearsals,and identifying and communicating all technical needs for the
assigned one act. Served as understudy and filled in for a sick actor.
